AnD ShAnghAI, ChInA<br />
April was a busy travel month for FYBA. Our executive director traveled all <strong>the</strong> way<br />
to China for <strong>the</strong> 17 th Annual Shanghai Boat Show, courtesy <strong>of</strong> an invitation from<br />
enterprise <strong>Florida</strong> – <strong>the</strong> <strong>of</strong>ficial economic development organization for <strong>the</strong> state.<br />
You can read about Ann’s trip elsewhere in COMPASS in “The China Report”.<br />
Jeff erdman and i traveled to Washington, D.C., for <strong>the</strong> american Boating Congress<br />
(ABC), which this year was co-hosted by <strong>the</strong> National Marine Manufacturers <strong>Association</strong><br />
(NMMA), Marine Retailers <strong>Association</strong> <strong>of</strong> America (MRAA) and <strong>the</strong> U.S. Superyacht<br />
<strong>Association</strong>, along with several o<strong>the</strong>r groups.<br />
As always, ABC <strong>of</strong>fered a superb opportunity to mingle<br />
with members <strong>of</strong> o<strong>the</strong>r organizations who all have a common<br />
goal: To ensure that our elected <strong>of</strong>ficials deal with potentially<br />
detrimental issues facing <strong>the</strong> recreational marine business in<br />
a positive way. Many <strong>of</strong> <strong>the</strong> issues discussed will have an<br />
impact on our business, and it is good to know that <strong>the</strong>se<br />
organizations are working with us to research and ga<strong>the</strong>r<br />
facts to present to our legislators.<br />
FYBa’s mission in Washington was to kick <strong>of</strong>f a campaign<br />
to change an existing law that some might consider outdated.<br />
It deals with <strong>the</strong> boat show bond and its six-month time limit<br />
and minimum boat length. While this law has been good for<br />
foreign-built, non-duty-paid boats coming to <strong>Florida</strong> for a boat<br />
show, it requires that <strong>the</strong> boats leave <strong>the</strong> state after six months.<br />
We simply asked <strong>the</strong> legislators why <strong>the</strong>y would we want <strong>the</strong>se<br />
boats to leave <strong>Florida</strong>.<br />
While cruising our waters, <strong>the</strong> owners <strong>of</strong> <strong>the</strong>se boats are<br />
pumping millions <strong>of</strong> dollars into <strong>the</strong> U.S. and <strong>Florida</strong> economies. When a boat sells, <strong>the</strong> next<br />
owner has <strong>the</strong> option <strong>of</strong> paying <strong>the</strong> duty. Citing our successful tax cap efforts in <strong>Florida</strong>,<br />
many ABC attendees, legislators and <strong>the</strong>ir staff agreed that our proposed change to <strong>the</strong><br />
statute makes sense. now <strong>the</strong> hard work begins, as legislators in Washington have many<br />
o<strong>the</strong>r issues to deal with, not to mention <strong>the</strong> Presidential election this year. (Visit www.<br />

Looking at issues closer to home, FYBA will host <strong>the</strong> 1 st FYBA Golf Scramble on<br />
Tuesday, June 5, at Jacaranda golf Club. This should be a signature event for FYBa and<br />
our members, so we invite you to ga<strong>the</strong>r your team or come alone and join a potluck<br />
foursome for a great time on <strong>the</strong> links.<br />
There will be prizes, as well as plenty <strong>of</strong> food and beverages. Many thanks go to our<br />

FYBA has about 1,100 members and we need more. So, we encourage you to be an<br />
advocate for association membership. Because we have 1,100 members we were heard in<br />
Tallahassee and we were listened to in Washington. More members give us a broader reach.<br />
<strong>Florida</strong> is <strong>the</strong> number one place in <strong>the</strong> country for recreational boating, and Fort<br />
Lauderdale is <strong>of</strong>ten referred to as <strong>the</strong> “<strong>Yacht</strong>ing Capital <strong>of</strong> <strong>the</strong> World”. With so much business<br />
occurring in <strong>Florida</strong>, FYBA members just want to make sure it is done cooperatively and<br />
pr<strong>of</strong>essionally.<br />

A lot <strong>of</strong> FYBA members also<br />
logged a great many miles last month<br />
in support <strong>of</strong> a good cause – without<br />
actually traveling anywhere. They<br />
were riding stationary bikes in <strong>the</strong><br />

The China International (Shanghai)<br />
Boat Show Report<br />

There is no denying that <strong>the</strong> boating industry is at <strong>the</strong> cusp <strong>of</strong> development in China.<br />
The China International Boat Show, held in Shanghai on April 19 – 22, 2012, was<br />
<strong>the</strong> biggest yet <strong>of</strong> <strong>the</strong> 16 previous years. However, <strong>the</strong>re were only 13 in-water boats<br />
and none over 70 feet. Once you boarded any <strong>of</strong> <strong>the</strong>se boats, you could immediately tell that<br />
<strong>the</strong> Chinese do not use <strong>the</strong>m as we Westerners do! In fact, some say you could even take <strong>the</strong><br />
motor out, as <strong>the</strong>y never move once docked! They will be used for afternoon tea and mahjong<br />
so few cabins are needed!<br />
As many <strong>of</strong> you already know, I<br />
was part <strong>of</strong> <strong>the</strong> FYBA delegation that<br />
attended this year’s show. We noted<br />
right away that all <strong>the</strong> boats at <strong>the</strong><br />
show, whe<strong>the</strong>r in-water or displayed<br />
at <strong>the</strong> exhibition center, were new. The<br />
brokerage industry is in its infancy here,<br />
as most <strong>of</strong> <strong>the</strong> Chinese prefer buying a<br />
new yacht. However, today <strong>the</strong>re are<br />
80 yacht clubs in China and more are<br />
being developed. Wang Xiankai <strong>of</strong> <strong>the</strong><br />
Qingdao Center for International Trade Ann Vernon & Julie Balzano<br />
and Economic Development said <strong>the</strong>y<br />
would like to fill <strong>the</strong>ir marina in Qingdao, where <strong>the</strong> 2008 Olympic sailing regattas were<br />
held, with 700 boats! They have 50 vessels now and are looking to buy more. He has assured<br />
me that <strong>the</strong>y are also interested in pre-owned yachts.<br />
During our visit to <strong>the</strong> show, I learned that that <strong>the</strong> Chinese import duty on boats is<br />
anywhere from 41% to 44%, plus a 10% luxury tax. If <strong>the</strong> yacht is registered as a business,<br />
<strong>the</strong>n <strong>the</strong> 10% luxury tax is exempt. Wang Xiankai also told me that American companies who<br />
want to send <strong>the</strong>ir boats to China for display at boat shows can do so by obtaining an ATA<br />
Carnet, which is similar to our Boat Show Bond. This may not be <strong>the</strong> case in all <strong>the</strong> Chinese<br />
provinces but he assured me that it would work in Qingdao.<br />
I met with <strong>the</strong> show organizer, Yang Xinfa, who is Chairman <strong>of</strong> <strong>the</strong> China Boat Industry<br />
& Trade <strong>Association</strong>, among his many o<strong>the</strong>r titles. He told me that boat sales in China are<br />
increasing at a rate <strong>of</strong> 61% per annum. One company alone has sold more than $40 million<br />
worth. He promised to send me <strong>the</strong> regulations on importing pre-owned yachts; I will follow<br />
up on getting <strong>the</strong>se regulations out to <strong>the</strong> FYBA members when I receive <strong>the</strong>m.<br />
Michael Brown, an American who has been in China for 13 years, also provided insights<br />
into <strong>the</strong> Chinese boating industry. He started out as <strong>the</strong> GM for Brunswick/Mercury Marine<br />
in China; over <strong>the</strong> years, Brunswick has sold over 600 yachts <strong>the</strong>re. Brown now is on his own<br />
as a consultant and has imported several pre-owned yachts into China, which he first brings<br />
in through Hong Kong. He said that <strong>the</strong> province where <strong>the</strong> yacht is to go determines how<br />
easy or difficult it will be to get it <strong>the</strong>re. Some provinces in China are more welcoming to

<strong>the</strong> boating industry than o<strong>the</strong>rs, and will be more lenient. The main obstacle for bringing in<br />
brokerage boats will be <strong>the</strong> emission standards criteria, he said. Some marinas will allow foreign<br />
flagged vessels but o<strong>the</strong>rs will not.<br />
There are a few wealthy Chinese who are looking for yachts abroad and plan to keep <strong>the</strong>m<br />
<strong>the</strong>re. It has become easier for Chinese nationals to travel, and only takes five days to receive<br />
a U.S. visa. David Nichols <strong>of</strong> International <strong>Yacht</strong> Collection and Frank De Varona <strong>of</strong> <strong>Yacht</strong>ing<br />
Experts also were part <strong>of</strong> <strong>the</strong> FYBA delegation to <strong>the</strong> China International Boat Show. They<br />
both confirmed to me that <strong>the</strong>ir efforts, time, and money were not wasted on this trip. Frank<br />
and David are both optimistic, even given <strong>the</strong> current circumstances that <strong>the</strong> Chinese market<br />
will take <strong>of</strong>f for yacht brokerage. The day that happens, <strong>the</strong>y want to be well placed with <strong>the</strong><br />
contacts <strong>the</strong>y were able to make at this show.<br />
My mission at <strong>the</strong> show was to ga<strong>the</strong>r any possible information to help develop brokerage<br />
sales for FYBA members, ei<strong>the</strong>r by exporting boats to China for sale, or even better, encouraging<br />
Chinese buyers to come to <strong>Florida</strong> to buy and use <strong>the</strong>ir boats. I ga<strong>the</strong>r that both <strong>of</strong> <strong>the</strong>se<br />
scenarios are at a very early stage but I’m also optimistic that in <strong>the</strong> long term, <strong>the</strong>re will be a<br />
Chinese market.<br />

Watch What You Say and How You Say It:<br />
The New World <strong>of</strong> eDiscovery<br />
<strong>Yacht</strong> brokers and those affiliated with <strong>the</strong> yachting<br />
industry should understand <strong>the</strong> issues surrounding a<br />
legal process called e-discovery. It stands for “discovery<br />
<strong>of</strong> electronically stored information (ESI)”. Quite simply, <strong>the</strong> term<br />
refers to <strong>the</strong> discovery <strong>of</strong> documentation and o<strong>the</strong>r data created<br />
and/or kept in electronic format.<br />
When a dispute reaches <strong>the</strong><br />
litigation stage, parties on both<br />
sides are entitled to receive any<br />
type <strong>of</strong> non-privileged information<br />
<strong>the</strong> o<strong>the</strong>r side has that is relevant<br />
to <strong>the</strong> issues in <strong>the</strong> case. In<br />
today’s digital age, that means<br />
parties to litigation are now<br />
required to preserve and hand<br />
over all information that is kept in<br />
electronic format.<br />
This can amount to a lot <strong>of</strong><br />
information – much more than<br />
parties in a dispute created back<br />
when all records were in paper format. For example, in 2004, it<br />
was estimated that approximately 95 percent <strong>of</strong> all documents<br />
were created electronically. In fact, some businesses no longer<br />
keep paper records.<br />
In addition to electronically stored documents and e-mails,<br />
courts frequently require parties to mine <strong>the</strong>ir electronic<br />
databases for relevant documents using agreed-upon search<br />
terms and to submit those documents in reasonably usable<br />
format, which allows <strong>the</strong> o<strong>the</strong>r parties to search and review those<br />
files. This might not be <strong>the</strong> format that documents ordinarily are<br />
kept in during <strong>the</strong> party’s usual course <strong>of</strong> business. Sometimes<br />
courts even require that <strong>the</strong> parties produce metadata, which<br />
includes information such as file dates and sizes, attachments<br />
to emails, dates documents were created or modified, custodian<br />
names, author names, etc.<br />
One might wonder how a party engaged in a dispute over a<br />
brokerage commission, for instance, or <strong>the</strong> sale <strong>of</strong> a vessel gone<br />

wrong would even begin to go about collecting this type <strong>of</strong> data.<br />
That’s where ESI vendors come in. On behalf <strong>of</strong> <strong>the</strong>ir clients,<br />
lawyers retain ESI vendors who can extract <strong>the</strong> necessary data<br />
from <strong>the</strong>ir clients’ computers and <strong>the</strong> various databases <strong>the</strong>y<br />
use. Of course, this can increase litigation costs.<br />
ESI experts look for<br />
information in one party’s<br />
possession that is required by<br />
<strong>the</strong> o<strong>the</strong>r side, collect it, convert<br />
it to a usable format, and <strong>the</strong>n<br />
present it with an explanation<br />
<strong>of</strong> <strong>the</strong> processes <strong>the</strong>y utilized.<br />
If this sounds like an expensive<br />
process, that’s because it is.<br />
Estimates ranging anywhere<br />
from $100,000 to $500,000 for<br />
ESI vendor services are not<br />
uncommon. In fact, in 2009, ESI<br />
vendors reported revenues <strong>of</strong><br />
about $2.8 billion.<br />
So why should those in <strong>the</strong> yachting industry be concerned?<br />
At <strong>the</strong> time this information is created, people rarely anticipate<br />
that it might be used in a legal dispute. As a result, statements<br />
<strong>of</strong>ten are included in documents that later end up compromising<br />
<strong>the</strong> positions parties take in litigation. It is impossible to predict<br />
just how this information will be utilized in court.<br />
For this reason, it is important to stop and think before<br />
creating any sort <strong>of</strong> record in electronic format; whe<strong>the</strong>r it be<br />
an internal <strong>of</strong>fice document, an e-mail, a wire-transfer, a fax,<br />
or even a tweet or Facebook post. Because, if it exists, it is<br />
discoverable.<br />

The Importance <strong>of</strong> a PAC Fund<br />

why does <strong>the</strong> <strong>Florida</strong> <strong>Yacht</strong> <strong>Brokers</strong><br />
<strong>Association</strong> (FYBA) need a Political Action<br />
Committee Fund (PAC)?<br />
It’s because FYBA is committed to protecting yachtbuying<br />
customers and its members from unreasonable<br />
boating restrictions. Our association conducts an<br />
ongoing government affairs program that, with <strong>the</strong><br />
cooperation <strong>of</strong> o<strong>the</strong>r association partners, has helped<br />
protect recreational marine commerce. Today, FYBA has<br />
expanded its role to become an active advocate for <strong>the</strong><br />
marine Industry.<br />
Its recent successes include passage <strong>of</strong> <strong>the</strong> $18,000<br />
<strong>Florida</strong> tax cap on boat sales, protection <strong>of</strong> <strong>the</strong> 90-days<br />
exemption affidavit from repeal – extending it to 180 days<br />
– and preservation <strong>of</strong> <strong>the</strong> <strong>Florida</strong> <strong>Yacht</strong> & Ship <strong>Brokers</strong> Act.<br />
However, FYBA is must be ready to respond to variety <strong>of</strong><br />
potential issues, including:<br />
• When a local municipality wants to prevent<br />
residents from renting <strong>the</strong>ir docks, FYBA can engage<br />
<strong>the</strong> local commission as a credible advocate.<br />
• Fighting possible state-level proposals to remove<br />
broker licensing, <strong>the</strong> $18,000 sales tax cap and<br />
public anchorages, as well as attempts to restrict<br />
marina development.<br />
By having a well-funded PAC, FYBA can effectively<br />
lobby against <strong>the</strong>se types <strong>of</strong> hindrances to commerce. A<br />
PaC provides any organization with some additional clout<br />
when addressing <strong>the</strong> legislature about issues <strong>of</strong> concern. It<br />
also simplifies <strong>the</strong> task <strong>of</strong> our volunteers, who regularly visit<br />
Tallahassee in support <strong>of</strong> association issues. With term limits<br />
in place, a PAC fund also allows us to build relationships<br />
with new legislators.<br />
For <strong>the</strong>se and many o<strong>the</strong>r reasons, member support<br />
<strong>of</strong> <strong>the</strong> PAC is important to <strong>the</strong> success <strong>of</strong> our government<br />
affairs program. As always, FYBA also welcomes <strong>the</strong><br />
support <strong>of</strong> those who wish to volunteer in support <strong>of</strong> our<br />
lobbying efforts.<br />
FYBA members may donate to <strong>the</strong> PAC Fund when<br />
renewing <strong>the</strong>ir memberships online or send a check<br />
directly to <strong>the</strong> FYBa <strong>of</strong>fice. The check should be made out<br />
to FYBA PAC Fund and our maximum limit per individual<br />
or company is $500.<br />

Is Cracking Down on Unlicensed <strong>Brokers</strong><br />
The <strong>Florida</strong> <strong>Yacht</strong> & Ship <strong>Brokers</strong> Act (SS326) protects buyers, sellers and brokers by ensuring that all<br />
yacht brokers operating in <strong>Florida</strong> are licensed and bonded, and conduct business according to <strong>the</strong><br />
highest ethical and pr<strong>of</strong>essional standards. The Act assures potential boat and yacht buyers that <strong>the</strong>ir<br />
funds-on-deposit will be held in a licensed and bonded escrow account. It also bars felons from holding<br />
escrow accounts.<br />
Victoria Bedford, Chief, Bureau <strong>of</strong> Compliance <strong>Florida</strong> Division <strong>of</strong> Condominiums, Timeshares, &<br />
Mobile Homes, explains in <strong>the</strong> following Q&A how her department is reacting to increase <strong>of</strong> unlicensed<br />
broker activity in <strong>the</strong> state, and what FYBA members can do to assist.<br />
FYBA: Please explain your department’s role as it relates<br />
to enforcing <strong>the</strong> <strong>Yacht</strong> & Ship <strong>Brokers</strong> Act and its licensing<br />
provisions, for our readers who may not know.<br />
VB: Chapter 326, <strong>Florida</strong> Statutes, <strong>the</strong> <strong>Yacht</strong> & Ship <strong>Brokers</strong> Act,<br />
governs <strong>the</strong> licensing and regulation <strong>of</strong> yacht and ship brokers and<br />
salespersons in <strong>the</strong> state <strong>of</strong> <strong>Florida</strong>. The <strong>Yacht</strong> & Ship Broker’s Section,<br />
a sub-unit <strong>of</strong> <strong>the</strong> Department <strong>of</strong> Business and Pr<strong>of</strong>essional Regulation’s<br />
Division <strong>of</strong> <strong>Florida</strong> Condominiums, Timeshares and Mobile Homes,<br />
is located in Tallahassee and performs licensing, educational and<br />
investigative functions, with its primary focus on consumer protection.<br />
The section processes licenses and responds to consumer complaints and<br />
inquiries by monitoring activities and compliance within <strong>the</strong> yacht<br />
brokerage industry.<br />

FYBA: what steps is <strong>the</strong> <strong>Yacht</strong> & Ship Broker’s Section<br />
taking to identify and take action against unlicensed<br />
brokers?<br />
VB: The Section is taking a variety <strong>of</strong> steps to identify unlicensed<br />
brokers and bring <strong>the</strong>m into compliance or enforce <strong>the</strong> appropriate<br />
penalties. Major boat shows are monitored and tips and complaints –<br />
both from <strong>the</strong> public and anonymous sources - are investigated; civil<br />
penalties may be assessed if violations occur. Not only is action being<br />
taken against <strong>the</strong> unlicensed individual, but if that unlicensed person is<br />
employed by a licensed broker, action could be taken against that broker<br />
as well. If license applications indicate any potential for associated<br />
activity that is not properly licensed, <strong>the</strong> division can ei<strong>the</strong>r educate or<br />
take action when warranted.<br />

FYBA: has <strong>the</strong>re been an increase in complaints/issues<br />
relating to unlicensed broker activity?<br />
VB: Reports <strong>of</strong> unlicensed activity have increased over <strong>the</strong> past several<br />
years. Not only are more complaints being filed, but <strong>the</strong> section has<br />
recently received a large number <strong>of</strong> tips from licensed brokers, brokerage<br />
company <strong>of</strong>fice managers and <strong>the</strong> general public. Tips from <strong>the</strong> recent<br />
Miami and Palm Beach boat shows resulted in unlicensed activity cases<br />
that are currently under investigation and awaiting administrative<br />
action.<br />
FYBA: what penalties or o<strong>the</strong>r enforcement actions<br />
might your department take against an unlicensed broker<br />
operating in <strong>Florida</strong>?<br />
VB: Depending on <strong>the</strong> circumstances, unlicensed activity investigations<br />
could lead to civil penalties or fines. Investigations can also lead to<br />
proper licensure, and <strong>the</strong> section will work with individuals who are<br />
seeking to become compliant with <strong>the</strong> law by applying for a license if<br />
he or she plans on remaining in <strong>the</strong> brokerage business. The <strong>Yacht</strong> &<br />
Ship <strong>Brokers</strong> Act allows for up to $10,000 per violation, and escrow<br />
violations could result in a third-degree felony. If during <strong>the</strong> course <strong>of</strong><br />
an investigation <strong>the</strong> section uncovers violations that appear to be <strong>of</strong> a<br />
criminal nature, <strong>the</strong> case could be referred to law enforcement or <strong>the</strong><br />
State Attorney’s <strong>of</strong>fice.<br />
FYBA: Do <strong>the</strong>se actions pertain to any unlicensed brokers<br />
who may be based outside <strong>of</strong> <strong>the</strong> state but are working<br />
with clients in <strong>Florida</strong> selling or buying boats?<br />
VB: Each incident is evaluated on a case-by-case basis. The <strong>Yacht</strong> &<br />
Ship <strong>Brokers</strong> Act states that <strong>Florida</strong> brokers may transact business with
foreign or out-<strong>of</strong>-state brokers as long as those individuals do not enter<br />
<strong>the</strong> state <strong>of</strong> <strong>Florida</strong> to act as brokers. Finding an appropriate way for<br />
<strong>Florida</strong> brokers to legally conduct business with out-<strong>of</strong>-state brokers is<br />
an issue being closely monitored by FYBA.<br />
FYBA: what can FYBA members do to help your<br />
department in this effort to crackdown on unlicensed<br />
brokers?<br />
VB: Tips are always appreciated as members go about <strong>the</strong>ir day-today<br />
business. If advertisements and unlicensed activity are observed,<br />
including instances <strong>of</strong> unlicensed activity at boat shows, members<br />
are encouraged to contact <strong>the</strong> <strong>Yacht</strong> & Ship Section so it can be<br />
investigated at: 850-487-2987.<br />
FYBA: why is it important for boat/yacht sellers and<br />
buyers to work with a broker licensed under <strong>the</strong> FL <strong>Yacht</strong><br />
& Ship <strong>Brokers</strong> Act?<br />
VB: The primary focus is consumer protection. The <strong>Yacht</strong> and Ship<br />
<strong>Brokers</strong> Act requires brokers to maintain an escrow account in a<br />
<strong>Florida</strong> financial institution so <strong>the</strong>ir funds are safe until properly<br />
disbursed. <strong>Brokers</strong> are also required to carry a surety bond in <strong>the</strong> event<br />
a consumer is financially harmed in a yacht transaction. If a violation<br />
<strong>of</strong> <strong>the</strong> Act is found, a claim may be made on <strong>the</strong> broker’s bond and<br />
monetary relief provided. It is important that individuals who act as<br />
brokers in <strong>the</strong> State <strong>of</strong> <strong>Florida</strong> are required to have a license so that<br />
consumers are protected and <strong>Florida</strong> will be considered a safe place to<br />
conduct business.<br />

licenses online and receive expedited approval.<br />

licensees 60 days prior to license expiration, and<br />
licensees can visit DBPr’s ‘Online Services’ at<br />
https://www.myfloridalicense.com/info.asp to<br />
access <strong>the</strong> online renewal site.<br />

by clicking on ‘renew Your License’ and <strong>the</strong>n<br />

Foundation hosted its 4th T<br />
Annual<br />
Marine Industry Cares Spin-A-Thon<br />
Friday, April 20th, at Esplanade<br />
Park in Fort Lauderdale. More than 1,000<br />
people participated, helping to raise more than<br />
$150,000 as <strong>of</strong> late April for <strong>the</strong> benefit <strong>of</strong> two<br />
local organizations: <strong>the</strong> Children’s Diagnostic &<br />
Treatment Center and Kids In Distress.<br />
The Children’s Diagnostic & Treatment<br />
Center (CDTC) serves more than 10,000<br />
children in Broward County with special health<br />
care needs. Kids In Distress (KID) is dedicated<br />
to preventing child abuse in South <strong>Florida</strong>,<br />
while helping to preserve <strong>the</strong> family and treating<br />
children who have been abused and neglected.<br />
Contributing to <strong>the</strong> cause was FYBA’s very own “Team Hot<br />
Wheels”, which raised $2,000. This year’s team members were:<br />
