inside & out l architect's talk
Choosing an architect doesn’t need to be daunting and can even be fun.
In any event, architects are worth hiring if you want to build something.
Regardless of whether your project is big or small,
expensive or thrifty, architects can make it better and
your life easier. Here are some tips on snagging the
right architect for your next job...
Look far, look wide. Don’t hesitate to ask your
friends and family if they know any good architects;
they are most likely to give candid feedback on
architects they know and may have even hired one
for their own project. But don’t limit yourself to a
word-of-mouth selection. For one, there is an everpresent
risk that your building project will be stressful
and test your relationships - if you don’t want to risk
harming a friendship or professional connection, you
may want to avoid hiring an architect in your family, or
close circle of friends.
Ask questions - the more the better. Whether you
talk to relatives, friends, or even the architect under
consideration, it pays to do some investigating. Ask
the architect’s former clients about their experiences
- whether the architect can keep a schedule, handle
crises, or communicates effectively. Ask the architect
how they approach their work - whether they are
more collaborative or prefer to develop designs more
independently.
Choose according to your style. Obvious?
Perhaps, but worth reiterating. Don’t pick an
envelope-pushing modern architect if you want a
traditional style home.
Even if you find an architect that is perfect in every
other way, you will be unhappy if their style clashes
with your own. The inevitable give and take during
the design process risks becoming more adversarial
than cooperative.
18 samui phangan real estate

Choose according to your personality. Finding an
architect with a personality that matches your own
nearly always requires some face-to-face contact,
whether in a formal interview or informal coffee shop
chat. In any event, be sure to interview at least a
couple architects to give you a means of assessing
your preferred candidate.
If you’re blunt, don’t choose an especially sensitive or
thin-skinned architect; if you struggle to communicate
your expectations, don’t pick an architect who lacks
the patience to listen.
Basically, if you love the architect’s style but hate
their guts, look elsewhere unless you are prepared
to go through months of headaches, frustrations and
arguments.
Take your project’s complexity into account.
Most architects specialize on a defined set of project
types (e.g., exclusively residential; commercial and
civic). Unless you plan to hire a large, full-service
architecture firm, expect to narrow candidates
accordingly. If you are building a home or renovating,
you will generally be better off hiring an architect with
experience dealing with homes.....if your project is
small and you are adventurous, consider hiring a
young architect, who will generally be less expensive,
but just as competent.
Pay attention to the details. This is obviously
applicable to many things, including questions you
pose to candidates and your research of portfolios.
Don’t just glance at images of buildings; look at the
materials used and analyse how past projects have
dealt with ageing. Even better, ask the candidate
samui phangan real estate 19

architect to set up an in-person inspection of one of
their past projects.
Don’t shy away from talking about money. Money
(almost) inevitably affects the outcome of every
project. Consequently, you should be candid about
your budget and curious about each candidate’s
payment options. Payments generally take the form
of a (1) lump-sum project fee; (2) hourly-rate; (3)
percentage of the project’s construction cost; or (4)
combination of all of the above.
An important thing to remember: find out exactly what
your money would go towards (rarely should you
proceed without a written contract). Payment/service
contracts can be tailored to fit unique circumstances,
but almost always (1) include a mandated time-line
20 samui phangan real estate
to ensure the project moves forward; (2) accurately
describe the scope of the architect’s duties and
client’s obligations; (3) state the amount of fees; and
(4) identify the method of payment. If a candidate is
unwilling to include any of these things in a written
contract, you should look elsewhere.
Take your time choosing. Selecting an architect is
a big decision that shouldn’t be rushed. You should
expect to take at least a couple weeks or a month to
identify a few candidates - many people take much,
much longer.
Relax. Finding a good architect may seem like a
chore at first. But hey, you get to look at projects and
get inspiration for your own project, enjoy!

dancing on the ceiling
Exceptional homes typically exhibit at
least one ceiling that does more than
hold the room together.
The treatment of the top of a room is designed to
evoke expression, and speciality ceilings can do this in
a variety of ways. Understanding the different ceiling
ideas and options makes it easier to discern what
custom home builders are offering.
What is a Conventional Ceiling?
Conventional ceilings may be either flat (look just like
the walls) or textured, most often called "popcorn"
(sprayed with particles that look like painted popcorn
kernels.) A "smooth ceiling" is flat.
What is Crown Moulding?
Crown mouldings are generally one piece, one or two
inch, pieces of wood that cover the edges where the
sheetrock touches ceilings and floors.
In custom homes, mouldings can be wider, with two,
three or four pieces stacked on top of each other for a
more elaborate effect.
What is a Cathedral Ceiling and Vaulted Ceiling?
A cathedral ceiling provides a high sloping line up to
the top of the house. A vaulted ceiling extends a room
upward. Both provide a spacious feeling and make
rooms feel larger.
Vaulted ceilings are more often found in first floor living
or family rooms, they are also employed in dining
rooms, master bedrooms and master baths.
What is a Tray Ceiling?
Less common in new homes, a tray ceiling (also called
trey ceiling) is an artistic element added to select
ceilings to give them personality and a unique attribute.
Trey ceilings start horizontally at the wall intersection
at a standard height and then are built upwards in a
cut out resembling a tray. The cut can be vertical or
angled, and the tray itself can be 6 inches to a foot or
samui phangan real estate 27

more deep. Sometimes there are a series of steps for
an even more dramatic effect.
A trey ceiling can either be "dropped" or "raised"
depending on what is above the room, and what the
ceiling height is.
Decorative mouldings or lights may also be
incorporated. The trey ceiling to the right is constructed
in two layers, allowing you to place lights inside the
deeper trey, if desired, for a soft, ethereal lighting effect.
Trey ceilings can be even more impressive when paint
is used to accentuate the ceiling and vertical steps.
What is a Cove Ceiling?
A cove ceiling has a rounded concave surface. This
may be incorporated into arched doorways, hallways,
or other areas where a fluid effect is desired.
28 samui phangan real estate
These types of ceilings are an extremely delightful and
rare art form - it's difficult to create a perfectly curved
ceiling, because most building materials are designed
to provide flat surfaces, and it takes extra materials,
time, skill and creativity to craft the symmetrical effect.
Cove ceilings generally curve up from every wall.
What is a Beam Ceiling?
Made of wood or other substances which are typically
laid across conventional ceilings to add dimension,
colour, clarity or interest.
They can either be load bearing (incorporated into the
actual structure of the home) or lighter weight faux
beams that are applied purely for visual effect. This
type of ceiling effect is not as popular as the more

modern approaches and is more typically applied to
rustic décor.
A beam ceiling treatment, particularly a stained beam
ceiling, can add a significant amount to your new
custom home budget.
What is a Barrel Vault Ceiling?
A barrel vault ceiling, also known as a tunnel vault or
wagon vault, is not commonly seen in homes, but can
be a very unique architectural feature.
Think of the curved section you'd have if you cut a
barrel vertically into sections - this resembles the curve
of a barrel vault.
These curved ceilings or openings were common in
Roman architecture. But the most famous example
can be found in St. Peter's Basilica, which has a huge
barrel vault spans nearly 90 feet across the nave.
What is a Coffered Ceiling?
A coffered ceiling is best described as, "creating a
raised and indented checkerboard across the ceiling".
A coffered ceiling is usually created by framing a series
of interconnected vertical and horizontal lines across
the ceiling.
The lines are then covered in sheetrock and finished
similar to a normal ceiling.
The individual boxes are then often trimmed with
moulding - layering of which can be wider and thicker
as the price goes up, especially in very high-end estate
homes. Stained coffered ceilings are firmly in the luxury
price point.
RIB-A-LICIOUS
Living on the islands and certainly in most of Thailand, pork is a huge part of
the daily diet – be it in market stalls or high-end restaurants. Ribs are a great
way to serve pork and there are so many varieties and making ribs at home is
easier than you think! So put some beers on ice and invite some friends around
and indulge in a ribalicious feast!
ROCKIN' ROASTED RIBS
INGREDIENTS
• 3 lbs pork back ribs
• 1 (8 ounce) honey
• 1 teaspoon paprika
• 1/2 teaspoon garlic powder
• 2 tablespoons all purpose seasoning
• 1/2 teaspoon onion powder
• 1/4 teaspoon celery salt
• 1/2 cup dark brown sugar
• 1/4 teaspoon fresh ground pepper
• 1 medium onion, grated or finely chopped
• 12 ounces barbecue sauce
• 1/4 cup white sugar
DIRECTIONS
Place all ingredients together in large roasting pan.
Cut ribs apart for easier serving.
Mix together making sure to coat all ribs with this
semi-dry paste.
Spread ribs out evenly on bottom of pan and cover
lightly with foil.
Bake at 375 degrees for approximately 1 hour,
turning or stirring occasionally.
These ribs are also great finished on the grill for a few
minutes on each side.
CHILLI GLAZED RIBS
INGREDIENTS
• 2 racks pork spareribs (about 6 pounds)
• Kosher salt
• 3 tablespoons packed light brown sugar
• 2 cloves garlic, minced
• 2 teaspoons fresh thyme
• 3 tablespoons chilli powder (or more if you love
a bit of fire!)
• Freshly ground black pepper
• ¼ teaspoon cayenne pepper
• 3 cups apple cider
• 3 tablespoons ketchup
• 2 tablespoons Dijon mustard
• 2 teaspoons Worcestershire sauce
DIRECTIONS
Make shallow cuts between the ribs on the bone
side with a sharp knife, piercing just the membrane.
Mix 1 tablespoon salt, the brown sugar, garlic,
thyme, chilli powder, 1/4 teaspoon black pepper and
the cayenne in a bowl. Rub the spice mixture evenly
over the ribs. Place the ribs on a rack in a roasting
pan, loosely cover and refrigerate at least 4 hours
or overnight.
Meanwhile, combine the cider, ketchup, mustard
and Worcestershire sauce in a saucepan over
medium heat and simmer until reduced to about 2
cups, about 30 minutes. Cover and set aside.
Preheat a grill to low heat on one side. Cook the
ribs bone-side down on the cooler side of the grill,
covered, until tender, about 2 hours 30 minutes.
(If using a charcoal grill, add more charcoal as
needed to maintain the temperature.) Continue to
cook, uncovering every 10 minutes to baste with
the sauce, until the ribs are glazed, about 40 more
minutes. Remove from the grill and cut into pieces.
inside & out l outdoor living
Outdoor décor has to be more than merely attractive to withstand the
elements and provide good value for your outdoor decorating dollar.
Let's explore some things you should keep in mind
when shopping for outdoor furnishings...
Insist on Good Quality
A close inspection will expose that great outdoor
furniture bargain for what it really is -- a bad buy that
probably won't last.
It's easy to think of outdoor furnishings as somewhat
less important than the stuff you buy for indoor use.
In fact, the reverse is often true. What you buy to use
outside has to stand up to sun exposure, wind and of
course rain (and if you live by the beach, then salt water
can have quite an impact too).
Inspect every piece you're considering for flaws,
especially if the deal sounds too good to be true. This is
one area where a higher price is often a good indicator
of better quality.
Form Follows Function
Choose wisely in regards to longevity and
maintenance...
• Aluminum, plastic and PVC -- These construction
materials are rustproof, lightweight, relatively
inexpensive and require very little weather treating. You
can also wash them easily with a little soap and water.
• Steel and wrought iron -- Both are heavy duty and
sturdy but will rust if not weatherproofed or painted
periodically.
• Rattan, wicker and natural grasses -- It's pretty
amazing how well natural materials like wicker look
and last outdoors, especially when they are treated
with a resin finish. They may require additional
weatherproofing every couple of years, though.
• Wood -- Natural wood looks very attractive in
outdoor furnishings. It makes sturdy furniture that can
be as comfortable as anything you use indoors. It does
require regular treatment with a preservative and may
40 samui phangan real estate

also require UV protection. Choose weather-resistant
woods like teak, redwood, cypress and cedar.
Lush and Plush
You may want steel or wood construction in your patio
furniture for stability and longevity, but don't forget
that without some homey comforts like soft, plush
cushions, your outdoor furniture will go largely unused.
Avoid pancake cushions. You know, those thin, puny
little cushions that aren't plush or even very pliable.
Opt for chubby cushions that feel light when you
pick them up. Look for cushions with polyester filler,
too. The more lightweight and springy the filler is, the
more quickly it will dry out after exposure to moisture.
That means it will resist mould and mildew and stay
comfortable and sweet smelling longer.
Check the Details
An outdoor set can look attractive but have glaring
flaws that can lead to problems after a few months:
• When inspecting metal furniture, bring a magnet.
Aluminium is not magnetic, but steel often is. Although it
doesn't work with all types of steel, you can sometimes
distinguish aluminium from steel construction (or
fittings) by just testing them with a magnet. Remember,
steel will rust while aluminium and stainless steel won't.
samui phangan real estate 41

• Look for aluminium loungers made with long,
unsegmented framing pieces. They cost a little more,
but they'll last longer.
• Check chairs to make sure the legs are solid and
sturdy. Sit in the chair to see if it shifts or flexes as it
takes your weight. Award extra points to chairs that
include cross bracing pieces.
• Opt for furniture assembled using stainless steel
screws.
• Run your hands along wood pieces to make sure
they're sanded smooth.
• Check to make sure chair and table legs have
rubber or plastic feet that won't scratch your deck
or patio.
Pay Attention to the Textiles
Most textiles designed for indoor/outdoor use are
made from all-weather materials that repel water or
encourage moisture to evaporate quickly by remaining
porous.
42 samui phangan real estate
• Fabrics designed for use outdoors are usually fade
resistant and UV protected, too. They'll look good
and feel soft and comfortable for at least a couple of
seasons.
• When you're evaluating fabrics for outdoor furniture,
check cushion seams for heavy duty thread and
consistent, even stitches. Choose cushions with vents
that encourage air flow and quick drying.
• Invest in furniture with cushions that can be
unzipped and taken apart for periodic airing, repair
or replacement. It's also a good idea to buy outdoor
furniture outfitted with cushions you can turn and flip.
This will help them retain their shape, dry more quickly
and fade evenly.
• Acrylics, polyester, treated canvas and cotton
duck are all comfortable, durable fabrics used in the
construction of outdoor furnishings. Look for them in
upholstered items, cushions, pillows, curtains, blinds
and umbrellas.

PURCHASING YOUR OWN PIECE
OF HEAVEN
Photo Courtesy Of Baan Fah Sai
If you're looking to buy a property be it a villa, apartment or even some land on
which to build - then Samui has something to suit everyone and every budget.
Samui is home to stunning white sandy beaches,
an amazing array of restaurants and bars, fantastic
sight-seeing options and activities as well as schools,
hospitals and services that you look for when buying in
a foreign country. The great weather, good food and
affordable prices are attracting second-home buyers,
retirees and holiday makers from around the world,
48 samui phangan real estate
while a good exchange rate and promising capital
growth brought has brought in a lot of investors. A low
cost of living adds to the overall interest in the Samui
market and an ever growing choice of direct flights
are making for easy access to your own little slice of
paradise. All in all, Samui is an island that ticks all the
right boxes – no matter what your reason is for buying.

THE PROCESS
When buying a property in Samui, it is highly
recommended that you commission the help of a local
or international law firm who have a firm and clear
understanding of Thai property law. There are many
reputable places on the island, some with head offices
in Bangkok and other cities who can ensure that what
you are hoping to purchase is right for you and due
care is taken to ensure you are protected as a buyer.
It is unusual for an offer to be made on a property
until your lawyer has carried out all of the relevant
searches and if you do put in an offer before you
have commissioned any legal help, do not hand over
a deposit or sign anything – only do this when your
lawyer gives you the go-ahead.
When you are given the all-clear by your legal advisor,
ensure that the name in which you purchase the
property is exactly the same as that on your current
passport in order to avoid any unnecessary future
issues. Generally you will be required to pay a deposit
until the purchase agreement is executed, but this is
refundable (in most cases, but please check with your
lawyer) if the purchase doesn’t go through – provided
that it is not your fault.
A final contract is signed on the date stated in the
preliminary contract, when you will be required to
pay the outstanding balance, as well as any relevant
taxes. The deeds are then registered with the Land
Department, making the purchase complete.
LAND TITLES & OWNERSHIP
In regard to freehold title, foreigners can own buildings
in Samui and greater Thailand – but not land itself.
As a result, apartments and condominiums (of which
there are many new developments available in Samui)
are becoming quite a popular choice amongst foreign
investors and purchasers.
If you are looking to purchase a villa or land there are
a couple of ways which you can gain the freehold
of the land. The first way is to set up a Thai limited
company but you will still only hold a minority amount
of the shares in the company with the rest of the
shares owned by Thai nationals who will sign over
their rights in the company to you. Again, your best
option is to speak to a reputable law firm in Samui that
deals primarily with property and land to ensure you
understand the details and requirements that go along
with this type of ownership.
The second option is to lease the land that you have
bought. This lease lasts for a maximum of 30 years,
but you do have the right to renew the lease with a
maximum of 90 years in total.
Samui is home to some absolutely breathtaking villas,
houses and land and if you are keen to settle down
or create a second home, then take your time, look
around and speak to some of the well-known estate
agents on the island to find something to suit your
needs. And if something does tickle your fancy, then
retain yourself a lawyer who specialises in Thai property
and land to ensure your dream to live in paradise
becomes real.
50 samui phangan real estate
Flying into the paradise islands of Koh Samui and Koh Phangnan reveals
an array of beautifully designed residential homes and estates, many of
which are owned or leased by international residents and travelers, who
have no doubt taken careful steps to plan the acquisition of their tropical
homes in order to safeguard their interests. Perhaps not surprisingly, these
same persons often prefer enjoying the comfort of their residences in
favour of planning for the day when they can no longer enjoy such worldly
pleasures. Nonetheless, it is safe to say that these same persons would
prefer to freely choose who will share in their estate upon death, rather
than let chance and the hand of government decide for them.
Jeffrey Martin, senior associate of the law firm Limcharoen (Samui) sets out
five simple legal tips to consider if you have assets in Thailand and wish
to plan your estate wisely.
1. HAVE YOUR WILLS IN ORDER
People often assume that a Will executed in their home jurisdiction will
protect assets located in other countries; however, this may not always
be the case. According to international law, the distribution of immovable
property, such as freehold condominiums, leasehold interests and villas,
is generally governed by the laws of the country in which that immoveable
property is located. Conversely, the transfer of movable property such as
jewellery and furniture is governed by the laws of the country in which the
deceased was domiciled at the time of death.
It is important to note that if an individual invests in real estate using a
company structure, the asset which will form the subject matter of his or
her estate will be the shares in the limited company and not the real estate
assets themselves. Shares in limited companies may be deemed to be
moveable property and not immoveable property.
Nonetheless, if you have any significant assets located in Thailand,
moveable or immovable, it is recommended that you execute a valid
Thai will. The distribution of moveable or immovable property located
in Thailand will be administered in some way by a Thai court, and it is
possible or event likely that no party will claim or allege that a foreign law
should apply.
In this event, if there is no valid Thai Will, it is possible that all property
located in Thailand will be distributed according to the “Thai law” of
intestate succession, which is a scheme set-out by statute that mandates

that your property be distributed to the following people according to a set formula: spouse; children; parents;
siblings; grandparents; aunts/uncles.
Only true legally valid spouses are permitted to share in one’s estate according to intestate succession. Therefore,
without a valid Thai Will, common law spouses and long-time partners will be totally disinherited of your Thai
estate. It is also highly recommended that you consult a lawyer in the jurisdiction of your home or domicile, in
order to properly address any movable assets located in Thailand.
Subject to certain alternatives, in order to be valid, your Thai Will must be in writing, dated, signed, and witnesses
by at least two other people, and should be executed within Thailand. While this process appears to be relatively
simply, you should retain a legal professional to advise you on your Will. The law pertaining to the interpretation of
Wills is complex, and requires adherence to specific language.
2. SELECT YOUR ExECUTOR WISELY
In your Will, you must appoint an “executor”, who will gather and distribute your assets when you die. It is generally
imprudent to simply name a sibling or close friend as executor, simply because you trust that person. Often, the
executor must come to Thailand, liaise with lawyers and Thai officials, and execute an abundance of Thai-language
documents, and your executor should have the capacity to deal with these issues, in addition to being trustworthy.
You may have to consider other options, such as naming a law firm or another company to act as your executor.
3. CHECK YOUR CONTRACTS
In Thailand, contract rights, including certain leasehold rights, generally terminate upon the death of the entitled
party, and may not automatically pass onto their estate. However, in certain cases, you may include a clause into
any contract explicitly providing that your entitlements will pass onto your heirs.
Therefore before entering into a long-term contract, such as a long-term lease, it is important to ensure that
the contract contains a clause directing that your rights will pass to your heirs. You should also review existing
contracts for the same clause, and if that clause is missing, then it is recommended that you take steps to amend
the contract.
4. REVIEW PERIODICALLY
It is important to review the foregoing matters with your legal counsel periodically and after you acquire additional
assets. The laws in any country may change on occasion, often without notice to the general population. Therefore
it is imperative that you routinely ensure that you testamentary wishes are still protected.
This article is intended to provide a brief overview of estate planning for international residents and travelers in
Thailand. As in any jurisdiction, it is important to seek independent legal advice in order to address your specific
proprietary interests and testamentary wishes.
2012 saw the beginning of a significant reduction of the corporate income
tax rate in Thailand. The long established 30% rate was reduced to 23%
for the year 2012 and further reduced to 20% for the years 2013 and 2014
for all companies.
As recently as late 2012, the current government had announced that
it would not also reduce Thailand’s personal income tax (“PIT”) rates.
However, shortly thereafter the government reconsidered its position and
announced that the PIT rates in Thailand also would be reduced with
effect from 2013 forward.
As you may be aware, any person who derives income from services,
employment or property in Thailand is required to pay PIT on that amount.
The total amount due is calculated for each calendar year and payable
by the end of March of the following year. It should be noted that the tax
liability for any such income is the same regardless of whether or not the
income was actually paid within or outside of Thailand.
Furthermore, anyone who stays in Thailand for a total of 180 days or
more in any calendar year is considered a “resident” for Thai income tax
purposes. Such an individual is then required to pay PIT on income that:
(1) is derived from employment or property situated abroad; and (2) that
is brought into Thailand during the calendar year in which the income was
received. Here, once again, it makes no difference if such income is paid
within or outside of Thailand.
The PIT rates prior to 2013 (after adjustments for any applicable exemption
and/or deduction) were:
NET INCOME (THB) TAX RATE
0 – 150,000 exempted
150,001 – 500,000 10%
500,001 – 1,000,000 20%
1,000,001 – 4,000,000 30%
4,000,001 + X 37%

The new system introduced more tax brackets and further reduces the PIT rates for certain tax brackets. The new
PIT rates (after adjustments for any applicable exemption and/or deduction) for 2013 and going forward are:
NET INCOME (THB) TAX REATE
0 – 150,000 exempted
150,001 – 300,000 5%
300,001 – 500,000 10%
500,001 – 750,000 15%
750,001 – 1,000,000 20%
1,000,001 – 2,000,000 25%
2,000,001 – 4,000,000 30%
4,000,001 + X 35%
PIT on wages is initially taxed by way of requiring your employer to withhold the relevant amount of such PIT
and pay it to the Revenue Department on a monthly basis. Therefore, if you are a monthly salaried employee in
Thailand you should be experiencing the benefits of this PIT reduction from your first monthly salary payment in
2013 forward.
There is further good news with regard to PIT for married couples. Previously, the Revenue Department considered
and taxed any non-wage income made by a wife as additional income of the husband. This meant that income
was possibly subject to being taxed at a higher PIT rate than it would have been if the income were taxed as the
wife’s sole income.
However, last year the Constitutional Court held that this practice violates Thailand’s Constitution because it
does not treat men and women equally. Thus, it is legally invalid. The Revenue Department has now formally
accorded its regulator scheme and husband and wife are able to file their PIT tax returns separately. Please note,
however, if husband and wife decide to file their PIT returns separately, each remains liable for any unpaid PIT
by the other.
SAmuI ON THE up!
The tide has turned positively for tourism in Koh Samui
as the Thailand resort destination racked up an all-time
high island-wide occupancy of 68% for the full year
2012. As to what exactly is driving the trend? New
direct international routes and aircraft upgrades saw
year-on-year growth in occupied hotel room nights rise
by 9%, according to a new market update released by
consulting firm C9 Hotelworks.
C9's Managing Director Bill Barnett said: "Hot on
the heels of a rising Asian middle class and the
resurgence of a prolific group travel segment is the
trend of Thailand's resort markets becoming urbanized
playgrounds. It's not just about the beach anymore as
shopping and attractions are gaining momentum as
strong demand catalysts."
A key catalyst of change in trading conditions has
been Bangkok Airways' ongoing upgrade of its fleet
which has had a domino effect in providing more
than 189,000 additional airline seats for Koh Samui
travellers.
One leading economic indicator which C9's Managing
Director Bill Barnett singles out as "transformational"
is the 48,000 square meter land parcel which
is being developed by the Thai-listed Central
Group for a massive retail shopping complex in the
tourism area of Chaweng. For more information visit
HOW TO FIND YOUR PERFECT ISLAND RETREAT
Villa rental is fast becoming the preferred holiday accommodation
option for a vast majority of vacationers to Koh Samui and
Koh Phangan.
Renting a villa as a family or group of friends can
prove far more economical in the long run than hotel
accommodation and can afford you the luxury and
privacy you seek on a holiday without breaking the
bank.
For longer term lets, there is a multitude of options
from private owners to agent lets ranging from basic to
6 star luxury – all you need to do is spend some time
finding the right villa for your long-term living needs.
Holiday villas are generally fully furnished and include
a full western kitchen with appliances, towels and bed
linens, water and electricity and will normally include a
maid service who will come once or more a week to
change linen and tidy the villa, as well as a maintenance
person to take care of the gardens and pool if included.
68 samui phangan real estate
There are a host of other optional services on offer such
as a private chef, babysitting, pre-arrival shopping,
laundry, driver or car hire, butler, island tours, personal
training, massage and spa treatments, Thai cooking
lessons...simply do your research and ask lots of
questions when selecting your villa to see what is
available to you during your stay.
If booking your villa from outside of Thailand, it
may be wise to use one of the more established
and recognised agents to ensure you are getting
what you pay for. While it may seem cheaper to go
directly through the home-owner, agencies usually
have representatives in Samui and Phangan who
can advocate on your behalf. That can include minor
repairs or even moving you to another property if you’re
not satisfied with your original choice. That’s something
that the owner can’t help you with.

Samui Beach Village
VILLA LETTING AGENTS
Prices can vary greatly depending on the location of
the villa (closer to the beach or beach-front means you
will pay for the access and view!), the size/bedroom
numbers, the facilities, services and the standard of the
villa - with several levels of luxury available! There are
hundreds of villas available on the islands starting from
basic, mid-level, luxury and beyond – it’s truly reliant on
your budget and your requirements - either way, you
will not be stuck for choice.
Generally a deposit of 50% or more is required to
secure the villa of your choice prior to your holiday
and the remainder paid in full upon arrival, this may
vary from agent to agent. Read the rental agreement
very carefully to make sure you understand what’s
provided as well as any and all conditions, exclusions,
inclusions, costs and penalties.
When you decide on the ideal holiday villa to suit your
needs, you can relish in the fact that you will enjoy
privacy, space and of course the beautiful tropical
surrounds of Koh Samui and Koh Phangan. Happy
For those of you unaware of what Songkran entails, from 13-15th
April, (Songkran falls in the hottest time of the year in Thailand, at
the end of the dry season) the whole of Thailand celebrates it’s
‘Water Festival/Thai New Year’ where life is celebrated through the
enjoyment of water where passers-by throw water onto each other
- be it via a hose, a bucket or even a water pistol! It has become
a party for foreigners and locals alike and an additional reason for
many to visit Koh Samui and Koh Phangan to enjoy this amazing
time of year. This year Songkran is celebrating on Saturday 13thApril,
where you will see the streets filled with people and plenty, oh yes,
plenty of water!
The date of the festival was originally set by astrological calculation,
but it is now fixed. If these days fall on a weekend, the missed days
off are taken on the weekdays immediately following. Songkran
falls in the hottest time of the year in Thailand, at the end of the dry
season. Until 1888 the Thai New Year was the beginning of the year
in Thailand; thereafter 1 April was used until 1940. 1 January is now
the beginning of the year. The traditional Thai New Year has been a
national holiday since then.
Songkran was traditionally a time to visit and pay respects to elders,
including family members, friends, neighbours, and monks. During
this time, people celebrating Songkran as a Buddhist festival may
also go to a Wat (Buddhist monastery) to pray and give food to
monks. They may also cleanse Buddha images from household
shrines as well as Buddha images at monasteries by gently pouring
water mixed with a Thai fragrance over them. It is believed that doing
this will bring good luck and prosperity for the New Year.
With the most obvious celebration of Songkran being the throwing
of water - get yourself ready for people at the side of roads with a
garden hose ready to drench you from head to toe! The throwing
of water on anyone that moves, people lining the streets with water
pistols and buckets – is one of the most spectacular times to visit
Koh Samui and see in the Thai New Year whilst getting some relief
from the stifling summer heat!
OCEAN 11
....SUP ON THE SHORE....

Situated directly on the shores of Bangrak beach and accessed via a short
path from the main road or the beach itself, Ocean 11 is truly a hidden gem.
Well known to locals and those who do their research
on dining-must-trys when visiting Samui, Ocean 11
has garnered itself a great reputation for consistently
great fare with a view to match.
You could be mistaken for lounging in Spain with the
orange hues that adorn the walls and tables, along
with the distinctly Spanish tiled bar, giving diners a
somewhat tapas restaurant feel and with the food
described as a mix of Mediterranean and Thai, it's
easy to see how the two merge so seamlessly.
The menu offers a wide variety of Thai, International
and Seafood cuisine, all prepared fresh, with great
care and to order. Daily specials are also offered and
presented on a blackboard to all diners. If you really
cannot find anything to your personal liking, please let
them know and they will do our utmost to satisfy your
culinary requirements.
Fish and seafood is bought daily from the local fishmarket,
thus you can be assured of absolute freshness
and quality. Occasionally, you will see their entrusted
friend and local fisherman ‘Khun Pan’ delivering the
day’s catch right to their restaurant. You will later find
these ocean treasures on their blackboard menu the
very same evening.
Meats are either imported or bought from reputable
suppliers and sources on the island and Bangkok.
Vegetables (some organically grown) and fruits are ripe
and tasty, some of them grown in their own gardens.
There are so many great choices on the menu, such as
the Tuna Tartare with a distinctly Thai edge, laced with
a 'larb' style flavour which meshes perfectly with the
freshly cut tuna or the Crab Ravioli, a delicate blend of
fresh, sweet crab meat and parmesan infused sauce.
The Goat’s cheese, baked and dusted with paprika, is
served on a delicious slice of homestyle bread and is
complemented by home-dried tomatoes and garlic.
Mains are just as good, with the Rack Of Lamb being
the shining star or for something more fitting for being
ocean-side, try the Snapper wrapped in a banana leaf.
Simply delicious.
Desserts such as the Fried banana spring rolls are hard
to pass up, drizzled with chocolate sauce and served
with vanilla ice cream these are a great way to finish off
a wonderfully relaxed meal by the sea.
The beverage selection includes local and imported
beers, new-world wines, cocktails, juices and mixers,
as well as an ever-growing choice of premium liqueurs,
aged wines and classy champagnes. There were
some great wine specials during our visit, making it
all the more tempting to open a bottle and stay for
the evening.
So if you're looking for a special night out, visit Ocean
11 and relax on their teak-decked terrace with Big
Buddha as a majestic backdrop in the distance.
island life l green scene
There are many homes as well as hotels and resorts on Koh Samui and Koh
Phangan that have their own private pools, be they large or small.
With this in mind and being that we live in the day and
age of eco-friendly, there are ways to help your pool
go green, or at least contribute to a more sustainable
environment.
If you’ve owned a pool for any length of time, it’s quite
likely you’ve had to deal with the occasional flair-up of
algae or other pool contaminant (that’s not the green
we like to see). It’s also likely that your prescription
for a cure included a fair amount of pool chemicals
such as chlorine, bromine, and copper algaecide.
While they do the trick, these pool chemicals can be
96 samui phangan real estate
a bit rough on our environment (not too mention your
skin and clothes!) as they go off into the air, mix with
soil when water is vacuumed out, or even from the
occasional spill.
Even if you’re the best among us and you’ve kept
your pool clear 100% of the time, it’s virtually
impossible to avoid using heavy doses of chemicals
for maintenance…or is it?
Below are a few ideas/products to help you find a little
more balance between enjoying your pool and keeping
our environment healthy as can be.

ULTRAVIOLET POOL CLEANERS
By harnessing the unique power of ultraviolet light,
these pool cleaners blast contaminating particles as
water flows through them. It’s true that these wont
allow your pool to be 100% chlorine free, but they
can greatly decrease the amount of chlorine, bromine,
or other pool chemicals that you might need to use.
These systems have been around in other countries
for quite awhile now and popularized due to their
efficiency.
The Intellichlor chlorine generator is a great example
of an eco-friendly pool cleanser. It creates chlorine
naturally from salt water pool systems, reducing the
amount of additional chlorine.
SALT WATER POOLS
Often misunderstood – salt-water pools do not
function by utilising extremely high levels of salt to
maintain water balance. Instead, salt is added to the
pool water and then utilised by a chlorine generator
(such as the IntelliChlor chlorine generator) to create
chlorine naturally. If you’re interested in utilising a
salt water system, be sure you have a complete
understanding of how the system works and are
prepared to carefully watch your pools levels.
OzONE POOL CLEANING SYSTEMS
Pools utilising ozone-cleaning systems do need to
utilise chlorine, but as with ultraviolet cleaning systems,
the amount can be greatly reduced. Essentially ozone
is generated through a variety of ultraviolet light and
mixed in with pool water via jets or other circulation
systems. The generated ozone breaks down into the
pool water and then destroys unwanted contaminants
mixed into the water.
While no system is perfect, each of these three
common chlorine alternatives/reducers can help you
move away from a heavy dependence on common
pool chemicals.
USE YOUR POOL PUMP MORE EFFICIENTLY
Standard pool pumps are single speed and big
enough to pump at the highest flow rate when needed,
including jets for your luxury spa. The problem is that
this big, honking pump uses way more energy than it
needs to because it probably doesn’t need to pump as
much water most of the time it’s on. Make sure you put
in a variable speed pump.
Variable speed pumps adjust to pump the amount of
water needed, using less power in the process. You
should also put your pump on a timer so it runs only
when you need it. Depending on how much swimming
you do, your pool may work fine with the pump running
six to 18 hours a day instead of full time. More energy
saved!
There are other unique options such as aquatic plant
pools and self-sustaining pools that can allow you
to enjoy natural beauty and a great chemical-free
swimming experience as well. Although not readily
available in Thailand, it won't be long until we too can
enjoy our sunshine, our swimming pools...and all with
less impact on the planet!
island life l eco outdoor
When you're thinking about what goes into a green
roof, the terminology can really get in the way – we're
not talking about a garden on your roof! To be really
eco-friendly, you want your roof to be cool...
Some of the great producers of the greenhouse effect
are the roofs over our heads. The sun hits the roof,
and the roof reflects light back into the atmosphere.
The intensity and angle of that reflected light create the
100 samui phangan real estate
so-called "heat island" effect in cities and can erode
the atmosphere.
Further, if the roofing material doesn't have insulating
properties, it can create a secondary environmental
issue by requiring the inhabitants of the building to
crank up the climate control.
So to be green, you have to be cool. What are some of
your options when it comes to roofs?
TILE
If you want a roof that will last up to a hundred years,
you might want to look at tile. It's favored in warm
climates, and the key to its status as a green material
lies in its composition, its shape and its ability to be
recycled.
"The curved shape helps with ventilation," says Jessica
Clark, marketing liaison for the Cool Roof Rating
Council.
Roofing tile comes in a wide range of colors, including
those lighter colors that reflect less heat into the
atmosphere. As an added eco-bonus, they're heavy:
That superior thermal mass keeps the cool air inside
on a hot, hot day.

SINGLE-PLY THERMOSET
Basically, a single-ply thermoset roof consists of a
roof membrane derived from oil and natural gas that's
cured and bonded to roofing materials. These roofs
are well-sealed and insulate the buildings they cover.
They're constructed in the factory as opposed to roofs
that are constructed and sealed at the site. According
to the Single Ply Roofing Association, they have a more
consistent quality because they're not constructed
on site.
According to the association, thermoset membranes
are good at withstanding the damaging effects of
sunlight. Usually the membranes are black, but
manufacturers also make them in white, which is the
best colour for a cool roof.
SINGLE-PLY THERMOPLASTIC
Thermoplastic membranes have a different chemical
composition from thermoset, which means that they
don't necessarily have to be bound to the same type
of material. They're welded shut and can contain fire
retardants and materials to absorb ultraviolet light.
According to manufacturers, this type of roof is a
good choice for restaurants and businesses that
push oils out through ventilation systems because the
membranes are highly resistant to oils, animal fats and
bacterial growth. The membranes can also be installed
over older types of roofs when a full tear-down isn't
practical.
Typically, these rolls of plastic come in the cool colours
grey or white, and that slick single surface improves the
roof's ability to reflect light.
FACTORY-APPLIED OR FIELD-APPLIED
COATING
This is a material that can be applied to virtually any
type of existing roof -- even metal. It's either applied at
the factory or on site. Generally, the products are bright
white or contain reflective pigment.
The National Roof Coatings Institute reported that
after the roofs on an entire city block in Philadelphia
were coated with "highly reflective white coatings," the
surrounding air temperature dropped by 1 degree in
summer heat.
Is a picture really worth a thousand words? Probably a
bit more! One really good picture of your holiday home
can sell it on an immediate, emotional level, and then a
renter will forgive any negatives that may follow. It's like
love at first sight - you can't explain it, you just know
when it's happened...
If you are not planning on using a professional
photographer (highly recommended and worth the
cost!) here are some hot tips on how to get the best
photos of your home if you are planning on selling or
renting it -
You MUST take photos on a sunny day, no ifs or buts:
don't let renters think they'll have anything but perfect
weather.
The best time of day for photos is during the 'golden
light' of early morning or early evening, especially for
exterior shots.
People or no people? There are two schools of thought
on having people in your pictures. On the one hand, a
pleasant, smiling face makes a property more personal
and that may make someone hit the enquiry button. On
the other hand - do the people in the picture make you
want to be there? Or do they put you off your dinner?
Make sure they are in tune with the spirit of your home
and 'adding to the dream'.
Think about focal points in pictures: comfortable
furniture, beautiful windows with views are all good
focal points. TVs and fridges are usually bad focal
points.
For empty houses, try to capture rooms that are
together, like a master bedroom and bathroom, to add
interest to the image.
Use props such as fruit, drinks, magazines, flowers
and towels. This will make the space look as if
someone was just there and feel more inviting.
samui phangan real estate 105

Use odd numbers for your accessories, like three or
five, in different sizes. For instance, on a bedside table,
put flowers, a few books and a small clock.
Fluff the pillows, so you don't have an imprint of where
people sat on the bed or sofa.
Shoot two walls only, with a bit of floor and ceiling.
Shooting three walls creates a shoebox effect.
Outside, remove garbage cans, cars, seasonal
decorations, flags and plaques. Inside, put away toys
and clothes on hooks.
If the best thing about your home is its location, for
instance because it is two minutes from the ocean -
why not use one of your pictures to show that? Give
people something to dream about.
106 samui phangan real estate
Don't just show interiors of your home, no matter how
beautiful it is. If you don't show outside photos, it looks
like you are hiding something. If the exterior of your
home is nothing special, what about the view?
Don't use the flash (unless you really know what you
are doing). Get as much natural light into a room as
possible.
To get everything in the picture. If you haven't got one,
stand on a chair in a corner, so you're looking down
at the room.
Show your strengths. If your kitchen is cramped, show
something else; if your main bedroom is vast, show
that. People will look for the good things and fill in the
blanks in their minds.
Never photograph a house dead on, or when it's
backlit by the sun.
Take exterior pictures from a ladder, or the top of your
car, especially if you are using a wide-angle lens.
Compose photos so corners aren't in the center of
the frame.
If an interior is empty, stand back as far as you can to
show how large the space is.
Figure out where the sun rises and set, and shoot when
the sun is 45 degrees from the angle you want to take
the shot. If a façade faces north, shoot just before
sunset or on a cloudy day.
Don't use a wide angle lens in an interior shot. They
make rooms look smaller.
Turn off your camera's flash; it will make the most
spectacular room look like a scary, semi-lit dungeon.
Don't tilt the camera up or down; it gives objects odd,
unnatural shapes.

LIVING IN KOH SAMUI
Koh Samui’s enduring appeal as one of the world’s
top holiday destinations has inspired many people to
relocate to the island, either choosing to make it their
permanent home or spending extended amounts of
time living what those in less blessed locations would
understandably consider an idyllic lifestyle.
In the last ten years, the island has developed into
a full service destination and the range of facilities,
amenities and services has therefore expanded
considerably, making Samui one of very few places
in the world where you can literally choose your
preferences, both in terms of the way you pass your
days and nights and also the amount of money you
want to spend.
Although the island’s tourist and residential worlds
often collide, they can also be very distinctive. But in
terms of choice, both groups benefit from the island’s
incredibly diverse and eclectic offerings, whether in
terms of accommodation, retail, dining, entertainment,
health or adventure. As a long term resident on Samui,
if you stop to consider the sheer extent of comfort and
convenience on offer around the island
today it’s sometimes difficult to remember that you
are living on a small island in the Gulf of Thailand. As
soon as you leave the beach you are spoilt for choice
- shopping malls such as Tesco Lotus and Big C stock
all the daily necessities and more, specialist outlets like
Tops Supermarket and Villa in Lamai offer indulgent
imported goods, while 7Elevens, Family Mart outlets
and local shops make impulse buying a an easy option,
even at 4 in the morning. A selection of fresh food
markets also cater to an ever growing Thai community
with everything from rice by the kilo to fresh Tiger
Prawns sold by the kilo at what are very reasonable
prices when compared to the deli counters of most
western supermarkets.
For those who prefer to dine out, Samui has developed
a deserved reputation a s gourmet paradise with an
enviable choice of restaurants, their menus often
created by chef’s of international repute and wine lists
samui phangan real estate 115

that rival those in some of the world’s top city bistros.
Excellent Thai food is also readily enjoyed, either
roadside at one of the island’s many affordable local
eateries or in more opulent surroundings accompanied
by five star service and stylised, cultural designs and
entertainment.
The Samui party scene has also developed in leaps
and bounds in the last few years, sophisticated Beach
Clubs like Beach republic and Nikki Beach serve top
116 samui phangan real estate
class food and beverage choices in chic poolside
surroundings. They also host regular parties with
international DJs and performers. Western style pubs
and nightclubs line the popular tourist strips, with
sports bars like The Islander and Bondi in Chaweng
showing live international sporting events.
Those in search of a more healthy, green lifestyle on
Samui can easily avoid the tourist bustle. The quiet
beaches on the island’s south coast still feel relatively
untouched by development and many small residential
communities have emerged in places like Baan taling
Ngam and Lip Noi, where the pace of life is slow and
the tropical landscape still untroubled by crowds and
commerce. Spas and wellness centres offer a wide
range of treatments and therapies to rejuvenate tired
souls, while yoga, meditation and other more spiritually
inspired activities can be studied and practiced at
various centres around the island.
Families are increasingly well catered for on Samui and
the island now boasts its very own International School
(ISS), as well as several other learning institutions
catering to to both Thai and expatriate students.
The island’s clubs and organisations often organise
family friendly gatherings, regular Walking Streets
offer festival style outings and there are also several
restaurants that cater for children’s parties.
With so much on offer to residents, Samui has now
become as much a place to live as it is a place to
visit. It is now a multi-faceted residential island with
an enviable range of services and facilities to choose
from, all of which combine to offer permanent and long
stay‘Samuians' one of the most appealing and diverse
tropical lifestyle experiences on the planet.

LIVING IN KOH PHANGAN
Stunning beaches, an affordable lifestyle and an
appealing island environment have drawn a growing
number of visitors and residents to Koh Phangan’s
tropical shores. Many of the island’s visitors choose to
stay longer than they originally planned and this has led
to the establishment of a sizeable foreign community of
long stay tourists, working residents, business owners
and retirees. The number of foreign investors choosing
Koh Phangan as their second home is increasing every
year, with easy transport access, a fast developing
infrastructure and a range of lifestyle and hospitality
services all adding to the island’s growing appeal.
Koh Phangan is a rare island escape just a short boat
ride from Koh Samui’s more developed and commercial
environment. This means residents and visitors can
enjoy the unspoiled beauty of some of Thailand’s finest
beaches while still having access to the comforts and
benefits of a modern lifestyle. The recent growth in the
number of luxury hotels and private villas on the island
has prompted the emergence of more upmarket retail,
dining and entertainment choices, with cool nightspots
and restaurants opening in the more popular beaches
like Haad Rin and Thong Nai Pan. As Koh Phangan
evolves from a backpacker haven in to a full service
destination, the island is attracting those with the
spending power to combine natural escape with a
sophisticated island lifestyle.
The Thai government and its tourism authority has long
been promoting Koh Phangan as an eco-destination
in order to transform the island’s reputation from party
venue to tropical escape, promoting Koh Phangan’s
natural beauty and untainted environment to the world.
Eco-adventures and marine based activities are widely
available to visitors and residents with mountain biking,
diving, wake boarding and jungle treks all on offer to
encourage a more sensitive approach to island life that
also minimises the impact on the island’s ecosystem.
On a practical level, the opening of a modest Tesco
Lotus Supermarket, combined with a significant
increase in the number of foreign run businesses
has had a real impact in terms on the ease of living
samui phangan real estate 119

on Koh Phangan. Designer boutiques, international
cuisine, real estate agents and developers are all
gradually changing the island landscape, yet the
laid back lifestyle has thus far survived and the local
people are known for their commitment to preserving
their traditional culture. Whether selling the daily catch
from their boats, chatting with friends in the shade of
120 samui phangan real estate
the village ‘sala’ or celebrating weddings with dances
and local music, local people remain distinctively Thai
in many ways. As for the foreign residents, the ease
of life, natural beauty and diversity of lifestyle choices
make Koh Phangan a unique destination as either a
permanent or second home.
REAL ESTATE OF KOH PHANGAN
Koh Phangan’s real estate sector has grown as the
island has developed and become more popular
with visitors from around the world. Investment
opportunities abound, whether it is raw beach and
mountain land, off plan residential purchases or
completed luxury villas for sale. Prices are considerably
lower than they are on Koh Samui, which often attracts
adventurous investors looking for an affordable slice
of paradise. Restrictive ownership laws in Thailand,
however, mean buyers are advised to go through
reputable law firms when considering any purchases
on Koh Phangan. As is the case on Koh Samui or
Phuket, it is important for anyone considering an
investment to thoroughly research the laws and
regulations, as well as to ensure that any land titles are
thoroughly checked and that the most secure method
of purchase is found to guarantee a trouble free, longterm
investment. It is advisable to
research construction firms employed to guarantee
that their reputation is solid and that any previous
projects have been successfully completed.

the legal arena l land title deeds
LAND TITLE DEEDS IN THAILAND
There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION
Firstly there is the right of possession, for example, land that has been used by a family for generations to the
benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles
are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally
only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed
on the land. I do know of cases where families being in possession of certain pieces of land for generations have
been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor
would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP
Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three
title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor
3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots
and planning permission and any such legal acts can be carried out immediately on the land. The only difference
with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed
which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must
be published for at least 30 days.
As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this
field, as there are also many other issues that are important to consider such as servitude, access and rights
of way.
LAND MEASUREMENT & SURVEY
Land in Thailand is measured in Rai, Ngan and Talang Wah.
• 1 Wah= 4 sqm
• 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm
In comparison to Western Standards:
• 2.50 Rai= 1 Acre
• 6.25 Rai= 1 Hectare
Replay can’t be happier for the fantastic
response its development, located in
between the Fisherman’s Village and
Bangrak, has had. The condominium,
which has its own private beach, has 408
units and Phase One of the unique and
affordable complex is almost complete.
Ownership transfers will begin as early
as this month with the first batch of
occupants moving in next month. Facilities
now ready include the 400-square-meter
swimming pool and a state of the art fitness
center.
Building E Update Progress 16 October 12
Phase Two, due for completion in the second quarter of 2013, will include 70 high-end
residences, a small shopping center, an art gallery and an international restaurant.
The project’s completion was slightly delayed due to the many changes, such as the addition
of the gallery, shopping mall and restaurant that came up after the plan had been finalized. But
all’s well that ends well, so to speak.
The team behind Replay is looking forward to exciting times ahead starting with the formal
opening of the first phase of the condominium project. The event promises to be a momentous
occasion – it will be a great opportunity for Phase One residents to get to know each other shortly
before they start moving in.

“See different thing, See thing differently ...”
“See different thing, See thing differently ...”
The team is also excited about the coming
year. Replay recently acquired six more plots of
land on the island and plans to develop a wider
range of accommodation, including those
geared towards locals who are starting to show
an interest in investing in real estate along with
their western counterparts, a move that is
certain to bolster the confidence of the project’s
foreign investors.
The locations of the new developments
have yet to be revealed. The team, however, had
earlier released plans for a 72-unit complex in
Cha-am near Hua Hin aimed at people wishing
to live within driving distance of the country’s
capital Bangkok. The development is aimed at
young professionals who work from home but
still need easy access to the capital as well as
commuters looking for an alternative to living in
the city.
construction next year”
TIPS FOR STARTING A NEW BUSINESS
Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information
will help put your business on the right track.
The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company.
In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business
purpose and is formed with a Capital divided into equal shares.
GETTING STARTED
To set up a company, you must first have the memorandum that can be acquired at the registration office. To
properly register, you are required to provide the authorities with details of your company and list a minimum
of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first
approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your
business and set up the company’s operational rules.
Having agreed on the purpose of your business, you can then apply for business registration at the same
department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial
Code’s partnership and companies section.
SHARES
Besides the issues of business registration, you must also make sure that your company’s shares are worth no
less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this
matter.
Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder.
Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that
confirms the deal between the transferor and transferee.
The company also has to have in its possession a register of shareholders that contains a record of all the
company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON
A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares
held by foreign national plays a significant role in determining the nationality of your company, which may impose
serious limitations on the company’s rights, such as landownership.
If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.
126 samui phangan real estate

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company.
The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and
own properties or other businesses. It is therefore important, especially for those in real estate and development
businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess
and obtain land and property in this country without an exemption granted by the government.
Foreign companies are also restricted to certain activities and to proceed with certain operations the company
will have to apply for permission from the government. In such instances, applications will be considered case
by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their
business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand.
If you are registered as a Thai company, you are automatically granted the right to purchase and own properties
and other business and will be treated the same way as a Thai citizen. However, according to new legislation that
has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai
shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand
have to declare their income and provide the authorities with evidence that proves their ability to co-invest with
other foreign shareholders in the same company. Only those successful in convincing the authorities are granted
the right to purchase and possess land. Companies with approval from the Land Department can then proceed
with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER
A company limited has to have its own board of directors to act on behalf of the company. This panel will,
however, act under the regulations and agreements approved by the shareholders. Appointing directors or
removing any of them requires shareholders approval.
At the end of the company’s financial year, within five months, it shall be the duty of the company to present the
balance sheet to the Department of Business Development (DBD). If your company fails to present the balance
sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up
to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a
lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the
company may face, should they not provide the authorities with the necessary statement.
