TERMS AND CONDITIONS OF SALE<br />
adidas (“the Company”) has contracted to supply goods as specified overleaf only on the<br />
basis that the Purchaser named overleaf has accepted any special conditions recorded overleaf<br />
and the Terms and Conditions of sale set forth below. No variation or additions to the Terms and<br />
Conditions shall be binding upon the Company unless expressly accepted by the Company in<br />
writing. No terms or conditions contained on the Purchaser’s order forms will form part of this<br />
contract unless expressly accepted by the Company in writing.<br />
1 SUPPLY ON CREDIT<br />
a Application to open a credit account must be completed on the Company’s application<br />
form before supply of goods will be considered.<br />
b The Company may alter the Terms and Conditions on which a credit account may be<br />
granted and operated from time to time without notice.<br />
c Payment of credit accounts must be received no later than the 20th day of the month<br />
following purchase. The Company shall be entitled to take any or all of the following<br />
steps if payment is not made on the due date:<br />
(i) Withhold supply of goods to be delivered<br />
(ii) Charge interest at the rate of 2% per month on any or all overdue balances, which shall<br />
accrue on a daily basis and shall accrue after as well as before any court order or<br />
judgement<br />
(iii) Terminate the Purchaser’s credit facilities<br />
(iv) Institute legal action for the recovery of outstanding balances, interest and costs<br />
(calculated on a solicitor / client basis) incurred in recovery action AND the Company<br />
shall not be liable for any loss or damage resulting directly or indirectly from any such<br />
action on its part.<br />
d The Company shall be entitled to close the Purchaser’s account in the event that sales<br />
invoiced by the Company to the Purchaser do not average a minimum of $1,000 per<br />
month over any consecutive period of six months.<br />
e Without prejudice to any other rights which it may have, the Company may require<br />
the Purchaser to provide such security as the Company may from time to time think<br />
necessary or desirable to secure all sums owing by the<br />
Purchaser to the Company and the Company may refuse to supply further goods or<br />
credit to the Purchaser until acceptable security is given.<br />
2. RISK<br />
The risk in the goods shall pass to the Purchaser at the time of delivery into the<br />
Purchaser’s custody or control or to any address nominated by the Purchaser.<br />
3. DELIVERY AND FREIGHT<br />
a Although the Company will endeavour to meet any quoted shipment or delivery<br />
date shown overleaf, the same is intended as an estimate only and shall not be<br />
deemed to be of the essence of this contract unless expressly guaranteed in writing<br />
signed by a director of the Company.<br />
b Except in the specific circumstances mentioned in the preceding paragraph (a),<br />
the Company shall not be liable in any way to the Purchaser for any loss, damage<br />
or other consequences arising from late delivery or non-delivery of the goods<br />
and such late delivery or non-delivery shall not constitute a breach of<br />
contract by the Company and the Purchaser shall not be entitled to cancel the<br />
contract or reject the goods on account thereof.<br />
c Delivery may be made in instalments and each instalment will be deemed a separate<br />
contract.<br />
d Goods are delivered free into store to any city in New Zealand except stock orders less<br />
than $750.00. These stock orders will incur the following handling surcharge.<br />
North Island $ 8.00<br />
South Island $15.00<br />
4. RESERVATION OF TITLE<br />
a Notwithstanding that the risk in consignments of goods supplied by the Company<br />
shall pass to the Purchaser at the time specified in clause 2, legal and equitable<br />
ownership of the goods shall remain with the Company until the purchase price<br />
and all other monies owing by the Purchaser to the Company in respect of the goods<br />
shall have been paid in full. Until such time the Purchaser acknowledges and agrees<br />
that:<br />
(i) Consignments of goods are held by the Purchaser as the bailee of the Company.<br />
(ii) The Purchaser shall not be entitled to raise money on the security of the goods and the<br />
Company shall have the right of immediate repossession of the goods.<br />
(iii) The goods may be used and sold by the Purchaser as agent for and on behalf<br />
of the Company but only on the condition that the proceeds of sale are retained<br />
for the benefit of the Company and are kept separate from other proceeds or monies<br />
of the Purchaser or third parties. The Purchaser shall hold the proceeds of such sale or<br />
disposition upon trust for the Company and shall be accountable for such proceeds.<br />
b The Purchaser hereby irrevocably appoints the Company as its attorney for the purpose<br />
of taking any steps which may be necessary or desirable to give effect to the foregoing<br />
provisions.<br />
5. PRICES<br />
a Prices are subject to change without notice and goods will be invoiced at the price ruling<br />
at the date of despatch.<br />
b Any references to retail prices are recommendations only and the Purchaser is not<br />
obliged to comply with such recommended prices.<br />
6. Minimum Order Level<br />
The Company shall be entitled to charge a handling surcharge for deliveries less than<br />
$750 as per section 3(d) above.<br />

the quality, fitness for purpose or compliance with description or sample which would<br />
arise by implication of law or otherwise were it not for this clause.<br />
b The Purchaser shall examine the goods, or cause theme to be examined, forthwith<br />
upon delivery. Any claim in respect thereof shall be made in writing within 14 days of<br />
deliveryand if no written notice is received by the Company within this period the goods<br />
shall be deemed to have been accepted by the Purchaser as being in good order and in<br />
conformity with the contract.<br />
8. RETURNED GOODS AND CLAIMS<br />
Returns of goods will not be accepted without the prior authorisation of the Company by<br />
way of RA number. Claims will only be considered if received in writing within 7 working<br />
days of receipt of goods.<br />
a Return of first quality stock:<br />
(i) Stock must be in original packaging, in good order and condition and accompanied by<br />
documentation showing:<br />
- Customer name, address and account number<br />
- Company’s invoice number<br />
- Reason for return and authorisation reference number<br />
(ii) Returns of unpackaged stock will not be accepted<br />
b Return of faulty stock:<br />
(i) Any claims for faulty stock must be accompanied by documentation showing:<br />
- Customer name, address and account number<br />
- Company’s invoice number<br />
- Evidence of defect and authorisation reference number<br />
(ii) All items will be subject to inspection before credit can be considered and accordingly<br />
acceptance of the return of the goods by the Company shall not constitute acceptance of<br />
the Purchaser’s claim.<br />
c Claims accepted by the Company will be credited at the lower of either:<br />
(i) the current list price; or<br />
(ii) invoice price except in the case of claims for defective goods which will be<br />
credited at the invoice price.<br />
d Freight on returns will be accepted in the following circumstances only:<br />
(i) the return is authorised in writing by the Company; or<br />
(ii) the return is via a carrier nominated by the Company or via the cheapest<br />
alternative service if it is impractical for the Purchaser to use the carrier nominated<br />
by the Company.<br />
e Returned Goods and Claims<br />
Any authorised return of product outside of our normal return policy will attract a<br />
restocking surcharge of $25.00 per item.<br />
9 LIMITATION OF LIABILITY<br />
The liability of the Company shall in no event exceed the price paid by the<br />
Purchaser to the Company for the particular goods. The Purchaser shall have no<br />
claim with regard to goods which have already been processed, altered or in any<br />
way utilised by the Purchaser.<br />
No claim shall entitle the Purchaser to withhold payment of any sum due to the<br />
Company under this or any other contract which the Company may have with the<br />
Purchaser nor shall a claim give any right to set off any payment due by the Purchaser<br />
to the Company. Without limiting the generality of the foregoing, the Company shall be<br />
under no liability for consequential or other losses arising in relation to any breach or<br />
default by the Company, notwithstanding that the Company may have been aware,<br />
or ought to have been aware, that such losses may have resulted from such a breach<br />
or default.<br />
10 VARIATION<br />
These Terms and Conditions are subject to change by the Company without notice.<br />
11 GOVERNING LAW<br />
This contract shall be governed and interpreted in accordance with New Zealand law<br />
and the New Zealand courts shall have non-exclusive jurisdiction to hear and decide<br />
any dispute brought by the parties.<br />
