I - L’acquirente accetta integralmente le seguenti condizioni con la conferma d’ordine e qualsiasi deroga dovrà essere preventivamente concordata per iscritto con la DITTA.<br />
Ordini - Tutti gli ordini trasmessi saranno considerati validi solo se confermati per iscritto dalla DITTA.<br />
Prezzi - Le forniture saranno effettuate ai prezzi indicati nel presente listino ed alle condizioni di vendita specifiche concordate con ogni singolo acquirente ed in vigore alla data<br />
della conferma d’ordine.<br />
I prezzi non comprendono:<br />
- le spese di trasporto, installazione, montaggio ed allacciamento<br />
- imballi speciali<br />
- imposta sul valore aggiunto (I.V.A.)<br />
Materiale speciale non a catalogo - Qualsiasi richiesta di esecuzione speciale dovrà essere accompagnata da disegno dettagliato e da descrizione tecnica che permetteranno alla<br />
DITTA di stabilirne i prezzi, il termine di consegna e la modalità di pagamento.<br />
Resa - Franco nostro stabilimento.<br />
Imballo - I prodotti elencati nel presente listino prezzi sono comprensivi di imballo standard DITTA. La fattibilità ed il costo di eventuali imballi speciali saranno valutati al momento<br />
della specifica richiesta.<br />
Termini di consegna - Le date di consegna esposte sulle conferme d’ordine devono essere intese come date di approntamento merce presso la DITTA e sono da considerarsi<br />
indicative. L’acquirente non potrà annullare gli ordini o avanzare pretese per danni conseguenti a ritardo nella consegna della merce.<br />
Spedizioni - La merce viaggia sempre a rischio e pericolo dell’acquirente, anche quando il trasporto è a cura della DITTA o di terzi, o se per particolari accordi commerciali viene<br />
spedita in porto franco con o senza addebito in fattura. Eventuali contestazioni per colli smarriti o danneggiati dovranno essere immediatamente segnalate al trasportatore mediante<br />
accettazione della merce con riserva e, poi, tramite lettera raccomandata al trasportatore stesso.<br />
Modalità di pagamento - Il pagamento dovrà essere effettuato secondo quanto specificato nelle conferme d’ordine. Ritardi o mancati pagamenti saranno soggetti al pagamento di<br />
interessi di mora ed alla possibilità per la DITTA di decidere di sospendere senza alcun preavviso le forniture.<br />
Riserva di proprietà - Il materiale venduto rimane di proprietà della DITTA fino al completo pagamento. Nel caso di mancato pagamento la DITTA si riserva la facoltà di riprendersi<br />
la merce.<br />
garanzia - La garanzia decorre dalla data di fatturazione e copre, per un periodo di 12 mesi, tutte le parti componenti l’apparecchiatura eccetto componenti elettrici, manopole,<br />
parti in plastica mobili o asportabili, lampade spia, parti in vetro, tubazioni esterne e tutti gli eventuali accessori.<br />
Non sono inoltre coperte da garanzia tutte le parti danneggiate durante il trasporto, la movimentazione o l’immagazzinaggio, per cattiva od errata installazione o manutenzione,<br />
per insufficienza di portata o anormalità di impianti elettrici, idraulici o di erogazione del gas, vapore, per inefficienza di camini e scarichi, per cattiva qualità del combustibile, per<br />
trascuratezza o incapacità d’uso, per pulizia impropria in quanto effettuata con modalità o materiali non idonei, per manomissione di personale non autorizzato e comunque per<br />
cause non dipendenti dalla DITTA.<br />
Nel periodo di garanzia verranno sostituiti quei pezzi che dovessero essere resi franco DITTA con comunicazione del numero di matricola e del riferimento della fattura di acquisto<br />
dell’apparecchiatura alla quale il componente appartiene.<br />
La garanzia esclude inoltre la sostituzione dell’apparecchiatura, ogni indennizzo o risarcimento dipendente da malfunzionamento o inattività dell’apparecchiatura e qualsiasi altro<br />
danno diretto o indiretto, le spese di trasporto per la spedizione delle parti di ricambio e le spese di manodopera inerenti alla sostituzione delle parti.<br />
Resi - Non si accettano resi se non preventivamente autorizzati dalla DITTA.<br />
Controversie - Le vendite sono regolate dalla legge italiana. Per qualsiasi controversia è competente il foro di Treviso (Italia).<br />
gB - The buyer accepts in full the following conditions with the confirmation of order. Any exception must be previously agreed upon with COMPANY in writing.<br />
Orders - All orders transmitted will be valid only with COMPANY written confirmation of order.<br />
Prices - Supplies will be delivered at the prices indicated in this price list and according to the specific sales conditions agreed upon with every single buyer in force on the date when<br />
the order is confirmed.<br />
The prices do not include:<br />
- the expenses for carriage, installation, assembly and connection<br />
- special packing<br />
- value added tax (VAT)<br />
Special material not included in the catalogue - All requests for special execution items must be accompanied by detailed drawings and a technical description, which will allow<br />
COMPANY to quote prices and to fix times of delivery and way of payment.<br />
Delivery terms - Ex works.<br />
Packaging - The products of this price list are inclusive of standard COMPANY packaging. The feasibility and the cost for any eventual special packaging requests will be calculated each time.<br />
Times of delivery - The dates of delivery quoted in the confirmation of order refer to the availability of the goods at COMPANY warehouse and are indicative. The buyer may not<br />
cancel the orders nor make claims for damages as a result of any late delivery.<br />
Deliveries - Goods are always moved at the risk of the buyer, even when the transportation is the responsibility of COMPANY or third parties, and when, for special commercial<br />
agreements, the delivery is effected free port with or without invoice charge. Any disputes regarding lost or damaged items must be immediately pointed out to the carrier at the<br />
time of accepting the goods, which is to be done by signing the delivery documents adding a due reservation and, then, reported immediately in writing by recorded delivery letter<br />
to the carrier himself.<br />
Payments - Payments will be effected according to the conditions specified in the confirmation of order. Any delay in payments and lack of payment automatically lead to the<br />
debiting of default interests and to the possibility that COMPANY could decide to stop without notice the supplies.<br />
Ownership of goods - Materials sold remain the property of COMPANY until payment is made in full. In cases where late payments are not made COMPANY reserves the right to<br />
take back the goods.<br />
Warranty - The warranty is effective from the invoice date and covers, for a period of 12 months, all the parts making up the equipment, with the exclusion of electric components,<br />
knobs, mobile or removable plastic parts, pilot-lights, glass parts, external pipes and all eventual accessories.<br />
Neither does the warranty covers any parts that are damaged during the transportation, handling or storage, due to bad or incorrect installation or maintenance, insufficient<br />
capacity or malfunctioning of the electrical and water systems or the gas or steam supply systems, inefficiency of the flue pipes and drain, poor quality of the fuel, negligence or<br />
improper use, incorrect cleaning by using unsuitable procedure or materials, tampering due to intervention of unauthorized people and in any case for causes outside COMPANY control.<br />
During the warranty period will be replaced any parts that are returned carriage paid to COMPANY factory giving the serial number and the invoice number of the appliance to which<br />
the component belogs.<br />
The warranty excludes the replacement of the appliance, any indemnity or compensation due to wrong operation or inactivity of the appliance and any other direct or indirect<br />
damage, transport costs inherent to the dispatching of parts and labour costs inherent to the replacement of parts.<br />
Returns - No returns will be accepted if not previously authorised by COMPANY.<br />
Disputes - Sales are governed by Italian law. All disputes shall be referred to the Court of Treviso (Italy).<br />

D - Der Käufer wird mit der Auftragsbestätigung die folgenden Bedingungen vollständig annehmen und jegliche Abweichung muss mit dem HER<strong>ST</strong>ELLER schriftlich im vorhinein<br />
vereinbart werden.<br />
Bestellungen - Alle übertragenen Bestellungen werden gültig sein, nur wenn sie von dem HER<strong>ST</strong>ELLER ausdrücklich schriftlich bestätigt werden.<br />
Preise - Die Lieferungen werden zu den, auf diese Preisliste angeführten Preisen und den, zum Datum der Auftragsbestätigung gültigen besonderen mit jedem Käufer vereinbarten<br />
Verkaufsbedingungen durchgeführt.<br />
Von den Preisen sind ausgeschlossen:<br />
- die Kosten für Transport, Installation, Montage und Anschluss<br />
- die Sonderverpackungen<br />
- Mehrwertsteuer (MwSt.).<br />
Sonderausführungen, nicht im Katalog einbegriffen - Alle Anfragen von Sonderausführungen müssen von detaillierten Zeichnungen und einer technischen Beschreibung<br />
begleitet werden, um dem HER<strong>ST</strong>ELLER erlauben zu können, Preise, Liefertermin und Zahlungsbedingung festzusetzen.<br />
Lieferung - Ab unserem Werk.<br />
Verpackung - Die in dieser Preisliste angeführten Produkte verstehen sich einschliesslich einer des HER<strong>ST</strong>ELLERS Standardverpackung. Die Durchführbarkeit und die Kosten von<br />
etwaigen Sonderverpackungen werden zur Zeit der besonderen Anfrage geschätzt.<br />
Liefertermine - Die in der Auftragsbestätigung angegebenen Liefertermine vestehen sich als Datum von Warenbereitstellung bei dem HER<strong>ST</strong>ELLER und sind rein hinweisend. Aus<br />
diesem Grund besteht für den Käufer bei irgendwelchen Lieferverzögerungen keinerlei Berechtigung, Schadenersatzansprüche zu stellen oder betreffenden Bestellungen zu<br />
stornieren.<br />
Versand - Der Transport der Ware erfolgt immer auf Risiko des Käufers, auch wann die Beförderung von dem HER<strong>ST</strong>ELLER oder von Dritten durchgeführt wird, oder im Falle, dass auf<br />
Grund von besonderen Handelsvereinbarungen die Lieferung frachtfrei oder mit Rechnungsbelastung ist. Eventuelle Beanstandungen über Verluste oder Schäden müssen dem<br />
Beförderer bei der Warenannahme zur Kenntnis gebracht werden, letztere erfolgt somit unter Vorbehalt und der ist unverzüglich dem Transportunternehmen selbst mittels<br />
eingeschriebenem Brief bekanntzugeben.<br />
Zahlungsweise - Die Zahlung muss gemäss in der Auftragsbestätigung angegebenen Art und Weise ausgeführt werden. Zahlungsverzögerungen oder nicht am Fälligkeitsdatum<br />
bezahlte Rechnungen unterstehen einer Berechnung von Verzugszinsen und der Möglichkeit für den HER<strong>ST</strong>ELLER zu beschliessen, die Lieferungen ohne Voranzeige aufzuheben.<br />
Eigentumsvorbehalt - Die verkaufte Ware bleibt Eigentum des HER<strong>ST</strong>ELLERS bis zur vollständigen Zahlung. Im Falle von nicht geleisteter Zahlung behält sich der HER<strong>ST</strong>ELLER das<br />
Recht vor, die Ware zurückzunehmen.<br />
garantie - Die Garantie tritt mit dem Datum der Rechnungserstellung in Kraft und deckt für einen Zeitraum von 12 Monaten alle Bestandteile des Gerätes, mit Ausnahme von<br />
elektrischen Teilen, Drehgriffen/Knöpfen, beweglichen oder abnehmbaren Plastikteilen, Kontrollleuchten, Glasteilen, externen Rohrleitungen und alle eventuellen Zubehörteilen.<br />
Desweiteren wird keine Gewähr geleistet, für alle Teile, die während des Transportes, der Bewegung oder der Lagerung beschädigt wurden, die Schäden durch schlechte oder<br />
falsche Installation oder Wartung, durch unzureichende oder schlechte Strom-, Wasser-, Gas- und Dampfversorgung, unzureichende Kamine und Abflüsse, schlechte Treibstoffqualität,<br />
durch Nachlässigkeit oder Unfähigkeit beim Gebrauch, uneigentliche Reinigung mit falschen Mitteln oder auf falsche Weise, mutwillige Beschädigung und für alle von dem<br />
HER<strong>ST</strong>ELLER unabhängigen Ursachen.<br />
Während der Garantiezeit werden die Teile ersetzt, die frei Werk des HER<strong>ST</strong>ELLERS mit Rechnungs- und Kennnummer des Gerätes, zu der das Teil gehört, übergeben werden. Die<br />
Garantie berücksichtigt nicht den Austausch des Gerätes, jede Schadenersatz oder Entschädigungsleistung wegen des schlechten Betrieb oder des Stillstandes des Gerätes sowie<br />
jegliche andere, direkte oder indirekte Schaden, die mit der Lieferung der Teile verbundenen Transportkosten und die mit dem Austausch der Teile verbundenen Lohnkosten.<br />
Rückgaben - Keine Rückgabe wird aufgenommen, wenn nicht früher von dem HER<strong>ST</strong>ELLER bevollmächtigt.<br />
Streitfälle - Die Verkaufen unterstehen die Italienischen Gesetze. Für jede Art von Streitfall ist ausschliesslich das Gericht von Treviso (Italien) zuständig.<br />
F - L’acheteur accepte entièrement les conditions suivantes avec la confirmation de la commande et toute dérogation devra être préalablement établie par écrit avec la SOCIÉTÉ.<br />
Commandes - Toute commande transmise sera considérée valable seulement si confirmée par écrit par la SOCIÉTÉ.<br />

Les prix ne comprennent pas :<br />

- emballages spéciaux<br />
- taxe sur la valeur ajoutée (T.V.A.)<br />
Matériel spécial pas compris dans le catalogue - Toutes les demandes d’exécution spéciale devront être accompagnées d’un dessin détaillé et de la description technique, qui<br />
permettront à la SOCIÉTÉ d’en fixer les prix, le délai de livraison et les modalités de paiement.<br />
Livraison - Départ usine.<br />
Emballage - Les produits indiqués dans ce tarif comprennent l’emballage standard de la SOCIÉTÉ. La possibilité d’exécution et le coût des emballages spéciaux éventuels seront<br />
évalués au moment de la demande spécifique.<br />
Délais de livraison - Les dates de livraison citées dans la confirmation de la commande se référent au délai d’enlevement chez la SOCIÉTÉ et doivent être considérées à titre indicatif.<br />
L’acheteur ne pourra annuler les commandes ou avancer aucune prétention pour dommages en conséquence du retard dans la livraison du matériel.<br />
Expéditions - La marchandise voyage toujours aux risques et périls de l’acheteur, même quand le transport est effectué par la SOCIÉTÉ ou par un tiers, ou si, au cas d’accords<br />
commerciaux particuliers, la livraison s’effectuerait franco de port avec ou sans débit sur la facture. Les contestations éventuelles pour colis égarés ou endommagés devront être<br />
immédiatement signalées au transporteur contre acceptation de la marchandise sous réserve et, après, par lettre recommandée au transporteur même.<br />
Modalité de paiement - Le paiement devra être effectué conformement aux indications des confirmations des commandes. Les retards ou les non-paiements seront sujets au<br />
paiement des intérêts moratoires et à la possibilité pour la SOCIÉTÉ de décider de suspendre sans aucun préavis les fournitures.<br />
Réserve de propriété - La marchandise vendue reste la propriété de la SOCIÉTÉ jusqu’à ce que le paiement intégral ait été effectué. Au cas de non-paiement la SOCIÉTÉ se réserve<br />
la faculté de reprendre la marchandise.<br />
garantie - La garantie court à compter de la date de facturation et couvre, pendant une période de 12 mois, toutes les parties composant l’appareil excepté les composants<br />
électriques, les poignées, les parties mobiles ou amovibles en plastique, les lampes témoins, les parties en verre, les tuyauteries extérieures et tous les accessoirs éventuels.<br />
En outre, la garantie ne sera pas appliquée pour toutes les parties endommagées pendant le transport, le déplacement ou l’emmagasinage, pour installation ou entretien mauvaises<br />
ou incorrectes, défaut d’alimentation électrique ou anomalie aux installations électriques, hydriques et de distribution de gaz, de vapeur, défaut de capacité des cheminées et des<br />
évacuations, mauvaise qualité du combustible, négligence ou inexpérience, nettoyage impropre à cause de la modalité non correcte ou des matériaux pas convenables, manipulation<br />
par personnel non autorisé et toute autre cause indépendante de la SOCIÉTÉ. Pendant la période de garantie seront replacées toutes les pièces qui seront rendues franco usine de<br />
la SOCIÉTÉ accompagnées du numéro matricule et du numéro de la facture de l’appareil dont le composant fait partie.<br />
En outre, la garantie exclut le remplacement de l’appareil, toute indemnisation ou dédommagement dépendant de mauvais fonctionnement ou inactivité de l’appareil et de tout<br />
autre dommage direct ou indirect, les frais de transport inhérents à l’expédition des pièces détachées et les frais de main-d’oeuvre inhérents au remplacement des parties.<br />
Retours - Aucun retour ne sera accepté si non autorisé préalablement par la SOCIÉTÉ.<br />
Juridiction - Les ventes sont régies par la loi italienne. Pour tout litige le tribunal de Treviso (Italie) est seul compétent.<br />
