Firma <strong>Heinrich</strong> <strong>Erdmann</strong>, założona w 1889 roku, ma długą tradycję w produkcji drutów<br />
cienkich. Przedsiębiorstwo zajmuje się obecnie produkcją drutów ze stali niskowęglowych<br />
niepokrytych (gołych), miedziowanych,ocynkowanych i ocynowanych.<br />

Systemy do odwijania drutu<br />
Dla sprawnego przebiegu produkcji oferujemy państwu następujące systemy do odwijania drutu:<br />
AL 100: Ten zmienny system ma regulację wysokości oraz możliwość dostosowania do<br />
następujących rodzajów szpul:<br />

Prawidłowy proces odwijania drutu zapewnia wysokiej jakości szczotka oraz możliwość<br />

1. Scope of the terms<br />
Our deliveries, services and offers shall exclusively be carried out on the basis of these terms of business. These terms of sale and delivery shall also apply<br />
to any future business connection, even if not expressly agreed on anew. These conditions are considered as accepted at the latest on receipt of the goods<br />
or services. Affirmations to the contrary on the basis of differing business conditions or conditions of purchase are hereby rejected.<br />
All agreements that are made by the contractual parties in order to execute the contract shall be stipulated in writing.<br />
2. Offer and conclusion of contract<br />
Our offers are subject to change and without engagement. Any letter of acceptance and order shall only enter into effect upon a written confirmation or a<br />
confirmation by electronic means by <strong>Heinrich</strong> <strong>Erdmann</strong> GmbH & Co.<br />
3. Prices<br />
The prices of our offers are valid for a period of 30 days from the quotation date unless otherwise noted. Apart from that, the prices stipulated in the order<br />
confirmation are definitive plus the statutory value added tax at the current rate. Additional consignments as well as services shall be charged separately.<br />
Packaging shall be charged additionally and generally at cost price. It will not be taken back. Baskets and boxes shall be charged at cost price. In case of<br />
return we will credit 2/3 of this amount. Returns must be realized within 8 weeks after the invoice date.<br />
4. Terms of payment<br />
Our invoices are payable within 30 days without any deductions, unless otherwise noted. In the case of delayed payment, statutory interest on arrears -<br />
which is currently 8 percentage points above the prime lending rate- shall be due from the expiry date. If the payment is effected via draft, cheque or other<br />
payment orders, costs for discounting and collection shall be paid by the buyer. Drafts are accepted<br />
only subject to discount and on account of payment. Interests on arrears shall be charged if the buyer is able to demonstrate a lower burden.<br />
We are legally allowed to establish bigger claims. A payment shall be deemed effected as soon as we dispose of the amount. In case of tendering cheques,<br />
the payment shall be deemed effected after the cheque has been honoured.<br />
We shall be entitled to credit payments to earlier debts first, even if another term of payment exists. We will inform the buyer of the type of settlement. If<br />
costs and interest have already been incurred, we will be entitled to credit payments initially against the costs, thereafter against the interest and finally<br />
against the principal debt.<br />
The buyer is not entitled to any set-off, retention or reduction of the purchase price, even in the event of complaints of defects or counterclaims unless the<br />
counterclaims are either undisputed or have been confirmed by a final court decision. However, the buyer is also entitled to retention of payment on account<br />
of other counterclaims arising from the same contractual relationship.<br />
5. Times of delivery and performance<br />
Delivery periods or dates which are agreed on bindingly or non-bindingly shall be stipulated in writing. We do not assume any responsibility for delayed delivery<br />
and delayed performance even regarding binding delivery periods or dates, resulting from force majeure as well as from events that temporarily handicap<br />
our delivery substantially or that make it impossible to deliver: this involves especially cases of strikes, lockouts, official orders etc., even if that occurs<br />
to the seller’s suppliers or their sub-suppliers. Instead, they entitle us to postpone our delivery or performance by the duration of the obstruction plus a reasonable<br />
start-up time, or to withdraw in total or in part with regard to the part of the contract which has not been performed.<br />
If the obstruction lasts longer than 3 months, the buyer is entitled to withdraw from the part of the contract which has not been performed yet, while granting<br />
a reasonable extension. In case of an extension of the time of delivery or if the seller is released from his responsibility, the buyer shall not have the<br />
right to deduce any claim for damages thereof. The seller has only the right to rely on the aforementioned circumstances if he has informed the customer<br />
immediately. If we as sellers are responsible for the non-fulfilment of binding and agreed deadlines, or if we are in delay, then the buyer shall be entitled to<br />
claim interest to the tune of 1/2% for each complete week of the delay, in total however no more than 5 % of the invoiced value of the affected deliveries or<br />
services. Further claims are excluded unless the delay is based at least on gross negligence by the seller.<br />
We shall be entitled to make partial deliveries. Other arrangements will apply only if in exceptional case this is not in the interests of the buyer.<br />
6. Passing of risk<br />
The risk shall pass to the customer as soon as the consignment is handed over to the person carrying out the transport or has left our warehouse for dispatch.<br />
If delivery is delayed at the buyer's request, the risk shall pass to said buyer when notification of readiness for dispatch is given.<br />
7. Short or excess delivery<br />
Due to production or packaging reasons, quantities of goods may differ from the actual quantity ordered. We reserve the right to effect customary short or<br />
excess delivery (up to 10% deviation from the actual quantity ordered). These deviations of quantity do not occur automatically, but in individual cases.<br />

8. Warranty<br />
The term for the assertion of claims for defects shall be one year from the delivery date.<br />
If the buyer fails to comply with operating or maintenance instructions, or carries out alterations to the products, or replaces parts or uses materials that do<br />
not correspond to the original specifications then the guarantee will no longer apply unless the buyer is able to successfully disprove our correspondingly<br />
substantiated allegation that the fault resulted from any of the above circumstances.<br />
Defects shall be immediately notified in writing, however the latest within one week after receipt of the delivered items at the place of destination. Defects<br />
which cannot be detected during this period even with careful examination shall be notified in writing immediately after their detection.<br />
If the buyer notifies us that the products show a defect, we stipulate at our own choice and at our expense that<br />
a.) the defective product/device or part shall be sent to us to be repaired and then returned.<br />
b.) the buyer shall hold ready the defective product/device or part and we shall send our representative to the buyer in order to examine and repair<br />
the respective product.<br />
If the buyer demands that the repair work be carried out at a certain location determined by the buyer, we may accommodate this request. Replaced parts<br />
will not be charged. However, we will charge for labour hours and travelling expenses at our standard rates.<br />
In case the parts cannot be repaired or replaced within an acceptable period of time the buyer has the right to ask for a discount or he can withdraw from<br />
the contract.<br />
We accept no liability for normal wear and tear. Liability claims against the seller are only possible by the immediate buyer and cannot be assigned to other<br />
parties.<br />
9. Retention of title<br />
Until all of the claims have been settled (including all current account debts) to which we are entitled from the buyer now or in the future for any legal reason,<br />
we shall be granted the following securities that shall be released on request at our discretion as long as the value of the securities remains more than<br />
20% in excess of the claims.<br />
The goods shall remain our property. Processing or modification shall be carried out for us as the manufacturer, but without resulting in any obligations for<br />
us. If our ownership or joint ownership expires due to combining or mixing, it shall already be agreed herewith that the (co-) ownership of the buyer on the<br />
unified item shall pass on to us proportionately (value of the invoice). The buyer shall store the joint property free of charge. Goods for which we are entitled<br />
to joint ownership are designated in the following as goods subject to retention<br />
The buyer shall be entitled to process and sell the goods subject to retention in the ordinary course of business, as long as he is not in default of payments.<br />
The pledging or passing of the title is not permitted. Claims arising from resale or for any other legal reason (insurance, illicit acts) in respect of the goods<br />
subject to retention (including all current account debts) are deemed to have already now been completely transferred as security to us. We hereby give the<br />
buyer revocable authorization to collect the claim assigned to us. Such authorisation to collect may only be revoked if the seller does not meet his payment<br />
obligations in the proper form. In the event of access of third parties to the goods subject to retention, in particular in case of pledges, the buyer will make<br />
clear that the reserved goods are our property and inform us without delay in order to enable us to claim our ownership rights. Insofar as the third party is<br />
not able to reimburse us for legal or extralegal costs arising in this context, the buyer shall assume liability therefore. If the buyer is in any way in breach of<br />
the contract - in particular through delay in payment – we are authorized to withdraw from the contract and to reclaim the goods subject to retention from<br />
it.<br />
10. Liability<br />
Unless premeditated or grossly negligent actions are involved, claims for compensation shall be excluded, irrespective of the nature of the breach of obligations<br />
including unauthorised actions. In the event of any essential breach of contract, we shall be liable for any negligence, however, only up to the amount<br />
of the foreseeable damage. Claims for loss of profit, saved expenditure from damage compensation claims of a third party as well as various indirect or<br />
resultant damage are not admissible. Any other provision is only valid if an essential quality feature guaranteed by us has the express purpose of protecting<br />
the buyer from such damage.<br />
The afore-mentioned exclusions and limitations to liability shall not apply in the event of fraudulent behaviour on part of the seller, nor to liability for essential<br />
quality features, claims under product liability law and damage resulting from injury to life, body and health.<br />
Insofar as our liability is excluded or limited, this shall also apply to the personal liability of our employees, workers, agents and vicarious agents.<br />
11. Applicable law / jurisdiction<br />
These general terms of business and any legal relations between our company and our customers are governed by German law. The regulations of the UN<br />
purchase law are not applicable.<br />
The jurisdiction lies with the court of Hemer for all disputes directly or indirectly arising from the contractual relation provided the buyer is a merchant or a<br />
legal person under public law, a separate fund under public law.<br />
12. Severability clause<br />
Should one of the regulations of these general terms of business or a regulation in the context of other agreements be or become ineffective, the effectiveness<br />
of the other regulations or agreements hereof remains unaffected.<br />
