Our Council of Members The Trust has a Council of Members which consists of both elected and appointed governors known as Member Councillors. These work with the Trust Board to make decisions about our services and future priorities. Member Councillors have a duty to talk to and speak up for the needs, wants and ideas of our Foundation Trust members and to pass on feedback from the Council of Members and the Trust Board. The Chair of the Trust Board is also the Chair of the Council of Members. During the regular meetings Member Councillors are updated on the performance of the Trust. Members of the public can attend and information about these meetings is available on the ‘Membership’ section of our website. The Quality Accounts and the Business Planning Cycle of the Trust Board is supported by and involves the Council of Members. The Trust has six constituencies – ‘Warrington’, ‘St Helens’, ‘Halton’, ‘Knowsley’, ‘Wigan’ and ‘Other’ (for members who live outside the Trust footprint). Member Councillors' responsibilities include: Appointing the Chairman Appointing the Non-Executive Directors Approving the appointment of the Chief Executive Removing the Chairman and Non-Executive Directors Agreeing Non-Executive Directors' terms and conditions Appointing and removing auditors Receiving the annual report and accounts Approving changes to the Constitution Consulting on proposed changes and providing guidance on the future direction of the NHS Foundation Trust Member Councillors - other than Appointed Member Councillors which are appointed by the Trust’s partner organisations - are chosen by election by their constituency or, where there are classes within a constituency, by their class within that constituency. Elections are conducted in accordance with the Model Election Rules on the first-past-the-post basis. If contested elections take place, these are conducted by secret ballot in accordance with the Model Election Rules contained within the Trust Constitution. Member Councillors must be at least 16 years of age at the date they are nominated for election or appointment. An elected or an appointed Member Councillor may hold office for a period of up to three years. They are eligible for re-election at the end of their term, but cannot serve more than three consecutive Terms of Office. 24 Annual Report and Annual Accounts 2011-12
During the reporting year the Trust held two elections. For the 2011 elections we invited nominations for Public Member Councillors in the Constituencies of Wigan (2 seats), Halton (1 seat) and Other (1 seat). We also invited nominations for Staff: Supporting Services (1 seat). Nominations closed on 19 September 2011. Elections were uncontested in the Wigan Constituency and Staff, Supporting Services and therefore no elections took place. Contested Elections were held in the Constituencies of Halton and Other. Voting closed on 3 November 2011. The Trust also invited nominations in 2012 as a result of the expiry of the Terms of Office for some Member Councillors. Vacancies arose in the Constituencies of Knowsley (2 seats); Halton (1 seat); St Helens (2 seats); Wigan (2 seats) and Warrington (4 seats). We also invited nominations for the Staff Classifications of Supporting Services (1 seat); Managers above Band 8B (1 seat); Nursing Staff (2 seats); Allied Health Professionals (1 seat) and Medical Staff (1 seat). Nominations closed on 4 January 2012. Elections were uncontested in the Halton and Wigan Constituencies and the Staff Classifications of Managers above Band 8; Nursing Staff; Supporting Services and Medical Staff. Contested Elections were held in the Constituencies of Knowsley, St Helens and Warrington. Voting closed on 13 February 2012. This process was independently carried out by the Electoral Reform Services.
