Committee of Individual<br />

Shareholders<br />

<strong>Paribas</strong> was one of the first<br />

French companies to establish a<br />

Committee of Individual<br />

Shareholders in order to improve<br />

its ongoing dialogue with all<br />

shareholders.<br />

The twelve-member Committee<br />

includes a member of the<br />

Supervisory Board, Colette<br />

Neuville, as well as a representative<br />

of the employee shareholders,<br />

Frédérique Dambrine.<br />

The Committee meets twice a<br />

year under the chairmanship of<br />

Michel François-Poncet and<br />

André Lévy-Lang.<br />

Any shareholder is eligible.<br />

Members are elected for threeyear<br />

renewable terms.<br />

Applications should be sent to<br />

<strong>Paribas</strong> Actionnaires. In <strong>1998</strong>,<br />

eight members were replaced.<br />

Subsequent Events<br />

On March 9, 1999, Banque<br />

Nationale de Paris (<strong>BNP</strong>) sought<br />

approval from the relevant French<br />

authorities (Conseil des Marchés<br />

Financiers, or CMF) to launch two<br />

separate public exchange offers<br />

(Offres Publiques d’Échange) for<br />

Société Générale and <strong>Paribas</strong>.<br />

<strong>BNP</strong>’s offer for <strong>Paribas</strong> competes<br />

with the offer launched earlier by<br />

Société Générale.<br />

The CMF cleared both <strong>BNP</strong> offers<br />

on March 16, 1999. The offers<br />

became effective March 31, 1999.<br />

At the time of completion of the<br />

present document, the calendar of<br />

these offers had yet to be set by<br />

the CMF, whose decision should be<br />

made following the publication of<br />

the information memoranda established<br />

by Société Générale and<br />

<strong>Paribas</strong> in response to the <strong>BNP</strong><br />

offers. On April 6, 1999, the Board<br />

of Directors of Société Générale<br />

and the Supervisory Board of<br />

<strong>Paribas</strong> rejected the <strong>BNP</strong> offers.<br />
