What is ARC?
ARC is a cross-disciplinary team specialising in the delivery of accelerated restructuring and
compressed corporate finance deals for businesses in distress anywhere in the UK.
Our dedicated ARC lawyers can assist in:
taking full advantage of available time by processing several alternative strategies in
tandem, actively project-managed through our project management tool, Pinsent
focusing on key high-risk areas of due diligence;
identifying innovative solutions to enhance cash flow and support cash generation;
utilising our extensive sector specific database of acquisitive corporates and funders, to
ensure that all opportunities are fully explored.
Appreciating the commercial sensitivities surrounding a distressed business is of paramount
importance. Our ARC skills and experience in dealing with the issues involved in high-value
complex restructuring, corporate finance and property assignments mean that we can
identify the practical solutions which enhance stakeholder value and allow a controlled
sale or restructuring process to maximise stakeholder value.

Pinsent Masons Smartplan
We have been working to improve our approach to costs transparency and project
management and, with the introduction of Pinsent Masons Smartplan, we have now
achieved this aim. The bespoke software, which has been developed in-house, has made our
systems more sophisticated than any other UK law firm.
Pinsent Masons Smartplan enables the ARC team to take any assignment and break it down
into its component parts. An appropriate timeframe and cost can then be attributed to
each component of the assignment, producing a comprehensive plan of the time and
commitment required from all parties to reach completion on budget.
Set out below are some of the most recent transactions delivered by our ARC team:
Acting for a food production and distribution group as lead advisers on a complex £800m debt restructuring (£360m Bank debt
and £440m unsecured pension stakeholder debt) of an international distribution group, with £1.7billion turnover and 20,000
employees. The Pension Schemes represent the second largest group of members to enter the PPF (5,441 members), behind only
MG Rover (6,228 members). Our ARC team guided the group through complex negotiations ensuring a successful resolution for
Advising the primary security holder and Ernst & Young LLP as administrators of the Hawkshead clothing retail group on the
disposal of its multi-site business to Branded Logo Limited. Focused marketing led to several offers being negotiated
simultaneously through to completion within 5 days of being instructed, thereby helping the survival of the business and the
preservation of some 380 jobs.
Country Foods Group
Acting for the primary security holder and Grant Thornton UK LLP in relation to an intensive 4-week marketing and sale process,
resulting in the successful sale of the frozen foods group, producing higher recoveries than expected as a result of the competitive
Acting for Anisa Group on an accelerated corporate finance acquisition of FWL Technologies Limited, which created the UK's
market leader in warehouse and distribution services, with over 400 customers at 700 locations worldwide. Our ARC lawyers
used Pinsent Masons Smartplan to project manage the matter.
Advising management on the successful £90m debt restructuring and reorganisation of the Nightfreight logistics group, a national
support services sector client, employing over 2,500 people across the UK.
