Notes on the accounts *

A. Accounting policies

The annual financial statements were drawn up in accordance with generally accepted accounting principles, and the

general requirements to present a true and fair view of the state of the Company’s assets, finances and earnings.

The accounting, valuation and reporting of individual items were carried out in accordance with the current

versions of the general provisions of the Austrian Commercial Code, the Securities Act and the applicable

sections of the Austrian Banking Act.

B. Report of earnings

A taxable entity was formed according to the earnings transfer contract between Raiffeisen-Holding

Niederösterreich-Wien reg.Gen.m.b.H. (hereafter R-Holding) and Raiffeisenlandesbank Niederösterreich-

Wien AG (hereafter RLB AG). As a result of this agreement, the total earnings of RLB AG were adopted by

R-Holding. Therefore, the annual balance shows neither a profit nor a loss.

C. Accounting conventions and valuation methods applied in the balance sheet and profit and loss account

I. Assets and liabilities quoted in foreign currencies were entered as of the balance sheet date using ECB

reference rates. Foreign currency items where no ECB reference rate can be applied were quoted with fair

value reference bank rates.

To the extent that interest rate swaps, options, foreign exchange futures and other derivative instruments are

not hedging transactions treated for the purpose of valuation as part of underlying transactions, a portfolio value

is applied, i.e. all similar financial instruments are grouped in portfolios. The fair value at balance sheet date of

each individual transaction in the portfolio is determined. The resulting positive and negative market values are

netted out. If the overall portfolio fair value is negative, a provision for this amount is set out in the balance

sheet. Financial derivatives held as trading assets are assessed at the market values.

Securities held as financial instruments are valued according to the modified lower level of cost or market

value principle.

In accordance with Section 2 Para. 3 Trustee Securities Regulations, securities serving as cover for trustee

accounts are shown as part of fixed assets, strictly at the lower of cost or market value.

In accordance with Section 56 Para. 2 Austrian Banking Act, investment securities acquired above par have

been written down at the amount payable in the year of acquisition. Redemption gains on securities acquired

below par are not used for proportionate write-ups.

Unlisted securities treated as current assets are valued strictly at the lower of cost or market value.

Listed securities treated as current assets are shown at fair value.

Individual value adjustments or provisions are made for identifiable risks in respect of borrowers.

V. No use is made of the possibility to choose the form of valuation provided for by Section 57 Para. 1 Austrian

Banking Act.

VI. Equity interests are valued at acquisition cost unless persistent losses or a reduction in equity require a writedown

to fair value as of balance sheet date.

VII. Intangible fixed assets; land and buildings, fixtures and fittings and equipment are valued at acquisition or

construction cost less scheduled depreciation. Scheduled depreciation is applied on a straight-line basis. The

rates of depreciation vary between 2% and 33.3% for intangible assets, 2% and 4% for property, and 5% and

33.3% for movable assets. Capitalised goodwill is amortised on the basis of a conservative estimate of useful

economic life of between 2 and 15 years. For possible long-term impairment, extraordinary depreciation is

applied. Minor assets are written off fully in the year of acquisition.

VIII. Premiums or discounts on issue are written back over the term of the debt. Other issuing expenses are written

off immediately.

IX.

Pension obligations, which relate exclusively to pensioned employees, are determined using an Ettl-Pagler

corresponding table and a discount rate of 4.5%; standard entry age methods are used to project benefit

obligations. The provisions set forth under Article X of the Financial Reporting Act have not been applied.

Pension obligations relating exclusively to pensioned employees are determined using an Ettl-Pagler corresponding

table and a discount rate of 3.5%, using the standard entry age method for projected benefit obligations.

Calculation of the provision’s value takes place at 62 years of age, to account for early retirement.

There are also written, legally enforceable, irrevocable pension agreements for a group of current employees

in senior management positions. These entitlements have been transferred to the ÖPAG Pension Fund AG.

Should the capital sum at pensionable age be insufficient to fund the defined benefits, RLB AG is obliged to

make up the difference, either in the form of continuing top-up pension payments, or in the form of a lump

sum payment. Beginning in 2000, provisions have been made to cover such funding deficits.

Provisions for current employees at balance sheet date are calculated according to principles of investment

mathematics, applying a discount rate of 3.5% on Pagler-Pagler tables, taking into account an average

expected employment period.

Calculation is based on a pensionable age of 56.6 for women and 61.5 for men considering transfer

regulations according to SRÄG 2000.

Obligations for current or future performance related benefits are entered at real value. This applies to former

employees who do not yet receive a pension or those already receiving one. Obligations for those who have

already reached pensionable age are also entered at real value. This applies to employees who could receive

a pension, but have not due to some encumbrance.

Severance payment obligations at balance sheet date are calculated using the principles of investment

mathematics, applying a discount rate of 3.5%, taking into account the average expected term of employment.

For women a pensionable age of 57, for men 62 is expected. A deduction of 4% is made for staff turnover.

Obligations to pay anniversary bonuses are calculated according to the principles of investment mathematics

in the same way as severance payment obligations. A deduction of 10% is made for staff turnover. The

transitional provisions of Article X Financial Reporting Act have not been applied.

Other provisions are entered taking into account conservative business accounting principles as of the balance

sheet date. That includes the type, extent and reason for the liability.

X. Liabilities are shown at the higher of original book value or the amount repayable.

TSD (2001: EUR 49,654 TSD)

The portfolio also contains 65,000 shares (2001: 447), with a value of EUR 728 TSD (2001: EUR 2 TSD).

In addition, the portfolio contains 66,142 investment certificates from various funds (2001: 15,412) with a

value of EUR 7,515 TSD (2001: EUR 1,506 TSD).

There were no liabilities under guarantee for these persons. Amounts lent to the Supervisory Board include

loans and advances to employees delegated to the Supervisory Board by the Works Council.

The maturities and terms of these loans conform to normal banking practices. In the year in question members

of the Management Board repaid EUR 27 TSD (2001: EUR 24 TSD), members of the Supervisory Board repaid

EUR 10 TSD (2001: EUR 51 TSD).

Expenses for severance payments and pensions for senior management amounted to EUR 1,696 TSD

The classification of employees as senior management complies with Section 80 Para. 1 Companies Act.

Information regarding board members’ salaries is withheld in accordance with the protection clause of Section

241 Para. 4 of the Companies Act.

In 2002, a total of EUR 37 TSD (2001: EUR 0 TSD) was paid to members of the Supervisory Board. Total

remuneration to former executive officers (formerly RLB reg.Gen.m.b.H.) and their surviving heirs amounted

to EUR 743 TSD (2001: EUR 719 TSD).
