.3 The Construction Manager and the Owner shall receive and open all subcontractor bids or Proposals in a manner that does not disclose the contents of the bids or Proposals during the selection process. The Construction Manager shall review and evaluate all bids or Proposals, and shall recommend to the Owner a list of bidders to which the Construction Manager proposes to award subcontracts for the Project Work. .4 In the event that the Owner requires that the Construction Manager award any portion of the work to a bidder not proposed by the Construction Manager, the Owner shall compensate the Construction Manager by a change in price, time, or guaranteed maximum cost for any additional cost or risk that the Construction Manager may incur by reason of the Owner=s requirements. .5 The Construction Manager shall make all bids and Proposals available for public inspection within seven (7) days following final selection of the subcontractors. 2.3.2 Delete Subparagraph 2.3.2.2 in its entirety and replace with the following: The Construction Manager shall include specific notices of the following statutory requirements in the information to bidders: .1 The successful bidder=s responsibility to provide workers= compensation insurance in accordance with Texas Labor Code Chapter 406; .2 The successful bidder=s responsibility to pay prevailing wages pursuant to Texas Government Code Chapter 2258; and, .3 A notice of the sales tax exemption for the Project and the procedure for obtaining any required exemption verification or certificates. Nothing herein shall prevent the Construction Manager from including other notices required or allowed by law. 2.5 Delete Paragraph 2.5 in its entirety and replace with the following: The Construction Manager shall have no responsibility for the handling, removal, or disposal or exposure of persons to hazardous materials in any form at the Project site, including but not limited to asbestos, asbestos products, polychlorinated biphenyl (PCB), lead paint, or other hazardous materials. The Construction Manager shall have no responsibility to initially discover the presence of such hazardous materials on the Project Site, but shall have an affirmative duty to immediately report to the Owner the existence of such materials actually known by the Construction Manager or the Construction Manager=s consultants to be present on the Project Site. Provided, however, that these limitations shall not apply if the Construction Manager places or allows such hazardous materials to be placed on the Project Site. 3.1.2 Delete Subparagraph 3.1.2 in its entirety. 3.1.4 Delete Subparagraph 3.1.4.5 in its entirety. 3.2 Delete Paragraph 3.2 and replace with the following: The Owner is the Board of Trustees of the San Angelo Independent School District, and is referred to throughout the Contract Documents as if singular in number. The Owner may designate in writing one or more persons to represent the Owner; however, such representatives shall have the authority to bind the Owner only to the extent expressly authorized by the Owner and shall have no implied authority. 3.3 Delete Paragraph 3.3 in its entirety and replace with the following: The Construction Manager=s services shall be provided in conjunction with the services of an architect. The terms of the agreement between the Owner and the Architect shall be available for inspection by the Construction Manager upon request. 3.4 Delete last sentence of Paragraph 3.4. 4.1.1 Insert in the space after Paragraph 4.1.1 the following: Compensation for the services described in Paragraphs 2.1 and 2.2 shall be included in the compensation described in Paragraph 5.1, provided however, if the Construction Phase does not commence for any reason, the Construction Manager=s compensation for the services described in Paragraphs 2.1 and 2.2 shall be the necessary and reasonable cost of services actually performed, not to exceed the stipulated sum of: _______________________________________ Dollars ($________________). 4.1.2 Delete Paragraph 4.1.2 in its entirety and replace with the following: Compensation for Preconstruction Services shall be equitably adjusted if the originally contemplated scope of services is significantly modified. 4.2.2 Delete Paragraph 4.2.2 in its entirety and replace with the following: Payments are due and payable thirty (30) days from the date the Construction Manager=s invoice is received by the Owner. Past due payments shall bear interest in accordance with the Texas Prompt Payment Act. 5.1.1 Insert in the space after Paragraph 5.1.1 the following: The Construction Manager=s fee shall be based on ______________ percent (___%) of the Actual Cost of the Work as defined in Article 6. 5.3.4 Delete Paragraph 5.3.4 in its entirety and replace with following: The Construction Manager may request additional compensation pursuant to the General and Supplementary Conditions of the Contract. 6.1.2 Delete Subparagraphs 6.1.2.2, 6.1.2.3, and 6.1.2.4 in their entirety. 6.1.5 Delete Subparagraphs 6.1.5.4 and 6.1.5.5 in their entirety. 6.1.6 Delete Subparagraph 6.1.6.1 in its entirety and replace with following: That portion directly attributable to the Contract of the actual cost of premiums for insurance and bonds. 6.1.6 Delete Subparagraph 6.1.6.2 and replace with following: Sales, use or similar taxes imposed by a governmental authority which are related to the Work, and for which the Owner (1) is not exempt under Texas law, or (2) has not timely provided a certificate of exemption or similar proof of the Owner=s tax exempt status. Delete Subparagraph 6.1.6.4 in its entirety. Delete Subparagraph 6.1.6.5 and replace with following: Royalties and license fees paid for the use of a particular design, process, or product required by the Contract Documents. Delete Subparagraphs 6.1.6.6 through 6.1.6.9 in their entirety. 6.1.8 Delete Subparagraph 6.1.8.2 in its entirety. 6.2.1 Delete Subparagraph 6.2.1.6 in its entirety and replace with the following: Costs due to the negligence of the Construction Manager, the Construction Manager=s Subcontractors or suppliers, or the failure of the Construction Manager, the Construction Manager=s Subcontractors or suppliers to fulfill a specific responsibility to the Owner set forth in this Agreement.
