Our mission is to fund research and disseminate knowledge that furthers<br />
the understanding, development and effectiveness of chiropractic care.<br />
Board of Governors<br />
Governance is concerned with the structure, systems and processes<br />
that ensure the overall direction, effectiveness, supervision and<br />
accountability of an organisation.<br />
The primary functions of the Board of the <strong>Australian</strong> <strong>Spinal</strong> <strong>Research</strong><br />
<strong>Foundation</strong> are to collectively ensure delivery against the purposes<br />
for which <strong>Spinal</strong> <strong>Research</strong> was established, to set its strategic<br />
direction, uphold its values and manage its ‘safe passage’. The<br />
Board is collectively responsible and accountable for ensuring and<br />
monitoring that <strong>Spinal</strong> <strong>Research</strong> is performing well, is solvent with<br />
adequate financial and human resources and is complying with all<br />
its legal, financial and ethical obligations.<br />
Our governance respects these responsibilities and is also concerned<br />
with the way our Board and individual Governors work with the<br />
Chief Executive Officer (and staff) and stakeholders to ensure <strong>Spinal</strong><br />
<strong>Research</strong> is effective and delivers on our Mission - to fund research<br />
and disseminate knowledge that furthers the understanding,<br />
development and effectiveness of chiropractic care.<br />

Our Board respects the following key governance principles:<br />
Leadership<br />
The Board should set and maintain <strong>Foundation</strong> direction, culture,<br />
ethics and policies, recognising its role in guardianship.<br />
Individual members of the Board place the <strong>Foundation</strong>’s interests<br />
above individual interests.<br />
Individual members of the Board are required to actively contribute<br />
within a model of distributed leadership.<br />
Systems and Procedures<br />
The Board is responsible for policy, systems of financial control,<br />
audit and performance reporting.<br />
Managing Risk<br />
The Board must regularly review the risks to which the <strong>Foundation</strong><br />
is subject and take action to mitigate risks identified.<br />
Performance<br />
The Board is charged with ethical and responsible decisionmaking.<br />
The Board recognises legitimate interests of stakeholders.<br />
The Board should ensure that Governors add value.<br />
The Board should ensure reviews are conducted into its own<br />
effectiveness in meeting its responsibilities.<br />
The Board should ensure that there is a system for the regular<br />
review of the Chief Executive Officer.<br />
