COMMITTEES GUIDELINES Terms of Reference will be developed in accordance with a standard template. The Terms of Reference for Service Committees and Project Teams will be reviewed at least every 3 years by the Committee members and TAL Staff with recommendations to the creating body on any proposed changes. FINANCE POLICY Statement of Intent The Board ensures effective management of The Alberta Library’s finances in alignment with The Alberta Library’s Vision and Articles of Association. Policy 1. The finances of The Alberta Library will be managed in an efficient and accurate manner. 1.1. The Auditor will be appointed and the audited financial statements will be approved as per the Articles of Association. 1.2. The Executive Committee shall be the audit committee. 1.3. The fiscal year of The Alberta Library shall be January 1 to December 31, inclusive. 1.4. Subsequent years budget shall be presented for approval at the last Board meeting of the year. 1.5. The budget shall be consistent with the Board’s priorities and the organization's longterm plan. 1.6. Budget practices shall ensure the financial stability and organizational continuity of The Alberta Library. 1.7. Members shall approve any change in the fee structure by May 31 of the year preceding the change. 1.8. In addition to those items specifically included in the budget for each fund, the Chief Executive Officer may approve unbudgeted items of up to $5,000 provided total budgeted expenditures for the fund are not exceeded. 1.9. The Executive Committee may approve unbudgeted items for each fund up to $10,000. Expenditures in excess of $10,000 are subject to Board approval. 1.10. The signing officers are the Chief Executive Officer and at least two members of the Executive Committee. 1.11. The Chief Executive Officer is authorized to sign contracts, licenses and agreements. 1.12. The Alberta Library's financial records shall be maintained to ensure the security of the records. 1.13. The Board of The Alberta Library shall ensure that its assets are protected and risks to the organization are managed effectively. 2. The finances are managed in accordance with Accounting Standards for Not-for-Profit Organizations. 2.1. Assets with a value equal to or more than $2,500 will be capitalized. 3. There is a sound basis for long-term financial management of the affairs of The Alberta Library. 3.1. The Board’s reserves shall be: 3.1.1. Capital Asset Reserve: to fund future capital purchases. 3.1.2. Contingency Reserve: to offset operating costs which would be incurred if TAL should cease operations. 3.1.3. General Reserve: to cover any deficits in the operating fund and to cover onetime unbudgeted expenses at the discretion of the Executive Committee. Page 4 of 57
