g. “Constitution” means the constitution of the Society as filed with the
Registrar;
h. “Elected Governor” means a person elected as an Elected Governor, or
appointed as a replacement for an Elected Governor in accordance with
the Bylaws;
i. “Executive” means those Governors appointed to the Executive positions
(being the Chair, the Vice-Chair, the Secretary and the Treasurer) in
accordance with the Bylaws;
j. “Governors” means those persons who have become either an Appointed
Governor or an Elected Governor and have not ceased to be Governors,
and a “Governor” means anyone of them;
k. “Headmaster” means the person employed by the Society as head of
School;
l. “Income Tax Act” means the Income Tax Act of Canada as amended from
time to time;
m. “Members” means those persons who become members of the Society in
accordance with these Bylaws and have not ceased to be members, and a
“Member” means anyone of them;
n. “Ordinary Resolution” means:
i. a resolution passed at a general meeting of the Society by a simple
majority of the votes cast by those members entitled to vote at such
meeting and actually present or represented by proxy as herein
provided; or
ii.
a resolution that has been submitted to all of the members and
consented to in writing by 75% of the members who would have
been entitled to vote on it in person at a general meeting of the
Society;
o. “Registered Address” of a member or Governor means the address of that
person as recorded in the register of members or the register of
Governors;
