The tenders should be submitted in two separate sealed covers super scribed as cover A

“TECHNICAL BID” and cover B “PRICE BID” indicating name of work, tender No., due date, name,

address and contact No. of the tenderer.

TECHNICAL BID should contain the documents listed in clause 7.1 of special conditions of contract:


1. Remittance of EMD in a separate sealed cover kept outside the cover containing Technical

bid.

2. Proforma of checklist duly filled and signed.

3. All Certificates as per Clause No.7.1 in special condition.

PRICE BID: Price bid of those tenderers who qualify technically will only be considered. Price bid

shall be with out any conditions and strictly in accordance with the tender schedule and specification.

Rates quoted should be inclusive of all taxes and duties. Date of opening of Price bid will be

intimated to successful tenderers in advance. PRICE BID WITH ANY CLAUSE LIKE

REIMBURSEMENT OF TAXES ETC OR ANY OTHER CONDITIONS ADDED BY THE TENDERER

OTHER THAN RATES AND AMOUNTS WILL BE SUMMARILY REJECTED.

SPECIAL CONDITIONS

NAME OF WORK – ANNUAL MAINTENANCE CONTRACT FOR ITEMS COMMON FOR OFFICE

BUILDINGS/ INDUSTRIAL BUILDINGS FOR THE YEARS 2013-2015.

1. The conditions enumerated below are in addition to the General conditions of contract

given in “Conditions of contract and instructions to Tenderers of CSL” and will have

precedence over them.

2. “General Conditions of Contract (GCC) and Instructions to Tenderers” is available in the

CSL website. The tenderer shall submit his tender document including GCC. Although, it

is permissible to submit the tender without the copy of GCC, while entering into

agreement by the successful tenderer, the GCC shall be duly signed by both the parties

and form part of the agreement. As such, it is deemed that the tenderer has made

reference to the GCC in the website or otherwise, and has full knowledge of its contents,

although it is not signed and attached with the tender.

3. In the General Conditions of Contract DGM (Civil) should be read as SM (CE) who will

be the Engineer- in- charge.

4. Throughout these bidding documents, the terms “bid” and “tender” and their derivatives

(“bidder / tenderer”, “bid /tender”, “bidding / tendering”, etc.) are synonymous, and

day means calendar day. Singular also means plural.

5. The bidder shall not be put on holiday by CSL or black listed by any Government

Department / Public Sector undertaking etc

6. All corrigenda, addenda, amendments and clarifications to Tender Specifications will be

hosted in the website www.cochinshipyard.com and not in the newspaper. Bidders shall

keep themselves updated with all such developments till the last date and time of

submission of tender.

7. The tender for the work will be based on two cover system (cover ‘A’ & cover ‘B’)

7.1 Cover A:

Technical bid - shall consist of two separate covers A1 &A2.

Cover A1 shall contain EMD for Rs.125, 000 (Rupees one lakhs twenty five thousand

only) in the form of DD/TDR drawn in favour of Cochin Shipyard Limited. EMD of

unsuccessful bidders will be released once the work order is issued to and accepted by

the successful bidders. On acceptance of the tender of the successful bidder the EMD

will be treated as part of Security deposit.

Cover A2 shall consist of the following

1. Proforma of checklist duly filled and signed.

2. Following Certificates signed by the contractor.

A) “I / WE COMPLY WITH ALL CONDITIONS OF TENDER BY CSL AND

CONFIRM THAT RATES QUOTED IN THE PRICE BID ARE

INCLUSIVE OF ALL TAXES AND DUTIES INCLUDING SERVICE TAX

IF APPLICABLE. I / WE ALSO CONFIRM THAT COVER B (PRICE BID)

DO NOT CONTAIN ANY CONDITIONS ”

B) “I / WE HAVE NOT MADE ANY PAYMENT OR ILLEGAL

GRATIFICATION TO ANY PERSON/AUTHORITY CONNECTED

WITH THE BID PROCESS SO AS TO INFLUENCE THE BID PROCESS

AND HAVE NOT COMMITTED ANY OFFENCE UNDER THE PC ACT

IN CONNECTION WITH THE BID.”

3. Proforma at Annexures I to III duly filled and signed along with necessary

Cover B:

Financial /price bid - shall contain the rates and amount for each item of work.

There shall not be any clause, added by the tenderers in the price

bid. Price bid with any clause and conditions other than rates and amount will be

summarily rejected.

7.2 The cover A & cover B shall then put together in another cover marked Cover C. All

the covers shall be sealed and superscribed with name of work, due date, name and

address & Contact No: of contractor.

7.3 Cover C shall be opened at 14:30 hrs on 11.04.2013 at the office of Civil Engineering.

At first cover A containing EMD and certificates from the contractor shall be opened.

In case the earnest money is not deposited or is not in order, the tender shall be

returned to the tenderer unopened either on the spot, if the tenderer is present or

later by post. Only a mention to this effect shall be made in the tender opening

register.

8. SELECTION CRITERIA

Selection criteria for qualifying the tenderers for opening the price bids in Cover ‘B’ of the

tender will be as below:

(I)

EXPERIENCE:

The tenderer should have successfully completed at least one similar work of value

not less than Rs.25 Lakhs OR Two similar works, each of value not less than Rs. 16

Lakhs OR Three similar works, each of value not less than Rs. 13 Lakhs, during the

preceding seven years ending with the date of submission of tender. The tenderer

shall furnish experiences with necessary documental evidences such as work

completion certificate, experience certificate etc. For works undertaken at Cochin

shipyard, copy of work order and last paid bill can be submitted as documental

evidence. In the case of experience from private sector, work completion certificate and

relevant TDS certificate shall be enclosed

Explanatory notes: Similar work(s) means civil maintenance/new works in

RCC/masonry buildings and industrial building and allied works etc.

a) If the tenderer is a partnership firm, the experience of the firm during the

preceding seven years as specified above, shall be taken into account.

Alternatively, in the absence of having the required experience, and if the

firm want to rely on the experience of its individual partners, the

experience, if any, of such individual partners during the preceding seven

years combined and put together will be taken into account for the purpose

of this tender. The partners shall be jointly and severally liable and

responsible for the performance of the contract in all respects and this

liability and responsibility of the partners should be incorporated /

reflected in the partnership deed. Otherwise a legally binding

unconditional agreement to the effect executed between all the partners of

the firm shall be furnished with the tender.

b) If the tenderer is a joint venture company / consortium of companies, the

experience of the joint venture company / consortium of companies during

the preceding seven years as specified above shall be taken into account.

Alternatively in the absence of having the required experience and if they

want to rely on the experience of the individual participating companies,

the experience of those participating companies will be taken into account

for the purpose of this tender, provided all the participating companies

(participants of the joint venture company or the consortium as the case

may be) enter into a legally binding unconditional agreement committing /

undertaking the individual participating company liable and responsible

for the performance of the contract in all respects and the same shall be

furnished with the tender. Further, all the participating companies shall

give a guarantee, jointly or severally, to the Cochin Shipyard Limited

making them liable for, and undertaking, jointly and severally, the

performance of the contract in all respects and shall be submitted along

with the tender.

c) If the tenderer is a subsidiary company and if they want to rely on the

experience of its holding company/or another subsidiary of the holding

company, the experience of such holding company / subsidiary will be

taken into account for the purpose of this tender, provided the tenderer

enter into a legally binding unconditional agreement with the holding

company/subsidiary company, committing / undertaking the holding /

subsidiary company liable and responsible for the performance of the

contract in all respects and the same shall be furnished with the tender.

Further, such holding company/subsidiary company shall give a guarantee,

jointly or severally, to Cochin Shipyard Limited making them liable for, and

undertaking, the performance of the contract in all respects and the same

shall be submitted along with the tender.

II) FINANCIAL TURNOVER:

Average Annual Financial Turnover of the tenderer during the last

three financial years ending 31st March 2011 shall not be less than Rs. 10 Lakhs.

An audited balance sheet and profit & loss Account for the preceding 3 years has

to be submitted in proof of financial turn over

a) If the tenderer is a partnership firm, the average annual financial turnover

of the firm for the last three financial years shall be taken into account.

Alternatively, in the absence of having the required financial turnover and

if the firm wants to rely on the turnover of its individual partners, the

financial turnover of such individual partners during the last three financial

years combined and put together will be taken into account for the purpose

of this tender. The partners shall be jointly and severally liable and

responsible for the performance of the contract in all respects and this

liability and responsibility of the partners shall be incorporated / reflected

in the partnership deed. Otherwise a legally binding, unconditional

agreement to the effect executed between all the partners of the firm shall be

furnished with the tender.

b) If the tenderer is a joint venture company / consortium of companies, the

said financial turnover of the Joint Venture Company / consortium of

companies shall be taken into account. Alternatively, in the absence of

having the required financial turnover and if they want to rely on the

financial turnover of the individual participating companies, the financial

turnover of those participating companies combined, put together and

consolidated will be taken into account for the purpose of his tender,

provided all the participating company (participants of the joint venture

company or the consortium as the case may be) enter into a legally binding

unconditional agreement committing / undertaking the individual

participating company liable and responsible for the performance of the

contract in all respects and the same shall be furnished with the tender.

Further, all the participating companies shall give a guarantee, jointly or

severally, to Cochin Shipyard Limited making them liable for, and

undertaking, jointly and severally, the performance of the contract and shall

be submitted along with the tender.

c) If the tenderer is a subsidiary company and if they want to rely on the

financial turnover of its holding company or another subsidiary of the

holding company, the financial turnover of such holding company /

subsidiary company will be taken into account for the purpose of this

tender, provided the tenderer enter into a legally binding unconditional

agreement with the holding company / subsidiary company, committing /

undertaking the holding / subsidiary company liable and responsible for

the performance of the contract in all respects and the same shall be

furnished with the tender. Further, such holding company / subsidiary

company shall give a guarantee, jointly or severally, to Cochin Shipyard

Limited making them liable for, undertaking, the performance of the

contract in all respects and the same shall be submitted along with the

tender.

III) FINANCIAL CAPABILITY:

The tenderer shall furnish financial capability certificate for an amount not less than Rs

2 Lakhs as per the proforma at Annexure-III along with the tender document, from his

bankers/ financial institutions, to the effect that the tenderer is financially sound and has

sufficient resources for executing the work as per schedule:

9. Price bid (cover B) of those tenderers who have qualified technically and submitted EMD

and the undertaking that Cover B does not contain any conditions shall only be opened

on a later date after giving notice to the qualified bidders. Tenderer should ensure that

his quoted amount as per cover B is not mentioned anywhere in other documents,

directly or indirectly. If any such mention is made the tender will become invalid and

shall become liable for rejection.

10 Late tenders, tenders with conditions and conditional rebates/discounts will be

summarily rejected.

11 During evaluation of the bid, CSL may ask for clarification of the bid. Request for

clarification will be in writing and the response shall be in writing. No other

correspondence regarding the status of the bids will be entertained

12 Evaluation of price bids shall be done on overall quoted amount basis.

13 The acceptance of a tender will rest with CMD who does not bind himself to accept the

lowest tender and reserves to himself the authority to reject any or all of the tenders

received without assigning any reason.

14 The tenderer should keep open the validity of the tender normally for 90 days from the date

fixed for its opening. However, it is also obligatory for the tenderer to keep the validity open

for another 60 days for which request in writing/Fax will be sent by SM (civil), before the

expiry of the original validity. The receipt of the intimation form the SM (civil) should be

acknowledged. Should any tenderer withdraw his tender before these periods, or make any

modifications in the terms and conditions of the tender, which are not acceptable to CSL, the

earnest money deposited by the tenderers shall be forfeited.

15 If any difference is found in different parts of the tender documents, the following will be

in order of precedence.

(i) Schedule

(ii) Special conditions

(iii) Condition of contract and instructions to tenderers.

16 Rates shall be both in figures and words. Rates quoted should be in Indian Rupees

inclusive of all taxes and duties, including service tax if any, in accordance with the

tender schedule.

17 The rates quoted by the contractor shall be for finished items of works including

supplying appropriate materials, labour, equipment/tools, conveyance etc. all complete,

unless specified in the tender schedule.

18 The tenderers are expected to have inspected the site, before quoting, read the conditions

thoroughly and understand the works in all respect. Clarifications, if any may be

obtained from the SM I (CE) before the tender is submitted, and if clarifications/details

are not obtained before the tender is submitted, no claim on this account will be admitted.

19 The contractor is expected to acquaint himself with the site conditions, labour situation,

wage and benefits applicable to labourers, working hours, out turn of work by labour and

the fluctuations which are likely to happen till the work is completed on all the above

aspects prior to quoting the rates. The submission of a tender by tenderer implies that he

has made himself aware of all the above situations and conditions. Any extra claim on

this account will not be entertained.

20 The contractor shall thoroughly study the specifications and

errors/omissions/modifications if any shall be brought to the notice of the Engineer-in-

Charge well in advance so that a final decision in the matter could be given in time.

21 All the AMC works are to be done on existing Buildings, all precautions shall be taken to see that

minimum disturbance is caused to the normal functioning of offices inside those Buildings. The

contractor shall not cause any obstruction in the building premises and the roads while

storing/keeping the materials/tools/equipment. All care shall be taken to keep the premises clean

without dumping any debris as far as possible.

22 The contractor shall provide green shade nets all around in the executing site to prevent dust

pollution to nearby working/office areas at no extra cost. The contractor shall taken into

consideration the above aspect while quoting for the work.

23 The contractor shall not be allowed to use the existing passenger lifts in the buildings for material

movements. Service lift, if any, can be used for material movement.

24 While undertaking the work extra care shall be taken to prevent any leakage of cement slurry/rain

water or falling of dismantled materials etc. Necessary protective arrangements as approved by the

Engineer-in charge shall be provided for this by the contractor at his own cost.

25 10% of the bill amount (less EMD) will be deducted as security deposit from each running

account bills and the total security deposit (less EMD) thus retained during the first year

(2013-2014) will be released after satisfactory completion of an observation period of six

months counted from the date of completion of works for first year and the total security

deposit and EMD for the second year (2014-2015) will be released after the observation

period of 6 months counted from the date of completion of works for second year.

Security Deposit will not accrue any interest.

26 The contractor or his authorized technically qualified representative shall be available at

CSL throughout the period of contract for receiving instructions from department,

arranging and executing the work.

27 The Contractor / representative shall report at the office of the Engineer-in-charge on all

working days before 8:30 hrs and receive instruction regarding the works.

28 The Contractor may have to work round the clock including holidays, if required to

complete the work in time without any extra cost. However works executing out of office

hours and holiday shall be informed to the Engineer-in-charge well advance and get his

clearance.

29 The normal working time of the CSL is from 8.15 A.M. to 5.00 P.M on all weekdays and

Saturdays with half an hour interval from 12.15 noon to 12.45 P.M. All Sundays, second

Saturday and fourth Saturday are holidays. If the Contractor wishes to carry out the work

beyond normal working hours and or on holidays, he should get specific approval from

the Engineer-in-Charge for the same. Necessary supervision will be arranged by the

department.

30 It is presumed that all the jobs cropped up during the contract period as a routine

maintenance as well as preventive maintenance or of special requirement jobs, the

contractor shall abide to execute those jobs. In case contractor fails to complete the jobs as

the scheduled or shown reluctance in attending routine / special nature of maintenance

jobs the same shall be got attended at the risk and cost of the contractor as per the

requirement of CSL and the decision of Engineer in Charge shall be final and binding

31 .This work is planned to be executed through more than one contractor. The quantities

mentioned in the tender schedule is approximate quantities only, and likely to be

changed based on requirements. Payment will be made as per actual quantity of work

done at the agreed rates. CSL reserves the right to award this work to a maximum of five

contractors. The tenderers cannot make any claim on this account. The maximum

amount of work one contractor has to execute is limited to Rs. 31 Lakhs per year. L1, L2,

L3, L4 and L5 tenderers will be considered for award of work. First the tender from L1

will be processed and if the L1 tenderer agrees to the CSL terms and conditions the work

will be awarded to him at mutually agreed rates. If L2, L3, L4 and L5 tenderers are

willing to execute the work at the same terms and conditions and rates agreed with L1,

then they also will be considered for award of work. Suppose some one between L2 to L5

is not willing opportunity will be given to next lowest tenderer.

32 The successful tenderer will be required to execute an agreement at his expense on proper

value Kerala State Stamp Paper in the prescribed departmental form.

33 In the event of the tenderer, after the issue of work order by CSL, failing / refusing to

execute the agreement, the tenderer shall be deemed to have abandoned to the contract

and such an act shall amount to and be construed as the contractors calculated and the

willful breach of the contract, the cost and consequence of which shall be to the sole

account of the tenderer and upon such an event CSL shall have full right to claim

damages therefore either together with or in addition to the forfeiture of Earnest Money

Deposit.

34 The contract shall come into effect on the date of signature of both the parties on the

contact (effective date) and shall remain valid until the completion of the obligation of the

parties under the contract. The deliveries, supplies and performance of the service shall

commence from the effective date of the contract.

35 All notices / written orders issued by CSL to the contractor under the terms of the

contract shall be served by sending by Post or Fax or Email or delivering the same to the

contractors authorized site official nominated for this purpose.

36 The Cochin Shipyard is an International Ship & Port Facility Security (ISPS) code

compliant Shipyard and the contractor is obliged to comply with the provisions of the

code in force and as amended from time to time. The site for the proposed work is a

protected area and hence security rules and regulations including obtaining work

permits, obtaining entry / exit passes including photo passes for men, vehicles and

materials etc. for entering the area shall be observed by the contractor.

Contractor/workers should produce police clearance certificate, passport or any other

photo ID cards approved by CSL and Medical Fitness Certificate, issued by recognized

medical practitioner (Allopathy) to get entry pass to Shipyard area.

37 All labour, skilled or unskilled shall be provided by the contractor. The contractor shall

maintain sufficient team of Plumbers, Carpenters, Masons, Helpers etc. (on 24 hour call

basis) to ensure timely completion of maintenance works.

38 Settling any dispute with the labour/ subcontractor will be contractor’s responsibility.

The workers engaged for works should have sufficient knowledge and experience in the

respective fields. This shall be proved to the Engineer-in-charge.

39 If the contractor abandons the contract or fails to commence the work in time or suspend

the work for long duration (15 days), without valid reasons acceptable to CSL, labour

dispute with their workers, poor safety records etc CSL will terminate the contract and

arrange the work at the risk and cost of the contractor. In such case EMD & Security

Deposit will be forfeited forthwith.

40 The tender documents are to be returned along with the tender, duly signed by the

contractor in all pages.

41 The contractor shall bring all necessary machinery and equipments required for the work.

42 Contractor shall be permitted to use artificial crushed sand (fine aggregate) in place of

“clean river sand” subject to the approval Engineer in charge

43 Cochin shipyard reserves the right to award the work to one or more contractors or delete

any part of the work from the scope of the contract or cancel the tender without assigning

any reason.

44 The work shall be carried out without damaging any of the existing structures/

structures under construction/ underground pipelines or cables etc in the locality. If any

damage occurs to the CSL property, by the contractor’s operation shall be compensated /

made good at contractor’s risk and cost to the satisfaction of the Engineer-in-Charge of

the works, failing which department will do the rectification work and the cost incurred

will be recovered from his bill or from security deposit.

45 Relevant I.S. codes are to be followed for all items of work, any deviation for the work are

found with this tender documents, Indian Standard specifications and Kerala Public

Works Department specifications are to be followed. If specifications are silent about any

aspect, other codes as directed by the Engineer-in-charge will be followed. In the absence

of any code dealing with particular aspect, sound engineering practice shall prevail.

Decision of the Engineer-in-charge in this respect will be final. In case there is a difference

between Indian standard code and KPWD specification, the former shall prevail.

46 All materials to be used on the work will have to be got approved by the Engineer-incharge

before use. Unless otherwise decided by the Engineer-in-charge all the materials

are to be procured by the contractor.

47 Contractor shall work in close co-ordination with other agencies working in the same

work site at the same time. The space for storage of materials for each work should also

be decided by mutual agreement among the contractors working in the same area. CSL

will not entertain any claim regarding non-availability of space for storing materials nor

can enter into any discussion to settle the dispute between contractors regarding usage of

space for storing materials etc.

48 Electric power supply from KSEB grid is available in CSL but cannot ensure

uninterrupted power supply. There can be restriction in supply of power by KSEB.

Contractors shall take note of this situation.

49 The Following services will be issued free of cost depending on availability. Contractor

has to make his own arrangements to avail the same at his risk and subject to satisfying

statutory rules and regulations if any.

a. Electricity

b. Water

c. Oxygen

d. Acetylene

e. Carbon dioxide

f. LPG

g. Wire rope

h. Welding set with fuel and cable.

i. Hose with regulator and cutting torch

j. CSL cranes / Forklifts / Trailer/Mioshi/Transporter

50 Waste materials are to be cleared from site on a day-to-day basis. Each area of working is

to be cordoned off with necessary signboards and barriers to ensure safe transportation of

men and material by CSL in the area as directed by the Engineer-in-charge.

51 SM (CE) shall have the right to take possession of or use completed or partially

completed part of the work. Such possession or use shall not be deemed to be an

acceptance of such work. After completion of all the works, the contractor has to clear all

the debris and make the area neat and tidy at the site. The final bill shall be paid only

after the certification by safety department to this effect.

52 It is the responsibility of the contractor to follow all safety rules and regulations in force,

during the currency of contract in CSL, and any violation of the same during the course of

work will be at the risk and cost of the contractor and will attract penal action. Copy of

CSL Safety manual is available in the Office of SM (CE) and the same may be referred

before quoting the rates.

53 Any violation of Safety rules by the contractor, safety department will impose penalty of

Rs 1000/- to Rs 5000/- depending on the gravity of violation. Action for debarring the

contractor also will be taken in case of repeated violation. Any accident caused due to

safety violation and any damage to the company property suitable penalty will be

imposed by CSL including termination of contract, if required.

54 The quantities given in the Schedule of quantities are only approximate and payment will

be made as per actual quantity of work done and rate finalized.

55 For all items brought from outside to be used/ consumed on the work, Material

Declaration forms with work order number shall be obtained from Security section and

the same shall be submitted at the office of the Engineer-in-Charge.

56 For works at height and excavation / trench openings and night work, Work permit from

safety department has to be obtained.

57 Welding Sets without ELCB and Safety Relay will not be permitted at site. Necessary

instructions regarding safety shall be strictly adhered to by the agency during the course

of the work.

58 Since this is a maintenance work, which is generally of urgent nature and required to be

undertaken on continuous basis, therefore, the contractor shall be required to attend the

complaints/ maintenance jobs on holidays including Saturday & Sunday and on late

hours. Nothing extra will be paid for working during the late hours and on holidays.

Contractor shall quote the accordingly. Contractor will have to make all necessary

arrangements for security & safety of his persons and material at work place like

providing safety belts, shoes, helmets, proper illumination of work place and necessary

security arrangements, etc. and accordingly the tenderer are advised to quote the rates.

59 During the execution of work/ attending the complaints at site it will be the

responsibility of the contractor to arrange and provide necessary barricading/ colour

tapes/ caution boards for smooth execution of the same.

60 Within the CSL’s premises, the Contractor’s personnel shall not do any private work

other than their normal duties.

61 CSL also reserves the right to ask the Contractor to remove particular person(s) from site

with immediate effect if in the opinion of CSL, his behavior/performance is not upto the

mark and/or found indulging in unlawful activities, Contractor shall immediately

comply with such instructions.

62 Contractor’s Engineer shall ensure that the complaints regarding carpentry, water

leakages and plumbing shall be attended on same day without any fail.

63 The monthly payment shall be based on the bill submitted by the contractor. The bill for

previous month along with detailed measurement shall be prepared and submitted on

7 th working day of the current month and payment shall be released within one month

from the date of submission of claim (bill) by the contractor date of acceptance of the bill

by both parties which ever is later .The contractor shall submit running account bills in

one copy along with joint measurements. The contractor shall inform the Engineer in

Charge or his representative well in advance for recording the joint measurement. The

contractor shall raise only one bill in a month and shall submit the bill after joint

measurement.

64 For the completed items of the work 75% of the net amount payable on each bill can be

paid as advance by CSL at the discretion of SM (CE), on a request by the contractor and

on the recommendation of the Engineer-in-charge.

65 The final bill shall be paid within two months from the date of submission of claim (bill)

by the contractor or completion of all the items of work or date of acceptance of the bill by

both parties which ever is later.

66 All routine complaints shall be attended promptly and possibly within 24 hrs. The

compliance period for the bigger complaints shall be mutually decided and recorded. For

the complaints not attended within 24 hrs. or as per the satisfaction of Engineer In Charge

a token penalty @ of Rs. 500/-per day delay per complaint shall be recovered. The loss if

any made to the company’s property during the course of attending the maintenance jobs

shall be made good by the contractor. Failing to do so the EIC‘s decision shall be final for

deducting necessary amount from the Contractor’s outstanding bills. The total recovery

on all such accounts shall be to the ceiling limits of 10% of the contract value.

67 Failing to comply with the specified maintenance jobs by the contractor as per the scope

of the work, EIC shall be empowered to get the same completed through another party

on risk and cost of the contractor, after necessary notice to the contractor in writing. The

amount incurred on this account shall be recovered from the due payments/ bills of the

contractor as per contract agreement.

68 The Contractor shall obtain adequate insurance policy in respect of his workmen to be

engaged for the work, towards meeting the liability of compensation arising out of

death/ injury/disablement at work, etc.

69 The Contractor shall maintain all records/registers, in connection with the maintenance

work, such as Maintenance diary to record day to day work, complaint register, etc. any

additional documentation as may be required by the CSL from time to time shall be

maintained by the contractor.

70 The workmen are strictly banned from use of any kind of Narcotics drugs / Alcohol /

smoking etc inside CSL and any illegal activity by the work men should be reported to

EIC without delay and the contractor shall remove such persons from CSL premises

forthwith.

71 The contractor shall be responsible for the true and proper setting out of the works and

for the correctness of the position, levels, dimensions, and alignment of all parts of the

works and for the provision of all necessary instruments, appliances and labour in

connection therewith. If at any time during the progress of the work any error shall

appear or arise in the position, level, dimension or alignment of any part of the work, the

contractor on being required to do so by the Engineer in charge, shall at his cost rectify

such errors to the satisfaction of the Engineer in charge. The checking of any setting out

or of any line or level by the Engineer in charge shall not in any way relieve the

contractor of his responsibility for the correctness thereof. The contractor shall provide all

necessary instruments, appliances and labour required for the Engineer in charge for

checking, if any, of the setting out. The contractor shall carefully protect and observe all

bench marks, site levels, pegs and other things used in setting out the works.

72 The tenderer shall specify the PAN No: allotted to him so that GM (Fin) can ascertain his

liability to the Income Tax Department. The income tax/KVAT/ any other statutory

taxes, as per the rules /directions of the concerned departments, prevailing in force at the

time of payment of bills will be deducted while making payment or when crediting the

amount to the account.

73 The contractors registered under the Kerala Value Added Tax Act, 2003 shall produce a

Liability Certificate, along with the bill, in relation to the works contract, from the

Assessing Authority showing the tax liability or tax remittance as the case may be and the

works contract tax deduction will be made accordingly. Otherwise Works Contract tax

@8% plus CESS as applicable in the case of registered contractors and @10% plus CESS as

applicable in the case of unregistered contractors will be deducted from the payment

released against the contract.

74 The tenderer shall furnish documentary evidence in support of Valid Service Tax

Registration. Service Tax Registration number is to be clearly mentioned in the

tender.50% of Service Tax prevailing in force at the time of payment of bill will be

deducted while making payment to the contractor .While submitting all the running

account bills the contractor has to specifically mention the taxable value of work done

and its service tax component, separately, totaling to the bill value.

75 All rejected materials shall be removed with in 3 days from the date of written order to

that effect. In case the rejected materials are not removed within the specified period

mentioned above the same will be removed by CSL at the cost and risk of the contractor.

76 CSL is an ISO 9001, ISO 14001 and ISO 18001 certified firm. All the contractors and

subcontractors shall comply with the measures related to the Quality, Health, and Safety

& Environment (QHSE) policy of CSL. Any clarification related to IMS requirements of

the yard, may be obtained by the contractor from the Engineer in charge or the

authorized representative of the contract, prior to the commencement of work.

77 It will be mandatory for the bidders to indicate their bank account numbers and other

relevant E-payment details so that payments could be made through NEFT mechanism

instead of payment through cheques.

78 Secured advance shall be given for non-perishable materials as provided in Clause 15 of

Conditions of Contract of GCC. Cement, Sand and different grades of hard granite

broken stones will not considered as a non-perishable item. For materials brought

without valid material Declaration forms issued from CISF Security section of CSL,

Secured advance shall be paid against a Bank Guarantee for an equivalent amount.

Decision of the Engineer in Charge to this aspect will be final.

79 The contractor shall report to the Engineer-in-Charge details of any accidents as soon as

possible after its occurrence. In the case of any fatal or serious accident, the contractor

shall in addition, notify the local police authorities immediately by available means.

80 All materials not herein detailed and fully specified but which may be required for use on

works, shall be subjected to the approval of the Engineer-in-Charge without which they

shall not be used anywhere in the permanent works.

81 CSL shall not be liable for, or in respect of, any damages or compensation payable at law

in respect or in consequence of any accident or injury to any workmen or other person in

the employment of the contractor or any sub-contractor, except an accident or injury

resulting from any default of CSL, the contractor shall indemnify and keep CSL

indemnified against all such damages and compensation and against all claims, demands,

proceedings, costs, charges and expenses whatsoever in respect thereof or in relation

thereto.

82 The contractor shall insure against such liability and shall continue such insurance during

the whole of the time that any persons are employed by him on the works. Provided that,

in respect of any persons employed by any sub-contractor, the contractor’s obligations to

insure as aforesaid under this sub-clause shall be satisfied if the sub-contractor shall have

insured against the liability in respect of such persons in such manner that CSL is

indemnified under the policy, but the contractor shall require such sub-contractor to

produce before CSL, such policy of insurance and the receipt for the payment of current

premium.

83 The contract involves an obligation of secrecy and the contractor, his agents, servants or

sub-contractor or their agents or servants shall observe and comply with the

requirements of the Indian Official Secrets Act 1923, and the rules there under or any

statutory modifications or re-enactments thereof. Any breach of this clause shall

constitute a breach of the contract. The contractor shall not disclose to anybody the details

of drawings prepared for the work without the approval of CSL. No photographs of the

CSL area shall be taken or permitted by the contractor to be taken by any of his

employees without the approval of the competent authority and no such photographs

shall be published, or otherwise circulated without the approval of CSL.

84 Canvassing in connection with tender is strictly prohibited and tenders submitted by the

contractors who resort to canvassing will be liable to rejection.

85 The works should be arranged without causing disruption to the CSL water supply

systems and strictly as per the direction of the Engineer-in-charge of the work.

86 The tenderers shall have to sign in each page of the tender documents with official

stamp as a token of his acceptance of the conditions stated therein.

87 Cochin shipyard reserves the right to delete any part of the work from the scope of the

contract or cancel the tender without assigning any reason.

88 The period of contract will be 2 years up to 31.3.2015. But CSL will have the discretion

for extending the contract for a further period of 3 months, if it is necessary to do so

under any specific conditions, on the same rates, term and condition of contract.

89 Any dispute(s) or differences arising out of or in connection with the Contract shall, to

the extent possible, be settled amicably between CSL and the contractor. Any litigation in

connection with contract shall be subjected to the exclusive jurisdiction of the Courts at

Kochi, India.

90 Tenders duly filled shall be deposited in the Tender Box kept in the office of the Civil

Engineering Department. before the date and time as specified in the Tender Notice.
