Golf Outing at Shula’s Golf Club

The Senator Course at Shula’s Golf Club is a classic

style course located in the serene town of Miami Lakes.

Players of all skill levels will be challenged by 18 holes

of peaceful, beautiful and engaging golf.

Registration for this event includes transportation to

and from the hotel. A box lunch will also be provided for

all golfers at the golf course. Tickets are available for

purchase on the exhibit application. Golf fees are $130

per person and club rentals are available for $65 each.

Join IACC attendees aboard The Floridian

Princess for a sunset cruise and dinner along

the beautiful intracoastal waterways. After

dinner the boat will be docked near the Eden

Roc. Stay onboard for drinks and music until

10:00 p.m. This luxury charter yacht is known

for its elegance, seating on two decks and a

custom bar that can only be described as “the

ultimate yacht bar.” Dinner and open bar are

This Tabletop Exhibit & Sponsorship Application

(Application) is a solicitation by the International

Association of Commercial Collectors, Inc. (IACC) for

an offer from the Applicant to purchase exhibit space

and/or sponsorships at IACC’s 42nd Annual Convention,

herein referred to as “IACC Event.” Upon signing this

Application, the Applicant agrees that they are making

an initial offer to IACC.

WHEREAS, IACC is an international trade association

providing services and benefits to its members who

are substantially engaged in the commercial collection

industry; and

WHEREAS, Exhibitor desires to exhibit its goods or

services for potential sale to IACC members at the IACC

Event; and

WHEREAS, the Exhibitor has acknowledged receipt of

the Exhibit Space & Sponsorship Rules and Regulations,

which are incorporated by reference and are a part of

this Application and part of any contractual agreement

between the Parties;

NOW THEREFORE, in consideration of the mutual

covenants and promises herein, the Parties agree to the

following:

OBLIGATIONS OF THE PARTIES

Obligations of IACC: IACC agrees to provide exhibit

space and/or sponsorships at the IACC Event under the

terms and conditions set forth in the Exhibit Space &

Sponsorship Rules & Regulations.

Obligations of Exhibitor: Exhibitor agrees to abide by the

terms and conditions set forth in the Exhibit Space &

Sponsorship Rules & Regulations and agrees to pay the

fees as outlined in this Application.

TERMS AND CONDITIONS

1. APPLICATION TO FORM A CONTRACT

1.01 Upon acceptance by IACC of an application,

a binding contractual agreement shall be formed

between the Parties. The agreement shall include the

Application and the Exhibit Space & Sponsorship Rules

& Regulations. The Exhibitor, their employees, agents

and IACC agree to be bound by the terms of such

contract. Acceptance will be given to Applicant via mail,

fax or e-mail from an IACC representative. Also upon

acceptance, the “Applicant” becomes the “Exhibitor

referred to in the Exhibit Space & Sponsorship Rules &

Regulations if the Applicant is applying for exhibit space

and/or the “Applicant” becomes the “Sponsor” if the

Applicant is applying for a sponsorship.

1.02 The person listed as the Tradeshow Coordinator

on the Application will serve as the official contact

with IACC. This person will receive all pre-event

and post-event exhibit confirmation materials and

correspondences, and is referred to as the Tradeshow

Coordinator (TSC). The TSC will be responsible to notify

booth registrants of all correspondences with IACC as

they relate to their participation in this IACC event.

2. QUALIFICATIONS OF EXHIBITORS

2.01 IACC reserves the right to accept or reject an

Application for exhibit space and sponsorship regardless

of IACC membership status or classification. Only the

authorized signature, including electronic signatures, of

an IACC representative via mail, fax or e-mail shall serve

as acceptance by IACC. All exhibitors must provide a

product or service that is specific and/or essential to the

commercial collection industry.

3. PAYMENT OF FEES

3.01 Applicant agrees to pay the fees set forth in

the Application. Applications for exhibit space must be

accompanied by the required payment and both pages of

the Application. Applications with which payment is not

accompanied will be delayed in processing, delayed in

assignment of space or sponsorship and may be rejected.

4. REFUNDS, EXCHANGES AND ADDITIONS OF

EXHIBITING PERSONNEL

4.01 Full refunds will be granted for exhibit registrants

only if IACC is notified in writing of the need for a

refund on or before Dec. 10, 2012. If written notice

is provided on or after Dec. 11, 2012, only exchanges

or cancellations, without refund, will be granted. See

Section 9 for information on cancelling your tabletop

exhibit.

4.02 Additional registrants may be added after

acceptance of this Application. Exchanges are allowed

and can only be made between personnel in the same

exhibiting company. Exhibit Space & Sponsorship Rules

& Regulations apply to all exhibit registrants.

5. SPACE ASSIGNMENT

5.01 This IACC Event will take place at the Eden Roc

Renaissance Miami Beach, 4525 Collins Avenue, Miami

Beach, FL, 33140, hereinafter referred to as Facility.

5.02 The Exhibitor may have access to the exhibit

space during the times listed on the most recent IACC

Event agenda, available from IACC staff. These dates and

times are subject to change. Exhibitor should review the

agenda prior to making hotel and air fare arrangements.

5.03 IACC shall provide applicant with a floor plan of

the exhibit area which is subject to change. IACC agrees

to provide the applicant with timely updated floor plan

if it changes. Each exhibit space will be assigned a

number which the applicant shall use in the application

to designate any preferred exhibit space.

5.04 Every effort will be made to assign the Exhibitor

to one of their preferred spaces; however, IACC

reserves the right to make the final space assignment

or change the space assignment after acceptance of the

Application, should it be necessary.

6. BOOTH, EXHIBIT SPACE & EQUIPMENT

6.01 Standard booth equipment for each tabletop

exhibit consists of: One 6’ draped table, two chairs and

one complimentary exhibitor registration, as defined

in the Exhibitor & Sponsor Prospectus. All additional

decoration or construction will be at the exhibitor’s

expense. Floor displays will be allowed— however, in

order to accommodate the space available, bringing a

floor display may result in a smaller table or no table. Any

food or beverages served at the Exhibitor’s booth must be

pre-approved by IACC and ordered through the Facility.

6.02 Any portion of an exhibit that, in the reasonable

judgment of IACC, obstructs the view, interferes with

the privileges of other exhibitors, extends beyond the

designated booth space or for any reason becomes

objectionable, must be immediately modified or removed

by the Exhibitor at the event. All booth equipment

furniture and carpeting must be confined to the measured

limits of the booth. No nails or bracing wires used in

erecting displays may be attached to the building without

consent of the Director of Convention Services (DCS)

or equivalent authorized Facility personnel. Any tape

applied to the walls, floors, carpets, furnishings, etc.

must be approved by the DCS or equivalent authorized

Facility personnel prior to application.

6.03 All Facility or IACC property destroyed or

damaged by the Exhibitor must be replaced in its original

condition by the Exhibitor or at the Exhibitor’s expense.

All materials must conform to local building and fire

department codes and all local fire authority regulations

must be observed.

6.04 Assigned exhibit space cannot be shared between

two companies. Space assigned to the Exhibitor is for

their exclusive use. Exhibitor shall not assign or sublet

any space allocated to them without the duly signed

consent of IACC and any attempted assignment shall be

null and void. Exhibitor agrees to not advertise or display

goods other than those manufactured or sold by them

in the regular course of their business and as may be

described in the Application.

6.05 IACC will establish exhibit hours and reserves the

right to make changes. Each exhibitor is required to keep

at least one exhibiting personnel in their booth during all

exhibit hours.

6.06 Each Exhibitor will have their exhibit in place

before the official opening of the exhibition and have

their exhibit dismantled and removed after the closing

of the exhibition. The Exhibitor assumes all risk for

the shipment and delivery of all property shipped by

the Exhibitor and agrees that early teardowns are not

permitted. The act of tearing down a booth consists

of dismantling or removing any booth or marketing

materials that have been used during the course of

the IACC Event at any point before the stated tear

down hours. The exception to this policy states that an

exhibitor can submit a request to tear down early during

non-show hours. The request must be made in writing

and must be received by the IACC meetings department

staff by Nov. 5, 2012. All submissions will be considered,

but the final decision is at IACC’s discretion.

6.07 Exhibitor may not coordinate activities or

functions at their exhibit booth if the same function is

being sponsored by another exhibitor or if the same

function is on the list of available sponsorships. Exhibitor

and/or Sponsor must obtain written permission from

IACC prior to coordinating or advertising any activities or

functions that involve food, beverage or hotel meeting

rooms. Exhibitor and/or Sponsor may not coordinate,

advertise, host or invite IACC Event attendees to non-

IACC hosted activities or functions if those activities or

functions are at the same time as any hosted by IACC.

Any food or beverages served at Exhibitor’s booth or preapproved

meeting space must be pre-approved by IACC

and ordered by IACC through the Facility. No outside food

or beverage can be brought into the Facility meeting and

function space.

7. DELIVERY & STORAGE OF EQUIPMENT

7.01 Exhibitor shall be responsible for the delivery of

their equipment and display material and for removal of

the equipment and display materia. Exhibitor understands

that no security will be provided in the exhibit area and

that any valuables should not be left unattended.

8. EXHIBITOR SERVICES

8.01 After acceptance of application by IACC, the

Exhibitor will receive electrical, internet and shipping

forms outlining equipment and services available at the

IACC event.

9. INSURANCE & CANCELLATION

9.01 IACC shall not be responsible for injury to

persons, damage to or loss of property. Exhibitor agrees

that Exhibitor assumes the entire responsibility and

hereby agrees to protect, indemnify, defend and hold

IACC, its employees and agents harmless against all

claims, losses and damages to persons or property,

governmental charges, or fines and attorneys fees arising

out of, or caused by Exhibitor’s installation, removal,

maintenance, occupancy, or use of the exposition

premises, or a part thereof.

9.02 Exhibitor shall be fully responsible to pay for

any and all damages to property owned by the Facility,

its owners or managers, which result from any act

or omission of Exhibitor. Exhibitor agrees to defend,

indemnify and hold harmless, the Facility, its owners,

managers, officers or directors, agents, employees,

subsidiaries and affiliates, from any damages or charges

resulting from Exhibitor’s use of the property. Exhibitor’s

liability shall include all losses, costs, damages, or

expenses arising from, out of, or by reason of any

accident or bodily injury or other occurrences to any

person or persons, including the Exhibitor, its agents,

employees, and business invitees which arise from or

out of the Exhibitor’s occupancy and use of the exhibition

premises, the Facility or any part thereof, excluding any

such liability caused by the sole negligence of Facility.

9.03 Exhibitors agree to maintain such insurance that

will fully protect IACC and the Facility from any and all

claims of any nature whatsoever, including claims under

any Worker’s Compensation Act, and for personal injury,

including death which may arise out of the installation,

operation or dismantling of the exhibitor’s display.

Exhibitors are on notice that they are encouraged to add

onto their existing insurance or portal-to-portal rider

protecting them against the loss or damage to their

materials by fire, theft, accident, etc. IACC reserves the

right to request proof of such insurance.

9.04 Exhibitors shall abide by all federal, state and city

laws, ordinances and regulations.

9.05 IACC and the Facility, their agents and employees,

will not be liable for failure to hold the event as

scheduled. Payment for exhibit space will be returned

in that event, less any actual expenses incurred in

connection with the event. If the event is relocated,

delayed or cancelled prior to the opening date because

of fire, any act of God, the public enemy, strike, epidemic,

acts of war or terrorism, any law or regulation, public

authority or any reason which makes it impossible or

impracticable to hold the exposition, payment will be

refunded for each day the event is not fully operational.

This is the maximum liability for which IACC shall be

liable under this contract.

9.06 In the event Exhibitor cancels assigned space,

IACC will refund 50 percent (50%) of the amount paid

only if Exhibitor provides written notice of cancellation to

IACC on or before the Cancellation Cut-Off Date of Nov.

9, 2012. After the Cancellation Cut-Off Date, no refund

of payment will be made. IACC shall have the right to

resell the assigned space. The date upon which notice is

received by IACC shall be the official date of cancellation.

10. DISTRIBUTION OF PROMOTIONAL MATERIALS

BY EXHIBITORS AND SPONSORS

10.01 Circulars or advertising material of the Exhibitor

or any related entity shall be distributed only within the

exhibit table assigned to the Exhibitor. Such materials

shall not be distributed to any other area of the exhibit

area or to the hotel rooms of the IACC Event registrants

or in any area of the Event facilities unless approved by

IACC.

10.02 Circulars or advertising material of a Sponsor or

any related entity are not permitted, and shall not be

distributed within the exhibit area or to the hotel rooms

of the IACC event registrants or in any other area of the

Facility unless approved by IACC.

10.03 Each Exhibitor is responsible for obtaining their

own license and permission for any copyrighted music or

other intellectual property used.

11. EXHIBITOR CONDUCT

11.01 Exhibitor or any of its representatives shall not

conduct itself in a manner offensive to standards of

decency or good taste.

11.02 By attending any IACC event, you are authorizing

IACC to use your image in any promotional or

informational material produced by or on behalf of IACC.

12. AMERICANS WITH DISABILITIES ACT

12.01 If Exhibitor has a disability that may impact

participation in this event or has special dietary

restrictions, a statement must be attached to this

contract regarding that condition and all related needs.

IACC does not assure the availability of appropriate

accommodations without prior notification of specific

need.

13. LIMITED WARRANTY

13.01 The Parties agree that IACC does not warrant or

guarantee any specific level of traffic at this IACC Event.

Exhibitor assumes the sole risk with regard to the amount

of business traffic at this Event. IACC shall not be liable

to Exhibitor for any reduction in traffic at the Event and

shall make no refund or other exchange with regard to a

decrease or reduction in expected traffic.

14. SPONSORSHIP

14.01 If sponsorship opportunities are available at this

Event, Applicant may apply to sponsor such opportunity

or item by themselves or with one other applicant. If

co-sponsoring, IACC reserves the right to modify the

benefits package for each co-sponsor to accommodate

the amount paid by each co-sponsor.

14.02 If the Applicant enters a sponsorship dollar

amount, sponsorship item or otherwise affirmatively

indicates their offer to sponsor one or more specific

sponsorship opportunities, they agree that an acceptance

by IACC of their application shall be binding on them to

make all required payment for sponsorship immediately

upon acceptance of the sponsorship offer.

14.03 IACC reserves the right to accept or reject

sponsorship applications in its sole discretion.

14.04 Benefits of sponsorship are defined in the

accompanying sponsorship opportunities materials and

are incorporated herein by reference.

14.05 Sponsorships are non-refundable.

15. TERMS, CONDITIONS & RULES

15.01 IACC shall have full power to interpret these

regulations. Matters not covered by these Rules shall be

subject to final decision by IACC.

15.02 These Rules may be amended at any time upon

written notice by IACC to the Exhibitor or the Sponsor.

Distribution to any representative of the Exhibitor or the

Sponsor shall constitute notice.

16. SEVERABILITY & NON-WAIVER

16.01 Any provision of the agreement between the

parties found to be invalid will be severable and the

remainder of the agreement will remain effective. The

failure of any Party to insist, in any one or more instance,

upon the performance of this Agreement, or the failure

to exercise any right or privilege herein conferred, shall

not be construed as a waiver of any such covenant,

conditions, rights, or privileges, but the same shall

continue and remain in full force and effect.

17. COUNTERPARTS

17.01 The agreement between the parties may be

executed in separate counterparts, each of which when

so executed and delivered shall be an original.

18. ARBITRATION

18.01 Any controversy arising out of or related to the

agreement between the parties, or the breach thereof,

shall be settled by arbitration in accordance with the

Rules of the American Arbitration Association (AAA) in

Minneapolis, Minn. Another location for arbitration under

the Rules of AAA may be chosen, if mutually agreed upon

by the Parties.

18.02 A judgment upon the award rendered by

the arbitrators may be entered in any court having

jurisdiction thereof in accordance with Minn. Stat. §

572 et seq. and Minn. R. Gen. Prac. § 114.09 except

as otherwise provided herein. Any arbitration shall

be conducted by a panel of three (3) arbitrators. The

arbitrators shall have all powers of a court of law in

the relevant jurisdiction. Such powers shall include but

shall not be limited to: (a) the power to issue temporary

restraining orders and injunctions; (b) the power to

award damages; (c) the power to issue subpoenas; and

(d) the power to issue all orders and to take all actions

necessary to enforce their jurisdictions as granted in the

Agreement and as set forth in Minn. Stat. § 572 et seq.

including the power to make application to a court of law

in the relevant jurisdiction to complete enforcement of

the arbitrators interlocutory and final awards and rulings.

18.03 The prevailing Party in any arbitration proceeding

herein shall be awarded its costs and expenses including

reasonable attorney fees.

19. GOVERNING LAW

19.01 The agreement between the parties is made

pursuant to the laws of the State of Minnesota and shall

be construed in accordance with those laws.

20. HEADINGS

20.01 Headings in this Agreement are for reference only

and shall not affect the interpretation of the Agreement.

21. RELATIONSHIP OF THE PARTIES

21.01 The Parties agree that this Agreement shall not

establish a partnership, joint venture or principal/agency

relationship between the Parties.
