BY-LAWS<br />
Preamble: These <strong>By</strong>-<strong>Laws</strong> are created to prescribe the general<br />
principles that are required for the conduct of business for the<br />
Club but, are not meant to be an all inclusive description of<br />
details covering every condition that may occur. Therefore the<br />
Club has created a document of <strong>Rules</strong> and <strong>Regulations</strong> and a<br />
Policy Book covering items that arise from time to time and<br />
require expanded explanation. These <strong>Rules</strong> and <strong>Regulations</strong> and<br />
Policies are available to members upon request. The Policies are<br />
contained in a Policy Book in the office of the Club. These<br />
<strong>By</strong>-<strong>Laws</strong> are created by the Board of Directors and approved by<br />
the membership and shall only be revised by a vote of the<br />
membership.<br />
ARTICLE I<br />
Section l: Name<br />
Mission Valley Golf and Country Club, Inc. (the Club) is a Florida<br />
not for profit corporation operating under paragraph 501 C 7 of<br />
the tax codes.<br />
Section 2: Purpose<br />
The Club’s purpose is to operate a golf course, tennis courts,<br />
clubhouse, and related facilities for the benefit and enjoyment of<br />
its members.<br />
Section 3: Principal Business<br />
The Club’s principal place of business is at Mission Valley, 1851<br />
Mission Valley Boulevard, Nokomis, Sarasota County, Florida<br />
34275.<br />
ARTICLE II<br />
Section 1: Board of Directors<br />
The governance of the Club is vested in a Board of Directors
(Board) consisting of nine (9) voting members of the Club, as<br />
defined in Article IV of these <strong>By</strong>-<strong>Laws</strong>. A Board member serves a<br />
3-year term and may not serve more than two consecutive 3-<br />
year terms. A Board member serving to fill a vacancy may serve<br />
two consecutive additional full three year terms.<br />
Section 2: Filling Vacancies on the Board<br />
A. Appointment by the Board<br />
The Board may fill a vacancy on the Board that occurs for<br />
reasons other than the normal expiration of an elected term. If<br />
the vacancy occurs more than 100 days prior to an annual<br />
meeting, the newly appointed member serves until that<br />
meeting. If the vacancy occurs within 100 days of an annual<br />
meeting, the newly appointed Director serves until the<br />
expiration of the term of the replaced Director or until the<br />
second annual meeting after the vacancy occurs, which ever<br />
comes first.<br />
B. Election at Annual Meeting<br />
1. At the annual meeting the voting members shall elect,<br />
from a slate of candidates, a voting member to fill each<br />
vacancy on the Board arising out of the expiration of an<br />
elected or appointed term. A member elected to fill a<br />
vacancy in an unexpired elective term serves until that<br />
term expires.<br />
2. The Board shall appoint a nominating committee comprised<br />
of 5 voting members. A Board member may not<br />
serve on this committee. Each year, one member and<br />
only one member of a prior year’s nominating committee<br />
may serve during the current year for purposes<br />
of continuity and this member may not serve for the next<br />
three (3) years. Except as provided above, a member who<br />
served on a nominating committee within the prior 4<br />
years may not serve on the committee.<br />
3. The Nominating Committee shall:<br />
A. Solicit recommendations from the members<br />
for candidates for existing or upcoming<br />
vacancies for the Board.
B. Nominate a slate of candidates for all vacancies<br />
that shall exist 100 days prior to the next annual<br />
meeting. While this process must start before the<br />
100 days it shall continue so that at or before the<br />
100 days before the annual meeting all vacancies<br />
shall have a nominee.<br />
C. Cause the name of a nominee to be posted on<br />
the Club bulletin Board and mailed to the<br />
members at least 60 days prior to the annual<br />
meeting.<br />
4. Twenty-five voting members may nominate a<br />
candidate for a vacancy by filing a signed petition with<br />
the Club Secretary at least 30 days prior to the annual<br />
meeting. The Secretary shall post the name of the<br />
nominee on the Club bulletin board.<br />
5. At least 20 days prior to the annual meeting, the<br />
Secretary shall mail to the voting members a ballot listing<br />
the names of the nominees.<br />
6. The nominee for each vacancy receiving the highest<br />
number of votes is elected to the Board.<br />
Section 3: Duties and Powers of the Board<br />
A. The Board shall:<br />
1. Carry out the purposes of the Club.<br />
2. Shall have the right to fix the fiscal and Membership<br />
Year which is currently July 1 to June 30 of the<br />
subsequent year.<br />
3. Unless otherwise approved by a majority of the<br />
votes cast by the voting members of the Club, maintain a<br />
Capital Allocation Account by setting aside, as a<br />
minimum, the amount of money needed to fund the<br />
yearly mortgage principal, the mortgage interest, the<br />
cart leases, all other capital leases, and the expected<br />
amount of capital requirements not covered otherwise<br />
by debt. These funds shall be designated as “Capital<br />
Allocation” on the bill to equity members and shall be
exempt from sales taxes. This fund must be kept in a<br />
separate bank account and cannot be used to fund<br />
current operations of the Club. Once transferred to this<br />
Capital Allocation Account these funds cannot be<br />
transferred back to the Operations Account. These funds<br />
may be transferred to the Capital Allocation Account at<br />
the time and convenience of the Treasurer to best<br />
manage cash flow requirements but all of the amount of<br />
these funds collected must be transferred by the end of<br />
the fiscal year. These funds can be used to pay for any<br />
capital expenditures, capital leases, and can be used to<br />
pay down the mortgage interest and principal. From time<br />
to time the long range planning process will identify<br />
expansion needs that will require additional funding in<br />
the future and this fund can be increased over the<br />
minimum to accumulate funds in anticipation of those<br />
needs and be drawn down as those needs materialize.<br />
This accumulation will reduce the need for assessments<br />
and reduce the amount of mortgage monies needed for<br />
these expansions.<br />
4. Unless otherwise approved by a majority of the votes<br />
cast by the voting members of the Club, maintain a<br />
balanced budget for Operating Cash. In the event<br />
conditions change during the year and the operating<br />
budget can no longer be balanced the Board must take<br />
steps to bring the operations back into balance or obtain<br />
approval of a majority of the vote’s cast of the voting<br />
members to operate under a deficit. A balanced budget<br />
for operating cash means that the amount of cash in the<br />
Operating Cash Account at the end of the fiscal year will<br />
be equal to or higher than the amount of cash in this<br />
same account at the beginning of the fiscal year and will<br />
be free of any debt in the line of credit.
B. The Board may:<br />
1. <strong>By</strong> a 2/3 vote of all its members levy dues, an<br />
assessment, and a minimum charge, and fix the equity<br />
payment<br />
2. Admit, suspend, or expel a Club member<br />
3. Assign a duty to a Director<br />
4. Appoint, direct, or dismiss an employee or agent<br />
5. Make and enforce rules for the use of the Club<br />
6. Extend use of the Club facilities to a non-member for a<br />
specified time and purpose<br />
7. Take an action not prohibited by the Articles of<br />
Incorporation or these <strong>By</strong>-<strong>Laws</strong>.<br />
8. Approve a Leave of Absence: Occasionally a member<br />
encounters personal situations that require them to be<br />
unavailable to use the Club for extended periods but do<br />
not want to resign. Under some exceptional circumstances<br />
the board will have the authority to grant a Leave<br />
of Absence to address these extreme cases. The Member<br />
must write a letter to the Board of Directors explaining<br />
the conditions requiring some temporary relief and the<br />
Board will give it serious consideration. The decision is at<br />
the sole discretion of the Board and will be binding on<br />
the member.<br />
C. The Board may not:<br />
1. Obligate the Club to a single capital expenditure of<br />
more than $150,000.00, nor may it increase the outstanding<br />
debt of the Club by more than $250,000.00<br />
without a majority of the votes cast by the voting<br />
members of the Club, or<br />
2. Levy an assessment over $500.00 per member per<br />
fiscal year, without the approval of a majority of the<br />
votes cast by the voting members.<br />
Section 4: Time and Place of Meeting<br />
The Board may fix the time and place of its meetings except that<br />
it shall meet immediately after the annual meeting at the same
place for purposes including the election of Officers for the<br />
following year. The Secretary shall give at least 3 days notice of a<br />
meeting.<br />
Section 5: Quorum<br />
A majority of the Board constitutes a quorum and a Director will<br />
be deemed present if on a conference call connection as well as<br />
being physically present.<br />
Section 6: Voting<br />
A majority of the Board members present may act on a matter<br />
except as provided by the Articles of Incorporation or these <strong>By</strong><br />
-<strong>Laws</strong>. From time to time issues may arise which require action<br />
before the next formal meeting. Voting on these issues can be<br />
accomplished by phone or electronic means.<br />
Section 7: Annual Report<br />
The Board shall report on the condition of the Club at the annual<br />
meeting.<br />
Section 8: Board Member Attendance<br />
Any Director who fails to attend three (3) consecutive meetings<br />
of the Board of Directors which have been properly called and<br />
scheduled, or who fails to attend six meetings which have been<br />
properly called and scheduled in any fiscal year, without being<br />
duly excused by the Board, shall cease to be a Director and the<br />
Board of Directors shall proceed to fill such vacancy as provided<br />
in ARTICLE II, Section 2.<br />
ARTICLE III<br />
Section 1: Officers<br />
After its annual meeting the Board shall choose from its<br />
members a President, Vice President, Secretary, and Treasurer,<br />
to serve one-year terms. The Board may appoint additional<br />
Officers and fix their terms and duties. A person may not serve
more than two consecutive one year terms in the same office,<br />
provided, however, a person filling a partial term and serving as<br />
an Officer may serve two consecutive one year terms following<br />
the partial term in that Officer position.<br />
Section 2: Duties of the Officers<br />
A. President<br />
The President is Chief Executive Officer of the Club and<br />
has general supervision of the Club’s Officers and<br />
employees. The President shall:<br />
1. Preside at a meeting of the Club members or the<br />
Board<br />
2. Carry into effect an action of the Board or the<br />
members<br />
3. Perform a duty assigned by the Board<br />
B. Vice President<br />
The Vice President shall act in place of the President in<br />
the absence or disability of the President and carry out a<br />
duty assigned by the Board or the President.<br />
C. Secretary<br />
The Secretary shall:<br />
1. Keep:<br />
A. The minutes of a Board or members meeting<br />
B. Membership records including an application<br />
for membership and its disposition<br />
C. The records and seal of the Club<br />
D. A listing of all current members with the<br />
amount of money they paid for equity and<br />
initiation fees and any additions to those amounts<br />
that might be paid over time.<br />
2. Give or post a required notice<br />
D. Treasurer<br />
The Treasurer shall keep a record of the receipts and<br />
expenditures of the Club, be chairman of the Finance<br />
Committee, suggest financial strategies for financing the
Club operations and report on the financial condition of the<br />
Club at the annual meeting.<br />
Section 3: Committees<br />
A. The Board may assign a duty to a special or standing<br />
committee and supervise its activities.<br />
B. Standing Committees<br />
1. Only a Board member may chair a standing committee.<br />
Only Equity Members may chair non-standing<br />
committees. Subject to Board approval, a committee<br />
chair may fix the size of the committee and name its<br />
members. The Women’s Golf Association and Men’s Golf<br />
Association may select their own chairs and committee<br />
members.<br />
2. The standing committees and their duties are:<br />
A. Membership. The committee shall actively<br />
develop plans for the addition of members to the<br />
Club and submit them for approval of the Board<br />
and shall review applications for membership and<br />
recommend their approval or denial to the Board.<br />
B. Green. The committee shall recommend to the<br />
Board actions for the maintenance or<br />
improvement of the golf course and in<br />
cooperation with the Tennis Committee,<br />
recommend to the Board actions for the<br />
maintenance or improvements for the tennis<br />
facilities.<br />
C. House. The committee shall make recommendations<br />
to the Board on the clubhouse, social<br />
events, food and beverage service, and annually<br />
review the gratuity to the wait staff. The committee<br />
shall have an entertainment subcommittee<br />
that shall plan social events and entertainment,<br />
and report to the committee.<br />
D. Finance. The committee shall prepare annual<br />
operating and capital budgets and cash flow
forecasts for review and approval of the Board<br />
and make recommendations to the Board on<br />
financial strategies and other matters regarding<br />
the finances of the Club.<br />
E. Golf. The committee shall make recommendations<br />
to the Board on the use of the golf course,<br />
including an event or competition. It is the arbiter<br />
of a dispute in the game of golf, according to the<br />
rules of the United States Golf Association. They<br />
shall supervise the handicap committee, develop<br />
rules and regulations to be approved by the<br />
Board, and enforce all of the requirements of the<br />
<strong>By</strong>-<strong>Laws</strong> and the established rules.<br />
F. Human Resources. The committee shall<br />
develop personnel policies and procedures to be<br />
used in the management of the Club and submit<br />
these policies and procedures to the Board of<br />
Directors for approval. It shall also review and<br />
recommend employee benefits programs to be<br />
offered by the Club to its employees. It shall also<br />
monitor the policies and procedures that have<br />
been adopted by the Club.<br />
G. Tennis Committee. The committee shall plan,<br />
organize and supervise all of the tennis functions,<br />
events and tournaments for tennis participants<br />
and in cooperation with the Green Committee<br />
recommend actions for the maintenance and<br />
improvements of the tennis facilities.<br />
ARTICLE IV<br />
Section l: Classes of Membership<br />
A. The Club’s traditional membership classes are Equity, Social,<br />
Honorary, and Legacy. From time to time the Board may<br />
establish other classes of membership as market conditions<br />
dictate. Members in good standing who have an Equity
investment in the Club of any value, may serve on the Board of<br />
Directors and have voting rights, until such time as Equity is<br />
depleted, withdrawn or the Member resigns.<br />
B. A member must be at least 21 years of age.<br />
C. The Board may establish the maximum number of a class, the<br />
maximum number of members with full golfing rights not to<br />
exceed 400.<br />
Section 2: Equity Member<br />
An Equity Member has full golfing rights, and use of all Club<br />
facilities, has voting rights, may serve as a Director, Officer, or on<br />
a committee, and is liable for payment of equity, initiation fees,<br />
dues, assessments, and other charges.<br />
Section 3: Social Member<br />
A Social Member may use clubhouse and tennis facilities on the<br />
same basis as an Equity Member but does not have full golfing<br />
rights or voting rights, may not serve as a Director or Officer, and<br />
is liable for dues, assessments, and other charges. The Board<br />
shall fix a Social Member’s golfing privileges.<br />
Section 4: Honorary Member<br />
A. The Board by a 3/4 vote of all its members may grant an<br />
Honorary Membership for outstanding service to the Club,<br />
community, State or Nation.<br />
B. An Honorary Member has the same rights and obligations of<br />
an Equity Member except the member is:<br />
1. Ineligible to vote or serve as an Officer or Director.<br />
2. Not liable for an initiation fee, equity payment, dues,<br />
or an assessment.<br />
Section 5: Legacy Member<br />
A Legacy Member has all of the rights and obligations of an<br />
Equity Member and is established by an Equity Member passing<br />
their membership to a son or daughter or grandson or<br />
granddaughter by paying a non-refundable fee of $500.00. The
equity shall pass to the Legacy Member. All Legacy Member<br />
candidates must follow the same admissions process as for all<br />
other new member applicants.<br />
Section 6: Other Classes<br />
From time to time the Board may create alternate new types of<br />
memberships which are not permanent memberships but are<br />
created to address short term needs for new members or to<br />
retain long term members. A member of a class of membership<br />
established by the Board may vote or serve as an Officer or<br />
Director if such member has an Equity investment in the Club of<br />
any value, and is a member in good standing. Members of any<br />
other class of membership established by the Board may not<br />
vote or serve as an Officer or Director but may serve as a<br />
committee member of various committees at the discretion of<br />
the committee chairman.<br />
Section 7: Families of Members<br />
An Equity or Social membership is a family membership. A<br />
member’s spouse, constant companion (as defined by rule), or<br />
child (1) under age 25 if a full time college or university student<br />
or in active service in the United States Armed Forces, or (2)<br />
under age 19 and living at home, has the same right to use Club<br />
facilities as the member except a Club rule may restrict the use<br />
of Club facilities by a child under age 19.<br />
Section 8: Admission to Membership<br />
A. An applicant shall submit a Club application form. The Board<br />
shall vote on an application by secret ballot, with 2 negative<br />
votes a denial. A denied applicant may not apply again for one<br />
year after the denial.<br />
B. The Board may reinstate a resigned member who wishes to<br />
rejoin the Club within the same fiscal year as the resignation.<br />
Re-admittance will require Board approval and immediate<br />
retroactive payment to the first day of the fiscal year, all dues,<br />
assessments and fees applicable to the membership category
selected, less any credits deemed applicable by the Board.<br />
Section 9: Payments<br />
A. To activate a membership, an approved applicant shall pay<br />
the initiation fee and equity payment. From time to time the<br />
Board of Directors may allow payment of equity and/or initiation<br />
fees to be made over time.<br />
B. The Board may allow an Equity Member to pay annual dues in<br />
installments. Resignation from the Club does not terminate an<br />
Equity Member’s liability for dues for the entire Membership<br />
Year unless there is a waiting list for new Equity Members and a<br />
new Equity Member replaces the resigning Equity Member<br />
and pays the initiation fee, equity amount and starts annual<br />
dues.<br />
C. Social Members may pay their full annual dues at the<br />
beginning of the Membership Year or on a semi-annual,<br />
quarterly, or monthly basis. The Board shall have the right to<br />
establish deposit requirements for this class of membership.<br />
Resignations by Social Members shall not result in a refund of<br />
dues paid.<br />
Section 10: Assessments<br />
The Board may levy different assessments for each membership<br />
class.<br />
Section 11: Expulsion<br />
A. The Board by a 3/4ths vote of all its members may suspend<br />
or expel a member for conduct injurious to the Club or its<br />
members, including a violation of these <strong>By</strong>-<strong>Laws</strong> or a Club rule.<br />
B. The Board shall give to a member at least 10 days notice by<br />
mail that it will consider at a specified time and place the<br />
suspension or expulsion of the member for reasons set out in the<br />
notice. The member may oppose the action in person or in<br />
writing.<br />
C. Upon expulsion the member is entitled to receive a refund of<br />
the equity paid, less unpaid Club debts in the same order as all
esigning members.<br />
Section 12: Change of Type of Membership<br />
A. A Social Member who has always been a Social Member and<br />
who wishes to become an Equity Member shall pay the equity<br />
due at the time of transfer and the difference between the<br />
initiation fee previously paid by the member and the current<br />
initiation fee, and dues required as an Equity Member and may<br />
change to an Equity Membership at any time provided there is<br />
an opening in the class of Equity Memberships. If the transfer to<br />
an Equity Membership occurs in the middle of a Membership<br />
Year the dues paid as a Social Member for the remaining part of<br />
the Membership Year shall be applied pro rata against the<br />
annual dues of the Equity Membership which become due upon<br />
accepting the Equity Membership status. A Social Member who<br />
was previously an Equity Member may become an Equity<br />
Member only at the start of the membership year.<br />
B. In the event there is a waiting list for Equity Memberships,<br />
an Equity Member may resign and apply for a Social Membership<br />
which will become effective upon the admission of the new<br />
Equity Member and full payment of the equity and initiation<br />
fees due for that Equity Membership class. In the event there is<br />
no waiting list for Equity Memberships an Equity Member upon<br />
request may become a Social Member only at the start of the<br />
Membership Year. The Equity Member must resign as an Equity<br />
Member on or before March 31 st prior to the beginning of the<br />
next Membership Year and shall apply as a Social Member. In<br />
the event the initiation fees of the Social Membership are larger<br />
than those paid by the Equity Member upon originally joining,<br />
the member shall pay the difference in the now current initiation<br />
fees due as a Social Member and the amount originally paid as<br />
an Equity Member. The Club shall refund the equity payment<br />
when a new Equity Member is admitted in the same normal<br />
cycle of returns as for Equity Members having resigned.
Section 13: Termination of Membership<br />
A. In the event there is a full membership and a waiting list for<br />
Equity Memberships a member may resign upon giving notice of<br />
a desire to resign and the date of the resignation shall be the<br />
first of the month following the acceptance of a new member to<br />
replace the resigning member and the payment of the equity<br />
and initiation fees are satisfied. In the event there is no waiting<br />
list, a member may resign by giving notice on or before March 31<br />
to become effective the subsequent July 1. The effective date of<br />
the resignation shall be the last day of June whereupon the<br />
future annual dues are no longer paid by the resigning member.<br />
B. On termination for any reason, the Club shall refund the<br />
equity payment when a new Equity Member is admitted, but<br />
only after all previously resigned members have received their<br />
refunds.<br />
C. A former member replaced by a new member shall pay dues<br />
and the minimum house charge to the end of the month in<br />
which the replacement is effective. The new member shall pay<br />
dues and the minimum house charge from the beginning of the<br />
next month.<br />
D. A resigning member not replaced by a new member shall pay<br />
dues, minimum, and any assessment until replaced or until the<br />
30th of the next June, whichever occurs first.<br />
ARTICLE V<br />
Section 1: Transfer of Membership<br />
A. Equity Membership Transfer<br />
From time to time, an Equity Member may transfer membership<br />
to a spouse and it may be transferred back. However, only one<br />
such transfer shall be allowed in any given five-year period, e.g.<br />
if the spouse transfers to the other spouse, then there is a fiveyear<br />
period that must pass before the transfer back may occur.<br />
Any equity payment refunded to the Equity Member will be<br />
made to the member of record at the time of payment. In the<br />
event the transfer is from a member class enjoying lower dues,
the transferee will assume the dues responsibility of the class of<br />
member into which they fall. Further, a member transferring to<br />
a class enjoying a lower dues category shall not be granted a<br />
reduction in dues.<br />
B. Other Membership Classes<br />
1. If the marriage of a member is dissolved, the member<br />
may transfer the membership to the former spouse.<br />
2. An Honorary Membership is not transferable.<br />
Section 2: Transfer on Death<br />
A. Equity Members:<br />
An Equity Membership terminates on the death of the member<br />
and the surviving spouse automatically becomes an Equity<br />
Member with all of the obligations and privileges of that<br />
membership. The surviving spouse shall have 90 days to decide<br />
if they wish to 1) continue as an Equity Member, or 2) to<br />
become a Social Member, or 3) to resign as a member of any<br />
category. If the surviving spouse wishes to become a Social<br />
Member, they may immediately resign as an Equity Member and<br />
join as a Social Member and their equity shall be added to the<br />
waiting list of resigned members waiting for a return of equity. If<br />
they wish to resign as any category of membership and sever any<br />
relationship with the Club, their equity will be added to the list of<br />
resigned members waiting for a return of equity. In the event of<br />
item (2) above their dues will convert to the then current dues of<br />
a Social Membership and they will be required to pay the<br />
remaining yearly dues in the month following this decision. If<br />
they have pre-paid dues as an Equity Member and those dues<br />
exceed the amount of dues of a Social Member, they shall<br />
receive a refund of any amount which exceeds the required<br />
Social Membership dues. In the event of (3) above their dues and<br />
minimums shall cease in the month following that decision and<br />
the equity shall be added to the waiting list of members for the<br />
return of equity. Their Dues and minimums will cease the first<br />
day of the month following the decision and any pre paid dues<br />
for Equity Members will be refunded pro rata to the estate.
After the 90 days have expired the spouse shall assume all of the<br />
obligations and privileges of being an Equity Member. In the<br />
event of a death without a spouse the Club shall add the estate<br />
to the waiting list for the return of the equity (less any outstanding<br />
obligations to the Club) in the same order as resigned<br />
members.<br />
B. Social Members:<br />
A Social Membership terminates on the death of the member<br />
and the surviving spouse automatically becomes a Social<br />
Member with all of the obligations and privileges of that<br />
membership. The surviving spouse shall have 90 days to decide<br />
if they wish to continue as a Social Member or resign as a<br />
member. If the surviving spouse wishes to remain a Social<br />
Member they need do nothing. If they wish to resign they shall<br />
submit a letter of resignation, however, there shall be no return<br />
of prepaid dues for that year.<br />
C. For any other classes of membership which may have been<br />
created by the Board of Directors under the provisions of Article<br />
IV, Section 6, the Board of Directors shall decide on the basis of<br />
the creation of those memberships as to what actions are<br />
appropriate for the surviving spouse.<br />
D. In the event death occurs for a resigned former member who<br />
is on the waiting list for return of equity, that person’s equity<br />
shall become an obligation to the estate and shall remain in the<br />
line for return to the estate in the same order that the resigned<br />
former member enjoyed.<br />
Section 3: Debts of a Member<br />
All debts of a member to the Club must be paid promptly. Any<br />
delinquency shall be charged a service charge by the Club until<br />
such payment is received. Continued delinquency is subject to<br />
restriction of the use of the Club facilities and/or the termination<br />
of the member by the Club. Similarly a member’s debt at the<br />
time of resignation (including dues, monthly bills and minimums)
must be paid promptly at the end of the month in which the<br />
resignation is applicable. In the event a resigning member fails<br />
to pay any debt promptly the member will be charged a service<br />
fee on the debt and shall reduce the amount of any equity or<br />
deposit the resigning member holds including the service fee<br />
until the debt is satisfied. Any costs incurred by the Club to<br />
collect any debt shall be due and payable by the member.<br />
ARTICLE VI<br />
Section 1: Annual Meeting<br />
The Board shall fix the place and time for the annual meeting of<br />
the members. The Club shall mail notice of the meeting to all<br />
members and the ballot for the election of Board members to<br />
voting members at least 20 days prior to the meeting.<br />
Section 2: Special Meeting<br />
The Board or 50 voting members in writing may direct the<br />
Secretary to call a special membership meeting at a specific time<br />
and place and for a specific purpose. The Club shall mail notice of<br />
the meeting to all members at least 20 days prior to the meeting.<br />
Section 3: Voting<br />
A voting member may vote to elect a Board member only by<br />
written ballot. On any other matter the voting member may<br />
vote by written ballot, in person, or by proxy. A voting member<br />
may cast a written ballot by mailing it at least 5 days prior to the<br />
meeting, by delivering it prior to the meeting to the Club office,<br />
or at the meeting.
ARTICLE VII<br />
Section 1: Indemnification<br />
A. The Club shall indemnify a Director or Officer for:<br />
1. A claim or liability arising from service in that capacity,<br />
and<br />
2. A legal or other expense reasonably incurred in<br />
connection with the claim or liability, unless the claim or<br />
liability arose out of intentional or willful misconduct.<br />
B. The Club may indemnify or reimburse a Director or Officer in<br />
a matter not covered by Subsection A above.<br />
C. A Director or Officer is not liable under this Article for taking<br />
or not taking an action on advice of counsel.<br />
ARTICLE VIII<br />
Section 1: Amendments<br />
A. The Board or a petition signed by at least 15 voting members<br />
and filed with the Club may propose an amendment of a <strong>By</strong>-Law<br />
and call for a vote of the voting members on the amendment at<br />
the next annual meeting or a special meeting, to be held at least<br />
30 days after the call.<br />
B. The Secretary shall mail a copy of the proposed amendment<br />
to the voting members at least 20 days prior to the meeting.<br />
C. A majority vote of the eligible Equity voting membership<br />
necessary to adopt an amendment.<br />

RULES & REGULATIONS<br />
The Board of Directors has approved the following <strong>Rules</strong> and<br />
<strong>Regulations</strong>, which are designed to ensure to the greatest extent<br />
possible the enjoyment of our Club’s facilities, with certain<br />
limitations necessary to ensure a congenial and agreeable<br />
atmosphere on the playing areas and in the Clubhouse.<br />
Observance by members will maintain the high standards of the<br />
Club.<br />

It is understandable that sometimes cancellations are<br />

cancellation received within 48 hours of the event will be<br />
charged at 50% of the event price. No-shows will also be<br />
charged 50% of the cost of the event.<br />

Dining Room Attire:<br />
Casual dress is acceptable unless otherwise noted for any given<br />
event. No shorts or tennis attire are allowed in the dining room<br />
unless specifically indicated.<br />
Grille Room Attire:<br />
Acceptable golf and tennis attire, unless otherwise noted. Dress<br />
for special occasions will be covered in the monthly bulletin. No<br />
men’s hats, denim pants, denim shorts or cut-offs permitted. The<br />
dress code will be strictly enforced. The senior dining room<br />
supervisor will be responsible for enforcing the dress code.<br />
Upon the first offense the member will be informed but not<br />
turned away. A letter will be sent informing the member that<br />
they will be turned away upon the next offense. A copy of the<br />
letter is to be kept in the member’s folder in the clubhouse<br />
office.<br />
Card playing is permitted only in the card rooms or designated<br />
areas.<br />
Shelter:<br />
Since the Club is not authorized as an Emergency Shelter, it will
not be opened during hurricane emergencies.<br />
Cash tipping by members is discouraged.<br />
Charges:<br />
All transactions for Club services must be charged to the<br />
member’s account. Cash is not permitted. Reciprocals and/or<br />
guest may use credit cards.<br />
Statements mailed after the first of the month, are due and<br />
payable by the 20th of the month, and are considered<br />
delinquent if not received in the clubhouse by the last day of the<br />
month. There will be a 1½% late charge on all unpaid balances<br />
not received as of the last day of the month.<br />
GOLF COURSE REGULATIONS<br />
GENERAL:<br />
The following policies have been adopted in order to ensure the<br />
maximum enjoyment of the golf course by the members. It is<br />
anticipated that all members will voluntarily comply with these<br />
regulations; however, if necessary, the staff is instructed to<br />
enforce them.<br />
HOURS:<br />
The course will normally be open for play from 8:00 a.m. until<br />
sunset.<br />
The course will be closed on Christmas Day and New Years Day.<br />
Play on the course may be restricted when special tournaments<br />
are scheduled by the Golf Committee, the Women’s Golf<br />
Association, the Men’s Golf Association or special groups. The<br />
special events must be approved by the Golf Committee and the<br />
Board of Directors.<br />
Hours of play will be limited for WGA Nine Hole and Eighteen<br />
Hole events as follows:
WGA Eighteen Hole: Thursdays from October 1 to April 30<br />
between 8:00 AM and 9:44 AM<br />
WGA Nine Hole: Mondays from November 1 to April 30 between<br />
1:00 PM and 1:30 PM.<br />
The Head Golf Professional has the right to fill unused tee times<br />
when requested by a member.<br />
THE DRIVING RANGE:<br />
Practice is permitted only in the designated areas. Hours are<br />
7:00 AM until sunset except the driving range will be closed:<br />
Mondays after 2:00 PM from November 1 to April 30<br />
Mondays after 8:30 AM from May 1 to October 31<br />
STARTING TIMES may be requested online by using the Foretees<br />
Tee Time service, or completing a tee time request card at the<br />
club. Tee times are announced 3 days in advance. Requests<br />
submitted after the drawing will be accommodated on space<br />
available basis.<br />
Players must register in the golf shop prior to play.<br />
Players must report to the Starter when called to the tee. If a<br />
group is late reporting to the Starter; the Starter has the authority<br />
to start the next group.<br />
PACE OF PLAY: The pace of play for 18 holes is 4 hours and 10<br />
minutes. Players must keep up with the group ahead. When a<br />
hole is open ahead; you must allow the group behind to play<br />
through at the next teeing ground or pick up your ball and<br />
proceed to the next tee. Pace of play will be monitored by the<br />
Golf Shop Staff as directed by the Head Golf Professional.<br />
GOLF CARTS: Private riding carts are not permitted. Only two<br />
persons may ride in a golf cart. Persons operating golf carts are
financially responsible for any damage that occurs to the cart.<br />
When violation reports are made, the Head Golf Professional will<br />
discuss the incident with the member and report matters to the<br />
Golf Committee.<br />
The following rules must be observed when operating riding or<br />
walking carts:<br />

Observe the 90 degree rule and specific directions on<br />
the course at all times.<br />
All carts must remain on the paved paths near teeing<br />
grounds and greens.<br />
All carts must remain 30 feet from the green (This<br />
includes Blue Flag carts. Exception special riding<br />
handicap carts).<br />
Riding carts must remain on the paved path to the<br />
practice area and parked in the area provided.<br />
Riding carts must remain on paved path when returning<br />
to the clubhouse from # 18 green.<br />
Riding carts must remain on the cart path on Par<br />
3-holes.<br />
Walking carts are not permitted between green surface<br />
and bunkers.<br />
Observe “cart path only” rule when posted. All carts<br />
must remain in rough where paved paths are not<br />
available.<br />
Observe additional cart rules as requested by the Golf<br />
Course Superintendent and the Green Committee at all<br />
times.<br />
BLUE FLAG REQUEST: A member with a physical condition that
prevents compliance with the above rules may request a “blue<br />
flag” by submitting a letter with a doctors’ certification to the<br />
Golf Committee. Upon the committee’s approval, the golf shop<br />
will be notified to have a flag placed on the cart. The Head Golf<br />
Professional will maintain a list of members requiring a “blue<br />
flag”. The Golf Committee will regularly review the member’s<br />
physical condition to validate continued need for the flag.<br />
The following rules must be observed:<br />

Carts must remain 30 feet from the green.<br />
Carts must remain on the cart path by the teeing ground. Upon<br />
the approval of the Golf Committee and the Board of Directors<br />
a member may purchase a special riding handicap cart to enable<br />
one with a physical disability to play golf. The above rules are not<br />
applicable to the special riding handicap cart and the cart is<br />
permitted on the green.<br />
HANDICAPS: The GHIN Handicap System provides Handicap<br />
Indexes to members. Handicaps are revised on the 1 st and 15 th of<br />
the month. A notebook containing member’s handicaps is<br />
located near the golf shop.<br />
POSTING SCORES:<br />

Scorecards must be completed with name, date and<br />
scores adjusted according to Equitable Stroke Control.<br />
Scores must be posted for every round of golf played at<br />
home or away. Please post scores in the Golf Shop on<br />
the day of play or correct the date when posting later.<br />
ALL away scores must be posted (include Course Rating<br />
and Slope Rating of course played)
Scorecards must be placed in the box adjacent to the<br />
computer.<br />
Tournament Scores will be designated by specific<br />
committees. The scores will be posted by golf shop<br />
personnel and entered as “T-scores”.<br />
The Handicap Committee will review member’s scoring<br />
records. If a player fails to post a score the Handicap<br />
Committee will post the score and/or a penalty score<br />
equal to the lowest Handicap Differential in the player’s<br />
scoring record. If the score not returned is unusually<br />
high, the Committee will post the score and/or a penalty<br />
score equal to the highest Handicap Differential in the<br />
player’s scoring record. The Handicap Committee will<br />
communicate with players who fail to post scores.<br />
GOLFERS UNDER 18 YEARS OF AGE<br />
Golfers under the age of 18 who walk and carry their golf bag will<br />
not be charged a cart fee. Golfers under the age of 13 must be<br />
accompanied by a parent or an adult.<br />
DRESS: Proper golf attire for the golf course and practice areas is<br />
as follows:<br />

Golf shoes must have soft spikes.<br />
Slacks, shorts or skirts and golf shirts; shorts and skirt<br />
lengths must not exceed 5 inches above the top of the<br />
knee cap.<br />
The following are not acceptable: jean-style attire, bathing attire,<br />
tee shirts, gym shirts, tank tops, tube tops, halter tops, mesh<br />
shirts, cut-offs, coaching shorts, tennis shorts, tennis dresses or<br />
skirts.
The golf shop staff will be responsible for enforcing the dress<br />
code as directed by the Head Golf Professional. Players will not<br />
be permitted on the course when the dress code is violated.<br />
Members are responsible for proper attire of their guests.<br />
HOLE-IN-ONE: All members listed on the Mission Valley handicap<br />
roster are automatically in the Hole-In-One Club and they will be<br />
billed $2.00 when a member makes a Hole-In-One. The group<br />
playing with the member may enjoy beverages of their choice for<br />
one hour. Others may enjoy one well drink that day. If a Hole-In-<br />
One is reported after the Club closes, the group will be entitled<br />
to one drink the following day. The Head Golf Professional will<br />
present a commemorative gift and a bag tag to the Hole-In-One<br />
player.<br />
GOLF COURSE EMERGENCY PROCEDURE<br />
Contact the Golf Shop, 488-7747, or the Clubhouse, 488-9683 via<br />
cell phone. Telephones are located at restroom facilities on the<br />
golf course: Hole #3, Hole #13 and Hole #16; and in the shelter<br />
between Hole #4 and Hole #5.<br />
GUIDELINES FOR TOURNAMENT PLAY:<br />
Players must have a Handicap Index established on the club’s<br />
GHIN Handicap Roster or have a handicap approved by the Golf<br />
Committee and the Head Golf Professional.<br />
Riding cart transportation is required for all Shotgun events.<br />
Men’s Golf Association (MGA) and the Women’s Golf<br />
Associations (WGA - 9 Hole & 18 Hole) will establish guidelines<br />
for each event scheduled.<br />
The Golf Committee, MGA and WGA will coordinate<br />
tournaments involving men and women.
MGA events are open to all membership classifications. The<br />
annual membership fee must be paid to participate in MGA<br />
events.<br />
WGA Championships & events are open to all membership<br />
classifications upon payment of WGA dues. Social members and<br />
Summer members or spouses may join the WGA May 1 to<br />
October 31 and participate in weekly events.<br />
SOCIAL MEMBERS<br />
May use the practice areas at anytime.<br />
From May 1 to October 31: Play unlimited golf by paying cart<br />
fees and have the same guest privileges as Equity and Associate<br />
members.<br />
From November 1 to April 30: The total of all rounds of golf<br />
played by the social member, his family and/or constant<br />
companion cannot exceed six(6) 18-hole rounds. A round of<br />
9-holes is considered a half round. Cart fees must be paid<br />
accordingly. During these rounds the member may invite guests<br />
in accordance with the guest rules.<br />
A social member may not be a guest of an Equity or Associate<br />
member.<br />
GUEST PLAY: Guests must be accompanied by a member. Play<br />
will be permitted at the discretion of the golf staff. A member<br />
must ensure a guest abides by club rules and regulations. The<br />
member is responsible for guest fee and guest cart fee payment.<br />
HOUSE GUESTS or out of state visitors residing in the area 2<br />
weeks or less during the year may play unlimited rounds with a<br />
member and will be subject to Guest Play rules.<br />
NON-MEMBERS living within a 50 mile radius of the Club for
more than 2 weeks a year may play 6 rounds between November<br />
1 and April 30 and 2 rounds per month from May 1 to October<br />
31 as a member’s guest and will be subject to Guest Play rules.<br />
FAMILY MEMBERS who reside outside a 50 mile radius of the<br />
Club may play 18 rounds of golf November 1 through April 30<br />
and will be subject to Guest <strong>Rules</strong>. Family members include:<br />
children, grandchildren, parents, brothers, sisters, grandparents,<br />
in-laws and step-relationships. The summer guest fee will apply<br />
for a family guest.<br />
TENNIS COURT REGULATIONS<br />
The following rules and regulations are established for the use of<br />
the tennis courts by members and their guests:<br />
All members of Mission Valley Golf and Country Club are<br />
entitled to the use of the tennis courts.<br />
GUEST PLAY: The tennis courts will be open to guests accompanied<br />
by members<br />
OVERNIGHT HOUSE GUESTS: May enjoy unlimited play when<br />
accompanied by a member host. Guest fee of $6.00 per person<br />
per day.<br />
FAMILY MEMBERS: Coming to the area, who reside outside a 50<br />
mile radius of the Club, may enjoy unlimited play when<br />
accompanied by the family member host.<br />
Relative is defined as: Children, grandchildren, parents, brothers,<br />
sisters, Grandparents, appropriate in-laws and<br />
step-relationships. Family members living in the area refer<br />
to guest play.
GUEST FEES: Are to be collected or billed at the time of play<br />
through the accounting office, the hosting member is<br />
responsible.<br />
FRIDAY FREE CLINICS: “A” & “B” Level Clinics free for all MVCC<br />
members. A<br />
Member may bring a guest and pay a clinic fee of $15.00 per<br />
clinic to MVCC.<br />
LEAGUE TEAMS: Men’s & Ladies MVCC League sanctioned<br />
teams, there is no guest fee for visiting teams for competition<br />
matches.<br />
PROSPECTIVE MEMBERS: A member may introduce a<br />
“prospective member” to the MVCC Marketing Director, who will<br />
arrange for one Free Friday Clinic or two hours of tennis.<br />
DRESS: Tennis shirt, shorts/skirts and tennis shoes are required<br />
on the courts.<br />
JURISDICTION OF COURTS: The Tennis Committee has jurisdiction<br />
over the conduct and play on the courts.<br />
RULES: Courts may be reserved 5 days in advance for 1½ hours<br />
for doubles and 1 hour for singles. The courts may be reserved<br />
by signing up on the signup sheet provided at the courts.<br />
