BACKGROUND

With a view to take the benefits of Information Technology to the common man, and as a part of

its e-Governance initiative, the district of Ahmednagar has embarked upon a unique project that

seeks to redefine public service - SETU - which in local language means a bridge, a bridge

between the people and the Government.

It is an IT project that is focused on the common man. The objective is to provide to the citizens

of the State more and more services and information of the departments and agencies of the

State and Central Governments in an efficient, reliable, transparent and integrated manner on a

sustained basis. This is to be done through a chain of computerised SETU kendras & Rural

Information Kiosks.

The SETU kendras functions under the direct control of the SETU SAMITI, a society to be set

up under the chairmanship of the District Collector, Ahmednagar. These kendras are established

on a BOT basis wherein the BOT operators have entered into an agreement with the SETU

SAMITI. BOT operators were given specific time period for running the SETU Kendras. Afer

completion of specified time period, the BOT opereator will have to transfer the SETU Kendra

alongwith its infrastructure hardware, software etc. to the SETU SAMITI.

SETU Kendra of Nagar and Sangamner Tahsils of Ahmednagar District were run by Vendor's.

Since the contract period of these Kendra's is about to be completed, it is proposed to give the

SETU Kendras & Rural Information Kiosks at Tahsil Nagar & Sangamner in the district &

Rural Information Kiosks at Circle Level. Through SETU & the Rural Information Kiosks the

government envisages to computerise the citizen - government interface by issuing all relevant

certificates, 7/12 extract, property card etc. in a given time frame at a pre-determined fixed cost.

The village level Rural Information Kiosks are to be set up using Intranet Technology or any

equivalent solution to be approved by the SETU SAMITI.

Invitation

The District Collector & Chairman, SETU SAMITI, Ahmednagar through this Tender invites

participation form private entrepreneurs for running the SETU Kendra and RIK's in Tahsil

Nagar & Sangamner . (Annexure I )

Brief Scope of Work

The scope of work involved would be as follows:

Provision of necessary hardware & peripherals and its networking .(Annexure III )

Processing of all applications for generation of computerised certificates using a software

which is already in use in the running SETU centres. The cost of the software to be borne by

the successful bidder.(Annexure II - list of certificates to be processed along with the

processing and delivery schedule)

Providing manpower to run the SETU (for manning the counters and processing the

applications) & the village level Rural Information Kiosks and also for data entry & updation

of land records.(Annexure V - Manpower Deployment Plan)

Providing consumables as per requirement.

Maintenance of the hardware supplied as also the civil, wood and electrical work of the

SETU Centre & Rural Information Kiosks Centres.

Providing hard copies & CDs of various documents & certificates issued from SETU on

monthly basis.

Providing data warehousing facilities for storage of data.

Preparation of various MIS reports on land records and SETU as per the direction of

Collector Ahmednagar & concerned Tahsildars.

Project Structure

The structuring of the project involves the following arrangement:

The private entrepreneur will be responsible for investing his funds to develop the

facility and to run the SETU Kendra.

The period of contract will be upto 31 st March, 2011. The Successful bidder will have

to sign the contract before starting the SETU & RIK Centres.

The Successful bidder will hand over the SETU Kendra & RIK's to the SETU SAMITI

after the contract is over. (Hardware supplied to the SETU Kendra & RIK by the

successful bidder will be given back to the successful bidder )

The private entrepreneur will recover his investment along with profits by quoting the

charges for issuing documents/certificates of different three categories and approved by

the Collector and Chairman SETU SAMITI, Ahmednagar. (Annexure IV)

2. NOTICE INVITING BIDS

Sealed offers in the prescribed form are invited from bidders by Collector & Chairman ,

SETU SAMITI, Ahmednagar for running SETU & Rural information Kiosks on contractual

basis at the Tahsil Office & chosen Rural Centres in Nagar and Sangamner Tahsil of

Ahmednagar District for a period upto 31 st March.2011.

The tender form alongwith tender document is available on Website

www.ahmednagar.gov.in This can be downloaded. The filled tender form shall accompany a

crossed Demand Draft for Rs.2000/- as tender fee drawn on any Naionalised Bank in favour of

without which tender will be taken as incomplete and non responsive and shall not be

considered. The Demand Draft shall be kept in separate envelope, which will be kept inside

technical offer envelope/box. The tender fee shall be non refundable.

The Collector reserves the right to change the place, date and time for opening of the bids. All

bidders will be intimated of the change over telephone / by registered post.

The bidders may be (i) an individual, (ii) a registered NGO or trust, (iii) a registered

partnership firm, or (iv) a company including a joint venture company

The bidders are required to carry out their own surveys as may be necessary for the formulation

of the proposal as per the term and conditions of the tender documents for this project.

The successful bidder would be required to arrange his own financial resources for the

completion of the project.

The bidder shall have to quote the charges for running the SETU Kendra and

RIK's for each category of document as mentioned in the Tender Document. (Annexure II)

which he wishes to offer for operating the Setu Kendra & RIK's for the period of upto 31 st

March, 2011 in the commercial bid.

The Contract will be for a period upto 31 st March,2011. from the date of taking over SETU

Kendra and RIK's by the successful bidder. The dates on which the successful bidder will have

to takeover the SETU Kendra & RIK's is as given below.

The successful bidder shall be selected through a two packet bid evaluation system comprising

of evaluation of technical & financial credentials of the bidder. Bidder offering the most

beneficial offer from the tendering authority's point of view shall be the successful bidder.

Bidding document providing relevant Technical & Commercial details, scope of the project and

other pertinent information for this project would be available at the aforesaid office on payment

by cash or DD drawn in favour of " Collector & Chairman, SETU SAMITI, Ahmednagar"

payable at Ahmednagar.

The Tender Form and standard set of deviation to the Tender Form if any will be the basis for

completing the work and general condition of the contract and special condition of the contract

will be as per the Tender Form.

Any enquiries / clarifications with respect to the project and aforesaid tender notice may be

made with the RDC Dr Bhausaheb Dangde. (Ph. 0241- 2345004) between 1100 hrs and 1600

hrs on any working day.

3. DETAILED BID NOTICE

Collector & Chairman of SETU SAMITEE, Ahmednagar invites sealed offers (two envelope format) in

the prescribed form from bidders for the following project on Contractual basis.

3.1 Details of the Project

Collector / Sub Divisional Officer / Tahsildar.

B. Contract Period The period of contract will be for upto 31 st March 2011. The

dates on which the successful bidder will have to takeover

SETU Kendra & RIK's is as under.

The tendering authority reserves the right to revise or amend this notice and /or bid documents

3.2. Eligibility

The entrepreneur / bidder may be an individual, a registered NGO or trust, a partnership firm,

companies formed under companies law, consortium or joint venture of companies having

sound financial capacity and appropriate staff for the project.

3.3 Earnest Money Deposit

Earnest Money Deposit as indicated in the document above payable in the form of demand draft

favouring Collector & Chairman, SETU SAMITI, Ahmednagar payable at Ahmednagar or in the

form of bank guarantee of a Scheduled / Nationlised Bank. Banker's Cheque will not be

accepted.

The EMD of the unsuccessful bidder will be returned within a period of 15 days from the date of

signing the agreement with the successful bidder.

The EMD amount shall be forfeited if the bidder withdraws its proposal before the proposed

validity period ( 60 days) or fails to adhere to the conditions of the bid.

The EMD amount shall be forfeited if the successful bidder fails to sign the agreement with the

tendering authority within the prescribed time frame.

3.4 Bid Validity

Completed bids in the prescribed structure with requisite enclosures should indicate that the bid

would remain valid for a period of 60 days from the last date of submission of the bid. The

tendering authority reserves the right to reject any bid that does not meet this requirement.

In exceptional circumstances, prior to the expiry of the bid validity period the tendering

authority may request the bidder in writing to extend the period of validity for a specified

additional period. A bidder may refuse the request without forfeiting its EMD, but a bidder

accepting the request will not be allowed to modify his bid but will be required to extend the

validity of the bid for the period of extension.

3.5 Security Deposit

The bidder whose bid has been accepted shall have to deposit with the tendering authority at the

time of signing of the agreement, Security Deposit amount as specified herewith in the form of

Demand Draft or Performance Guarantee of Nationlised Bank in favour of Collector &

Chairman, SETU SAMITEE, Ahmednagar. The Performance Guarantee should be valid upto a

period of six months from the date of expiry of contract period.

The Security Deposit Amount to be paid by the successful bidder shall be Rs.1,00,000/- (Rs One

Lacs only) for each Tahsil or in the form of Demand Draft or Performance Guarantee of

Nationlised Bank only

The tendering authority shall not pay any interest on the amount of Security Deposit paid by the

bidder.

The security deposit shall remain with the tendering authority during the contract period and by

way of security covers due observance and performance by the bidder of all the terms and

conditions in the agreement to be executed.

3.7 Manner of submission of offers

The bid submitted by the bidder shall comprise of two separate envelopes - Envelope 1, marked

Technical and Financial bid and Envelope 2, marked Commercial bid.

All documents submitted vide envelope 1 will be signed and stamped by the authorised

signatory of the bidder.

Envelope 2 marked Commercial Bid shall be as per Submittal B, duly signed and

stamped

Both these envelopes shall be sealed and then placed together in a third envelope superscribing

the name & address of the successful Bidder and the name of the project as it appears on the bid

document.

The bid will be addressed to the Collector & Chairman, SETU SAMITI, Ahmednagar,

Office of the Collector, G.P.O. Road ,Ahmednagar, Pin Code 414 001 Maharashtra.

The bidder should ensure that their offer is received before the expiry of the due date and time.

Delayed offers shall not be entertained irrespective of the cause. The bid offered or received

after the due date and time shall not be accepted or if inadvertently accepted shall not be opened

and shall be returned to the bidder unopened.

A list of the mandatory submittals required in Envelope 1 will be:

the right to reject any or all bids without assigning any reason.

3.8 Opening of bids

On the date specified in the Detailed Bid Notice the following procedure will be adopted for

opening the bids :

Envelope No. 1 of the bid will be opened first by the bid opening authority to verify its contents

as per requirements specified in the bid documents. If various documents contained in this

envelope do not meet the specified requirements, a note shall be recorded accordingly by the bid

opening authority . The right to ask for the missing / incomplete documents is reserved by the

bid opening authority. The Collector & Chairman, SETU SAMITI, Ahmednagar's decision on

opening of commercial bid shall final.

After scrutiny of documents obtained in Envelope No.1, the Collector & Chairman of SETU

SAMITI will decide the opening of Envelop No.2. A suitable date and time for the opening of

Envelope no.2 will be intimated and it shall be opened in the presence of only those bidders

whose envelope 2 is to be opened. The commercial bid shall be read out to all the bidders or

their representatives who will be present at the time of opening thereof.

3.9 Evaluation and Acceptance

After opening envelope 2 the commercial bid shall be evaluated on the basis of the rates quoted

by the bidders therein to the SETU SAMITI. The most beneficial offer from the view of the

tendering authority shall be considered for acceptance.

The right to negotiate with any of the bidders whose offer has been found to be attractive and

responsive shall be reserved with the tendering authority.

The acceptance of the bid shall be communicated to the successful bidder in writing in Form No.

1 contained in the bid document. The bidder will then be asked to enter into an agreement with

the tendering authority in Form No. 2

4 . GENERAL CONDITIONS OF CONTRACT

1. Definitions

In this contract, the following terms shall be interpreted as indicated:

"The Contract" means the agreement entered into between the Tendering Authority and

the successful bidder as recorded in the contract Form signed by the parties, including all the

attachments and appendices thereto and all documents incorporated by reference therein;

awarded.

"Bidder" means any agency who is participating in the tender process.

"Supplier" means any agency who is successful bidder and to whom the contract has been

successful bidder is required to install at the project site.

"Services" means services ancillary to the supply of the goods, such as transportation and

insurance and any other incidental services such as installation, commissioning, provision of

technical assistance, training and other obligations of the successful bidder covered under the

contract.

"The Project Site" means the place at Tahsil Office & The Rural Centres at

the Revenue Circle in Tahsil.

"Day" means a working day.

"Unit" means one single Taluka where the entire set up has to be provided.

"Maintenance" means

Taking care of the machine

Changing the spares when they become faulty within 1 working day.

Locate, remove, repair technical faults within 1 working day to ensure that the

services via SETU are not delayed due to technical faults.

Identity Software related problems such as run time error viruses etc. & reload the

machines with Software

Maintaining up time of at least 95%

Housekeeping of all hardware

Ensuring continuous power supply to all machines during working hours.

Any other task to be performed to keep the system functional.

Software maintenance & installations of upgraded versions whenever required.

Civil & Electrical maintenance of SETU site, Rural Information Centers, backup and

processing room & housekeeping there of.

In case the bidder does not seek clarification regarding any phrase used in this

document the definition given by the Tendering Authority will be final.

2. Performance Standards

This factor incorporates the maintenance standards, the up gradation standards and service

levels standards.

i) Service Level Standards for 7/12 & Property cards:

The agency has to meet the service level norms vis-a-vis for issuing 7/12 & Property card, 5

minutes turnaround time which includes 2 minutes for application 1 minute for search &

remaining 2 minutes for printouts.

These General Conditions shall apply to the extent that they are not superceded by provisions

in other parts of the Contract.

Use of Contract Documents and information

The successful bidder shall not, without the Tendering Authority's prior written consent,

disclose the Contract, or any provision thereof, or any specification, plan, drawing, pattern,

sample or information furnished by or on behalf of the Tendering Authority in connection

therewith, to any person other than a person employed by the successful bidder in performance

of the Contract. Disclosure to any such employed person shall be made in confidence and shall

extend only so far as may be necessary for purposes of such performance.

Any document, other than the Contract itself, shall remain the property of the Tendering

Authority and shall be returned (in all copies) to the Tendering Authority on completion of the

successful bidder's performance under the Contract if so required by the Tendering Authority.

The successful bidder shall permit the Tendering Authority to inspect its books of accounts

and records relating to its performance and to have them audited.

Security Deposit

The proceeds of the security deposit shall be payable to the Tendering Authority as

compensation for any loss resulting from the successful bidder's failure to complete its

obligations under the Contract.

The Security Deposit shall be denominated in Indian Rupees and shall be in the form of a

DD or Performance Guarantee of a Nationalised Bank and payable at Ahmednagar and drawn in

favour of Collector & Chairman, SETU SAMITEE, Ahmednagar.

The Security Deposit will be forfeitable for non performance.

Sub Contracting

The successful bidder will not be allowed to subcontract the running of the SETU

kendras or the Rural Information Centers to any party. Sub contracting however will be allowed

for initial data feeding & scanning of mutation records. The Sub Contractors will have to be

fixed in consultation with and approval of the SETU SAMITI.

Manpower Deployment

The manpower deployed at the SETU kendras and the Rural Information Centers as per

Annexure VI should be on the pay roll of the bidder. Ensuring proper conduct and behavior of

the personnel deployed as behaves a government office shall be the responsibility of the

successful bidder. Employees to be deployed should have fluency in computer operations. The

successful bidder have obtain certificate from the Tahsildar whether trained staff is deployed or

not. One Hardware technician should be deployed for day to day maintenance.

If ordered by the Collector / SDO, the successful bidder will have to replace the staff not found

behaving properly or if found indulging in unsolicited activities. The successful bidder shall

submit an affidavit stating that the successful bidder or any of his employees will not claim

employment in Government based on its services rendered in SETU ever in future in the

Performa which will be provided by this office at the time of signing the contract.

Inspection and Tests

Before or after opening Commercial bids the Tendering Authority or his representative shall

have the right to inspect and / or to test the goods to ascertain their conformity to the contract

specifications at no extra cost to the Tendering Authority

The inspections and tests may be conducted on the premises of the successful bidder at the

point of the storage and / or at the good's final destination. All reasonable facilities and

assistance, including access to drawings and production data shall be furnished to the inspectors

at no extra charge to the Tendering Authority.

Should any inspected or tested good fail to conform to the specifications, the Tendering

Authority may reject the goods and the successful bidder shall either replace the rejected goods

or made alternations necessary to meet specification requirements free of cost.

Tendering Authority's right to inspect test and where necessary reject the goods after the

goods arrival at project site shall in no way be limited or waived by reason of the goods having

previously been inspected, tested & passed by the Tendering Authority or its representative

prior to the goods shipment.

If site visit shows inconformity with documents submitted by the bidder then he will be

deemed to be ineligible for participating in the bid.

Transportation

All transportation of goods to project site or to a centralised location as determined by the

SETU SAMITI for checking their conformity with the specifications shall be at the cost of the

successful bidder.

Security

Adequate security arrangement at the SETU Kendras and Rural Information Centers will

be the responsibility of the successful bidder.

Insurance

The successful bidder has to take insurance (e.g. against fire, theft etc.) for all his goods/

assets including SETU hall. The premium will have to be paid by the successful bidder during

the contract.

Rates, Rents & other Taxes

The successful bidder will have to pay all the rate, rents taxes levied by the Central, State

Government or the Local authorities like V.P., Z.P., Municipalities etc.

Incidental Services

The successful bidder is required to provide the following services including additional

services, if any.

Payments

Performance or supervision of the on-site assembly and / or start upto the supplied goods.

Furnishing of tools required for assembly and / or maintenance of the supplied goods.

Furnishing of detailed operations and maintenance manual for each appropriate unit

of supplied goods.

All the stipulated fees collected daily at SETU & SUVIDHA (RICs) Kendra will

be deposited with the Tahsildar and Taluka Setu Incharge daily. At the end of every

month the Tahsildar & Taluka Setu Incharge Officer will deposit the total amount in

District Setu Samiti's Account along with monthly statement of collection of Fees. The

share of private entrepreneur will be reimbursed in the District Setu Samiti after

verification of Accounts.

Change Orders

The Tendering Authority may at any time, by written order given to the successful bidder

make changes within the general scope of the contract in any one or more of the following

drawing, designs or specifications, where goods to be furnished under the contract are

to be specifically manufactured for the Tendering Authority.

If any change causes an increase or decrease in the cost of or the time required for the

successful bidder's performances of any provisions under the contract, an equitable adjustments

shall be made in the concession period or delivery schedule, or both. The agreement shall then

e accordingly amended. Any claims by the bidder for adjustment under this clause

must be asserted within thirty (30) days from the date of bidder's receipt of The Tendering

Authority's change order.

Delays in the Bidder's Performance

Delivery of the goods and performance of the services shall be made by the successful

bidder in accordance with the time schedule specified by the Tendering Authority

If at any time during performance of the contract, the successful bidder or his subcontractor(s)

should encounter conditions impending timely delivery of the goods and

performance of the services, the successful bidder shall promptly notify the Tendering Authority

in writing of the fact of the delay, its likely duration and its cause(s). As soon as practicable after

receipt of the successful bidder's notice the Tendering Authority shall evaluate the situation and

may, at its discretion extend the successful bidder's time for performance with or without a

penalty, in which case the extension shall be ratified by the parties by amendment of the

contract.

Penalty Clause

If the successful bidder is not executing the contract to the satisfaction of the Tendering

Authority, the Tendering Authority may invoke any or all of the following clauses.

Forfeit the Security Deposit amount AND /OR terminate the contract without giving

any notice

Impose a penalty of 5% of the delivered price of the goods or 10% of unperformed

services

Termination for Default

The Tendering Authority may, without prejudice to any other remedy for breach of

contract, by written notice of default sent to the successful bidder, terminate the contract in

whole or part.

a) if the successful bidder fails to deliver any or all of the goods within the period(s)

specified in the contract,

b) if the successful bidder fails to perform as per the performance standards

c) if the successful bidder, in the judgement of the Tendering Authority has engaged in

corrupt or fraudulent practices in competing for or in executing the contract.

In case of termination of contract due to circumstances mentioned in a, b, c, above the

successful bidder will forfeit its claim to any investment made by him in the SETU kendras and

Rural Information Center.

Force Majeure

"Force Majeure" means an event beyond the control of the bidder and not involving the

bidder's fault or negligence and not foreseeable. Such events may include, but are not limited to,

acts of the

purchase either in its sovereign or contractual capacity, wards or revolutions, fires, floods,

epidemics, quarantine restrictions and freight embargoes.

If a Force Majeure situation arises, the successful bidder shall promptly notify the

Tendering Authority in writing of such conditions and the cause thereof. Unless otherwise

directed by the Tendering Authority in writing, the successful bidder shall continue to perform

its obligations under the contract as far as it is reasonable practical, and shall seek all reasonable

alternative means for performance not prevented by the Fore Majeure.

Termination for Insolvency

The Tendering Authority may at any time terminate the contract by giving a written

notice to the successful bidder, if the bidder becomes bankrupt or otherwise insolvent. In this

event, termination will be without compensation to the successful bidder, provided that such

termination will not prejudice or affect any right of action or remedy which has accrued or will

accrue thereafter to the Tendering Authority.

Resolution of Disputes

The matter regarding any dispute shall first be sorted out at the level of Tahsildar / Sub

Divisional Officer. If the dispute persists to remain unresolved then it will be entertained, heard

and finalised by the Collector, Ahmednagar.

Binding Clause

All decisions taken by the Tendering Authority regarding the processing of this tender

and award of contract shall be final and binding on all parties concerned.

The Collector reserves the right

to vary, modify, revise, amend or change any of the terms and conditions mentioned

above; or

to reject any or all the tender/s without assigning any reason whatsoever thereof or

may terminate the tender process midway without assigning any reason.

Conditional tenders shall be summarily rejected.

The Tendering Authority is free to phase out the work if it feels it necessary.

5. SPECIAL CONDITIONS OF CONTRACT

The following special conditions of Contract shall supplement the general conditions of

contract. Whenever there is a conflict, the provisions herein shall prevail over those in the

General Conditions of Contract.

1. Notices

2. Bidder's Integrity

The successful bidder is responsible for and obliged to conduct all contracted activities as

defined in scope of work in accordance with the contract.

3. Bidder's Obligations

The successful bidder is obliged to work closely with the Tendering Authority's staff, act

within its own authority and abide by directives issued by the Tendering Authority. He will

abide by the job safety measures prevalent in India and will free the Tendering Authority

from all demands or responsibilities arising from accidents or loss of life. He will pay all

indemnities arising from incidents and will not hold the Tendering Authority responsible or

obligated.

The bidder will treat as confidential all data and information about the Tendering Authority,

obtained in the execution of his responsibilities, in strict confidence and will not reveal such

information to any other party without the prior written approval of the Tendering Authority.

4. Site Preparation and Installation.

The successful bidder shall prepare the sites in compliance with the standard technical and

environmental specification.

5. Hardware Installation

The successful bidder is responsible for all deliveries, unpacking, assemblies, wiring,

installation, cabling between hardware units and connecting to power supplies. The

successful bidder will test all hardware operation and accomplish all adjustments necessary

for successful and continuous operation of the hardware at all installation sites.

6. Electricity Bills

All electricity bills connected with SETU, backup & processing room and Rural Information

Kiosks will be borne by the successful bidder for the contract period. Separate electric meter

will have to be taken.

7. Telephones

The successful bidder will provide for telephone lines as under.

for SETU :

‣ One telephone line for connectivity with District Control Room.

‣ One PCO telephone line (Coin Box)

The successful bidder will have to bear all the cost towards payment of regular telephone

regular bills

8. The successful bidder will have to ensure power supply in such a way that the work is not

hampered. He may provide requisite backup facility to serve the purpose.

9. Special purpose vehicle

Special purpose vehicle may be floated by the successful bidder after the letter of acceptance

has been issued to him.

Tripartite supplementary agreement can be signed between the successful bidder, financial

institutions and Collector & Chairman SETU Samiti Ahmednagar as per the format required

by the financial institutions in which guarantee of loan will not be given but general

substitution rights may be given to the financial institution in consultation with Collector &

Chairman SETU Samiti Ahmednagar.

The successful bidder shall be bound by all the instructions / directions issued by the State

Govt. in future regarding SETU and Land Record computerisation during the validity of

contract period.

10. MIS Reports :-

The successful bidder will have to submit following MIS reports

1.Daily - Report on various applications received in SETU & RICs.

2.Daily - Number of 7/12 extract and other village record extract copies issued from

SETU and RICs

3.Daily - Number of other certificates issued and delivered from SETU & RICs.

4.Daily - Number of applications in which decision is not taken by due dates i.e. neither

delivery of certificates or rejection letter for non-delivery.

5.Monthly - A consolidated report regarding 1 to 4 above.

6.Any additional report/ information if asked for by the Government or the Collector can

be derived from the data already available at SETU.

8.All MIS reports to generate in the format prescribed by the Collector in consultation

with the successful bidder.

11. Other Services at RIK's :- The vendor will be allowed to run such services at the RIK

which will directly benefit the farmers / people i.e he can provide services like

agricultural pricing , commodity marketing, cyber cafe services etc. from the RIK's. All

activities and their rates will have to be approved by the District level SETU SAMITI.

12. Transferability of tender form :- The tender forms issued are non-transferable.

c) Please note that if you fail to neglect to attend and / or execute an Agreement then this

Letter of Acceptance shall automatically stand cancelled and thereupon, without

prejudice to any other rights and remedies of the SETU SAMITI the amount of Earnest

Money Deposit paid by you earlier along with the Bid letter shall forthwith stand

forfeited to SETU SAMITI and the SETU SAMITI shall be entitled to appoint in your

place another concessionaire at your risk, cost and consequences and in that event you

shall not be entitled for any compensation of whatsoever nature.

AGREEMENT

The agreement made at ---------------------- on this day of ------------2008 between the

Collector & Chairman of SETU SAMITI (which expression shall unless repugnant to the

context or meaning thereof shall include its administrators, successors and assigns) of the first

part and

(In case of partnership firm):

M/s. ----------------------------------- Limited, a company registered under the Companies

Act 1956 (1 of 1956) / Indian Companies Act 1913 (VII of 1913), a Company having the

incorporated office at ---------------- hereinafter referred to as "the Successful Bidder" (which

expression shall unless repugnant to the context or meaning thereof shall include its

administrators, successors and assigns) of the Second Part.

WHEREAS the SETU SAMITI invited proposals for undertaking the work of " -----------

-------" hereinafter referred to as "the project" on contract basis as per Notice Inviting Bids No.

---------------- dated ---------- issued by the SETU SAMITI.

AND WHEREAS after the acceptance of the proposal communicated by the SETU

SAMITI by issue of the Letter of Intent (LOI) to the successful bidder, the successful bidder is

required to enter into Agreement with the SETU SAMITI concession with execution of the

Project, being in fact these presents.

NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED AND

DECLARED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS :

1. The contract documents shall be deemed to form and be read and construed as a part of this

Agreement (all these documents and letters are hereinafter collectively referred to as

"Contract documents")

2. Other documents such as additional details of the proposal, Security Deposit and other

correspondence between the SETU SAMITI and the successful bidder are attached herewith,

as Reference Documents.

3. The words and expressions used in this Agreement shall have the same meaning as

are respectively assigned to them in the contract document.

4. The successful bidder does hereby agree

a) To duly execute and complete the project in all respect entirely at the cost of the

successful bidder and strictly in accordance with the designs drawings and work

specifications as duly approved by the SETU SAMITI under the technical control and

supervision of the SETU SAMITI or officers deputed by it in this regard and within

the time limits specified therein.

b) To duly observe and perform all the terms and conditions in the contract documents.

c) To pay the security deposit amounting to Rs. ----------- in the form of a Demand Draft

or Performance Gurantee drawn in the favour of Collector & Chairman, SETU

SAMITI and payable at Ahmednagar of Nationlised Bank.

d) The contract to run SETU Kendra & RIK's is for a period of upto 31 st March 2011

e) To duly carry out necessary works under the project strictly in accordance with

specifications as provided in the Bid documents and keep them in proper condition

and standard till the Project site is finally handed over to the SETU SAMITI at the

end of the contract period. i.e. 31 st March 2011.

f) Not to enter into any agreement/ understanding with any person or firm without the

prior approval of the SETU SAMITI.

SETU SAMITI and the successful bidder further agree that :

1. The advertisement of the tender, tender document, common set of deviations if any and all

the official correspondence between SETU SAMITI and the concessionaire between the bid

submission date and this agreement date, regarding this tender shall be treated as integral

part of this agreement. This agreement cannot be read in isolation, without these

documents.

2. The successful bidder shall fulfill all the conditions in the tender document and also the

conditions as imposed by Government of India, Government of Maharashtra, Local

Authorities from time to time.

3. SETU SAMITI shall give all the rights to the successful bidder as mentioned in the Bid

document.

4. The successful bidder shall remain within the framework of the prevailing laws.

5. The date of this agreement shall be the date of references for "Date of signing of agreement"

as mentioned in the tender document.

6. This agreement shall be governed by and construed in accordance with laws of the Republic

of India.

7. SETU SAMITI and the successful bidder agree that they have read and understood all the

conditions and contents of this agreement.

IN WITNESS WHEREOF, the parties intending to be legally bound, have caused this,

Agreement on the date indicated next to their signatures below.
