General Conditions of Sale and Delivery

§ 1 General

The following terms and conditions shall apply to all deliveries, offers

and agreements, including those made in future. Terms and conditions

of the Orderer deviating therefrom shall be binding for us only if

they are expressly acknowledged by us in writing.

§ 2 Offers, Conclusion of Contract

Our offers are offers without engagement. The supporting documents,

such as drawings, illustrations and descriptions which

are attached to our offers are only approximately authoritative

unless they are expressly termed binding. Our supporting documents

must not be reproduced or used otherwise for own

commercial purposes of the Buyer without a permission to this

effect.

The order placed by the Customer is a binding offer. We may

accept this offer at our discretion within two weeks by sending

a written order confirmation or by delivering the ordered goods

to the Orderer within the said period of time.

The order must contain clear order data in respect of quantity

and designation. If inaccurate or contradictory data are provided,

we shall not accept any responsibility for incorrect deliveries

resulting from inaccurate data provided by the Customer.

(4) Any modification or cancellation of the order by the Orderer

may be taken into account only if made in writing, if received by

us in writing not later than eight days before the delivery is effected

and if we agree in writing to the cancellation and/or modification.

§ 3 Prices

Our prices are shown as net prices in DM and/or in EUR, exclusive

of value-added tax. Our prices are to be understood ex

works plus packing unless something else is stated in the order

confirmation.

The minimum order value is DM 75/EUR 38 plus value-added

tax. If the order value is below the said amount, a handling fee

of DM 25/EUR 13 plus value-added tax will be charged.

As far as contracts with an agreed delivery period of more than

four months are concerned, we reserve the right to increase the

prices in accordance with cost increases that have occurred due

to collective agreements or increases in the costs of materials.

If the increase exceeds the agreed price by more than five per

cent, the Orderer shall be entitled to cancel the order.

If payment in a foreign currency is agreed, changes in exchange

rates shall be borne by the Orderer.

Packing and freight costs shall be charged additionally. Loan

packing, shuttle packing and loan pallets shall remain our property

and are to be returned with the next delivery in an impeccable

condition at the expense of the Customer. If the packing

is not returned within one month of the delivery, we shall charge

its cost.

§ 4 Periods of Delivery

The periods of delivery indicated in the order confirmation are

not binding for us although these time periods are planned with

very great diligence. A delay in delivery shall in no event constitute

a cause for a cancellation of an order unless this has been

expressly agreed upon.

If the delivery is delayed by the occurrence of events beyond our

control (e. g. operational breakdowns, intervention by authorities,

lack of raw materials, industrial disputes etc.), the period of

delivery shall be prolonged to an adequate extent. If a delivery

becomes impossible on account of the same reason, we shall

be released from the obligation to deliver.

We will be in delay only if an additional period of time of at least

two weeks was granted to us. A withdrawal from the contract on

account of delay, too, is possible only after an additional period

of time of at least two weeks was granted to us in writing by the

Orderer. If our delivery is delayed, our obligation to pay damages

is limited to an amount of 30% of the foreseeable damage

in the event of slight negligence. Further-reaching claims for

damages do only exist if the delay is caused by intent or gross

negligence.

We are entitled to adequate part deliveries.

If the Orderer is in default in payment or if he suffers a financial

collapse, we shall have the right to refuse all further deliveries.

§ 5 Payments, Default in Payment

Commercial invoices are due and payable 14 days after the

invoice date without any deduction. The terms of payment for

Customers with a business account are as follows: 14 days 2%,

30 days net; for Customers abroad: 30 days net; for new

Customers: cash in advance and/ or cash on delivery.

If the time allowed for payment indicated in sub-paragraph 1

is exceeded, the Orderer gets into delay without a request for

payment having been made. Starting from the day of the delay

we have the right to demand default interest in the amount of

9.5% p. a. The assertion of any further-reaching damage shall

remain unaffected hereby. All accounts receivable shall become

due and payable immediately. If in deviation herefrom an extension

of the term of payment or another later date of maturity

were agreed upon, the account receivable shall nevertheless

become due and payable as a whole if the Orderer does not

meet his payment obligations or his obligations resulting from

the agreed reservation of title (cf. § 7), if he discontinues his

payments, if information is available which substantiates considerable

and justified doubts about his creditworthiness or if

insolvency proceedings are initiated in respect of his property.

Bills of exchange and cheques are accepted as payment. The

acceptance of bills of exchange requires a prior agreement on

a case-by-case basis and is made subject to the condition that

the bills are discountable with a maturity not exceeding 90 days.

Cost and charges are to be borne by the Orderer.

The Orderer may set off against our accounts receivable only

uncontested accounts receivable or accounts receivable recognised

by declaratory judgement.

§ 6 Passage of Risk, Warranty

The risk of accidental loss and of accidental deterioration shall

pass to the Orderer at the latest when the goods are delivered

to the forwarder, at the latest when they leave the works, also

when we have assumed still other services, for instance transportation

to the Customer and their installation. If the delivery

is delayed for reasons not attributable to us, the risk shall pass

when the communication of readiness for dispatch is given.

It is the responsibility of the Customer to accept a delivery only

after a thorough inspection of the packing and of the content

and not to throw away anything without having satisfied himself

that no item is still left within the package.

The Orderer shall be obliged to inspect the goods delivered

by us without any delay even when they are still

in their packing. The inspection is to be made in accordance

with the single sampling schedule for normal

assessment.

Any defect of the goods shall be reported to us, and the

complaint is to be defined in a verifiable manner; the

complaint is to be made in writing by registered letter

with return receipt. External damage to the transport

packing shall be noted immediately on the forwarder’s

bill of lading in his presence, and the damage must be

reported to the forwarder. Hidden damage to the goods

in transit is to be reported to the forwarder within a

period of four days at the latest. An application is to be

made for a date for the inspection. Obvious defects

must be reported in writing without delay, not later than

within a period of eight working days of the receipt of the

goods.

In the event of a defect that is attributable to us, we are

entitled at our discretion to remedy the defect or to make

a substitute delivery. If the defect is remedied, we shall

be obliged to bear all expenses required for the purpose

of remedying the defect provided that these expenses

are not increased by the fact that the object of purchase

was transported to a place other than the place of performance.

If the removal of the defect fails or if we are not willing

or not able to remedy the defect or to make a substitute

delivery or if the same is delayed beyond appropriate

time periods on account of reasons attributable to us,

the Orderer shall be entitled to withdraw from the contract

or to demand a reduction of the purchase price.

Further-reaching claims of the Orderer, in particular

claims for damages, including lost profit or on account

of other damage to property are ruled out. This limitation

of liability does not apply if the cause of the damage is

due to intent or gross negligence or when the Orderer

asserts a claim to damages on account of a lack of a

guaranteed quality. If an essential obligation under the

Contract is violated by negligence, our liability shall be

limited to the foreseeable damage.

The period of guarantee is six months after the handingover

of the object of purchase. The same period shall

also apply to claims for compensation for consequential

damage caused by defects provided that no claims are

asserted on account of tortious acts.

§ 7 Retention of Title, Security Interests

The goods delivered remain our property until all our

invoices under the business relationship have been paid.

If goods have already been included in a current invoice,

the retention of title shall apply to the respective balance.

The taking back of the goods as well as the attachment

of the delivery item by us do not constitute a withdrawal

from the Contract.

The Orderer may process the goods in the ordinary

course of business or resell them within the framework

of the agreement on the retention of title. He shall not

be entitled to any other kind of disposal. In the event

of the non-observance of his payment obligations or in

the event of other gross violations of the Contract, the

Orderer’s right of utilisation shall expire.

Sale and Delivery

The processing of the goods under retention of title is

made on our behalf (§ 950 of the German Civil Code).

If the goods are processed jointly for several suppliers,

we shall be entitled to co-ownership pursuant to § 947 f.

of the German Civil Code.

The Orderer shall assign to us the claims and ancillary

rights arising from a resale, in the event of processing,

in accordance with our share of the ownership. He

shall not be entitled to agree upon a ban on assignment.

In the event of a partial payment by the Orderer, the

account receivable assigned to us shall be deemed settled

last. The Orderer shall be entitled to collect the

assigned account receivable in the ordinary course of

business; our authority to collect shall remain unaffected

by the Buyer’s authority to collect. Upon our request,

the Orderer shall have to provide to us the names of

the debtors of the assigned accounts receivable and to

inform the debtors of the said assignment to us.

The retention of title is subject to the condition that upon

the payment in full of all our accounts receivable from

the business relationship the title to the goods under

retention of title will pass directly to the Orderer and that

the Orderer shall be entitled to the assigned accounts

receivable.

We are obliged to release upon the request of the

Orderer the securities to which we are entitled to the

extent to which the value of the securities furnished to

us exceeds by more than 20 % the accounts receivable

to be secured. If several securities were provided, we

shall be free to decide which of the securities will be

released.

If our title to the goods is impaired by third parties, in

particular if the goods are attached, the Orderer shall

be obliged to inform us immediately, to send us the supporting

documents that are available to him and to draw

the attention of the third party to our title. Expenses arising

for us by the impairment of title shall be borne by the

Orderer.

§ 8 Software

We cannot be held accountable for any malfunction resulting

from the environment into which our software is integrated.

We do not warrant that the programme functions correspond

to the requirements of the Buyer and that the programmes

will work without fault. The Customer alone shall be responsible

for the selection of the hardware and software which

he uses for obtaining a desired result. Moreover, he shall be

responsible for the installation and the operation of the programmes

as well as for the results.

§ 9 Final Provisions

The statutory provisions shall apply if no other provisions

were expressly agreed upon in the present Terms

and Conditions. German law shall apply to all orders

placed with us.

The place of jurisdiction for all disputes arising from the

present Contract is Berlin. The place of performance is

the seat of our Company.
