General Terms and Conditions - Part APage 1AGREEMENTTHIS AGREEMENT is made by and between BellSouth Telecommunications,Inc., (“BellSouth”), a Georgia corporation, and US LEC of Tennessee Inc., (“US LEC”),a Delaware corporation. This agreement may refer to either BellSouth or US LEC orboth as a “Party” or “Parties. ”WITNESSETHWHEREAS, BellSouth is a local exchange telecommunications companyauthorized to provide telecommunications services in the states of Alabama, Florida,Georgia, Kentucky, Louisiana, Mississippi, North Carolina, South Carolina, andTennessee; andWHEREAS, US LEC is an alternative local exchange telecommunicationscompany (“CLEC”) and the Parties desire for this Agreement to apply and beenforceable in the state of Kentucky in which BellSouth is authorized to provide localexchange telecommunications services and US LEC is authorized to providetelecommunications services as a CLEC.WHEREAS, the Parties wish to resell BellSouth’s telecommunications servicesand/or interconnect their facilities, purchase unbundled elements, and exchange trafficspecifically for the purposes of fulfilling their obligations pursuant to sections 251 and252 of the Telecommunications Act of 1996 (“the Act”).NOW THEREFORE, in consideration of the mutual agreements containedherein, BellSouth and US LEC agree as follows:1. PurposeThe resale, access and interconnection obligations contained hereinenable US LEC to provide competing telephone exchange service toresidential and business subscribers within the territory of BellSouth. TheParties agree that US LEC will not be considered to have offeredtelecommunications services to the public in any state within BellSouth’sregion until such time as it has ordered services for resale orinterconnection facilities for the purposes of providing business and/orresidential local exchange service to customers.10/19/99Kentucky11 of 303
