MMC2012 <strong>Exhibitor</strong> Rules& RegulationsAs an <strong>Exhibitor</strong> at MMC2012, you must agree to <strong>the</strong> <strong>Exhibitor</strong>Contract Terms, Conditions, Rules & Regulations and all terms in<strong>the</strong> Exhibit Space Contract/Application and <strong>Exhibitor</strong> Service Kit.Note: All <strong>Exhibitor</strong>s at MMC2012 must be Members of <strong>NBAA</strong>.<strong>Exhibitor</strong>s must be paid in full for Exhibit Space to be assigned.All <strong>Exhibitor</strong>s must be current on all accounts with <strong>NBAA</strong>, andpaid in full for <strong>the</strong>ir Exhibit Space in order to occupy Space at<strong>the</strong> Nashville Convention Center.Types of ExhibitsExhibits at <strong>the</strong> 27th Annual Maintenance ManagementConference are limited to those products or services directlyinvolved with <strong>the</strong> maintenance of business aircraft. <strong>NBAA</strong>reserves <strong>the</strong> right to deny space to any Company whoseproducts and/or services are not relevant to <strong>the</strong> maintenanceof business aircraft.Allocation of Exhibit SpaceA total of 128 Exhibit Spaces are available at <strong>the</strong> NashvilleConvention Center, each consisting of one 8 ft by 10 ft Space.<strong>Exhibitor</strong>s are permitted to purchase one Booth Space.Companies that hold multiple active Memberships with <strong>NBAA</strong>may purchase Booths for each Membership <strong>the</strong>y hold.There is no guarantee that <strong>the</strong> <strong>Exhibitor</strong> will be assigned <strong>the</strong>Exhibit Space(s) requested on <strong>the</strong> Exhibit Application. Beassured that <strong>NBAA</strong> makes every effort to accommodate eachApplicant’s preferred location. However, if all Booth choicesindicated by Applicant have been allocated, <strong>NBAA</strong> will assign<strong>the</strong> best available Space.Exhibit Space Priority LotteryPriority-One <strong>Exhibitor</strong><strong>Exhibitor</strong>s participating in <strong>the</strong> Priority-One Lottery are thosewho submit Exhibit Applications and full payment by February6, 2012. Space assignments for Priority-One <strong>Exhibitor</strong>s will bedetermined by Lottery drawingPriority-Two <strong>Exhibitor</strong><strong>Exhibitor</strong>s participating in <strong>the</strong> Priority-Two Lottery are thosewho submit Exhibit Applications and full payment after <strong>the</strong>February 6, 2012, deadline. Space assignments will be made inorder of receipt after Priority-One <strong>Exhibitor</strong>s are placed as longas Space is available.Exhibit PriceThe price for each 8-ft by 10-ft Exhibit Space is $1,625, payablein full with completed Exhibit Application by February 6, 2012.All <strong>Exhibitor</strong>s at MMC2012 must be Members of <strong>NBAA</strong>.EXHIBIT BOOTHSEach 8-ft by 10-ft Exhibit Space includes:• 8-ft high back drape (burgundy and white)• 3-ft high draped divider rails (burgundy)• Choice of one 6-ft or 8-ft draped table• One wastebasket• Two plastic side chairs• Basic electrical package, which includes a 500-watt outlet• One 7-in by 44-in one-line Booth identification sign withCompany name and Booth number• One complimentary Registration, which includes entranceto all scheduled Seminars and social events, includingcontinental breakfasts, lunches, morning and afternoonenergy breaks, <strong>the</strong> Tuesday Evening Welcome Receptionand <strong>the</strong> Wednesday Evening Networking Event.Payment for Exhibit Space<strong>Exhibitor</strong>s must submit payment in full with <strong>the</strong>ir ExhibitApplication to secure Exhibit Space. If <strong>NBAA</strong> does not receivepayment in full with <strong>the</strong> Exhibit Application, Exhibit Space willnot be assigned.ContractBy submitting <strong>the</strong> Application for Exhibit Space, <strong>Exhibitor</strong>agrees to abide by <strong>the</strong>se Terms, Conditions, Rules &Regulations, and all amendments <strong>the</strong>reto and decisions of<strong>NBAA</strong>. The Application for Exhibit Space becomes a bindingcontract between <strong>NBAA</strong> and <strong>Exhibitor</strong> upon <strong>NBAA</strong>’s acceptanceof <strong>Exhibitor</strong>’s Application and issuance of a confirmation andinvoice to <strong>Exhibitor</strong>.<strong>NBAA</strong> reserves <strong>the</strong> right:• To prohibit any Exhibit or part <strong>the</strong>reof which, in its soleopinion, violates this Contract or in any o<strong>the</strong>r way is notsuitable to, or in keeping with, <strong>the</strong> character and spirit of<strong>the</strong> Conference.• To close an Exhibit which, in its sole opinion, violates thisContract during <strong>the</strong> course of <strong>the</strong> Conference.• To refuse to permit an <strong>Exhibitor</strong> which, in its sole opinion,violates this Contract to participate in one or more future<strong>NBAA</strong> events by reason <strong>the</strong>reof.• To change <strong>the</strong> Floor Plan (including, but not limited to aislespace), without notice, in order to comply with fire, safetyand accessibility regulations or to provide, in its exclusivejudgment, a safer, more satisfactory, attractive andsuccessful Conference.4


Forms of PaymentAll payments forMMC2012 should bemade in U.S. dollars.Company checks andbank wire transfers are<strong>the</strong> preferred methodsof payment for MMC2012.Credit card payments are anaccepted form of payment. Best ratings of at least A – (VII) or better. No holes may be drilled, cored or punchedin <strong>the</strong> walls or floors of <strong>the</strong> Nashville Convention Center. Noapplication of paint on signs, displays or o<strong>the</strong>r objects arepermitted in <strong>the</strong> Nashville Convention Center. The use ofadhesive-backed decals or similar items also is prohibited.Damages to <strong>the</strong> Nashville Convention Center resulting fromfailure to observe <strong>the</strong>se rules will be billed to <strong>the</strong> <strong>Exhibitor</strong>.EXHIBITS Must BE CONTAINED WITHINPURCHASED EXHIBIT SPACEAll display materials and demonstrations must be confinedto <strong>the</strong> limits of <strong>the</strong> <strong>Exhibitor</strong>’s purchased Exhibit Space at <strong>the</strong>Nashville Convention Center. Normal aisle traffic cannot beinterfered with at any time. The Association reserves <strong>the</strong> rightto restrict Exhibits that become objectionable because of noise,method of operation or for any o<strong>the</strong>r reason.<strong>Exhibitor</strong> Service KitAn <strong>Exhibitor</strong> Service Kit will be available to all <strong>Exhibitor</strong>swho are paid in full by mid-February 2012.EXHIBIT Space ConfirmationPriority-One <strong>Exhibitor</strong>s will be notified of Booth placementby February 29, 2012.Fire Safety RegulationsAll exits and exit aisles must be kept clear and unobstructed.No furniture, signs, easels, chairs or Displays may protrudeinto aisles. Fire hose cabinets, fire extinguishers, sprinklers orany o<strong>the</strong>r fire-safety device must not be hidden, obstructed oro<strong>the</strong>rwise disturbed.Liability<strong>Exhibitor</strong> is solely responsible for <strong>the</strong> safeguarding of materials,equipment and display at all times. General security will beemployed by <strong>NBAA</strong> when <strong>the</strong> Exhibit Hall is closed. Nei<strong>the</strong>r<strong>NBAA</strong>, Freeman nor <strong>the</strong> Nashville Convention Center will beresponsible for any loss, <strong>the</strong>ft, damage, injury or destruction of<strong>Exhibitor</strong>’s property or <strong>the</strong> property of its agents or employees,by or from any cause whatsoever. <strong>Exhibitor</strong> expressly releases<strong>NBAA</strong>, Freeman, <strong>the</strong> Nashville Convention Center and <strong>the</strong>ir5


espective officers, employees, members and agents from anyand all claims for such loss, <strong>the</strong>ft, damage, injury or destruction,or for loss of goodwill (whe<strong>the</strong>r or not in relation to any property).The <strong>Exhibitor</strong> understands that nei<strong>the</strong>r <strong>NBAA</strong>, Freeman nor <strong>the</strong>Nashville Convention Center maintain insurance covering <strong>the</strong><strong>Exhibitor</strong>’s property. It is <strong>the</strong> sole responsibility of <strong>the</strong> <strong>Exhibitor</strong>to obtain such insurance. It is suggested that <strong>Exhibitor</strong>s obtaininsurance covering such losses as <strong>the</strong>ft and damage to property.<strong>Exhibitor</strong> assumes entire responsibility, and by requesting toexhibit, <strong>the</strong>reby agrees to protect, indemnify defend and hold<strong>NBAA</strong>, Freeman and <strong>the</strong> Nashville Convention Center and <strong>the</strong>affiliates and subsidiaries of each harmless from and againstany and all claims, losses, injuries and damages to persons orproperty, governmental charges or fines and attorney’s feesarising out of or caused by <strong>Exhibitor</strong>’ s installation, removal,maintenance, occupancy or use of <strong>the</strong> exhibition premisesor any part <strong>the</strong>reof, or arising out of or caused by <strong>Exhibitor</strong>’sparticipation in <strong>the</strong> exhibition activities.MOVE IN<strong>Exhibitor</strong> Move In will be from 7:00 am – 11:00 am onTuesday, May 1, 2012.All Exhibits must be set and in place by 11:00 am onTuesday, May 1 to be ready for lunch in <strong>the</strong> Exhibit Hall.Move OutMove Out is from 1:00 pm – 5:00 pm on Thursday,May 3, 2012. <strong>Exhibitor</strong>s may not tear down Exhibits priorto 1:00 pm on Thursday. <strong>Exhibitor</strong>s found in violation of thisRule will be ineligible for <strong>the</strong> Priority-One Lottery in 2013.NASHVILLE CONVENTION CENTERBOOTH CONFIGURATIONS• No Booth elements may exceed 8 ft in height, <strong>the</strong> heightof <strong>the</strong> pipe and drape.• Any banners, stands or o<strong>the</strong>r signage higher than <strong>the</strong> 3-ftside drape must be placed 4 feet back in <strong>the</strong> Booth, so<strong>the</strong>y do not block sight lines to <strong>the</strong> next Booth.• No balloons, remote-controlled blimps or piñatas areallowed in Exhibit Booths.• No sounds may be used to entice people to <strong>Exhibitor</strong>s’Booths (i.e., horns, whistles, bells, etc.)• With <strong>the</strong> exception of <strong>the</strong> <strong>NBAA</strong> Welcome Reception,alcohol is not permitted in Exhibit Booths.• <strong>Exhibitor</strong>s may not fly giveaways or props (i.e., paperairplanes, balls, etc.) in <strong>the</strong> Nashville Convention Center.• <strong>Exhibitor</strong>s may not hold prize drawings during Session times.Drawings for prizes may only be held during designatedExhibit hours, continental breakfasts, breaks and lunches.• <strong>Exhibitor</strong> photos may not be taken from ladders or may notimpede <strong>the</strong> flow of aisle traffic.Noise EnforcementIn order for <strong>NBAA</strong> to ensure <strong>the</strong> best possible environment forour <strong>Exhibitor</strong>s and Attendees to conduct business, <strong>Exhibitor</strong>smust refrain from using loud music or live demonstrations thatare objectionable to surrounding <strong>Exhibitor</strong>s. <strong>NBAA</strong> reserves<strong>the</strong> right to restrict Exhibits that because of noise, method ofoperation or any o<strong>the</strong>r reason become objectionable.SecurityWhen <strong>the</strong> Exhibit Hall is open, <strong>NBAA</strong> will provide someperimeter security staffing. Notwithstanding <strong>the</strong> foregoing, <strong>the</strong>Association, Freeman and <strong>the</strong> Nashville Convention Centerwill not be liable for loss or damage to <strong>Exhibitor</strong>’s property,as fur<strong>the</strong>r provided under <strong>the</strong> section entitled “Liability.”<strong>Exhibitor</strong>s are advised to obtain additional insurance coverage inadvance to cover losses, such as <strong>the</strong>ft and damage to property.ViolationsBy submitting <strong>the</strong> MMC2012 Application for Exhibit Space,you agree to <strong>the</strong> MMC2012 Contract, Terms, Conditions,Rules & Regulations and all terms in <strong>the</strong> Exhibit SpaceContract/Application and <strong>Exhibitor</strong> Service Kit. In fairness toall participants, <strong>Exhibitor</strong>s at <strong>the</strong> Nashville Convention Centerfound in violation of <strong>NBAA</strong>’s Rules & Regulations will be requiredto make necessary changes on site at <strong>the</strong><strong>Exhibitor</strong>’s expense. If satisfactorychanges cannot be made, <strong>NBAA</strong>reserves <strong>the</strong> right to terminateall rights to <strong>the</strong> Exhibit Space,and <strong>the</strong> <strong>Exhibitor</strong> will forfeitall fees paid. GENERAL INFORMATIONChildrenThe <strong>NBAA</strong> Maintenance Management Conference is abusiness event. Children under 12 are never permitted on <strong>the</strong>Exhibit Floor – under any circumstances. Children ages 12 to18 will be permitted into <strong>the</strong> Exhibit Hall during official Exhibithours only, provided <strong>the</strong>y register, pay appropriate fees and areaccompanied by an adult at all times. <strong>NBAA</strong> will not be heldresponsible by or for any cause whatsoever.Direct SellingDirect selling on <strong>the</strong> Exhibit Floor, canvassing and/or distributionof publications/marketing materials outside of assigned ExhibitSpace, including all Booth-to-Booth distribution, is prohibited.Canvassing and solicitation, except by Exhibiting Companies,are prohibited within 50 miles of <strong>the</strong> Conference.Dress CodeDress for <strong>the</strong> <strong>NBAA</strong> Maintenance Management Conference isbusiness casual, both on <strong>the</strong> Exhibit Floor and in <strong>the</strong> Sessions.Music<strong>NBAA</strong> has entered into licensing agreements with <strong>the</strong>American Society of Composers, Authors and Publishers(ASCAP) and Broadcast Music, Inc. (BMI) and will pay <strong>the</strong>irfees, based on attendance, to allow <strong>the</strong> use of copyrighted,recorded music throughout <strong>the</strong> Nashville Convention Center.Please note that live music is not included in our licensingagreements. If an <strong>Exhibitor</strong> plans to use live music, <strong>the</strong>y mustbe licensed by ASCAP and/or BMI, and <strong>the</strong> <strong>Exhibitor</strong> must sendsupporting documentation to <strong>NBAA</strong>.OFFICIAL SERVICE PROVIDERSTo ensure orderly and efficient installation, operations andremoval of Displays and to eliminate confusion, <strong>NBAA</strong>Management has designated Freeman and o<strong>the</strong>r firms (listedin <strong>the</strong> <strong>Exhibitor</strong> Service Kit to be distributed in mid-February2012), as Official Service Providers. mmc2012 Silent AuctionThe MMC2012 Silent Auction will be located inside <strong>the</strong> Exhibit Hall.Donations:Companies and individuals are encouraged to make donationsto <strong>the</strong> <strong>NBAA</strong> Maintenance Management Conference SilentAuction in order to benefit recipients of <strong>NBAA</strong>’s MaintenanceTechnical Reward and Career Scholarship (MaintenanceTRACS).
