Terms and conditions1. GeneralIn these conditions, reference to the Company shall meanPegler Yorkshire. All quotations are made and all orders areaccepted subject to these conditions. All other terms,conditions or warranties whatsoever are excluded from thecontract or any variation thereof unless expressly acceptedby the Company in writing. In the event of a conflictbetween these conditions and the specific terms andconditions of quotation then the latter shall prevail.2. Electronic Tradinga) If the Company and Buyer agree that electronic tradingbetween them shall be a basis for order processing andinvoicing then the Standard Interchange Agreement(1st Edition March 1989) of the EDI Association shall beincorporated into the contract by reference subject tothese conditions.b) Electronic orders shall be valid if all the informationagreed between the Buyer and the Company as beingrequired is properly set out in the agreed format and theorder is transmitted by the Buyer to the Company byreference to the correct identification code and is receivedby the Company when collecting its electronic mail fromthe relevant system.c) Each valid electronic order will be deemed accepted bythe Company unless the Company communicates rejectionof the order to the Buyer by electronic or other means(including telephone) within 24 hours of receipt.Acceptance of an order shall constitute a contract for saleand purchase to which these conditions and the StandardInterchange Agreement shall prevail.d) If the Company and the Buyer agree that invoicingmay be done by electronic mail, then payment will bedue 30 days after the date of electronic invoice unlessagreed otherwise.3. DeliveryAny date for delivery named by the Company is an estimateonly and in no circumstances shall the failure of theCompany to deliver on or before the named date eitherentitle the Buyer to rescind or terminate the contract ormake the Company liable in any way for the consequencesof any delay.4. ExportUnless specifically stated otherwise in these conditionsall trade terms not specifically covered by these conditionsshall be interpreted in accordance with INCOTERMS currenton the date of that order.5. Warranty and Defective Goodsa) Save as otherwise provided by the other conditions ofthese Conditions, sections 12 to 15 of the Sale of GoodsAct 1979 are to be implied into this contract.b) The goods delivered under the Contract shall, where theContract includes a specification, comply with thespecification or, if there is no specification, shall be ofnormal industrial quality.c) The Buyer does not rely on any statement orrepresentations other than those which have been made inwriting by the Company.d) The Buyer must give the Company immediate writtennotice of any defect in the goods. Such goods shall bereturned to the Company and if proved to have beendefective at delivery as a result of faulty materials orworkmanship, the Company shall at its option replace orrepair such goods. Defects in quality or dimension in anydelivery shall not be ground for cancellation of theremainder of the order.e) Save for any liability for death or personal injury causedby the Company’s negligence, the Company’s liability inconnection with defective goods shall be limited to therepair or supply of a replacement for the defective goods,and the Company shall not be liable for any other loss ordamage including, but not limited to loss of profit, labourcosts, damage to property, wasted expenditure or costof mitigation.6. Data and Technical InformationThe information contained in the advertising sales andtechnical literature issued by the Company may be reliedupon to be accurate in the exact circumstances in which itis expressed. Any illustrations, performance details,examples of illustrations and methods of assembly and allother technical data in such literature are based onexperience and upon trials under test conditions and areprovided for general guidance only.7. Claims For Damage, Shortage or LossNo claim for damage in transit or shortage of delivery canbe accepted unless, a separate notice in writing is given tothe carrier concerned and to the Company within three daysof receipt of the goods, followed by a complete claim inwriting within five days of receipt of the goods. No claimfor loss of goods in transit can b accepted unless aseparate notice in writing is given to the carrier concernedand to the Company, and a complete claim in writing madewithin 21 days of the date of consignment. Where goodsare accepted from the carrier concerned without beingchecked, the delivery book of the carrier must be signed“not examined”. If a complaint is not made to the Companyas herein provided, the products shall be deemed to be inall respects in accordance with the Contract, and the Buyershall be bound to pay for the same accordingly.8. Suspension of Deliveriesa) Deliveries may be wholly or partially suspended bythe company in the event of:-i. Stoppage, delay or interruption caused to the business ofthe Company as a result of strikes, lockouts, trade disputes,breakdown, accident or any cause whatsoever beyond thereasonable control of the Company.ii. Any default by the Buyer in making payment of anyamounts owed to the Company under this and any othercontracts between them.b) In the event of any hostilities (whether war is declaredor not) in which Great Britain is involved, or in the eventof national emergency, or if the Company’s works shouldbecome either directly or indirectly engaged on Governmentorders as to prevent or delay work on other orders, theCompany shall be entitled at any time, on notice to theBuyer, to make partial deliveries only or to determine thecontract without prejudice in any case to rights accrued inrespect of deliveries already made.9. Determination of ContractThe Company shall have the right forthwith to determinethis and/or any other Contract between the Buyer and theCompany by written notice to the Buyer’s last knownaddress (without prejudice to any claim or right theCompany might otherwise make or exercise) in any of thefollowing events:-a) If the Buyer shall make default in or commit a breachof any contract with the Company; orb) If any distress or execution shall be levied upon theBuyer’s property or assets; orc) If the Buyer shall make or offer to makeany arrangements or composition with creditors, or commitany act of bankruptcy or become insolvent; ord) If any petition or receiving order in bankruptcy shall bepresented or made against him; ore) If the buyer shall be a limited Company and becomesubject of any resolution or petition for winding up oradministration; orf) If a receiver or manager of the Buyer’s undertaking,property or assets or any part thereof shall be appointed.10. IndemnityThe Buyer will indemnify the Company against all damages,penalties, costs and expenses to which the Company maybecome liable as a result of work done to the Buyer’sinstructions or which infringe any letters, patent orregistered design or copyright or any other third partyintellectual property rights.11. PricesThe price payable for the goods shall unless otherwiseagreed be the Company’s list price current at the date ofdespatch. Such prices are inclusive of delivery to theBuyer’s UK mainland delivery point but costs of delivery toany other destinations will be charged to the Buyer.12. Risk and Titlea) Risk shall pass to the Buyer so that the Buyer isresponsible for all loss, damage or deterioration tothe goods:i. If the Company delivers the goods by its own transport atthe time when the goods or a relevant part thereof arrive atthe place of delivery; orii. In all other circumstances at the time when the goods,or a relevant part thereof leave the premises of theCompany whether or not the Company arranges transportand (without prejudice to clause 7) where the goods aredelivered by carrier, any claims for loss or damage in transitmust be made by the Buyer against the carrier inaccordance with the carrier’s conditions.b) Title to the goods supplied under the contract shall onlypass to the Buyer when payment in full for all goodssupplied under this and all other contracts between theCompany and the Buyer has been received by the Company.The Company reserves the immediate right to possession ofand at any time may recover all goods in respect of whichtitle has not passed to the Buyer; the Company is herebyauthorised by the Buyer to enter upon any premises wheresuch goods are held by or on behalf of the Buyer andrecover possession thereof.c) Until title to goods has been passed to the Buyerpursuant to these conditions it shall possess the goods as aBailee at will of the Company, and the Buyer shall not beentitled to sell or otherwise deal in goods in respect ofwhich title has not passed to the Buyer. If the Buyer actsin breach of these conditions then without prejudice to anyother rights of the Company the Buyer shall have afiduciary duty to account to the Company for the proceedsof any sale save to the extent that any such proceedsexceed the amounts owed to the Company under this andall other contracts between the Company and the Buyer.13. CancellationCancellation will only be accepted by the Company oncondition that all costs and expenses incurred by theCompany up to the time of cancellation and all loss ofprofits and other loss or damage suffered by the Companyas a result of such cancellation will be paid forthwith bythe Buyer to the Company.14. Payment of Accountsa) Unless otherwise agreed by the Company in writing,payment shall be settled in full by the last working day ofthe month following the month in which the goods weredespatched, or would have been despatched save forpostponement otherwise than due to default on the part ofthe Company. The Company shall be entitled to submit itsinvoice on the same day as its delivery advice note or atany time thereafter, save that where delivery has beenpostponed at the request of or the default of the Buyer,then the Company may submit its invoice at any time afterthe goods are ready for delivery or would have been readyin the ordinary course but for the request or defaultas aforesaid.b) The Company reserves the right to charge interest at arate up to 5% above Lloyds Bank Base Lending Rate rulingat the time payment is due if payment is not made inaccordance with the terms agreed at the time the orderis accepted.15. VATThe prices quoted are exclusive of VAT which will, ifapplicable, be added to the invoice at the ratethen current.16. Consumer Protection ActIn circumstances where the Company supplies parts orgoods to the Buyer for incorporation with, or use ancillaryto, any composite goods to be produced, manufactured,processed or supplied by the Buyer then:a) The Buyer shall forthwith on demand produce forinspection by the Company copies of all writteninstructions, information and warnings in relation to thesaid composite goods, provided nevertheless that suchinspection or right to inspect shall not of itself constituteacceptance or approval on the part of the Company of suchinstructions, information, or warnings; andb) The Buyer shall indemnify, reimburse and compensatethe Company for all losses and damages (including costs,expenses and charges for legal actions in which theCompany may be involved) that the Company may incur inthe event that any claim or claims are made against theCompany pursuant to the Act relating to the said compositegoods of the Buyer or parts or goods supplied hereunder incircumstances in which the parts or goods supplied by theCompany was either:i. Not the defective part of the said composite goods; orii. Was only rendered the defective part or became defectivegoods by reason of actions or omission of the Buyer; oriii. Was only rendered the defective part or becamedefective goods by reason of instructions or warnings givenor omitted by the Buyer or other supplier of the saidcomposite goods supplied hereunder.c) For the purposes of this condition the word “defective”shall be interpreted in accordance with the definitioncontained in the Act and this condition shall mutatismutandis apply in relation to equivalent legislation of otherstates as it applies in relation to the Act.17. Law and JurisdictionThis contract shall be governed and construed according tothe Law of England and the parties hereby agree to submitto the exclusive jurisdiction of the English courts.
