Horne, <strong>CPL</strong>, is a l<strong>and</strong>man for MagnumProducing, LP, <strong>and</strong> based in Houston, Texas.Curt began his career in 1981, <strong>and</strong> hasexperience in Texas, Louisiana, Oklahoma,Arkansas <strong>and</strong> Montana.A member of the <strong>American</strong> Association ofProfessional L<strong>and</strong>men since 1997, Curt earnedhis <strong>CPL</strong> designation in 1999. He is currently amember of the Publications Committee, <strong>and</strong> isPast Chairman of the Ethics, Certification <strong>and</strong>Field L<strong>and</strong>man Committees. He served on theAAPL Executive Committee as Treasurer for2007-2008. Roach, <strong>CPL</strong>Dorsey is a native Oklahoman. He attendedthe University of Oklahoma where in 1977he received a B.B.A., majoring in PetroleumL<strong>and</strong> Management (PLM). Upon graduating,Dorsey began his career with ExxonCorporation where he was trained <strong>and</strong>specialized as a pooling <strong>and</strong> unitizationl<strong>and</strong>man. Assignments with Exxon includedLos Angeles, Calif., Anchorage, Ala.,Houston, Texas, Midl<strong>and</strong>, Texas <strong>and</strong>Oklahoma City, Okla.Dorsey has been a member of AAPL since1977, <strong>and</strong> a Certified Professional L<strong>and</strong>man(<strong>CPL</strong>) since 1986. He is a past member ofthe Los Angeles, Permian Basin, SouthernOklahoma, Dallas <strong>and</strong> Fort WorthL<strong>and</strong>men’s Associations. He is currently amember of the Oklahoma City <strong>and</strong> TulsaAssociations of Petroleum L<strong>and</strong>men.Since 1983, Dorsey has served as anAdjunct Professor at the University ofOklahoma where he has lectured in theBusiness College’s PLM <strong>and</strong> EnergyManagement programs. Topics haveincluded pooling, unitization, operatingagreements, well trades, title opinions, titlecurative, regulatory agencies <strong>and</strong> l<strong>and</strong>administration. From 1995-1997, he servedas Chairman of the OU PLM SteeringCommittee that was responsible for therestructuring of the PLM Program into whatis now the Energy Management (EM)program. Beginning in 2008, Dorsey alsobegan serving as an Adjunct Professor inthe Energy Management Program at theUniversity of Tulsa.Richard A. Rosprim, <strong>CPL</strong>Richard, now retired from AAPL’s Director ofEducation position, received his PLM degreefrom the University of Texas in 1968 <strong>and</strong> aMS in City Planning in 1979. He began hisl<strong>and</strong> career with Phillips PetroleumCompany <strong>and</strong> worked in their mineralsdivision for almost ten years. He joined TheSuperior <strong>Oil</strong> Company in 1980 in Denver<strong>and</strong> was merged into Mobil <strong>and</strong> then Exxon.He retired from ExxonMobil in 1997.He <strong>and</strong> his wife are avid challenge levelsquare dancers <strong>and</strong> take every opportunitythey can to travel to dances.Course ObjectivesThe primary purpose of the <strong>Oil</strong> <strong>and</strong> <strong>Gas</strong>L<strong>and</strong> <strong>Review</strong> course is to prepare eachl<strong>and</strong>man for the <strong>CPL</strong> or <strong>RPL</strong> exam. Thecourse covers many of the areas (althoughnot all) that a l<strong>and</strong>man might become


involved with over a career. It is primarily areview, <strong>and</strong> those taking the exam shouldnot rely solely upon the review in preparingfor the exam.The course is also a great opportunity foranyone interested in a review of thesematerials. We receive many comments fromattendees that they learned a lot from thecourse <strong>and</strong> remembered things longforgotten.The first five sections plus ethics are part ofthe <strong>RPL</strong> <strong>Review</strong>. The entire course is part ofthe <strong>CPL</strong> <strong>Review</strong>.This is a two-<strong>and</strong>-a-half-day course, withapproximately eighteen hours of classlecture. Attendees will be provided a boundworkbook containing course materialsReal Property LawThe review begins with a thoroughdiscussion of the types of property, variousmethods of acquiring title, the types ofdeeds <strong>and</strong> the attributes of warranty <strong>and</strong>special warranty deeds, the types ofownership <strong>and</strong> important differences,including life estates <strong>and</strong> remaindermen.This section also includes a review of therequirements to record documents <strong>and</strong> thevarious recording statutes. The sectionconcludes with a brief discussion of theprimary real property law differencesbetween Louisiana <strong>and</strong> other states.L<strong>and</strong> DescriptionsThis section discusses the three primarytypes of US l<strong>and</strong> descriptions: RectangularSurvey (Township-Range), Metes <strong>and</strong>Bounds (<strong>and</strong> how to plat), <strong>and</strong> the variousTexas l<strong>and</strong> descriptions.Contract LawThe discussion on Contract Law will coverthe basic elements of a contract, the typesof contracts, requirements of a valid contract<strong>and</strong> the penalty for breach, offers <strong>and</strong>termination of offers, the legal capacity toenter into a contract, <strong>and</strong> the impact of fraud<strong>and</strong> misrepresentation in negotiating acontract (oil <strong>and</strong> gas lease).ConveyancingHow do we know who has the authority tolease <strong>and</strong> who has the right to receiveroyalties from production? This section willcover determination of mineral <strong>and</strong> royaltyownership, <strong>and</strong> includes a discussion of the“Duhig Rule” used in interpretingconveyances. A number of h<strong>and</strong>s-onproblems help solidify the materialpresented.Interest CalculationsThroughout the <strong>Review</strong>, we will discuss <strong>and</strong>illustrate through problems the calculation ofmineral interest, net revenue interest, before<strong>and</strong> after pay-out interest, working <strong>and</strong>interest units.<strong>Oil</strong> <strong>and</strong> <strong>Gas</strong> LeaseStarting with a review of the history of the oil<strong>and</strong> gas lease, <strong>and</strong> the implied covenants ofunder the lease, this section continues to acomplete review of each major clause of atypical oil <strong>and</strong> gas lease. The section isconcluded with a series of questions thataddress most lease maintenance questions.A fully “marked-up” lease is included foreasy reading <strong>and</strong> interpretation.PoolingA general overview of the various aspects ofpooling <strong>and</strong> unitization are discussed. Whenwe speak of “pooling” <strong>and</strong> “unitization”, weare talking about the processes ofcombining oil <strong>and</strong> gas leases <strong>and</strong> themerging of both royalty <strong>and</strong> workinginterests into units, there-by erasing theboundary lines that exist between the leases<strong>and</strong> interests. Numerous examples ofproblem situations are discussed.Joint Operating AgreementWhat is the purpose of the JOA? When is itused? What does it do? These questions<strong>and</strong> a review of the 1982 <strong>and</strong> 1989 AAPLModel Form JOA will be covered to preparethose sitting for the exam <strong>and</strong> give a goodrefresher for others.Well TradesWhy do we do well trades? What is involvedin making a deal? What are some of themore common types of trades? How can Icalculate my working interest in a deal?These questions will be discussed in detail.


Federal Onshore Leases <strong>and</strong> FederalExploratory UnitsApproximately one-third of the mineralownership of the US is owned by the federalgovernment. These interests are managedby the Bureau of L<strong>and</strong> Management. Whilethe majority of federal l<strong>and</strong>s are in thewestern states, there are also federal l<strong>and</strong>sin most of the other states. This discussionwill cover how federal on-shore leases aregranted, the leasing process, <strong>and</strong> theprocess for forming federal exploratory units.EnvironmentalThis section covers a brief overview of theUS environmental legislation <strong>and</strong> how itimpacts the oil <strong>and</strong> gas industry. Most of thefocus is on federal laws regulating thedisposal of hazardous waste <strong>and</strong> thecleanup of sites contaminated by hazardoussubstances. The discussion also covers thepurpose <strong>and</strong> contents of an environmentalsite assessment.there are no licensing requirements forl<strong>and</strong>men <strong>and</strong> since membership in AAPL isvoluntary, these ethical st<strong>and</strong>ards are a keyelement of AAPL membership <strong>and</strong> being aprofessional l<strong>and</strong>man.Information on the requirements for <strong>CPL</strong><strong>and</strong> <strong>RPL</strong> are included below.Continuing Education CreditsBy attending the entire course, <strong>RPL</strong>s <strong>and</strong><strong>CPL</strong>s will earn 18 education credits,including one ethics <strong>and</strong> one ESA credit.Attorneys taking the review must notifyAAPL at the time of application if requestingCLE credits.There is no longer an option tosit for the <strong>CPL</strong> exam to satisfy additionalcontinuing education credits.Offshore / Outer Continental ShelfThe federal government owns approximately1.75 billion acres in the outer continentalshelf area of the United States. This areacontains a large percentage of US oil <strong>and</strong>gas reserves. This section will review thebasics of management of these minerals bythe Minerals Management Service <strong>and</strong> howleases are issued <strong>and</strong> managed.Mineral L<strong>and</strong>workMost l<strong>and</strong>men may never become involvedwith mining <strong>and</strong> the US mining laws, but ageneral underst<strong>and</strong>ing of this area ofl<strong>and</strong>work is important for the <strong>CPL</strong>. Wepresent a brief overview of the Mining Lawof 1872 <strong>and</strong> how to acquire mineral rights toUS Public Domain l<strong>and</strong>s.Federal Taxes on <strong>Oil</strong> <strong>and</strong> <strong>Gas</strong> IncomeThis section takes a brief look at federaltaxation of oil <strong>and</strong> gas income <strong>and</strong> includesa discussion on depletion, expensed items,capitalized items, <strong>and</strong> intangible drillingcosts. The focus is on developing a broadunderst<strong>and</strong>ing of this area.EthicsThis section covers the AAPL Code ofEthics <strong>and</strong> St<strong>and</strong>ards of Practice which arethe basis of conduct, business principles,<strong>and</strong> ideals for all AAPL members. Since

The review<strong>and</strong> the book cover most of the material onthe exam but the prospective <strong>CPL</strong> isexpected to bring experience <strong>and</strong> skills tothe table.<strong>RPL</strong> <strong>Exam</strong>inationThe <strong>RPL</strong> exam is offered on eitherWednesday, August 8 th or Friday August10 th . The <strong>RPL</strong> <strong>Exam</strong> covers the coursematerial in Chapters 1, 2, 3, 4, 5, <strong>and</strong> 14.The <strong>RPL</strong> exam is a comprehensive test ofthe skills <strong>and</strong> knowledge required of al<strong>and</strong>man with three or more years ofexperience.
