(Translation)<strong>Speech</strong> by the Secretary for <strong>Justice</strong>, Ms Elsie Leung,at the Experience Sharing Focus Group Discussion with Hong Kong Law Firmsthat have set up Representative Offices in the Mainland cumthe Launching <strong>of</strong> a Reference Book entitledOpportunities for Hong Kong Lawyers under CEPAon 10 September 2004Ladies and Gentlemen,I would like to welcome you all to the focus group discussion today. Thisgives me and my colleagues an opportunity for experience sharing with Hong Konglaw firms that have already set up representative <strong>of</strong>fices in the Mainland. Apartfrom sharing their experiences in expanding their legal services in the Mainland, wecan also exchange useful tips and discuss the way forward. I will conduct a similardiscussion with representatives <strong>of</strong> the Hong Kong Bar Association tomorrowmorning.2. Since the Reunification <strong>of</strong> Hong Kong with our motherland in 1997, thelegal sector <strong>of</strong> Hong Kong has endeavoured to expand the legal services market in theMainland. My department has held regular discussions and joined hands with theLaw Society <strong>of</strong> Hong Kong, the Hong Kong Bar Association and members <strong>of</strong> thelegal pr<strong>of</strong>ession to introduce to Mainland <strong>of</strong>ficials, the Mainland legal sector andpotential Mainland clients the legal services <strong>of</strong> Hong Kong. We have also discussedthe opportunities and specific initiatives for gaining access to the Mainland market.In the summer <strong>of</strong> 2001 when China was about to join the WTO, the legal servicessector, like other service sectors, was hit hard by the bursting <strong>of</strong> economic bubbles,the plunging <strong>of</strong> the real estate market and the economic restructuring. Both the
2Government and the legal service sector felt the need to revitalize its business. Onthe one hand, we did promotion in other countries to let people know the strengths <strong>of</strong>our legal services so as to establish Hong Kong as a regional legal services anddispute resolution centre. On the other hand, we spared no efforts to develop theMainland market, lobbying support from the trade and commerce departments underthe Central Authorities, the Ministry <strong>of</strong> <strong>Justice</strong> and the Courts. We also persuadedMainland enterprises to make use <strong>of</strong> Hong Kong in their negotiation and signing <strong>of</strong>contracts with foreign parties, to adopt Hong Kong laws as laws applicable to theircontracts and to choose Hong Kong courts and arbitration bodies to resolve theirdisputes. Some public misconceptions were clarified. On 11 December 2001, afterChina’s accession to the WTO, we even explored the possibility <strong>of</strong> making a closereconomic partnership arrangement with the Mainland by way <strong>of</strong> a free tradeagreement before the Mainland opens its market fully to other WTO members. Atthe beginning, some people questioned if such arrangement would breach themost-favoured-nation principle. We were able to find a legal basis for this. On itsaccession to the WTO, China had not made any commitments to open up its legalservices market. We took this opportunity to discuss with the Mainland on how tostrengthen our cooperation in legal services between the two sides. After discussionfor one and a half years, legal services have become the first pr<strong>of</strong>essional servicescovered in the liberalization <strong>of</strong> trade in services under CEPA. The Mainland andHong Kong Closer Economic Partnership Arrangement (‘CEPA’), which was signedon 29 September 2003 and came into effect on 1 January 2004, is one <strong>of</strong> ourachievements.Under CEPA, it is easier for Hong Kong lawyers to gain access to theMainland market. Hong Kong law firms are permitted not only to set uprepresentative <strong>of</strong>fices in the Mainland but, if they have a representative <strong>of</strong>fice in theMainland, also to form associations with Mainland law firms. The residency
3requirement for representatives <strong>of</strong> Hong Kong law firms stationed in the Mainland hasbeen relaxed to a period <strong>of</strong> two months, while the relevant requirement forrepresentatives stationed in Guangzhou and Shenzhen has even been waived due totheir proximity to Hong Kong.3. With regard to the provision <strong>of</strong> pr<strong>of</strong>essional legal services by individuals,after the implementation <strong>of</strong> CEPA, Hong Kong permanent residents who are Chinesenationals are allowed to sit the National Judicial Examination and, upon passing theexamination, to engage in non-litigation legal matters as a Mainland lawyer. HongKong lawyers can also be employed as legal consultants in Mainland law firms.Under CEPA II, which was promulgated on 27 August 2004 for implementation on 1January 2005, the Mainland has agreed to further liberalize the legal services sectorand clarified that Hong Kong lawyers can provide pr<strong>of</strong>essional assistance at therequest <strong>of</strong> Mainland law firms on the basis <strong>of</strong> individual cases without the need toapply for a Hong Kong legal consultant permit.4. The scope <strong>of</strong> CEPA will be further broadened in the light <strong>of</strong> the actualexperience through its implementation. In the early stage <strong>of</strong> the implementation <strong>of</strong>CEPA, the <strong>Department</strong> <strong>of</strong> <strong>Justice</strong> has asked the Ministry <strong>of</strong> <strong>Justice</strong> to clarify somedoubts raised by the legal sector. In order to fully implement CEPA and to enable usto submit effective specific proposals to the Central Authorities, the <strong>Department</strong> <strong>of</strong><strong>Justice</strong>, the Law Society <strong>of</strong> Hong Kong and the Hong Kong Bar Association havesigned agreements on legal services co-operation with various Mainland provincesand cities. On behalf <strong>of</strong> the <strong>Department</strong> <strong>of</strong> <strong>Justice</strong>, I have signed agreements onlegal services co-operation with seven provinces and cities, namely Beijing, Qingdao,Chongqing, Nanjing, Shanghai, Zhejiang and Shenzhen, in order to formulate specificplans for the implementation <strong>of</strong> CEPA. Under such agreements, the exchange <strong>of</strong>
4legal information, as well as legal instruments, between the Mainland and Hong Kongwill be enhanced. In addition, the training <strong>of</strong> the legal pr<strong>of</strong>ession <strong>of</strong> both places willbe strengthened, especially through exchanging legal personnel to obtain practicaltraining. One <strong>of</strong> the co-operation items is to set up a mechanism as soon as possibleto thoroughly study and follow up the implementation <strong>of</strong> CEPA in the relevantprovinces or cities, to resolve through consultation any problems arising from theinterpretation or implementation <strong>of</strong> CEPA, and to report specific proposals to theCentral Authorities. This is in line with Article 19 <strong>of</strong> CEPA which allows the settingup <strong>of</strong> a Joint Steering Committee (on the level <strong>of</strong> the Central Authorities) to review,reinforce and further implement the arrangements under CEPA.5. I am delighted to see the remarkable progress made by the Hong Konglegal pr<strong>of</strong>ession in developing the legal services in the Mainland.When we began toconsider gaining access to the Mainland market in 2001, there were only 25 HongKong law firms which had established branch <strong>of</strong>fices in the Mainland. At present,there are already 47 Hong Kong law firms which have established 56 representative<strong>of</strong>fices in 11 Mainland cities and two <strong>of</strong> them have been permitted to formassociations with Mainland law firms. I would also like to mention that in thespeech I gave on 26 February this year, I said that there were 35 Hong Kong law firmswhich had established 39 representative <strong>of</strong>fices in 10 Mainland cities. There arediscrepancies between these two sets <strong>of</strong> figures as international law firms which areregistered in Hong Kong as Hong Kong law firms are not counted in by the Mainlandand some <strong>of</strong> them have not completed their registration. As a result, the figureincreased by nearly 50% in three years’ time. In contrast, the pace <strong>of</strong> Hong Konglaw firms establishing <strong>of</strong>fices outside Hong Kong was much slower before China’saccession to the WTO and the implementation <strong>of</strong> CEPA. CEPA is covered in the
5agenda item on exchange and cooperation <strong>of</strong> pr<strong>of</strong>essionals at the HongKong-Shanghai Economic and Trade Cooperation Conference, jointly led by theChief Executive and the Mayor <strong>of</strong> Shanghai, and at the Hong Kong-Beijing Economicand Trade Cooperation Conference jointly led by the Chief Executive and leading<strong>of</strong>ficials <strong>of</strong> Beijing. At the First Plenary <strong>of</strong> Hong Kong-Shanghai Economic andTrade Cooperation Conference held in Hong Kong on 27 October last year and theFirst Plenary <strong>of</strong> Hong Kong-Beijing Economic and Trade Cooperation Conferencerecently held on 2 September this year, both parties also agreed that pr<strong>of</strong>essionals <strong>of</strong>Hong Kong may participate in major projects such as the World Expo 2010 andOlympic Games 2008 to be held in Shanghai and Beijing respectively, by providingpr<strong>of</strong>essional services.Therefore, at a media interview after attending theSymposium on Cooperation between Beijing and Hong Kong Lawyers on 3September, I pointed out that the Hong Kong legal pr<strong>of</strong>ession may seek to participatein the provision <strong>of</strong> legal services for relevant projects <strong>of</strong> the Olympic Games 2008.Hong Kong may also seek to become an arbitration centre in respect <strong>of</strong> relevant legalagreements so that its position as a regional centre for legal services and arbitrationwill be reinforced.6. Under CEPA, both the Mainland and the HKSAR agree to increase thetransparency <strong>of</strong> relevant regulations and rules and to enhance the exchange <strong>of</strong>information. The Mainland has taken action to implement the commitments set outin CEPA. To this end, the Ministry <strong>of</strong> <strong>Justice</strong> promulgated five sets <strong>of</strong> Regulationsand Measures in November 2003. These Regulations and Measures serve to providea mechanism for Hong Kong residents to sit the National Judicial Examination andundergo practical training, and to regulate the practice <strong>of</strong> Hong Kong lawyers and lawfirms in the Mainland, the employment <strong>of</strong> Hong Kong legal consultants by Mainland
6law firms, and the formation <strong>of</strong> associations by Mainland and Hong Kong law firms.These Regulations and Measures, the contents <strong>of</strong> CEPA, specific commitments inrespect <strong>of</strong> liberalization <strong>of</strong> market access in trade in services (including the legalservices sector) under CEPA, and other documents such as Regulations onAdministration <strong>of</strong> Foreign Law Firms’ Representative Offices in China and InterimProvisions on the Establishment <strong>of</strong> Offices within the Territory <strong>of</strong> China by ForeignLaw Firms have been included in Opportunities for Hong Kong Lawyers under CEPA,a reference book just published by the <strong>Department</strong> <strong>of</strong> <strong>Justice</strong>. Some <strong>of</strong> the copies <strong>of</strong>this book will be for sale. Moreover, the <strong>Department</strong> <strong>of</strong> <strong>Justice</strong> will provide the LawSociety <strong>of</strong> Hong Kong, the Hong Kong Bar Association and other relatedorganizations with complimentary copies <strong>of</strong> this book.7. I wish to acknowledge the kind assistance <strong>of</strong> the Ministry <strong>of</strong> <strong>Justice</strong>,which authorized the reproduction in this book <strong>of</strong> relevant Regulations, and <strong>of</strong> manycolleagues in my department who helped to put this book together. I hope that thisreference book will provide some practical and useful guidance for members <strong>of</strong> theHong Kong legal pr<strong>of</strong>ession who are already engaged in providing legal services inthe Mainland or are interested in expanding their scope <strong>of</strong> legal services in theMainland. The <strong>Department</strong> <strong>of</strong> <strong>Justice</strong> will continue to monitor closely the latestdevelopments in this respect and hopes to provide updated information in due courseso as to assist the pr<strong>of</strong>ession to grasp the opportunities brought about by CEPA andhave a share in the Mainland legal services market.8. As economic globalization continues to gather speed, CEPA is a windowthrough which Hong Kong people can expand their businesses and seek furtherdevelopment in the Mainland. The implementation <strong>of</strong> CEPA accords with the needs<strong>of</strong> the Hong Kong economy, which is undergoing restructuring, and fits in with
7China’s “reaching out” policy. The realization <strong>of</strong> CEPA needs the full support <strong>of</strong> theCentral Government and the endeavours <strong>of</strong> the HKSAR Government, but whether itcan be implemented successfully depends on how the pr<strong>of</strong>ession makes good use <strong>of</strong>the opportunity. This focus group discussion is held today to facilitate practical andcandid exchanges on specific problems and measures which are our common concernwith those <strong>of</strong> you in the pr<strong>of</strong>ession who have set up representative <strong>of</strong>fices in theMainland. The discussion should have substantial benefits and effects on the wayforward, such as for CEPA III, and as to how the Hong Kong legal pr<strong>of</strong>ession couldpromote its legal services in the Mainland. My colleagues and I look forward to anin-depth experience sharing with you in this regard and wish to hear your suggestions.9. Thank you.
