in a manner that is considered to be pornographic, vulgar or obscene by MGM Grand, in its soleand absolute discretion. MGM Grand also reserves the right to disqualify any Entrant whoseimage has been published on or after it has been submitted in connection with this Competitionother than in the background, in any media (publications, World Wide Web, television, etc.),that in MGM Grand’s sole and absolute discretion shall be deemed to compete with MGMGrand;s business, and or the Competition. Failure to comply with these Official Rules will result inineligibility of Entrant. Entrant appoints MGM Grand as her attorney in fact, and grants MGMGrand permission to demand the removal of any photographs that violate these Official Rules.Third party representatives and agents of MGM Grand, its parent, subsidiaries, affiliates, and itsadvertising and production companies and any family member or person domiciled with any ofthe foregoing, are not eligible to participate. All federal, state and local laws and regulations of theUnited States apply. Void where prohibited. Entrants agree to be bound by these Official Rules.Selection of Selected Entrants:MGM Grand will, in its sole and absolute discretion, select among the Entrants based upon itsevaluation of the Entrants’ attractiveness and photogenic qualities, quality of the SubmittedInformation, and the responses to the questionnaire. MGM Grand reserves the right to contact anEntrant for any reason relating to the Competition. Selected Entrants may be required to provideadditional information or proof of copyright ownership of the photos submitted, in MGM Grand’ssole and absolute discretion. All selected Entrants will be contacted with a date to appear and begiven a chance to be voted into the Competition.Selection of Ring Girl Contestants:The selected Entrants will be required to attend one event (which presently are scheduled forMarch 3, 10, 17 and 24, 2011) and will be given the opportunity to be voted into the Competitionby a panel of judges (selected by MGM Grand) and the attending venue patrons. Each selectedEntrant will need to attend a rehearsal on the day of their scheduled event, prior to the doorsopening; check in at the venue on the specified date and at the time instructed, and remain duringthe selection process. At each event, MGM Grand will select a number of the Selected Entrantsto become a Final Ring Girl Contestant based upon the results of the voting, MGM Grand’sevaluation of the Selected Entrants' attractiveness and photogenic qualities, the quality of theSubmitted Information, including photos and questionnaire responses; Selected Entrants’ selfpromotion, and MGM Grand’s sole and absolute assessment of crowd participation (popularresponse); A total of 30 Contestants will be chosen during this Competition to be a Final Ring GirlContestant. In the event that a Contestant is determined to be ineligible or withdraws from theCompetition, MGM Grand reserves the right to substitute another Selected Entrant toreplace such person. The selection of the Contestants shall be within the sole and absolutediscretion of MGM Grand, whose decisions shall be final, and shall be based on the criterialisted herein. Results of crowd participation are one factor in selecting the Contestants, butare not determinative.PRE-PUBLICATION AFFIDAVIT:All Contestants will be required to submit a Pre-Publication Affidavit. In the Pre-PublicationAffidavit, Contestants may be required to: (i) provide additional biographical or other information;(ii) confirm and certify that they meet all eligibility requirements as set forth in these Official Rules;(iii) confirm and certify that the photographs submitted depict the Contestant; (iv) confirm that theyhave granted MGM Grand the right to publish in all media now known, or hereafter devised -including but not limited to magazines, posters, online display, television, cable, video, DVDand/or film productions, wireless applications and other media channels and applications, and foradvertising, promotions, other competitions sponsored by MGM Grand and other commercialpurposes (whether by MGM Grand or any third party – the Submitted Information, additionalphotographs, biographical information and questionnaire responses that Contestants provide(except, street address, telephone number, e-mail address, or other information specifically notedin writing by MGM Grand to be confidential or anonymous); and (v) grant MGM Grand the right tophotograph and/or video Contestants, and to use such photographs and/or video for all purposes
and in all media now known or hereafter devised, including but not limited to magazines, posters,online display, television, cable, video, DVD and/or film productions, wireless applications andother media channels and applications, and for advertising, promotions, other competitionssponsored by MGM Grand and other commercial purposes (whether by MGM Grand or anythird party authorized by MGM Grand).Contestants may also be required to warrant and represent that they will not identify themselvesas participants in the MGM Grand Ring Girl Competition, and will not use any of MGM Grand’strademarks or trade names except as expressly permitted under these Official Rules. Contestantsunderstand that MGM Grand will be irreparably harmed by the use of any of MGM Grand’strademarks or trade names except as expressly permitted under these Official Rules. TheCompetition may be promoted by or in connection with other sponsors, and Contestants will berequired to specifically grant such sponsors the right to use the Submitted Information and othermaterials referred to herein in connection with such promotions without additional compensation.Each contestant will also be required to represent and warrant that she has sufficientrights in the Submitted Information, additional photographs, and all other materialssubmitted in connection with this Competition to grant MGM Grand the rights grantedhereunder. If the Submitted Information includes modeling shots, photographs taken by aprofessional photographer/videographer, or anything other than personal snapshots inwhich the Contestant holds or rights, or if they include any copyright notice, theContestant will be required to demonstrate that the copyright holder(s) has granted her theright to allow MGM Grand to reproduce and publish the photographs, by providing asigned Copyright Release, or they will be ineligible to participate in the Competition.Contestants are responsible for any financial reimbursement to the original copyrightholder for the rights to publish any photographs submitted with the Submitted Informationas provided herein; MGM Grand will not be responsible for any such payment, and will notbe held under any obligation to publish a photo credit to the original copyright holder forthe publication of an image. Contestants agree to hold MGM Grand harmless and toindemnify MGM Grand from any and all liabilities, loss, claims, or causes of actions,including reasonable attorneys' fees and expenses that may be incurred by MGM Grand,arising out of or relating to breach of any representation or warranty, or any other violationof these Official Rules.Contestants will be required to attach to the Pre-Publication Affidavit a valid copy of identification,and to show the original thereof to the Notary Public at the time that Contestant executes her Pre-Publication Affidavit. The form of identification must be a valid government-issued ID that includesa photograph of the Contestant and her date of birth (such as a driver's license, passport, orstate identification card).All of the above-referenced materials and all other materials/forms requested in accordance withthese Official Rules, must be returned to MGM Grand at the following address (2011Ring Girl Competition, MGM Grand Nightlife, 3799 Las Vegas Blvd., South, Las Vegas, NV89109, Attention: Director of Nightlife) upon selection so as to be received by the deadlinerequested by MGM Grand, or Entrant may be disqualified.The Contestant must personally execute the Pre-Publication Affidavit. Any Pre-PublicationAffidavit that is executed by a person other than the Contestant will be considered invalid,and will render the entry ineligible. The return of the above referenced material within thetime specified in these Official Rules or by MGM Grand shall be the sole responsibility ofthe Contestant; MGM Grand is not responsible for delays in delivery. MGM Grand mustreceive all required documentation (as described above) in accordance with theinstructions received from MGM Grand; and any Contestant whose documentation is notreceived by such date or whose documentation is deemed to be, in MGM Grand’s sole andabsolute determination, incomplete, erroneous or misleading will be ineligible toparticipate in the remainder of the Competition. THE RETURN OF ALL REQUIREDDOCUMENTATION IN A TIMELY MANNER IS THE RESPONSIBILITY OF THECONTESTANTS; CONTESTANTS WHO DO NOT RETURN ALL REQUIREDDOCUMENTATION IN A TIMELY MANNER WILL BE DISQUALIFIED.
