<strong>Annex</strong> 7 <strong>referred</strong> <strong>to</strong> <strong>in</strong> <strong>Chapter</strong> 6F<strong>in</strong>ancial <strong>Services</strong><strong>Section</strong> 1<strong>Scope</strong> and Def<strong>in</strong>itions1. This <strong>Annex</strong> applies <strong>to</strong> measures affect<strong>in</strong>g the supply off<strong>in</strong>ancial services. Reference <strong>to</strong> the supply of a f<strong>in</strong>ancialservice <strong>in</strong> this <strong>Annex</strong> shall mean the supply of a service asdef<strong>in</strong>ed <strong>in</strong> paragraph (u) of Article 77.2. (a) For the purposes of this <strong>Annex</strong>:(i)the term “f<strong>in</strong>ancial service” means anyservice of a f<strong>in</strong>ancial nature. F<strong>in</strong>ancialservices <strong>in</strong>clude all <strong>in</strong>surance and<strong>in</strong>surance-related services, and all bank<strong>in</strong>gand other f<strong>in</strong>ancial services (exclud<strong>in</strong>g<strong>in</strong>surance). F<strong>in</strong>ancial services <strong>in</strong>clude thefollow<strong>in</strong>g activities:(A)Insurance and Insurance-Related<strong>Services</strong>(AA) direct <strong>in</strong>surance (<strong>in</strong>clud<strong>in</strong>g co<strong>in</strong>surance):(aa)(bb)life; andnon-life;(BB) re<strong>in</strong>surance and retrocession;(CC) <strong>in</strong>surance <strong>in</strong>termediation, such asbrokerage and agency; and(DD) services auxiliary <strong>to</strong> <strong>in</strong>surance,such as consultancy, actuarial,risk assessment and claimsettlement services; and(B)Bank<strong>in</strong>g and Other F<strong>in</strong>ancial <strong>Services</strong>(Exclud<strong>in</strong>g Insurance)(AA) acceptance of deposits and otherrepayable funds from the public;(BB) lend<strong>in</strong>g of all types, <strong>in</strong>clud<strong>in</strong>gconsumer credit, mortgage credit,fac<strong>to</strong>r<strong>in</strong>g and f<strong>in</strong>anc<strong>in</strong>g ofcommercial transaction;(CC) f<strong>in</strong>ancial leas<strong>in</strong>g;40
(JJ) settlement and clear<strong>in</strong>g servicesfor f<strong>in</strong>ancial assets, <strong>in</strong>clud<strong>in</strong>gsecurities, derivative products,and other negotiable <strong>in</strong>struments;(KK) provision and transfer off<strong>in</strong>ancial <strong>in</strong>formation, andf<strong>in</strong>ancial data process<strong>in</strong>g andrelated software by suppliers ofother f<strong>in</strong>ancial services; and(LL) advisory, <strong>in</strong>termediation andother auxiliary f<strong>in</strong>ancialservices on all the activitieslisted <strong>in</strong> subparagraphs (AA)through (KK), <strong>in</strong>clud<strong>in</strong>g creditreference and analysis,<strong>in</strong>vestment and portfolio researchand advice, advice onacquisitions and on corporaterestructur<strong>in</strong>g and strategy;(ii)(iii)the term “f<strong>in</strong>ancial service supplier” meansany natural person or juridical person of aParty that seeks <strong>to</strong> supply or supplies af<strong>in</strong>ancial service, but does not <strong>in</strong>clude apublic entity; andthe term “public entity” means:(A)(B)the Government, central bank ormonetary authority of a Party, or anentity owned or controlled by a Party,that is pr<strong>in</strong>cipally engaged <strong>in</strong> carry<strong>in</strong>gout governmental functions oractivities for governmental purposes,not <strong>in</strong>clud<strong>in</strong>g an entity pr<strong>in</strong>cipallyengaged <strong>in</strong> supply<strong>in</strong>g f<strong>in</strong>ancial serviceson commercial terms; ora private entity, perform<strong>in</strong>g functionsnormally performed by the central bankor monetary authority of a Party, whenexercis<strong>in</strong>g those functions.(b) For the purposes of paragraph (m) of Article 77,the term “service supplied <strong>in</strong> the exercise ofgovernmental authority” means:(i)activities conducted by the central bank ormonetary authority of a Party or by anyother public entity <strong>in</strong> pursuit of monetaryor exchange rate policies;42
(ii)(iii)activities form<strong>in</strong>g part of a statu<strong>to</strong>rysystem of social security or publicretirement plans; andother activities conducted by a publicentity for the account or with the guaranteeor us<strong>in</strong>g the f<strong>in</strong>ancial resources of theGovernment of a Party.(c) For the purposes of paragraph (m) of Article 77,if a Party allows any of the activities <strong>referred</strong><strong>to</strong> <strong>in</strong> subparagraph (b)(ii) or (iii) <strong>to</strong> beconducted by its f<strong>in</strong>ancial service suppliers <strong>in</strong>competition with a public entity or a f<strong>in</strong>ancialservice supplier, the term “service” shall<strong>in</strong>clude such activities.(d)Paragraph (p) of Article 77 shall not apply <strong>to</strong>services covered by this <strong>Annex</strong>.<strong>Section</strong> 2Domestic Regulation1. Notwithstand<strong>in</strong>g any provisions of <strong>Chapter</strong> 6, a Partyshall not be prevented from tak<strong>in</strong>g measures for prudentialreasons, <strong>in</strong>clud<strong>in</strong>g measures for the protection of<strong>in</strong>ves<strong>to</strong>rs, deposi<strong>to</strong>rs, policy holders or persons <strong>to</strong> whom afiduciary duty is owed by a f<strong>in</strong>ancial service supplier, or<strong>to</strong> ensure the <strong>in</strong>tegrity and stability of the f<strong>in</strong>ancialsystem. Where such measures do not conform with theprovisions of <strong>Chapter</strong> 6, they shall not be used as a meansof avoid<strong>in</strong>g the Party’s commitments or obligations under<strong>Chapter</strong> 6.2. Noth<strong>in</strong>g <strong>in</strong> <strong>Chapter</strong> 6 shall be construed <strong>to</strong> require aParty <strong>to</strong> disclose <strong>in</strong>formation relat<strong>in</strong>g <strong>to</strong> the affairs andaccounts of <strong>in</strong>dividual cus<strong>to</strong>mers or any confidential orproprietary <strong>in</strong>formation <strong>in</strong> the possession of publicentities.<strong>Section</strong> 3Recognition1. A Party may recognize the prudential measures of any<strong>in</strong>ternational regula<strong>to</strong>ry body or non-Party <strong>in</strong> determ<strong>in</strong><strong>in</strong>ghow the Party’s measures relat<strong>in</strong>g <strong>to</strong> f<strong>in</strong>ancial servicesshall be applied. Such recognition, which may be achievedthrough harmonization or otherwise, may be based upon anagreement or arrangement with the <strong>in</strong>ternational regula<strong>to</strong>rybody or non-Party concerned or may be accordedau<strong>to</strong>nomously.43
2. A Party that is a party <strong>to</strong> such an agreement orarrangement <strong>referred</strong> <strong>to</strong> <strong>in</strong> paragraph 1, whether future orexist<strong>in</strong>g, shall afford adequate opportunity for the otherParty <strong>to</strong> negotiate its accession <strong>to</strong> such an agreement orarrangement, or <strong>to</strong> negotiate comparable ones with it, undercircumstances <strong>in</strong> which there would be equivalentregulation, oversight, implementation of such regulation,and if appropriate, procedures concern<strong>in</strong>g the shar<strong>in</strong>g of<strong>in</strong>formation between the parties <strong>to</strong> the agreement orarrangement. Where a Party accords recognitionau<strong>to</strong>nomously, it shall afford adequate opportunity for theother Party <strong>to</strong> demonstrate that such circumstances exist.<strong>Section</strong> 4Dispute SettlementArbitral tribunals established under Article 142 fordisputes on prudential issues and other f<strong>in</strong>ancial mattersshall have the necessary expertise relevant <strong>to</strong> the specificf<strong>in</strong>ancial service under dispute.44
