PEGLER YORKSHIREPEGLER PRICE LISTTERMS AND CONDITIONS1. GeneralIn these conditions, reference to the Companyshall mean Pegler Yorkshire. All quotations aremade and all orders are accepted subject tothese conditions. All other terms, conditionsor warranties whatsoever are excluded fromthe contract or any variation thereof unlessexpressly accepted by the Company inwriting. In the event of a conflict betweenthese conditions and the specific terms andconditions of quotation then the latter shallprevail.2. Electronic Tradinga) If the Company and Buyer agree thatelectronic trading between them shall be abasis for order processing and invoicing thenthe Standard Interchange Agreement(1st Edition March 1989) of the EDI Associationshall be incorporated into the contract byreference subject to these conditions.b) Electronic orders shall be valid if all theinformation agreed between the Buyer andthe Company as being required is properlyset out in the agreed format and the order istransmitted by the Buyer to the Company byreference to the correct identification code andis received by the Company when collecting itselectronic mail from the relevant system.c) Each valid electronic order will be deemedaccepted by the Company unless theCompany communicates rejection of theorder to the Buyer by electronic or othermeans (including telephone) within 24 hours ofreceipt. Acceptance of an order shall constitutea contract for sale and purchase to which theseconditions and the Standard InterchangeAgreement shall prevail.d) If the Company and the Buyer agree thatinvoicing may be done by electronic mail, thenpayment will be due 30 days after the date ofelectronic invoice unless agreed otherwise.3. DeliveryAny date for delivery named by the Companyis an estimate only and in no circumstancesshall the failure of the Company to deliver onor before the named date either entitle theBuyer to rescind or terminate the contract ormake the Company liable in any way for theconsequences of any delay.4. ExportUnless specifically stated otherwise in theseconditions all trade terms not specificallycovered by these conditions shall beinterpreted in accordance with INCOTERMScurrent on the date of that order.5. Warranty and Defective Goodsa) Save as otherwise provided by the otherconditions of these Conditions, sections 12to 15 of the Sale of Goods Act 1979 are to beimplied into this contract.b) The goods delivered under the Contractshall, where the Contract includes aspecification, comply with the specification or,if there is no specification, shall be of normalindustrial quality.c) The Buyer does not rely on any statement orrepresentations other than those which havebeen made in writing by the Company.d) The Buyer must give the Companyimmediate written notice of any defect in thegoods. Such goods shall be returned to theCompany and if proved to have been defectiveat delivery as a result of faulty materials orworkmanship, the Company shall at its optionreplace or repair such goods. Defects inquality or dimension in any delivery shall notbe ground for cancellation of the remainderof the order.e) Save for any liability for death or personalinjury caused by the Company’s negligence,the Company’s liability in connection withdefective goods shall be limited to the repairor supply of a replacement for the defectivegoods, and the Company shall not be liablefor any other loss or damage including, but notlimited to loss of profit, labour costs, damageto property, wasted expenditure or costof mitigation.6. Data and Technical InformationThe information contained in the advertisingsales and technical literature issued by theCompany may be relied upon to be accuratein the exact circumstances in which it isexpressed. Any illustrations, performancedetails, examples of illustrations and methodsof assembly and all other technical data in suchliterature are based on experience and upontrials under test conditions and are providedfor general guidance only.7. Claims For Damage, Shortage or LossNo claim for damage in transit or shortage ofdelivery can be accepted unless, a separatenotice in writing is given to the carrierconcerned and to the Company within threedays of receipt of the goods, followed bya complete claim in writing within five daysof receipt of the goods. No claim for lossof goods in transit can b accepted unlessa separate notice in writing is given to thecarrier concerned and to the Company, and acomplete claim in writing made within 21 daysof the date of consignment. Where goods areaccepted from the carrier concerned withoutbeing checked, the delivery book of the carriermust be signed “not examined”. If a complaintis not made to the Company as hereinprovided, the products shall be deemed to bein all respects in accordance with the Contract,and the Buyer shall be bound to pay for thesame accordingly.8. Suspension of Deliveriesa) Deliveries may be wholly or partiallysuspended by the company in the event of:-i. Stoppage, delay or interruption caused tothe business of the Company as a result ofstrikes, lockouts, trade disputes, breakdown,accident or any cause whatsoever beyond thereasonable control of the Company.ii. Any default by the Buyer in making paymentof any amounts owed to the Company underthis and any other contracts between them.b) In the event of any hostilities (whetherwar is declared or not) in which Great Britainis involved, or in the event of nationalemergency, or if the Company’s works shouldbecome either directly or indirectly engagedon Government orders as to prevent or delaywork on other orders, the Company shall beentitled at any time, on notice to the Buyer, tomake partial deliveries only or to determine thecontract without prejudice in any case to rightsaccrued in respect of deliveries already made.9. Determination of ContractThe Company shall have the right forthwithto determine this and/or any other Contractbetween the Buyer and the Company bywritten notice to the Buyer’s last knownaddress (without prejudice to any claim orright the Company might otherwise make orexercise) in any of the following events:-a) If the Buyer shall make default in or commit abreach of any contract with the Company; orb) If any distress or execution shall be leviedupon the Buyer’s property or assets; orc) If the Buyer shall make or offer to makeany arrangements or composition withcreditors, or commit any act of bankruptcy orbecome insolvent; ord) If any petition or receiving order inbankruptcy shall be presented or made againsthim; ore) If the buyer shall be a limited Company andbecome subject of any resolution or petitionfor winding up or administration; orf) If a receiver or manager of the Buyer’sundertaking, property or assets or any partthereof shall be appointed.10. IndemnityThe Buyer will indemnify the Company againstall damages, penalties, costs and expenses towhich the Company may become liable as aresult of work done to the Buyer’s instructionsor which infringe any letters, patent orregistered design or copyright or any otherthird party intellectual property rights.11. PricesThe price payable for the goods shall unlessotherwise agreed be the Company’s list pricecurrent at the date of despatch. Such prices areinclusive of delivery to the Buyer’s UK mainlanddelivery point but costs of delivery to any otherdestinations will be charged to the Buyer.12. Risk and Titlea) Risk shall pass to the Buyer so that theBuyer is responsible for all loss, damage ordeterioration to the goods:i. If the Company delivers the goods by itsown transport at the time when the goods ora relevant part thereof arrive at the place ofdelivery; orii. In all other circumstances at the time whenthe goods, or a relevant part thereof leavethe premises of the Company whether or notthe Company arranges transport and (withoutprejudice to clause 7) where the goods aredelivered by carrier, any claims for loss ordamage in transit must be made by the Buyeragainst the carrier in accordance with thecarrier’s conditions.b) Title to the goods supplied under thecontract shall only pass to the Buyer whenpayment in full for all goods supplied underthis and all other contracts between theCompany and the Buyer has been receivedby the Company. The Company reserves theimmediate right to possession of and at anytime may recover all goods in respect of whichtitle has not passed to the Buyer; the Companyis hereby authorised by the Buyer to enterupon any premises where such goods areheld by or on behalf of the Buyer and recoverpossession thereof.c) Until title to goods has been passed to theBuyer pursuant to these conditions it shallpossess the goods as a Bailee at will of theCompany, and the Buyer shall not be entitledto sell or otherwise deal in goods in respect ofwhich title has not passed to the Buyer. If theBuyer acts in breach of these conditions thenwithout prejudice to any other rights of theCompany the Buyer shall have a fiduciary dutyto account to the Company for the proceedsof any sale save to the extent that any suchproceeds exceed the amounts owed to theCompany under this and all other contractsbetween the Company and the Buyer.13. CancellationCancellation will only be accepted by theCompany on condition that all costs andexpenses incurred by the Company up to thetime of cancellation and all loss of profits andother loss or damage suffered by the Companyas a result of such cancellation will be paidforthwith by the Buyer to the Company.14. Payment of Accountsa) Unless otherwise agreed by the Company inwriting, payment shall be settled in full by thelast working day of the month following themonth in which the goods were despatched,or would have been despatched save forpostponement otherwise than due to defaulton the part of the Company. The Companyshall be entitled to submit its invoice on thesame day as its delivery advice note or atany time thereafter, save that where deliveryhas been postponed at the request of or thedefault of the Buyer, then the Company maysubmit its invoice at any time after the goodsare ready for delivery or would have beenready in the ordinary course but for the requestor default as aforesaid.b) The Company reserves the right to chargeinterest at a rate up to 5% above Lloyds BankBase Lending Rate ruling at the time paymentis due if payment is not made in accordancewith the terms agreed at the time the orderis accepted.15. VATThe prices quoted are exclusive of VAT whichwill, if applicable, be added to the invoice atthe rate then current.16. Consumer Protection ActIn circumstances where the Company suppliesparts or goods to the Buyer for incorporationwith, or use ancillary to, any composite goodsto be produced, manufactured, processed orsupplied by the Buyer then:a) The Buyer shall forthwith on demandproduce for inspection by the Company copiesof all written instructions, information andwarnings in relation to the said compositegoods, provided nevertheless that suchinspection or right to inspect shall not ofitself constitute acceptance or approval onthe part of the Company of such instructions,information, or warnings; andb) The Buyer shall indemnify, reimburse andcompensate the Company for all losses anddamages (including costs, expenses andcharges for legal actions in which the Companymay be involved) that the Company may incurin the event that any claim or claims are madeagainst the Company pursuant to the Actrelating to the said composite goods of theBuyer or parts or goods supplied hereunderin circumstances in which the parts or goodssupplied by the Company was either:i. Not the defective part of the said compositegoods; orii. Was only rendered the defective part orbecame defective goods by reason of actionsor omission of the Buyer; oriii. Was only rendered the defective partor became defective goods by reason ofinstructions or warnings given or omittedby the Buyer or other supplier of the saidcomposite goods supplied hereunder.c) For the purposes of this condition the word“defective” shall be interpreted in accordancewith the definition contained in the Act andthis condition shall mutatis mutandis apply inrelation to equivalent legislation of other statesas it applies in relation to the Act.17. Law and JurisdictionThis contract shall be governed and construedaccording to the Law of England and theparties hereby agree to submit to the exclusivejurisdiction of the English courts.227
