PRIORITY BANKINGSERVICES ANDPRIVILEGESLOCAL TERMS ANDCONDITIONSIn these terms and conditions,"the Bank" refers to Standard Chartered(China) Limited; "Standard Chartered Bank" refers to the Bank's holdingcompanies, affiliates or the affiliates, related companies, representativeoffices or branches of its holding companies, in any country or region,including the Bank itself; "Priority Banking Customer" refers to PriorityBanking Customer, Priority Banking Customer's joint account holder orPriority Banking Customer's authorised person who are Priority Bankingcustomers of Standard Chartered (China) Limited. The services theBank provides to Priority Banking Customer include, but are not limitedto: household recognition, global recognition, free international fundtransfers, emergency cash etc. All the services are governed by theseterms and conditions.1 Priority Banking Service and Privileges1.1 Priority Banking Customer will need to meet the Bank's eligibilitycriteria to become a Priority Banking customer. Priority BankingCustomer's admission to Priority Banking membership is at theBank's discretion. The Bank may end Priority Banking Customer'sPriority Banking membership at any time and will notify the PriorityBanking Customer of this.1.2 Priority Banking Customer may end his/her Priority Bankingmembership by giving the Bank a written notice.2 Eligibility Criteria for Priority Banking2.1 To qualify for Priority Banking membership, simply maintain aminimum total amount of RMB 500,000 (or equivalent amount inforeign currency) in deposits and/or investments with the Bank.2.2 Priority Banking Customer will enjoy Priority Banking membershipprior to the termination of any mortgage contract between PriorityBanking Customer and the Bank with a loan amount in excess ofRMB 2,000,000(or equivalent amount in foreign currency).2.3 The Eligibility Criteria for Priority Banking are subject to change at theBank's sole discretion. The Bank reserves ultimate explanation right.3 Fees and Charges3.1 The Bank may charge Priority Banking Customer fees for providingPriority Banking services. The fees are set out in the Priority BankingTariff Sheet for Consumer Banking Services of Standard Chartered(China) Limited and may change from time to time. Priority BankingCustomer can request a copy of the Priority Banking Tariff Sheet forConsumer Banking Services of Standard Chartered (China) Limitedor the specific charges for a particular Priority Banking service bycontacting respective Relationship Manager, visiting any branches ofthe Bank or from the Bank website.3.2 As a Priority Banking customer, Priority Banking Customer mustmeet the Bank's eligibility criteria. If Priority Banking Customer failsto maintain a minimum daily average balance of RMB 500,000(or equivalent amount in foreign currency) in deposits and/orinvestments with the Bank ,the Bank impose a fee of RMB 150(or equivalent amount in foreign currency )per month for accountmanagement and will deduct the fee from any account PriorityBanking Customer holds with the Bank. The specific fee for accountmanagement will be determined in accordance with the PriorityBanking Tariff Sheet for Consumer Banking Services of StandardChartered (China) Limited and may change from time to time due tochanges in the market.4 Information DisclosureIn order to enable the provision of Priority Banking service, PriorityBanking Customer consents to the disclosure by the Bank, itsemployees and agents, of information relating to his/her (includingdetails of accounts, products or any security) to any member ofStandard Chartered Bank and anyone Standard Chartered Bankconsiders necessary in order to provide Priority Banking Customerwith Priority Banking services.5 Household Relationship Benefit5.1 Priority Banking Customers eligible for Household RelationshipBenefit (referred as "Applicant") are limited to the spouse and onechild of an existing Priority Banking Customer (referred as "ExistingCustomer"). The Applicant must successfully set up a PriorityBanking account with the Bank. Applicant and Existing Customerare together referred as "Family".5.2 After successfully applying for Household Recognition, at least onePriority Banking Customer of the Family must meet the EligibilityCriteria for Priority Banking, and account service fee will be waivedto all Priority Banking accounts owned by the Family; Otherwise,all Priority Banking accounts owned by the Family will be subject toaccount service fee charge announced by the Bank timely.5.3 Applicant must provide Existing Customer information forverification, and consent from Existing Customers is required toenjoy Household Relationship Benefit.5.4 Applicant must ensure the information provided to the Bank is trueand correct for the Bank further checking and communication.Otherwise Applicant is liable to any legal responsibility due to anyforged or fraudulent.6 The Wealth Management Product under this document is differentfrom ordinary bank deposits. Unless for special needs, the Bank willnot make any guarantee. The Wealth Management Product carries


PRIORITY BANKINGSERVICES ANDPRIVILEGESLOCAL TERMS ANDCONDITIONSrisks not normally associated with ordinary bank deposits and is generallynot a substitute for ordinary savings or time deposits. The principalof the principal protected Wealth Management Product underthis document may not be fully refunded unless held until maturityand carries investment risk. You can only achieve profits expresslyundertaken in the contract relating to this Product. Under the worstmarket circumstances, your investment return is zero. The WealthManagement Product under this document is a high risk productand not principal protected and your principal may suffer serious oreven total loss arising from market fluctuation. You should be fullyaware of the investment risks, and be prudent in dealing with thisinvestment. If the Bank allows early redemption of this investment,the redemption amount may be lower than your original investmentamount. Before deciding to purchase this investment, you shouldindependently understand the investment nature and risks and takeinto account your own risk tolerance, expected rate of return, overallrequirements and other conditions. The past performance shouldnot be taken as an indication to the future results as the marketis changing. In the case of an investment denominated in foreigncurrency, you shall realize that losses of the principal arising fromthe fluctuation of exchange rate when you convert the investmentcurrency back to your local currency. If the minimum pool amountfor this Wealth Management Product is not reached or the maximumpool amount is exceeded or the underlying market fluctuatesextraordinarily before trade date, the Bank reserves the right tocancel any application or adjust investment terms and conditionsof relevant Wealth Management Product. The Bank has the rightto withhold any tax payable in relation to this Wealth ManagementProduct pursuant to related laws and regulations related to financialproducts with the amount of tax (if any). This Wealth ManagementProduct has not been and will not be registered under the U.S.Securities Act of 1933. Accordingly the Product may not be sold oroffered within the United States or to U.S. persons residing in theUnited States.(U.S. persons refer to U.S. citizens, U.S. green card holder or otherperson). Please refer to the corresponding term sheet for detailedrisk disclosure and specific product information.The Bank sells the insurance products in this document as an agent.All products are offered by relevant insurance companies.7 Global Recognition7.1 The Bank Global Recognition service can offer Priority Banking Customer:(A) Preferential FX rates;(B) Use of Priority Banking lounge facilities;(C) Local and international banking information upon request.7.2 If any member of Standard Chartered Bank provides preferential FXrate services to Priority Banking customers that set up accountsin its location, the Priority Banking customers will enjoy the samepreferential service at this member of Standard Chartered Bank. Thepreferential FX rate offered shall be the current rate of the member ofStandard Chartered Bank accepts the foreign exchange applicationfrom the Priority Banking customer at that time or the rate set bythe related service or planning provider. For the latest preferentialFX rates, please contact respective Priority Banking RelationshipManager or consult the relevant Standard Chartered Bank PriorityBanking Centre.7.3 Items (B) and (C) listed in Clause 6.1 are also available to Priority BankingCustomer in the countries and regions listed below as well as China.Hong Kong / India / Indonesia / Korea / Malaysia / Singapore / Taiwan / UAE8 Free International Fund Transfers8.1 Handling commission and cable charges are waived when a PriorityBanking Customer transfers funds to an overseas Standard CharteredBank account that is not set up at this branch of the Bank.8.2 The above waiver is limited to the charges due to the Bank, e.g.handling commission and cable charges. Fees imposed by thecounterparty bank shall continue to apply.8.3 All fee waivers, charges and exchange rates are subject to changeat the Bank’s discretion and may be adjusted from time to time.9 Emergency Cash9.1 Emergency cash service ("the Service") is available to PriorityBanking Customer in the countries and regions below:Brunei / Hong Kong / Indonesia / Korea / Malaysia / Philippines / Singapore /Vietnam / UAE / India"The service" is also available to Priority Banking Customer, whomay only collect emergency cash from Travelex outlets if SCB doesnot have branches in a country below:United States / Canada / United Kingdom / Australia / New Zealand /Switzerland / Belgium / Czech Republic / Italy / France / Germany / Holland9.2 Each Priority Banking Customer may apply for a single emergencycash service transaction monthly. The withdrawal limit whenusing the emergency cash service is currency equivalent of up toUS$5,000 at SCB and US$2,000 at Travelex respectively.9.3 The cash amount which may be withdrawn pursuant to the Servicewill be determined by Standard Chartered Bank at its sole discretion,and is subject to change by Standard Chartered Bank without noticefrom time to time.9.4 Standard Chartered Bank is entitled to charge Priority BankingCustomer a service charge for the provision of the service, the

Any servicecharge will be debited from Priority Banking Customer's DesignatedAccount ("Designated Account"). The designated account shall be aforeign currency remittance account and may not be a joint account.9.5 Priority Banking Customer shall bear any correspondent chargeswhen using the Service.9.6 Priority Banking Customer agrees to provide such documents and totake such action as may be required by Standard Chartered Bank forverification and validation purposes. In addition to the application formfor the Service, Priority Banking Customer agrees to complete andexecute any other documents required by Standard Chartered Bank.9.7 All applications are subject to the approval of Standard CharteredBank and Standard Chartered Bank is entitled to reject anyapplication at its sole discretion without giving any reason therefore.Standard Chartered Bank is not obliged under any circumstancesto process any emergency cash application submitted to it outsideof its normal banking business hours in the country in which theapplication bank is situated.9.8 Upon approval of the Application by Standard Chartered Bank, anamount equivalent to the amount of cash applied for by PriorityBanking Customer pursuant to the Service (the "Emergency CashAmount") will be debited from the Priority Banking Customer'sdesignated account at such time as Standard Chartered Bank maydetermine at its sole discretion.9.9 The emergency cash amount will be paid in the currency of thecountry in which the application bank is located or such othercurrency as Standard Chartered Bank may determine at its solediscretion.9.10 If the amount held in Priority Banking Customer's designatedaccount is in a currency other than the currency in which theemergency cash amount is be paid to respective Priority BankingCustomer pursuant to the Service, Standard Chartered Bank willconvert the emergency cash amount and any service charge intothe currency of the amount held in Priority Banking Customer'sdesignated account at such time as Standard Chartered Bankmay determine at its sole discretion and at a rate of exchangewhich Standard Chartered Bank reasonably considers appropriateat its sole discretion before debiting Priority Banking Customer'sdesignated account.10 Services Provided by Third PartiesFrom time to time the Bank may introduce Priority BankingCustomer to other Priority Banking privileges and service providedby third parties. Any services provided by third parties are subjectto their terms and conditions and the Bank will not be liable for anyloss that Priority Banking Customer incurs in connection with suchservices.11 Unless the Bank is legally prohibited from excluding or limitingliability, it will not be liable for any loss, damage, claims, liability,costs (including legal costs) charges and expenses that PriorityBanking Customer incurs in connection with the associated service,howsoever caused and whether or not reasonably foreseeable,except direct loss due to fraud or wilful negligence by the Bank.12 Nothing in these terms and conditions will affect or limit theBank's rights under all other terms, conditions and/or rules (the"Banking Agreement") from time to time applicable to PriorityBanking Customer's Priority Banking account and/or governingthe relationship between Priority Banking Customer and the Bank.Priority Banking Customer agrees to be bound by these terms andconditions and all marketing materials relating to related services. Inthe event of any inconsistency between these terms and conditionsand the "Banking Agreement", these terms and conditions willprevail insofar as they relate to services stipulated in these termsand conditions.13 The Bank is entitled to modify, suspend or terminate the servicesstipulated in these terms and conditions and amend these terms andconditions at any time without notice to Priority Banking Customer.Priority Banking Customer will not hold the Bank liable for anysuch modification, suspension, termination or amendment and theBank will not be required to furnish reasons for such modification,suspension, termination or amendment.14 These terms and conditions will be governed by and construed inaccordance with the laws of the People's Republic of China andPriority Banking Customer agrees to submit to the non-exclusivejurisdiction of the courts of the People's Republic of China.15 The Bank reserves ultimate right to explain the above terms andconditions. The English translation of these terms and conditions isprovided for Priority Banking Customer's reference only and shouldnot be regarded as any undertakings and warranties of the Bankunder any situation. The Chinese version shall prevail for all purposesin the event of any inconsistency between the English and Chineseversions of these terms and conditions..Priority Banking Customeris advised to consult with the independent third party for the propertranslation of the Chinese version.
