Our feature property for our first edition of the APS catalogue

Upon the fall of the gavel the buyer shall...

• Exchange contracts immediately

• Pay a 5% deposit which contributes towards the purchase price of the property

• Pay a 3.5% Reservation Fee (minimum of £3,500 plus VAT)

• Be legally bound to buy the property/lot and the vendor is legally bound to sell

• The sale must complete within 28 days

What is the difference between a start bid

and a reserve price?

A starting bid is simply the price the bidding begins at. The reserve price

is the undisclosed amount the seller would accept for the property. The

reserve ensures the property cannot be sold for less than the seller is

prepared to accept. The reserve and starting bid are subject to change.

The starting bid may be a price that the property cannot be sold for.

Always read through the legal pack. When you’re buying an unconditional lot,

contracts exchange immediately so it’s important you know what you’re buying.

General Conditions Of Sale

1 In these conditions the following terms shall bear the following

meanings:

“Articles of Roup” - means the General Conditions, as

amended, varied or supplemented by (i) the applicable

Special Conditions relative to a Property pursuant

to Clause 2 below; and (ii) any addendum or other

document issued to amend the General Conditions or

the Special Conditions prior to or on the Auction Date;

“the Auctioneers” – means Keith Pattinson Limited

(Co. No. 02111794), 21 Ridley Place, Newcastle Upon

Tyne, NE1 8JN.

“Completion Date” – means the first working day

occurring 28 days after the date of the subscription of

the Minute of Enactment by or on behalf of the Buyer

or such other date as may be specified in the Minute

of Enactment.

“Current Rent” means, in respect of each Lease, the

instalment of rent and other sums payable by the

relevant tenants/occupiers in advance on the most

recent rent payment date on or within four months

preceding the Completion Date.

(e) “General Conditions” – means these general

conditions;

Information about the Auction” - information

appearing in this catalogue.

“Leases” – each of the leases, occupancy agreements

and/or tenancies detailed or referred to in the Special

Conditions subject to which the Property is sold;

“Minute of Enactment” – the minute of preference and

enactment annexed to these General Conditions;

“The Particulars” - The description of the identity of the

Property (including any plan or photograph contained

in this catalogue and any addendum thereto);

“The Property” - The Property offered for sale at

the auction sale to which this catalogue relates or, if

appropriate, each separate lot;

“Seller’s Property Information Form” means any

form or questionnaire completed by the Seller or, on

behalf of the Seller in relation to certain aspects of the

Property or matters pertaining thereto;

“Special Conditions” - The Special Conditions to each

Property (if any) set out in this catalogue and/or in the

separate booklet of Special Conditions applicable to

this sale or in any addendum thereto;

“TOGC” – has the meaning set out in Clause 7 of these

General Conditions;

“VAT” – means value added tax in terms of VATA; and

(o) “VATA” – means the Value Added Tax Act 1994;

Capitalised terms used in the Special Conditions shall have the

same meanings as they do in these General Conditions.

2 The Special Conditions shall apply to the sale of each Property

to which they relate respectively. Subject thereto, the General

Conditions shall apply to each such sale in so far as those conditions

are applicable to a sale by auction and are not inconsistent with the

said Special Conditions.

3 If the solicitors dealing with a particular Property for a particular

Seller have been identified prior to the Auction, their details shall be

set out in the Special Conditions.

4 The Auction shall be held at the time, place and date (“the Auction

Date”) as shall be detailed in the catalogue and each Property is

exposed for sale by auction by the Seller on the Auction Date on the

conditions contained in the Articles of Roup.

5 On the date of subscription of the Minute of Enactment by or on

behalf of the Buyer:-

5.1 the risk of damage to or destruction of the Property will

pass to the Buyer;

5.2 the Buyer shall require to make his own arrangements

for insurance of the Property with effect from that date;

5.3 the Seller will be under no liability in respect of the

damage to or destruction of the Property or any part

thereof on or after that date; and

5.4 the Buyer will be bound to proceed with the purchase

of the Property on the Completion Date in terms of

the Articles of Roup notwithstanding damage to or

destruction of the Property from whatever cause and,

for the avoidance of doubt, rei interitus shall be expressly

excluded where applicable.

6 All bids shall be deemed to be made exclusive of any Value Added

Tax which may be chargeable on the sale price for a Property and

the Seller reserves the right to sell the Property subject to VAT being

payable at the relevant rate, in addition to, the bid price pursuant to

any option already made or made by the Seller (or which is binding

on the Seller) prior to the Completion Date.

7 In the event that the Seller consider that the Property may be capable

of being sold as a transfer of a business or part of a business as a

going concern for the purposes of the Value Added Tax Act 1994

and Article 5 of the Value Added Tax (Special Provisions) Order

1995 (a “TOGC”) the same shall require to be expressly declared

in the Special Conditions and the terms and conditions applying

relative to such TOGC shall be set out in the Special Conditions.

8 The Property is sold subject to:-

8.4.1 all ground burdens, encumbrances, conditions of

tenure, servitudes, rights of pre-emption, wayleaves

and whole other burdens, conditions, restrictions,

reservations, possessory rights and others specified or

referred to in the title deeds relating to the Property or

otherwise affecting the same;

8.4.2 and with the benefit of all Leases and, accordingly,

all bidders shall be held to have satisfied themselves

before bidding as to:-

8.4.2.1 the content and effect of and compliance

with the Leases;

8.4.2.2 the existence, constitution and covenant

of the tenants thereunder;

8.4.2.3 the occupants of the Property and current

uses;

9 The Buyer accepts that:-

8.4.2.4 the rents and other sums received and

receivable under the Leases

no warranty, express or implied, is given by the Seller as

to these matters whether under statute, at common law

or otherwise

the Buyer will be bound to comply therewith or obtain any

waivers or consents as the Buyer consider necessary or

desirable at its own expense.

the Buyer shall not raise any objection or requisition or

enquiry in respect of any the preceding matters; and

the Seller or the Auctioneers shall be under no liability to

disclose any matter in respect of the same whether or

not the same are known to them.

9.1 The Seller will be under no obligation to clear any

moveable items or rubbish from the Property, prior to,

on or after the Completion Date;

9.2 that, unless expressly specified to the contrary in the

Special Conditions, the Property is not offered at auction

as including any moveable items and, accordingly, no

part of the price that is bid or paid by the Buyer shall be

ascribed to any moveable items.

9.3 all and any warranties or representations, express of

implied at common law or under statute relative to title,

condition, safety, fitness for purpose, ownership or any

lien or claim in connection with such moveable items on

the part of the Seller expressly excluded.

9.4 if the Property is subject to any Leases, there is expressly

excluded from the sale of the Property, trade fixtures,

fittings, and stock in trade belonging to tenants under

the Leases or within the Property in connection with the

businesses of the tenants carried on from the Premises,

from time to time;

9.5 it shall be deemed to make its bid (and if successful,

shall become a Buyer) fully satisfied:-

9.5.1 with the terms of the documents of title

registered in the Land Register of Scotland

or in the Sasine Register of Scotland

relative to the Property or which may affect

the title, use and/or extent of the Property;

9.5.2 with the physical condition of the Property

and what could reasonably be discovered

on inspection of it, whether or not the

Buyer had inspected it; and

9.5.3 (whether or not the same shall be the

case in each respect) that the Property

and the current use thereof comply with

all relevant statutes, orders and statutory

requirements and as to the existence of

any notices, orders or requisitions affecting

the same issued by any public or other

competent body.

on the basis that no warranty, express or implied, is

given by the Seller as to these matters whether under

statute, at common law or otherwise.

10 The Buyer is not relying on information contained in the Particulars or

the Seller’s Property Information Form or other information supplied

by or on behalf of the Seller, but on the Buyers own verification and

confirmation of that information. If any information is not correct any

liability of the Seller and any remedy of the Buyer are excluded to the

extent permitted by statute and at common law.

11 The Auctioneers reserve the right to regulate the bidding and to

refuse in their sole discretion to accept any bid or bids without giving

any reason for such refusal. The Auctioneers and Judge of the Roup

shall be the Auctioneers specified in any Minute of Enactment. The

Auctioneers shall determine all questions which may arise at or in

the course of the Auction which determination shall be final whether

between the Seller and the bidders or among the bidders including

any concerning bidding in which case he may put up the Property at

the last undisputed bidding or otherwise as he thinks proper.

12 No person may advance less at a bid than a sum named from time

to time by the Auctioneers.

13 The Property may be withdrawn from the auction either before or

after the commencement of the sale.

14 Subject to Clause 11 above, the highest bidder for each Property

shall be the Buyer of that Property.

15 The Auctioneers reserve the right to sell in separate lots if the

whole is unsold or sell in one lot where individual lots are offered.

The Auctioneers reserve the right to sell prior to auction and will

announce alterations immediately before the sale and/or refer them

in an addendum to the catalogue.

16 The contract for the sale of the Property, in terms of the Articles of

Roup, shall be created upon the Auctioneers accepting a bid and

knocking the Property down to that successful bidder (the “Buyer”)

and, unless otherwise stated in the Special Conditions, payment of

a deposit shall not be a pre-condition of that contract.

17 Each Buyer shall be deemed to be personally liable on making an

accepted bid even though he purports to act as agent for a principal

so that both are jointly and severally liable under the contract unless

acting as agent and written authority signed by his principal is

lodged with Auctioneers prior to sale.

18 Immediately following the sale of each Property the Buyer of that

Property shall sign a Minute of Enactment and supply his full name

and proof of his identity and address to the Auctioneers. In the

event of his failure to do so Auctioneers may sign on his behalf or

re-offer the Property for sale as though it had not been sold.

19 The contract of sale of the Property of which the Articles of Roup

form part shall, as at the date of execution or subscription of the

Minute of Enactment to follow hereon by or on behalf of the Buyer,

represent and express the full and complete agreement between

the Seller and the Buyer relating to the sale of the Property and shall

supersede previous agreements between the Buyer and the Seller

(if any) relating thereto.

20 The Buyer shall pay a deposit of 5% of the purchase price to the

Auctioneers as agents for the Seller at the same time as signing

the Minute of Enactment. The Auctioneers shall hold the deposit

as stakeholder in terms of these General Conditions. If a Buyer fails

to pay a deposit as above or any cheque given as a deposit is

dishonoured upon presentation then, without notice, the Seller shall

be entitled (but not obliged) to treat the conduct of such a Buyer

as a material breach of the contract and the Seller may resell the

Property without notice and/or take such steps as are available

to him as a consequence of such material breach of contract but

without prejudice to any claim he may have against the original

successful bidder for breach of contract or otherwise.

21 The price (together with VAT, if applicable) under deduction of the

deposit already paid will be paid in full on the Completion Date by

the Buyer by telegraphic transfer to a bank account nominated

by the Seller. Interest on the price or so much thereof as remains

unpaid shall, notwithstanding consignation and that entry might not

have been taken, be paid on demand by the Buyer to the Seller at

a rate of 5% per annum above the base rate of Barclays Bank Plc

from time to time in force for the period from the Completion Date

until payment in full is made, provided that no interest will be payable

in respect of any period where delay in completion is caused by

the Seller or the Seller’s Agents. Notwithstanding the cause of any

delay, the Seller will also be entitled to uplift and retain rent for the

Property until the price is paid in full. Failure by the Buyer to pay the

price (together with VAT, if applicable but under deduction of the

deposit as aforesaid) within 10 days after the Completion Date (time

being of the essence) shall, without prejudice to the Seller’s other

rights and remedies, constitute material breach and entitle the Seller

to rescind the contract for the sale of the Property and to retain the

said deposit which shall be forfeit to the Seller notwithstanding that

the Seller has exercised its option to rescind the said contract. Such

retention of the deposit shall not limit the Seller’s rights to pursue the

Buyer for the losses suffered by the Seller on account of the Buyer’s

material breach.

22 It shall be at the Seller’s sole discretion whether they expressly

intimate in the Special Conditions whether the Seller will provide:-

22.1 any warrandice in the Disposition;

22.2 any legal reports, advance notices or any other

conveyancing searches or reports relative to the

Property prior to or on Completion;

22.3 any undertaking or obligation to clear the record of any

inhibitions, securities, diligences or charges affecting or

capable of affecting the Property

and failing such express intimation, the Buyer shall be deemed to

have accepted that none of the foregoing will be provided on the

Completion Date.

23 On the Completion Date, in exchange for payment by telegraphic

transfer of the whole price and interest thereon (if any) to the Seller’s

solicitors bank account from the UK bank account of the Buyer

(details of which shall be confirmed in writing by the relevant UK

bank to the Seller’s solicitors prior to the Completion Date) the Seller

shall deliver to the Buyer:-

23.1 Disposition in favour of the Buyer of the Property

according to the relevant description given by the

solicitors for the Seller and under the reservations,

burdens, conditions and others specified or referred

to in the title deeds relating to the Property or in these

Articles of Roup and

23.2 those deeds expressly specified in the Special

Conditions as being deliverable.

and, the Buyer shall be bound to accept the same, in questions

with the Seller, as complete and sufficient title to the Property in

all respects and shall not require that any titles, deeds, extracts

or evidence be made up or executed by, or at the expense of, the

Seller.

24 The following provision shall apply in respect of any arrears of rent

and other amounts due to the Seller from any tenant under a Lease:-

24.1 if, on the Completion Date, there are any arrears

of Current Rent, the Buyer must pay the Seller (in

addition to the price) the full amount of such arrears

of the Current Rent for the 6 month period prior to the

Completion Date, whether or not details of those arrears

are given in the Special Conditions. The Seller will assign

to the Buyer all rights that the Seller has to recover those

arrears.

24.2 while any arrears due to the Seller remain unpaid the

Buyer must:

24.2.1 try to collect them in the ordinary course

of management but need not take legal

proceedings or irritate the Lease without

the prior written consent of the Seller;

24.2.2 pay them to the Seller within five working

days of receipt in cleared funds (plus

interest at the rate of 5% per annum above

the base rate of the Barclays Bank Plc from

time to time in force calculated on a daily

basis for each subsequent day’s delay in

payment);

24.2.3 on request, at the cost of the Seller, assign

to the Seller or as the Seller may direct, all

such rights to demand and sue for arrears

under a Lease as the Seller may reasonably

require;

24.2.4 not without the consent of the Seller

release any tenant or guarantor from

liability to pay arrears or accept a surrender

of or irritate any Lease under which arrears

are due; and

24.2.5 If the Buyer disposes of the Property prior

to recovery of all arrears, the Buyer shall

obtain from the Buyer’s successor in title

an undertaking in favour of the Seller in the

same terms as this Clause 24.2 (including

this sub-clause 24.2.5).

24.2.6 where the Seller has the right to recover

arrears, it must not without the Buyer’s

written consent bring insolvency

proceedings against a tenant under a

Lease or seek to arrest goods within the

Property.

25 Where the Property is sold subject to a Lease under which the rent

is due to be reviewed with effect from a date prior to the Completion

Date but such rent review has not been agreed or determined prior

to the Completion Date then in respect of each such lease:

25.1 the rent in respect of the Property shall be apportioned

on the Completion Date on the basis of the Seller’s

reasonable estimate of the rent which will ultimately be

agreed or determined in respect thereof:

25.2 the Buyer shall use its best endeavours as soon as

reasonably practicable after the Completion Date to

agree such reviewed rent with the tenant or to procure

the same to be determined;

25.3 forthwith on such agreement or determination the

Buyer shall notify the Seller and shall supply the Seller

with such document or other correspondence relating

thereto as the Seller shall require;

25.4 within 20 days of notification and receipt by the Seller

of such document or other correspondence required

in terms of Clause 25.3 above the Seller or the Buyer

(as the case may be) shall pay to the other the amount

of any excess due to the other in respect of the period

from the due date for review under the lease to the

Completion Date after taking into account the estimated

sum apportioned under this Condition; and

26 The contract of sale of the Property of which the Articles of Roup

form part shall, as at the date of execution or subscription of the

Minute of Enactment to follow hereon by or on behalf of the Buyer,

represent and express the full and complete agreement between

the Seller and the Buyer relating to the sale of the Property and shall

supersede previous agreements between the Buyer and the Seller

(if any) relating thereto.

27 Notwithstanding any rule of law to the contrary, the contract of sale

of the Property of which these Articles of Roup form part shall cease

to be enforceable after a period of 2 years from the Completion

Date except in so far as founded on in any court proceedings which

have commenced within the said two year period.

28 All statements made in the Particulars or otherwise save for any

statements made in writing by the Seller’s solicitors relating to the

Property, the subject of the Auction are made without responsibility

on the part of the Auctioneers or the Seller. No such statement

may be relied upon as a statement of representation of fact. An

intending Buyer must satisfy himself by inspection or otherwise

as to the correctness of any such statement and save as much

as herein provided neither the Seller not the Auctioneers nor any

person in their employment has any authority to make or give any

representation or warranty whatever in relation to any Property the

subject of the auction.

29 Every person on the Auctioneers’s premises before, during or after

the sale shall be deemed to be there at his/her own risk and with

notice of the condition of the premises and their contents. Such

person shall have no claim against the Auctioneers’s in respect of

any injury sustained or any accident which may occur from any

cause whatsoever. The matters set out in the Information about the

Auction are deemed to be incorporated in these terms.

30 In the light of the nature of the sale and the information given it is

to be implied from any Buyer or would-be Buyer bidding at the sale

that they accept that the limitations upon the responsibilities of the

Auctioneers herein contained are reasonable.

31 The Property is believed to be and shall be taken as being

correctly described, but all Buyers are deemed to have verified

such description themselves and any incorrect statement, error or

omission found in the Particulars or Special Conditions shall not

annul the sale or entitle the Buyer to rescind the contract, nor shall

the Buyer claim to be allowed any compensation in respect thereof.

32 No objection or requisition shall be raised as to the permitted user

of the Property for the purposes of the Town and County Planning

Acts or any Act or Acts for the time being amended or replacing the

same and nothing herein contained shall be deemed to constitute

any warranty by any Seller or the Auctioneers that a Property or any

part thereof is authorised under the Town and County Planning Acts

for use of any specific purpose.

35 Each Buyer will take the Property subject to and shall be responsible

for the compliance with all notices and/or requirements relating to

the same whether such notices and/or requirements shall have

been made by the local authorities or any other person or body.

36 Nothing shall be incorporated in any sale either collaterally or directly

or indirectly whether by way of condition, warranty or representation

in relation to a Property sold subject to any Leases; whether or not

any such Leases have been disclosed at or before the Auction, the

Buyer shall be deemed to purchase with full knowledge of any such

Leases that there may be whether or not he shall have enquiries of

the Auctioneers or have inspected the Property or the Leases and

no objection shall be taken or requisition made on account of the

existence of such Lease (or the terms thereof).

37 Unless otherwise stated, the sale is subject to a reserve price for

each of the Properties, and the Seller reserves the right to bid

themselves or through their agents at the Auction and to sell all or

any part of the Property by private treaty before the Auction.

38 The tenure of the Properties and the estate or interest sold are

as stated in the Particulars. For the avoidance of any doubt the

Auctioneers shall not be liable in any circumstances as a result of

the Sellers inability to evidence their title to the Property (or any

part(s) thereof).

39 The buyer accepted the registration and reservation fee payable

with the deposit is none refundable under any circumstances.

40 The Seller and the Buyer hereby authorise the Auctioneers to satisfy

his commission and expenses account from the deposit where;-an

unconditional auction deposit is paid the Auctioneers is entitled to

satisfy his full commission fee immediately from the deposit paid in

every circumstance.

41 The Properties shall be sold subject to the Articles of Roup (which,

for the avoidance of any doubt, includes any matters (a) disclosed at

the location where the Auction is taking place or made available for

inspection there or (b) contained in any addendum to any Auction

Catalogue available in the Auction Room on the day of the sale and

the Buyer shall be deemed to purchase with full knowledge of the

matters as set out therein.

42 The contracts are enforceable only by the Seller and the Buyer and

(if applicable) their successors in title and, to the extent permitted by

these conditions, by the Auctioneers.

43 The Buyer must not assign, mortgage or otherwise transfer or part

with the whole or any part of the Buyer’s interest under the contract.

44 The Law of Scotland shall apply to the interpretation of the Articles

of Roup and any Minute of Enactment to follow hereon and so far as

the Buyer is not or may hereafter not be subject to the jurisdiction of

the Scottish Courts, by subscription of the Minute of Enactment by

or on behalf of the Buyer, the Buyer prorogates the non-exclusive

jurisdiction of the Court of Session in Scotland and binds himself to

submit to the jurisdiction of the said Court of Session in relation to

all actions arising out of these presents.

33 No representation or warranty is made or to be implied as to the

ownership of any moveables items or installations in the Property

but the Seller and Buyer shall jointly and severally indemnify the

Auctioneers against any third party claims of whatever nature in

respect thereof.

34 The Auctioneers shall bear no responsibility for any claims by Seller

or Buyer arising out of this sale in respect of specific contractual

obligations undertaken by the Auctioneers in writing prior to the

sale.
