Dear Reader,

Welcome to the 2015 third issue of The

Developer’s Digest.

It cannot be emphasized enough on

the importance of investment and the

significance of the real estate sector in

driving any country’s economy.

Real Estate Investment Trusts (RElTs) are

set make a debut this year at the Nairobi

Securities Exchange (NSE). The Capital

Markets Authority has been pushing

for the establishment of public REITs in

Kenya for many years.

With the recent growth and maturity of

the real estate sector this has been long

overdue. Kenya will become the 41st

country in the world to introduce REITS

and second in Africa after South Africa.

On 26th May 2015, KPDA held an

interactive and informative forum

where we discussed REITs and due to

the overwhelming interest we received,

we will hold a similar forum to educate

members on the topic before the year

comes to a close.

In our article on ‘Focus on Policy,’ you

can get a better insight on what REITs is

all about.

Also in this issue, we have re-introduced

the publication of the Nairobi City

County Permitting Approval trends.

As we increase our capacity at the

secretariat, it is our intention to include

similar data from other counties in the

near future.

Finally, in our article by UN Habitat, I

wish to invite you to contact the UN-

Habitat’s Urban Energy Unit - under

the programme “Promoting Energy

Efficiency in Buildings in East Africa.”

They are eager to hear from developers

on how their programme can serve you

better.

Once again, I would like to take this

Kenneth has more than ten years

fund management experience

garnered both in East Africa and

Europe. Kenneth has been directly

involved in investment strategy,

portfolio management and product

development covering listed equities,

private equity, direct and listed

property, fixed income an money

markets sectors. He has advised

pension funds, insurance companies, individual high net worth

and institutional investors across Eastern Africa.

WHAT IS A REIT?

• A collective investment in the form of a trust which seeks

to invest in a diversified pool of real estate assets;

• It enables an investor to a return from a diversified portfolio

of assets;

• Established under a trust deed and structured as a trust

dividend into units. It is divided into units which can be

freely traded in a stock exchange if listed;

• Have a lower risk profile than stand-alone direct property

investments and more liquidity;

• Must have a trustee and the REIT Manager who are

licensed persons.

REITS REGIONAL INVESTMENTS AND TAX TREATMENT

• Kenya, Tanzania and Uganda (July 2015) have REIT regulations which are significantly similar;

• Kenya and Uganda are expressly tax exempt. Tanzania REIT structure follows a unit trust structure

and are not tax exempt;

• In Tanzania REIT, Rule 102 of the Collective Investment Schemes Real Estate Investments Trusts,

Rules 2011 states that – Distribution of Income states that:

The fund shall distribute dividends which have arose from gains or realized income each year

an amount not less than 90% of its annual net income after tax.’

• Kenya cannot invest across geographical jurisdictions. Tanzania and Uganda REITs can invest in

foreign real estate/funds however, the investment objective of the fund must be clear, specific

and sufficiently stipulated in the deed;

• Uganda has not amended its Income Tax Act, hence the cross border investment may pose

administrative challenges for now.

FUTURE IMPLICATIONS OF REITS

• Spur further property developments through forward purchases with developers;

• Provide liquidity in the market place;

• Provide price discovery;

• Enhance the structure and due diligence of property transactions, especially record keeping;

• Lead to the formation of a property transaction registry;

• In keeping with the theme of EAC, it will lead to more EA transactions. This is also in line with

EASEA which envisages one common EA stock exchange;

• Enhance quality of investment returns for insurance companies, pension funds and individuals;

• Enhance transparency and comparison of risk and investment returns with other asset classes.

WHAT CAN A REIT INVEST IN?

• Eligible Kenyan real estate – freehold, leasehold under Land Act 2012 or Sectional Properties Act

title with at least 25 years un-expired;

• Real estate through a Kenyan company;

• Real estate through an investee trust;

• Other income producing assets (companies whose principal business is real estate related);

• A wholly owned and controlled company which conducts real estate activities;

• Cash, deposits, bonds, securities and money market instruments;

• REIT units in other Kenyan I-REITs.

CONCLUSION

REITs sector in the region has significant potential supported by:

• Regional integration;

• Supportive monetary policies;

• Stable macro-economic environment;

• Improving infrastructure;

• Increasing foreign investment and diaspora remittance;

• Need for internationally recognized structured vehicles in real estate sector

LAUNCHES 400 ACRE KIAMBU

REAL ESTATE PROJECT

KPDA Member, Tilisi Developments

Ltd has launched a 400-acre mixed

use real-estate development in

Kiambu that will have more than

3,200 houses and a logistics park.

The first phase of the new Limuru

Housing Estate will involve

construction of common-use

infrastructure, apartments,

maisonettes and townhouses.

Apartments will eventually

number 2,000, with the rest being

townhouses and maisonettes.

The estate will be styled along such

other developments in Kiambu

that have taken advantage of huge

parcels of land previously used for

farming. They include Thika Greens,

Buffalo Springs and Bahati Ridge,

Tatu City, Albizzia Downs Estate,

Migaa as well as Northlands.

The mixed use developments

mainly incorporate residential

houses, malls, schools and health

facilities while some include golf

courses.

founded in 2001 with the main

objective of liaising with relevant
