Kenya Property Developers Association... Development brings Development!
FROM THE SECRETARIAT
Dear Reader,
Welcome to the 2015 third issue of The
Developer’s Digest.
It cannot be emphasized enough on
the importance of investment and the
significance of the real estate sector in
driving any country’s economy.
Real Estate Investment Trusts (RElTs) are
set make a debut this year at the Nairobi
Securities Exchange (NSE). The Capital
Markets Authority has been pushing
for the establishment of public REITs in
Kenya for many years.
With the recent growth and maturity of
the real estate sector this has been long
overdue. Kenya will become the 41st
country in the world to introduce REITS
and second in Africa after South Africa.
On 26th May 2015, KPDA held an
interactive and informative forum
where we discussed REITs and due to
the overwhelming interest we received,
we will hold a similar forum to educate
members on the topic before the year
comes to a close.
In our article on ‘Focus on Policy,’ you
can get a better insight on what REITs is
all about.
Also in this issue, we have re-introduced
the publication of the Nairobi City
County Permitting Approval trends.
As we increase our capacity at the
secretariat, it is our intention to include
similar data from other counties in the
near future.
Finally, in our article by UN Habitat, I
wish to invite you to contact the UN-
Habitat’s Urban Energy Unit - under
the programme “Promoting Energy
Efficiency in Buildings in East Africa.”
They are eager to hear from developers
on how their programme can serve you
better.
Once again, I would like to take this
opportunity to thank our members and
partners for their unwavering support to
ensuring the Association’s success.
I wish you all a very safe and productive
month of July.
FOCUS ON POLICY
‘WHAT YOU DID NOT KNOW ABOUT REITS’
FOCUS ON POLICY
By Kenneth Kaniu
Chief Investment Officer for East Africa, STANLIB
Kenneth has more than ten years
fund management experience
garnered both in East Africa and
Europe. Kenneth has been directly
involved in investment strategy,
portfolio management and product
development covering listed equities,
private equity, direct and listed
property, fixed income an money
markets sectors. He has advised
pension funds, insurance companies, individual high net worth
and institutional investors across Eastern Africa.
WHAT IS A REIT?
• A collective investment in the form of a trust which seeks
to invest in a diversified pool of real estate assets;
• It enables an investor to a return from a diversified portfolio
of assets;
• Established under a trust deed and structured as a trust
dividend into units. It is divided into units which can be
freely traded in a stock exchange if listed;
• Have a lower risk profile than stand-alone direct property
investments and more liquidity;
• Must have a trustee and the REIT Manager who are
licensed persons.
FOCUS ON POLICY
FOCUS ON POLICY
REITS REGIONAL INVESTMENTS AND TAX TREATMENT
• Kenya, Tanzania and Uganda (July 2015) have REIT regulations which are significantly similar;
• Kenya and Uganda are expressly tax exempt. Tanzania REIT structure follows a unit trust structure
and are not tax exempt;
• In Tanzania REIT, Rule 102 of the Collective Investment Schemes Real Estate Investments Trusts,
Rules 2011 states that – Distribution of Income states that:
‘ The fund shall distribute dividends which have arose from gains or realized income each year
an amount not less than 90% of its annual net income after tax.’
• Kenya cannot invest across geographical jurisdictions. Tanzania and Uganda REITs can invest in
foreign real estate/funds however, the investment objective of the fund must be clear, specific
and sufficiently stipulated in the deed;
• Uganda has not amended its Income Tax Act, hence the cross border investment may pose
administrative challenges for now.
FUTURE IMPLICATIONS OF REITS
• Spur further property developments through forward purchases with developers;
• Provide liquidity in the market place;
• Provide price discovery;
• Enhance the structure and due diligence of property transactions, especially record keeping;
• Lead to the formation of a property transaction registry;
• In keeping with the theme of EAC, it will lead to more EA transactions. This is also in line with
EASEA which envisages one common EA stock exchange;
• Enhance quality of investment returns for insurance companies, pension funds and individuals;
• Enhance transparency and comparison of risk and investment returns with other asset classes.
WHAT CAN A REIT INVEST IN?
• Eligible Kenyan real estate – freehold, leasehold under Land Act 2012 or Sectional Properties Act
title with at least 25 years un-expired;
• Real estate through a Kenyan company;
• Real estate through an investee trust;
• Other income producing assets (companies whose principal business is real estate related);
• A wholly owned and controlled company which conducts real estate activities;
• Cash, deposits, bonds, securities and money market instruments;
• REIT units in other Kenyan I-REITs.
CONCLUSION
REITs sector in the region has significant potential supported by:
• Regional integration;
• Supportive monetary policies;
• Stable macro-economic environment;
• Improving infrastructure;
• Increasing foreign investment and diaspora remittance;
• Need for internationally recognized structured vehicles in real estate sector
We are a full service Development
scalability, and efficiency by focusing on
one goal – ‘customer satisfaction.’
We are all about staying under budget,
keeping within the schedule and
maintaining the highest quality.
We undertake the project management
process by coordinating closely with our
clients throughout the project cycle,
from project conception stage up to
handover and final project close-out.
Our expertise includes:
Risk management – mitigating against
the different risks associated with
projects (financial, construction, among
others)
Financial structuring – we deal with
the top financial institutions involved
in project/construction financing. We
understand the different criteria these
institutions apply in appraising financial
proposals for different projects.
We are able to model financial structures
that are suitable to the needs of the
developer and negotiate funding with
the institutions whose loan requirements
closely fit in with the proposed funding
structure.
Development fund comes from 3 main
sources – presales, developer’s equity
and loans/financing. The financial
structures we model look at the optimal
mix that is feasible and suitable to the
developer and financier.
Cost and value engineering –
management of costs and quality
through direct engagement of
specialists and direct procurement of
certain construction items. We strive to
ensure the developers return and yield
is maximized.
Time management – sticking to work
schedule timelines through continuous
monitoring.
We provide turnkey solutions. Our
interventions are multifaceted right from
pre-construction covering feasibility
studies, concept development, budget
evaluations and cost models. Design
review falls within our scope of services.
We conduct due diligence and vetting
of contractors, sub-contractors and
suppliers. During the construction
phase we work communication lines,
project procedures, ensure design
details are issued to the contractor in
THE GREENSQUARE MALL, KERICHO
time, co-ordinate works between the
main contractor, specialists and client
supplies, facilitate site meetings and
inspections, constantly monitor cost,
compliance to design intent and the
work plan timelines.
Post construction includes preparation
and submittal of all operation manuals
and handover documents including
testing and commissioning reports.
Settlement of accounts is then
concluded. After project close-out,
we carry out a 360 degree appraisal/
evaluation of ourselves and the entire
team on site with a view to reviewing
performance and in an effort to
continuously improve on our service
delivery.
Finally, we offer facilities management
services through our property
management department.
A WORD FROM UN HABITAT
SAVING ENERGY THROUGH YOUR APPLIANCES
There is a worldwide trend towards
energy efficient appliances and
building materials and the growing
awareness and appreciation of the
environment is set to increase the
demand for green buildings.
Current improvements in design and
technology offer new opportunities
to be competitive in the domestic and
international market. Green buildings
generally offer a more comfortable,
healthier and cost effective solution
for living and working. To go green
means to maintain a competitive
edge in the market.
Energy efficient appliances and the
latest energy saving technology is an
important feature of green buildings
and switching to energy saving
lighting, for instance, helps to reduce
your overall electricity bills by up to
20%.
Today, there is an energy saving
alternative for literally any the
appliances available for household
and commercial use. It is also
necessary to be aware of these new
trends in order to comply with the
legal requirements of integrated
building design.
Energy savings mean cost savings,
while maintaining or improving the
performance of an appliance when
compared to what is considered as
“the normal”.
Energy efficient appliances are
designed to meet three basic criteria:
1. Effective and efficient use of
materials,
2. Energy saving,
3. Low or no toxicity.
The premium, if any, that we need
to pay today for an energy saving
alternative (or sometimes to replace
a still functioning older piece of
equipment) can be expected to
be paid off in a time span that is
