Our <strong>WBI</strong> “2040<br />

Goal” has become<br />

a central theme<br />

around which we evaluate many of the opportunities<br />

we encounter along our business planning trajectory.<br />

You may recall when we established the “2040<br />

Goal”, it was to guide our future business growth and<br />

provide us a tool with which to measure the same.<br />

With our progressive growth goals in mind, we are<br />

fortunate to have recently completed the acquisition<br />

of a business in nearby Denver, NC.<br />

InteSpec Inc., is a small but valuable business<br />

formed more than 15 years ago by Ken Fincham<br />

and his wife Mary<br />

Ann. The Fincham’s<br />

were soon joined<br />

by Don Miller and Rob Passour as shareholders to<br />

help manage and direct the business. Since their<br />

inception InteSpec has intentionally concentrated<br />

their resources toward the installation of process<br />

piping in multiple types of industrial settings.<br />

Their primary clientele are Food and Beverage<br />

manufacturer’s, but they also install multiple types of<br />

integration systems for various industries. In fact, the<br />

name InteSpec is derived from the manufacturing<br />

terminology, “Integration Specialist”. This industry process defines<br />

their primary business purpose.<br />

Wayne Brothers, as an organization, had already evolved into a<br />

holding company with subsidiary companies such as Preferred<br />

Construction Supply. Now with the opportunity to acquire a wellrun<br />

business such as InteSpec, the pieces were in place to make a<br />

successful acquisition. With much thought and consideration, the<br />

Board of Directors for Wayne Brothers Holdings (WBH) authorized<br />

our Executive Team to engage the owners of InteSpec with the<br />

intent to acquire their business.<br />

It is certainly a pleasure to introduce to all our clients, associates<br />

and vendors InteSpec Inc., as a subsidiary of Wayne Brothers<br />

Holding Company. We are already successfully rolling out their<br />

expanded service offerings to many of our legacy clients. This<br />

acquisition will also support expanding our Industrial Contracting<br />

Services such as machinery setting, millwright and specialty<br />

foundations through the multiple scope approach for our clients.<br />

Several of our industrial clients have given us good cause for<br />

optimism with their early observations of the value we deliver<br />

through this combined services contracting method.<br />

Look for us to grow our Industrial Contracting Services business<br />

through adding talent, applying our BIM modeling skills, and<br />

investing additional capital in the extensive equipment resources<br />

necessary to handle the multiple types of projects. We are confident<br />

this group will become a significant growth driver in the coming<br />

years. And, we believe our clients will be well served by allowing<br />

us the latitude of engaging with their project teams in order to do<br />

more at every job site.<br />

GROWTH<br />

I just completed the Leadership training class (as<br />

did many of you) and learned that “trust” is such<br />

an important part to Wayne Brothers’ success.<br />

That trust, I believe, permeates throughout our<br />

organization in that we all strive to “Do the right<br />

thing” in our responsibilities. It is in that trust that<br />

<strong>WBI</strong> accomplished great measures in the past six<br />

months.<br />

We closed our FY<strong>2018</strong> in March with some of the<br />

highest numbers in the company history (Revenue,<br />

Backlog, and Profit). A great accomplishment by<br />

everyone. The Business Development team says<br />

“Thank You” to everyone in the field for helping<br />

make our financial goals and striving to become the<br />

number 1 construction services team. Our customers<br />

appreciate it too.<br />

In other news, we are now a member of the South<br />

Carolina Chamber of Commerce and are participating<br />

in their Workforce Development Board. As Keith<br />

mentioned, WBH acquired InteSpec, Inc. at the<br />

beginning of the <strong>2018</strong>. Lastly, <strong>WBI</strong> entertained a<br />

host of our best clients around the Wells Fargo<br />

Championship with events that nurtured and built<br />

relationships.<br />

Our customers have been gracious with many<br />

awarded projects. The Core Building Group secured<br />

three manufacturing plants, a new data center<br />

complex, a new baseball stadium and expanded<br />

scope at our existing mission critical facilities sites.<br />

Civil & Infrastructure Group picked up four projects,<br />

a municipal infrastructure project, two multifamily<br />

developments and additional work at our data<br />

center sites. The Industrial Contracting Services<br />

Group is busier than ever with projects in a couple<br />

lumber mills, a chemical plant, a new office, large<br />

manufacturing, and even a museum. The Equipment<br />

Relocation and Setting Group has found its stride and<br />

already has multiple jobs under its belt. Our prospects<br />

for the future look great with some high profile<br />

projects in the works and expanded scopes coming<br />

at existing sites. If you thought we were busy since<br />

the last newsletter, hold on Mr. Toad, its’ going to be a<br />

wild ride.<br />

MARKETING<br />

We are in the process of hiring a Marketing<br />

Coordinator to handle all the Web, Social Media,<br />

Traditional marketing, and print mediums. Stay<br />

tuned for the announcement as we are evaluating<br />

candidates now.<br />

The Industrial Contracting Services brochure is now<br />

available. We have combined what use to be called<br />

“Special Projects” with the equipment setting services<br />

and the newly acquired company, InteSpec, Inc. into<br />

one brochure. The combined advertisement highlights<br />

the strength of all the scopes this group offers.<br />

The Company Store is open and ready for business.<br />

You should be able to find a wide variety of clothing &<br />

accessories for the office and the field. The logos for<br />

all companies are available. This is just the beginning<br />

with more to come in the future. As a convenience, all<br />

purchases are now process online via a debt/credit<br />

card at checkout. Sorry, no more payroll deducts.

Wayne Brothers Inc. received an impressive<br />

Silver Safety Award at the annual North<br />

Carolina Department of Labor Safety<br />

Achievement Awards ceremony, held on<br />

Friday April 27th at the Embassy Suites in<br />

Charlotte, NC. Attending the event from<br />

Wayne Brothers Inc. was Safety Director,<br />

Jason Sisk, Safety Supervisors, Sam Nugent<br />

and Daniel Pope.<br />

The criteria for the award is a zero fatality<br />

rate and maintenance of an incident rate<br />

50% below the average for the applicable<br />

industry group.<br />

The <strong>WBI</strong> Safety Team members accepted the<br />

Silver Safety Award for Wayne Brothers Inc.<br />

of Labor Safety Awards Coordinator, with presenting the awards to representatives from multiple<br />

business categories.<br />

The winner of the $2,000 Industry Certification scholarship goes to Yulissa Moran. She will graduate from<br />

AL Brown High School in Kannapolis, NC next month. Yulissa has been in the Pre-Apprentice program at<br />

Wayne Brothers, Inc. since February <strong>2018</strong> and will be joining the Form Carpenter Apprenticeship Program<br />

through Wayne Brothers, Inc. this <strong>Summer</strong>. She moved with her family from Mexico when she was 5 years<br />

old and just wants to give back to the community that has been so supportive of her. Her Craft Instructor at<br />

Wayne Brothers, Amanda Roberts, wrote “Yulissa has a unique combination of high standards, commitment,<br />

and work ethic that she can use to mentor those who choose to follow in her footsteps.<br />

Mike Henrickson continues to be outstanding with<br />

worked late tonight to move a piece of equipment<br />

with barely any notice. The only questions he asked<br />

were: where do you need it and when does it need<br />

to be there.<br />

I can’t tell you how much I appreciate that level of<br />

support. I just wanted to make you aware and thank<br />

you for your group’s hard work.<br />

Josh Dahlbeck got 130,010 miles out of a set of tires<br />

on the Equinox assigned to him.<br />

Josh: “Reasonable” starts, “reasonable” braking and<br />

“reasonable” cornering achieves excellent tire wear.<br />

Thank you for getting maximum miles out of your tires.<br />

This saves the company money and is indicative of<br />

safe driving.<br />

Karl Knight for being diligent in rotating tires. This<br />

contributes in a big way to maximum tire life.<br />

We appreciate you taking outstanding care of the<br />

Associate’s Degree in Construction<br />

Management Technology.<br />

He started the program in 2015, but took all<br />

of 2016 off, but was able to push thru last<br />

year and this year.<br />

Josh McKnight received his first order from Lane<br />

Construction. Total amount is around $500.<br />

Actually, Josh did not meet the person placing<br />

the order. The folks he met with must have passed<br />

Josh’s information along. This is really good.<br />

seen each other for several years<br />

despite being best of friends! The<br />

each other spoke volumes!!<br />

Wayne Brothers, Inc. was proud to host the 11th Annual CRMCA’s Mixer Driver Rodeo at the <strong>WBI</strong> HQ on May<br />

5, <strong>2018</strong>. A record number of 34 drivers competed in various activities, testing their precision driving skills.<br />

Wayne Brothers gave away a R/C Concrete Mixer to the best young driver on the mini course and gave<br />

everyone a chance to operate a mini excavator. Congratulations to all the winners.

Seniors sign to enter the workforce<br />

8 graduates participated in Career Signing Day<br />

“... At a ceremony Wednesday, May 23,<br />

for College and Career Signing Day, KCS<br />

honored the eight seniors who—through<br />

a partnership with Rowan-Cabarrus<br />

Community College and local<br />

businesses—will graduate with career<br />

certications and professional credentials.<br />

The students will begin high-paying, highskilled<br />

jobs at either S&D Coee<br />

or Wayne Brothers Construction as<br />

soon as they cross the stage in June.”<br />

A.L. Brown senior Yulissa Cervantes Moran received a<br />

certicate for completing the apprenticeship program with<br />

Wayne construction company. She signed a letter of intent to<br />

begin working with the company after she graduates in June.<br />
