<strong>The</strong> annual NFDA International Convention and Expo has long been<br />

considered the world’s premier funeral service event. This year<br />

it is being taken to another level. For the first time ever NFDA, the<br />

worlds leading and largest funeral service association is working in<br />

conjunction with CANA, the world’s foremost cremation association to<br />

create an experience of unsurpassed excellence.<br />

Members of the funeral profession will converge, communicate and<br />

collaborate in Chicago from October 23 through October 26. <strong>The</strong><br />

general sessions and special events are going to be terrific. <strong>The</strong><br />

Opening General Session will feature Chris Gardner whose book Pursuit of Happyness was made into a<br />

movie of the same name starring Will Smith. Mr. Gardner will share his incredible story with attendees.<br />

<strong>The</strong> All-Star Recognition Ceremony will feature a presentation by Arlington Cemetery Superintendent,<br />

Patrick Hallinan who will shed light on the current situation at our nation’s premier cemetery. <strong>The</strong> Closing<br />

General Session will feature Dr. Cyril Wecht who will discuss several high profile deaths including,<br />

President Kennedy, Elvis, Jon-Benet Ramsey, Laci Peterson and others.<br />

Last year’s Service of Remembrance included a New Orleans style funeral. This year we will incorporate<br />

traditions found in funerals of the Irish. Complete with bag pipers, tin whistlers, fiddlers and Irish songs,<br />

you won’t want to miss this special opportunity to remember those among us who died this past year.<br />

President-elect Randy Earl and his wife Evelyn are hosting the Annual President-elects reception. Juke<br />

Box Blues is the theme for what will be everyone’s opportunity to meet old friends and make new friends<br />

to the sounds of some of the best live music Chicago has to offer.<br />

Our under forty funeral directors will have their annual social event which will include a trolley ride and<br />

evening of fun and fellowship at the Public House on State Street.<br />

Of course NFDA will work again for Habitat for Humanity and there will be the <strong>Funeral</strong> Service Foundation<br />

Golf Classic. Add to this a Motorcycle Ride, Friends of Facebook Gathering and a Closing Celebration<br />

featuring Irish entertainment and music by the Gentlemen of Distinction and this year’s convention will<br />

surely be among the best ever.<br />

In addition to all the fun, there will be some serious information shared. NFDA and CANA have assembled<br />

the finest workshops anywhere. So if continuing education is what you’re looking for you’ll find it<br />

in Chicago.<br />

Selling Your Business Made Simple<br />

Picture you are at your high school reunion. Imagine<br />

you are addressing the class of peers you have known<br />

for your lifetime. Can you feel the tension going<br />

through your body and soul? Can you imagine the<br />

anxiety leading up to this moment? Now, imagine<br />

you are totally naked and there is no podium. That is<br />

the same feeling you will have when you get ready to<br />

sell your business. Is this a metaphor or a Freudian<br />

example? I don’t know. I do know that different<br />

people handle the matter differently but the better<br />

prepared someone is, will result in a better outcome.<br />

<strong>The</strong> first thing you have to do is to decide if you are<br />

going to represent yourself or use a qualified M&A<br />

Consultant. Notice, I used the phrase qualified.<br />

<strong>The</strong>re are many scoundrals out there. Some call<br />

you up and say, “I have a buyer for your business”,<br />

but of course you have to retain the caller. No! If<br />

an M&A Consultant has a buying client that client<br />

is going to pay them for their efforts, not you. Some<br />

are local real estate people that have no idea of what<br />

the value of your business is or even what the usual<br />

and customary terms of a sale would be. <strong>The</strong>re is a<br />

difference in a qualified and non-qualified advisor!<br />

Qualified Advisors (“QA”) have fees for their services.<br />

<strong>The</strong> fee’s can range from 7% of the sale price to<br />

something less. Often there is a decreasing fee. It<br />

could be 7% of the first $2,000,000 and then decrease<br />

by 1% each $2,000,000 thereafter. Some will charge<br />

an hourly rate before closing but back out that hourly<br />

rate from the closing fee. <strong>The</strong>y do that to keep their<br />

objectivity. I know that there have been some clients<br />

I have had to tell them not to continue to close on an<br />

offer. By charging this hourly rate, we were paid for<br />

our time to date. We are not just paid at the closing. I<br />

am able to retain my objectivity this way.<br />

You should ask if a QA can earn their fee. In many<br />

cases the answer is yes, several times over. Any<br />

advisor is paid for their time and experience. <strong>The</strong> QA<br />

has more applicable experience which should result in<br />

a better result. <strong>The</strong>re are several ways in which a QA<br />

pays for their fee.<br />

• Time to get the deal done. <strong>The</strong>re is a matter<br />

of confidentiality and at some point the<br />

confidentiality is going to get blown by someone.<br />

<strong>The</strong> QA is usually able to get the deal done quicker<br />

as they know how to move the transaction along.<br />

• Legal and Accounting fees. We have done<br />

more than 500 transactions. For us to do the<br />

tax analysis takes very little time. For the legal<br />

issues, if someone doesn’t know the funeral or<br />

cemetery profession it is filled with unusual legal<br />

concepts that have to be memorialized in a sale<br />

document. We can usually get a better document<br />

sooner and get your lawyer to the closing table<br />

with fewer costs.<br />

• Get more value. We know how to negotiate to<br />

get the most value and get it in the most secured<br />

fashion. This is a direct reward to the client by<br />

putting more money in their pocket.<br />

Your second step is going to decide who to invite to<br />

your dance. <strong>The</strong>re are usually national and regional<br />

operating companies that might have an interest in<br />

being your successor. <strong>The</strong>re may also be local and<br />

regional competitors that should have an interest<br />

in your business. You want to decide who you are<br />

willing to sell your business to and if there is anyone<br />

that you will not sell to. Once you get that list made,<br />

then you can move forward.<br />

When you get ready to sell your business you are<br />

vulnerable. You are going to be showing the intimate<br />

financial and operating details of your business to<br />

strangers and maybe some people that were heretofore<br />

competition. It is one thing to claim you sold three<br />

bronze caskets at the bar at a state convention but it is<br />

another thing to prove it in your financials.<br />

You want to have a Non-Disclosure Agreement in<br />

place with all receiving your data. In some cases<br />

you are going to want to have a mutual disclosure<br />

from them as well, to prove that they are financially<br />

able to secure the financing for the transaction. A<br />

Non-Disclosure Agreement is important to protect<br />

your confidential information and even the fact you<br />

are considering selling the business. It is especially<br />

important when you have a buyer’s data as well.

A Brief History of<br />

Early Non-Terrestrial<br />

Chapter One –<br />

Ashes to Ashes, Dust to Dust to Dust.<br />

In the early days of space colonization Luna, or<br />

Earth’s moon, was the site of the first non-terrestrial<br />

burial. This occurred on October 21st, 2083, forty<br />

two year before Lunar independence for Terra. In<br />

those days Luna was little more than a construction<br />

site for early colonial transports (as the Montgomery<br />

-Quade shipbuilding facility wouldn’t be finished<br />

until 2096). Other than that Luna was mostly used<br />

as a location for mining and as a fueling station for<br />

colonial transports, loading up on Luna ice to power<br />

the vessel’s early Ion propulsion systems. In this<br />

period Luna was administered by a variety of Terran<br />

governments and a handful of small independent<br />

companies, all working to support the Martian<br />

colonization efforts.<br />

It’s a commonly held belief that Ho-Wu Tseng was the<br />

first person to die on Luna, but this is not the case. Mr.<br />

Tseng was actually the ninth person to die on Earth’s<br />

moon; he was only the first person whose body was not<br />

returned to Earth. A review of the historical archives<br />

of Luna clearly shows that the EU had three deaths<br />

before then, the United States two, and the Sino-<br />

Chinese Pact suffered the remaining three deaths on<br />

Luna before the death of Mr. Tseng. <strong>The</strong>se deaths<br />

had all been a combination of construction accidents,<br />

fatalities due to undetected medical conditions and in<br />

one case an apparent suicide. <strong>The</strong> bodies of these<br />

seven men and one woman were all returned to Earth<br />

by their respective governments. However Ho-Wu<br />

Tseng was a construction foreman for the Rosenthal<br />

Consortium, an independent sub-contractor hired by<br />

the Sino-Chinese Pact to mine Lunar ice a operate a<br />

In those days competition was fierce, between the<br />

National Earth government programs and the subcontractors<br />

they employed. In many cases corners<br />

were cut and safety was sacrificed in the name of<br />

efficiently and profits. It was just these conditions<br />

that would spark the Lunar Independence Movement<br />

and lead to major industrial reforms, but that wouldn’t<br />

occur until the early 2100’s. Ho-Wu Tseng died in an<br />

industrial accident at RC-RF2, a lunar ice refinery. A<br />

faulty coupling valve gave way, filling the chamber<br />

he was working in with super heated steam. Mr. Wu<br />

is credited with sealing off the chamber and closing<br />

the valve feeding pressurized steam into the ruptured<br />

coupling. His actions undoubtedly saved the lives of<br />

the other seventeen workers in the refinery. However<br />

he was burned over 60% of this body and died two<br />

days later, on October 12th, 2083.<br />

His superior working at the refinery requested that the<br />

body be transported to back Earth for final disposition.<br />

However, the request was passed through channels for<br />

seven days, as no at the Rosenthal Consortium wished<br />

to authorize the transport. <strong>The</strong> reason was cost.<br />

Supply ships from Earth were infrequent and every<br />

gram of weight was factored in. This was true both<br />

transports coming to and returning from Luna. It was<br />

estimated that transporting Ho-Wu Tseng’s remains<br />

back to Earth for cremation (as was his family’s<br />

wishes) would cost the Rosenthal Consortium 53<br />

Million Credits.


It was proposed that Mr. Tseng be cremated at the<br />

refinery on Luna, and then his remains transported<br />

back to Earth. It was hoped that the decreased weight<br />

would make returning Mr. Tseng’s remains to his<br />

family more palatable to the corporation’s bottom<br />

line. However, then as it is now, fire is one of the<br />

most dangerous threats to any enclosed environment.<br />

<strong>The</strong> oxygen required to feed such a fire necessary<br />

to cremate Mr. Tseng’s remains was also a costly<br />

commodity in the early days of Lunar colonization.<br />

<strong>The</strong>re would not be a suitable Lunar Crematory<br />

constructed until late 2116.<br />

So, as the bureaucrats debated and haggled, the<br />

workers saved by Ho-Wu Tseng ’s quick actions grew<br />

more and more aggravated. <strong>The</strong>y were ordered to<br />

freeze dry the body in an air lock with the temperature<br />

controls shut off, and package it up until further notice.<br />

To this day what actually happened next is unclear.<br />

According to popular folklore a memo was intercepted<br />

by the refinery’s workers’ at RC-RF2 stating that the<br />

body of Mr. Tseng was to be returned to Earth with<br />

the next shipment of recyclable waste. This was<br />

basically how the Rosenthal Consortium disposed of<br />

garbage that was too valuable to be buried on Luna.<br />

While a colorful story it is unclear just how the<br />

refinery workers would have managed to get a hold<br />

of an official company brief. Whatever the reason,<br />

on October 20th nine of the seventeen workers took<br />

matters into their own hands.<br />

<strong>The</strong>se, at the time, unidentified men violated several<br />

company regulations in a flagrant display of defiance<br />

and humanity. <strong>The</strong>y disabled the recorders and<br />

transponders on seven AECS (Artificial Environment<br />

Construction Suits) so that they could not be identified<br />

or tracked. <strong>The</strong>y then gathered up excavation tools<br />

and absconded with the remains of the man who’d<br />

saved their lives. <strong>The</strong> men then exited the refinery<br />

and entered the Lunar environment, with their tools<br />

and the body of Ho-Wu Tseng. <strong>The</strong> body had been<br />

placed in a plastic container which usually held<br />

perishable food stuffs. <strong>The</strong> men walked about 2<br />

kilometers away from the refinery, behind a rise so<br />

that their actions would not be seen.<br />

Here the seven men dug into the lunar dust, excavating<br />

a hole big enough to bury their coworker, friend and<br />

the man to whom they owed so very much. <strong>The</strong><br />

men recorded the burial although most of what was<br />

recorded cannot be seen through the cloud of blowing<br />

lunar dust. For a marker they placed Mr. Tseng’s<br />

construction helmet perched atop the stolen digging<br />

tool. This recording was broadcast back to Earth,<br />

eventually reaching the family of the deceased. This<br />

was the very first burial on a body anywhere outside<br />

of the planet Earth. What should have been an act of<br />

solemn respect was instead an act of defiance.<br />

When the seven suits were later discovered, their<br />

owners claimed that they were stolen. All workers<br />

at the RC-RF2 refinery refused to cooperate with the<br />

Rosenthal Consortium’s official investigation into the<br />

burial of Mr. Tseng. <strong>The</strong>y all swore to being together<br />

and no evidence was ever found able to incriminate<br />

any one of the seven members of the burial detail.<br />

<strong>The</strong> seven suits all needed a thorough cleaning due<br />

to the heavy lunar soil contamination (Lunar soil<br />

has the consistence of talcum powder and can be<br />

dangerous to equipment if not properly removed).<br />

damage tracking and recording systems. Lastly<br />

was the cost of the impromptu marker, a high tech<br />

James V. “Jim” Andrews, Jr.,<br />

81, retired sales representative for<br />

Aurora <strong>Casket</strong> <strong>Company</strong> and longtime<br />

resident of Madison, recently<br />

passed away September 21, 2011.<br />

A native of the White House<br />

Community in Sumner County, he<br />

was the son of the late James V.<br />

Andrews, Sr. and Martha Carver<br />

Andrews. Following graduation<br />

from White House High School,<br />

he entered the U. S. Army during<br />

the Korean War. After completing<br />

military service, he began his career<br />

of association with funeral service<br />

in the office of National <strong>Casket</strong><br />

<strong>Company</strong> in Nashville prior to<br />

traveling as a sales representative for<br />

the company in Middle Tennessee.<br />

Later, he established, owned, and<br />

operated Colonial <strong>Casket</strong> <strong>Company</strong><br />

for several years. On January 1,<br />

1965 he was offered a position<br />

with Aurora <strong>Casket</strong> <strong>Company</strong> of<br />

Aurora, Indiana. He represented the<br />

company in East, Middle, and West<br />

Tennessee and in a large territory<br />

in Kentucky until his retirement<br />

February 1, 2002. During this<br />

period, he served two terms as<br />

President of the Tennessee <strong>Funeral</strong> Supply Sales Club and as<br />

Exhibit Chairman for several conventions of the Tennessee<br />

<strong>Funeral</strong> <strong>Director</strong>s Association. His enthusiasm for life, everpresent<br />

smile, and dedication to his work made him beloved<br />

by his customers. His integrity, high ethical standards, fair<br />

dealing, and loyalty to all with whom he dealt were a model for<br />

his chosen profession.<br />

Survivors include his wife, Sonia Cole Andrews, whom<br />

he married September 25, 1954; daughter, Angela Andrews<br />

Wright; grandsons, James Andrew and Justin Lee; beloved<br />

nephew, John E. Brown; several other special nieces and<br />

nephews.<br />

Brookfield, Wis. – <strong>The</strong> National <strong>Funeral</strong> <strong>Director</strong>s Association (NFDA) is<br />

accepted an appointment to the Genesis <strong>Casket</strong> Board<br />

of <strong>Director</strong>s as a special advisor. In this capacity, he<br />

joins Bob Horn who accepted a similar appointment<br />

last month.<br />

“Buddy is a visionary for our profession and the<br />

In 1969, Hunter founded Amedco Inc., a company<br />

that manufactured burial supplies for funeral homes,<br />

made wheelchairs and other medical devices, and<br />

eventually expanded into the steel business to<br />

make burial caskets. In 1986, after becoming the<br />

second largest manufacturer of burial caskets in the<br />

world, Amedco merged with Service Corporation<br />

International, the largest owner of funeral homes<br />

and cemeteries in the world. As part of the merger,<br />

Hunter, through Huntco Inc., purchased the steel<br />

processing and health care equipment operations<br />

of Amedco.<br />

Hunter has been a board member of Cash America<br />

International, Inc. since 1984. He has been a director<br />

for Service Corporation International for over 20<br />

years, and currently serves as a consultant. Previously,<br />

Mr. Hunter served on the board of Mark Twain<br />

Bancshares Inc. for approximately 15 years, and was<br />

a Member of the Listed <strong>Company</strong> Advisory Board for<br />

three years on both the New York Stock Exchange<br />

and the American Stock Exchange.<br />
