INTRODUCTION<br />

LOCATION & ACCESS<br />
The property is located about a mile west of Highway 89 on Miller Road, an all-season gravel road that is well maintained by Park County. Conveniently<br />
situated between Wilsall and Clyde Park, these welcoming small towns both offer friendly local faces, but limited services. Positioned east of the<br />
Bridger <strong>Mountain</strong> Range between Livingston and White Sulphur Springs, these quaint farm and ranch communities both have a population just over<br />
300 residents.<br />
Beginning in Wilsall, at the junction of US Highway 89 and Montana Highway 86, the Bridger Range Scenic Drive follows Highway 86 to the west<br />
toward the mountains to Bozeman. The thirty-one-mile scenic drive highlights the beautiful Bridger Range and has amazing views of the <strong>Crazy</strong><br />
<strong>Mountain</strong>s to the east and the Absaroka Beartooth <strong>Mountain</strong>s to the south.<br />
In the late 1980s, the school communities of Clyde Park and Wilsall consolidated forming <strong>Shields</strong> <strong>Valley</strong> Public Schools. The <strong>Shields</strong> <strong>Valley</strong> Elementary<br />
School (PK-6) located in Wilsall, has approximately 107 students and has a student to teacher ratio of 11:1. <strong>Shields</strong> <strong>Valley</strong> Junior High and High<br />
School, located in Clyde Park, has an enrollment of about 68 students with an 8:1 student teacher ratio. Full services and urban amenities are available<br />
in Livingston–about 30 minutes away, and Bozeman–about an hour drive.<br />
Livingston is historically a ranching and railroad community and these traditions continue today. Livingston also has a strong tourism-based economy<br />
due to its proximity to Yellowstone National Park and world-class fishing. With about 7,575 residents, Livingston has a strong arts influence as well<br />
as many fine-dining establishments, shopping, banking, great schools and an impressive new hospital.<br />
Bozeman is a vibrant and active university-oriented city steeped in culture and art. Bozeman is proud to maintain its small-town feeling with big-city<br />
amenities. It is home to Montana State University, Museum of the Rockies, Bozeman Symphony and Montana Ballet. The fourth-largest city in the<br />
state, Bozeman offers abundant opportunities for fine dining, lodging, entertainment venues and shopping opportunities.<br />
Bozeman Yellowstone International Airport (BZN) at Gallatin Field in Belgrade is less than an hour drive from the property. Recently expanded,<br />
Gallatin Field offers several full-service FBOs and excellent commercial services through Alaska Airlines, Allegiant, American Airlines, Delta, jetBlue,<br />
Southwest, Sun Country Airline and United. The seventh busiest passenger airport in the Pacific Northwest, Bozeman offers direct flights to over<br />
twenty major airports around the nation.<br />

<strong>Shields</strong> <strong>Valley</strong> <strong>Crazy</strong> <strong>Mountain</strong> <strong>Retreat</strong> sits between 4,980± to 5,020± feet above sea level. The average annual precipitation is 16 to 18 inches. May<br />
is the wettest month with an average 3.25 inches of rain. Winter months bring an average 8 to 9 inches of snowfall. The area’s growing season is<br />
approximately 90 days. Average maximum Fahrenheit temperatures in June, July and August are between 68° to 80°. December, January and February<br />
maximum temperatures are between 32° and 37°. Summer nights average about 45° with winter evenings around 14°. Sunshine is abundant in this<br />
region of Montana.<br />

The Sellers hereby make known that there may be variations between the deeded property lines and the location of the existing fence boundary lines<br />
on <strong>Shields</strong> <strong>Valley</strong> <strong>Crazy</strong> <strong>Mountain</strong> <strong>Retreat</strong>. The Sellers make no warranties with regard to the location of the fence lines in relationship to the deeded<br />
property lines, nor do the Sellers make any warranties or representations with regard to specific acreage within the fenced property lines.<br />
The Sellers are selling <strong>Shields</strong> <strong>Valley</strong> <strong>Crazy</strong> <strong>Mountain</strong> <strong>Retreat</strong> in its “as is-where is” condition which includes the location of the fences as they now<br />

MINERAL RIGHTS<br />
The Sellers will convey the Property without<br />
reservation of whatever mineral, oil, gas, geo-thermal,<br />
hydro-carbon and gravel rights which they actually<br />
own, subject to reservations by previous owners.<br />

or quality of any mineral or other subsurface rights<br />

The real estate taxes for 2021 were approximately<br />

Northwest Energy has a transmission line that runs<br />
along the north side of the property, however, power<br />
cannot be pulled from it. Park Electric has an<br />
underground power line about a half mile down Miller<br />
Road that can be extended to provide power. Verizon<br />
cell phone coverage is available at the property, and<br />
television/internet are available via satellite providers.<br />

AREA RECREATION<br />
This area is surrounded by some of Montana’s most desirable recreational areas and picturesque mountain ranges with Custer Gallatin National Forest<br />
located in the Bridger <strong>Mountain</strong>s to the west and the <strong>Crazy</strong> <strong>Mountain</strong>s to the east. Numerous National Forest Service trailheads can be accessed within<br />
fifteen- to thirty-minute drives from the property allowing for endless hiking trails and easy trailering of horses to thousands of acres of federal land.<br />
The upper <strong>Shields</strong> River near Wilsall offers uncrowded wade fishing for small but plentiful cutthroat and brook trout. Downstream, the river becomes<br />
a brown-trout fishery with some larger cutthroat and smaller rainbows also being found. A combination of light fishing pressure, excellent habitat and<br />
nutrient-heavy water allows the trout to become quite numerous. Fall presents the best time to fish the <strong>Shields</strong> River with many large brown trout<br />
migrating upstream from the Yellowstone River to spawn. If larger water is desired, the nearby world-famous Yellowstone River offers anglers over<br />
100 miles of trout-rich water that is easily accessed by multiple fishing-access sites.<br />
Exceptional skiing is a scenic 20-mile drive from the property with the “Cold Smoke” of Bridger Bowl. Crosscut <strong>Mountain</strong> Sports Center, also located<br />
20 miles from the property, offers the highest quality Nordic skiing with over 30 km of trails well suited to all levels of ability. The après ski amenities<br />
of Bozeman, voted one of the World’s 25 Best Ski Towns by National Geographic in 2014, are also available nearby.<br />

AREA HISTORY<br />
Clyde Park, originally named Sunnyside, served as a resting stop for wagon trains and travelers heading west searching to find their fortunes in the gold<br />
digs of Montana and California. The stage stop and watering hole owned by Madame Bulldog was a welcome site for weary travelers. In 1885, a post<br />
office was established in Madame’s town of Sunnyside with young Sarah Robinson as postmistress.<br />
In 1887, the post office was moved to the Messrs’ Ranch, a prominent family in the area who brought their imported English Clydesdale horses to work<br />
the fields. The presence of the Clydesdales precipitated the renaming of the town Clyde Park, referring to the park-like landscape and majestic work<br />
horses of the area.<br />
Supplies in the early days were hauled into Clyde Park by Jim Bowen, known as the “Cayuse Kid,” who freighted with a twenty-four horse jerk line.<br />
By 1914, the Northern Pacific Railroad had constructed a spur line and was making its run up the <strong>Shields</strong> <strong>Valley</strong> past Clyde Park six times a week.<br />
The town of Wilsall is named after the son, Will, and daughter-in-law, Sally, of Walter B. Jordan who platted the townsite. The town almost boomed<br />
during the World War I era, when wheat prices were high and the rains were abundant, but really got started when the Northern Pacific Railroad<br />
completed a spur line in 1909. Five stops were made in the 28-mile stretch between Livingston and Wilsall, which was the end of the line. Also, a<br />
passenger train made a run six mornings a week and a freight train steamed along the <strong>Shields</strong> River in the afternoons. The small trade town is still<br />
recalled by the tall grain elevator, abandoned railroad corridor and remnants of the depot.<br />

OFFERING PRICE & CONDITIONS OF SALE<br />
<strong>Shields</strong> <strong>Valley</strong> <strong>Crazy</strong> <strong>Mountain</strong> <strong>Retreat</strong>, as previously described herein, is being offered for sale at $1,345,000 Cash or Terms acceptable solely<br />
at the discretion of the Sellers. The conditions of sale as of July 2022 are as follows:<br />
1. All offers to purchase or letters of intent must be in writing and accompanied by earnest money made payable to the escrow account at<br />
Security Title Company of Montana;<br />
2. Earnest money deposits will be placed in escrow with Security Title Company of Montana, which may place the funds with local<br />
banks at nominal rates of interest accruing to the benefit of the Buyer until Closing;<br />
3. All Prospective Buyers must demonstrate to the satisfaction of the Sellers absolute financial capability to purchase the Property prior<br />
to scheduling an inspection of the Property;<br />
4. The Sellers will provide and pay for a standard owner’s title insurance policy. Any endorsements requested by the Buyer or any<br />
lender will be at Buyer’s expense. Title to the real property will be conveyed by a deed;<br />
5. All of the water right claims controlled by the Property will be transferred to the Buyer at Closing, and all of the mineral rights which<br />
the Sellers actually own will be conveyed to the Buyer at Closing;<br />

The Sellers reserve the right to effect a tax-deferred exchange for other real property in accordance with provisions in Section 1031 of the<br />
