similar agreement and other compensation arrangements, options, warrants or other rights to purchase Capital Stock of the Issuer or any Parent, restricted stock plans, long-term incentive plans, stock appreciation rights plans, participation plans or similar employee benefits or consultants’ plans (including valuation, health, insurance, deferred compensation, severance, retirement, savings or similar plans, programs or arrangements) and/or indemnities provided on behalf of officers, employees, directors or consultants approved by the Board of Directors of the Issuer, in each case in the ordinary course of business; (3) any Management Advances; (4) any transaction between or among the Issuer and/or any Restricted Subsidiary (or entity that becomes a Restricted Subsidiary as a result of such transaction), or between or among Restricted Subsidiaries; (5) the payment of reasonable fees and reimbursement of expenses to, and customary indemnities provided on behalf of, directors, officers, consultants or employees of the Issuer, any Restricted Subsidiary of the Issuer or (to the extent such person renders services to the businesses of the Issuer and its Subsidiaries) any Parent (whether directly or indirectly and including through any Person owned or controlled by any of such directors, officers or employees); (6) the entry into and performance of obligations of the Issuer or any of its Restricted Subsidiaries under the terms of, any transaction arising out of, and any payments pursuant to (in each case, other than any payments of fees and expenses of the type described under clause (10) of this paragraph) any agreement or instrument in effect as of or on the Closing Date and disclosed in “Certain Relationships and Related Party Transactions”, as these agreements and instruments may be amended, modified, supplemented, extended, renewed or refinanced from time to time in accordance with the other terms of this covenant or to the extent not disadvantageous to the Holders in any material respect; (7) transactions with customers, clients, suppliers, or purchasers or sellers of goods or services, in each case in the ordinary course of business and otherwise in compliance with the terms of the Indenture that are fair to the Issuer or the relevant Restricted Subsidiary in the reasonable determination of the Board of Directors of the Issuer or are on terms no less favorable than those that could reasonably have been obtained at such time from an unaffiliated party; (8) any transaction entered into in the ordinary course of business between or among the Issuer or any Restricted Subsidiary and any joint venture or similar entity and in a manner consistent with past practice, if such transaction would constitute an Affiliate Transaction solely because the Issuer or a Restricted Subsidiary owns an equity interest in or otherwise controls such joint venture or similar entity; (9) issuances or sales of Capital Stock (other than Disqualified Stock or Designated Preference Shares) of the Issuer or options, warrants or other rights to acquire such Capital Stock or Subordinated Shareholder Funding, in each case issued to any Parent or any Permitted Holder in the ordinary course of business; provided that the interest rate and other financial terms of such Subordinated Shareholder Funding are approved by a majority of the members of the Board of Directors in their reasonable determination; (10) (a) payments by the Issuer or any Restricted Subsidiary to any Permitted Holder (whether directly or indirectly, including through any Parent) of annual management, consulting, monitoring or advisory fees and related reasonable out of pocket expenses in an aggregate amount not to exceed €4.0 million per year and (b) customary payments by the Issuer or any Restricted Subsidiary to any Permitted Holder (whether directly or indirectly, including through any Parent) for financial advisory, financing, underwriting or placement services or in respect of other investment banking activities, including in connection with acquisitions or divestitures, which payments in respect of this clause (b) are approved by a majority of the members of the Board of Directors of the Issuer in good faith; and (11) the acquisition of ish, any of its subsidiaries or any direct or indirect interests therein and the transactions contemplated thereby. Listing The Issuer will use all commercially reasonable efforts to list and maintain the listing of the Notes on the Irish Stock Exchange; provided, however, that if the Issuer is unable to list the Notes on the Irish Stock Exchange or if maintenance of such listing becomes unduly onerous, it will maintain a listing of such Notes on another recognized stock exchange. 250

Reports Whether or not required by the SEC, so long as any Notes are outstanding, the Issuer will provide to the Trustee and make available to Holders of the Notes and potential investors: (1) within 120 days after the end of each fiscal year of the Issuer, commencing with the fiscal year ending December 31, 2005: (a) information substantially similar in scope to the information included in this Prospectus, including the information under the captions entitled “Selected Financial and Operating Information,” “Risk Factors,” “Operating and Financial Review and Prospects of iesy,” “Operating and Financial Review and Prospects of ish,” “Business,” “Management,” “Certain Relationships and Related Party Transactions,” “Security Ownership” and “Description of Other Indebtedness,” as well as a description of material recent developments (but excluding “Industry”); (b) pro forma income statement and balance sheet information, together with explanatory footnotes, for any material acquisitions, dispositions or recapitalizations that have occurred since the beginning of the most recently completed fiscal year; and (c) audited consolidated statements of income and statements of cash flow of the Issuer (or, as the case may be, iesy Hessen or any predecessor company of the Issuer) as of and for the most recent three fiscal years and balance sheets as of the two most recent fiscal years, including appropriate footnotes to such financial statements and also including a footnote showing the sales, EBITDA and assets of the Guarantors (if Subsidiaries representing less than 95% of the total consolidated sales, EBITDA or assets of the Issuer are Guarantors) on an aggregate basis, for and as of the end of such fiscal year, and the report of the independent auditors on such financial statements; (2) within 60 days (or, in the case of the second and third fiscal quarters in 2005, 90 days) following the end of the first three fiscal quarters in each fiscal year of the Issuer beginning with the quarter ending June 30, 2005, information including: (a) an unaudited condensed consolidated balance sheet as of the end of such quarter and unaudited condensed statements of income and cash flow for the most recent quarter year-to-date period ending on the unaudited condensed balance sheet date, and the comparable prior year periods, together with condensed footnote disclosure; (b) pro forma income statement and balance sheet information, together with explanatory footnotes, for any material acquisitions, dispositions or recapitalizations that have occurred since the beginning of the most recently completed fiscal quarter; (c) an operating and financial review of the unaudited financial statements, including a discussion of material commitments and contingencies and critical accounting policies; (d) material recent developments and any material changes to the risk factors disclosed in the most recent annual report; and (e) a presentation of EBITDA; and (3) promptly after the occurrence of a material acquisition, disposition, restructuring, senior management changes or change in auditors, a report containing a description of such event and such other information as the Issuer is required to make publicly available under the requirements of the German Securities Trading Act (Wertpapierhandelsgesetz). If the Issuer has designated any of its Subsidiaries as Unrestricted Subsidiaries and any such Unrestricted Subsidiary, or group of Unrestricted Subsidiaries, if taken together as one Subsidiary, constitutes a Significant Subsidiary of the Issuer, then the annual and quarterly information required by the first two clauses of this covenant shall include (i) supplemental financial information regarding the sales, EBITDA, Consolidated Interest Expense, cash flow from operating activities and Indebtedness of the Issuer and the Restricted Subsidiaries on a consolidated basis, either on the face of the financial statements or in the footnotes thereto, and (ii) a supplemental review of the financial condition and results of operations of the Issuer and its Restricted Subsidiaries (separate from the financial condition and results of operations of the Unrestricted Subsidiaries of the Issuer) based on the financial information specified in (i) above. Contemporaneously with the provision of each report discussed above, the Issuer shall also file a press release with the appropriate internationally recognized wire services with respect to such report and post such press release (along with each such report attached thereto) on the Issuer’s website. In the event that the Issuer becomes subject to the reporting requirements of Section 13(a) or 15(d) of the Exchange Act, or elects to comply with such provisions, the Issuer will, for so long as it continues to file the reports required by Section 13(a) with the SEC, make available to the Trustee the annual reports, information, documents and other reports that the Issuer is, or would be, required to file with the SEC pursuant to such Section 13(a) or 15(d). Upon complying with the foregoing requirement, the Issuer will be deemed to have complied with the provisions contained in the preceding three paragraphs. In addition, so long as the Notes remain outstanding and during any period during which the Issuer is not subject to Section 13 or 15(d) of the Exchange Act nor exempt therefrom pursuant to Rule 12g3-2(b), the Issuer shall furnish to the Holders and, upon their request, prospective purchasers of the Notes, the information required to be delivered pursuant to Rule 144A(d)(4) under the Securities Act. 251
