INTERGOVERNMENTAL

INTERGOVERNMENTAL AGREEMENT ADDENDUM BETWEEN THE ILLINOIS STATE TOLL HIGHWAY AUTHORITY THE COUNTY OF COOK AND THE VILLAGE OF DEERFIELD This INTERGOVERNMENTAL AGREEMENT ADDENDUM (hereinafter referred to as the “ADDENDUM”) is entered into this ______ day of ____________AD, 2010, by and between THE ILLINOIS STATE TOLL HIGHWAY AUTHORITY, an instrumentality and administrative agency of the State of Illinois, (hereinafter called the "TOLLWAY"), THE COUNTY OF COOK, a body politic and corporate of the State of Illinois, acting by and through the COOK COUNTY HIGHWAY DEPARTMENT, (hereinafter called the “COUNTY”), and THE VILLAGE OF DEERFIELD, a municipal corporation of the State of Illinois, (hereinafter called the "VILLAGE"), individually referred to as “PARTY”, and collectively referred to as “PARTIES”. WITNESSETH: WHEREAS, the PARTIES in order to facilitate the free flow of traffic and ensure safety to the motoring public, executed an Intergovernmental Agreement on January 31, 2008, (hereinafter referred to as the “AGREEMENT”), for the improvement of the Tri- State Tollway (I-294) bridge carrying Lake-Cook Road over I-294, TOLLWAY Contract I-07-5246, COUNTY Section 07-A5019-04-RP, (hereinafter referred to as the “PROJECT”); and WHEREAS, the COUNTY had requested that the TOLLWAY include in its PROJECT certain roadway work to be performed along Lake-Cook Road and Wilmot Road, which the COUNTY had planned to do at a later date and further identified and described in the AGREEMENT, (hereinafter referred to as the “IMPROVEMENT”); and WHEREAS, the TOLLWAY agreed to the COUNTY's request to include the IMPROVEMENT, and the COUNTY agreed to the financial obligation of its IMPROVEMENT as part of the PROJECT; and WHEREAS, it was agreed by the PARTIES hereto that the AGREEMENT included the actual bid prices for the COUNTY share of reimbursement to the TOLLWAY, and that the figures stated on page 8, Section V. FINANCIAL, paragraph F were estimated costs based on actual bid prices for the IMPROVEMENT to be performed by the TOLLWAY for the COUNTY; and WHEREAS, the TOLLWAY has incurred additional costs for Land Acquisition related to the IMPROVEMENT that were not included in the original AGREEMENT, said additional costs estimated as $518,672.80; and 1

WHEREAS, the COUNTY concurs with said additional costs as presented and requests that the AGREEMENT be amended to reflect the actual final costs in accordance with Section V. paragraph I; and WHEREAS, the TOLLWAY agrees to the COUNTY’s request to amend the AGREEMENT; and WHEREAS, the TOLLWAY by virtue of its powers as set forth in the "Toll Highway Act," 605 ILCS 10/1, the VILLAGE by virtue of its powers as set forth in the Illinois Municipal Code 65 ILCS 5/1-1-1 and the COUNTY by virtue of its powers as set forth in the County Code 55 ILCS 5/1-1001 are authorized to enter into this ADDENDUM. NOW, THEREFORE, in consideration of the aforementioned recitals and the mutual covenants contained herein, the PARTIES hereto agree as follows: 1. That Page 8, Section V. FINANCIAL, F, be amended to increase the COUNTY’s obligation from $2,763,205.91 and to read as follows: F. The costs for the COUNTY’s share of the IMPROVEMENT as specified in Paragraph V. B. preceding are Design Engineering costs of $218,160.96, Construction costs $2,143,845.01, Construction Engineering costs $214,384.50, Mobilization costs $64,315.35 and Land Acquisition Costs $518,672.80, for a total actual cost of $3,159,378.62. These are actual final costs. 2. That all other provisions contained in the original AGREEMENT that are not in conflict with this ADDENDUM shall remain in full force and effect. 3. It is understood and agreed that this is an ADDENDUM between the Village of Deerfield, Cook County and the Illinois State Toll Highway Authority. 4. This ADDENDUM may be executed in three (3) or more counterparts, each of which shall be deemed an original and all of which shall be deemed one and the same instrument. 5. This ADDENDUM may only be modified by written modification executed by duly authorized representatives of the PARTIES hereto. 6. This ADDENDUM shall be binding upon and inure to the benefit of the PARTIES hereto and their respective successors and approved assigns. 7. The introductory recitals included at the beginning of this ADDENDUM are agreed to and incorporated into this ADDENDUM. 2
