Should you have a holding company?
A holding company structure is most common as a result of a
Management Buyout (MBO). An MBO occurs when a new
holding company is formed to acquire the shares in an existing
trading company. It is generally used as a way to allow an
existing shareholder to sell their shares using the company to
finance the transaction in circumstances where a company
purchase of own shares is not possible.
Should you retain the group structure?
Following the completion of the MBO, it may be desirable to
consider whether steps should be taken to consolidate the
corporate structure.
Restructuring may reduce the administrative burden and a
simpler structure avoids additional professional fees.
The holding company may impact the limits for determining if
the higher and marginal rates of Corporation Tax and whether
Quarterly Instalment Payments (QIP) are due. However, if the
holding company is deemed to be ‘non-active’ then the above
disadvantage will not apply.
To benefit from a smaller structure, it may be worth considering
hiving up the trade into the holding company or to distribute
the trading company shares in specie to the shareholders,
before removing the unused company. It is important to take
tax advice on the best option for you, as the position is
different depending on which route you take.
Before reducing the group back to a single company though, it
is important not to overlook the benefits a group structure can
provide. Advantages of retaining the holding company could
include:
Greater flexibility on a later sale.
Protecting valuable assets from risk should the trade fail.
A holding company could retain assets after the sale of the
trading company (potentially as a family investment
company) and continue to benefit from an income stream
and possibly also tax efficient profit extraction.
When a company leaves a group, there will be a need to
review whether any de-grouping charges would apply.
No need to change customer and supplier contracts as
the trade will continue in the existing company.
No need to re-register for any taxes if the group remains,
including any VAT group.
Avoiding changes affecting employees, such as the need
to transfer employment contracts and pension
entitlements.

Few things feel quite as quintessentially British as afternoon tea...
The very thought conjures images of

The origins of afternoon tea date back
to the early 1840s, when Anna, the 7th
Duchess of Bedford, found herself in

long gap between lunch and dinner.

first among the aristocracy, then across
society as a whole. Today, nearly two
centuries later, the tradition is thriving,

a key milestone on that journey is
choosing a school that aligns with
their needs. Every child is unique,

and personality, which is why it’s so

to a wide range of options.
The independent sector offers
an incredibly diverse selection of

• Your favourite Jude’s Ice Cream
• Caramelised pecan nuts
• Jude’s Salted Caramel Sauce
METHOD:
1. In a medium pan, melt the butter
and sugar. Stir in the apples
and cinnamon. Cook until soft,
golden, and caramelised. Allow to
cool slightly.
2. In a sundae glass (or bowl), layer
like this: Mini Beignet - Ice Cream
- Caramel Apple. Repeat.
3. Finish with a scattering of pecan
nuts and a generous drizzle of
Jude’s Salted Caramel Sauce.
THE ULTIMATE
AFFOGATO
INGREDIENTS:
• Moi Mini Beignets – Chocolate
and Hazelnut
• Jude’s vanilla Ice Cream
• 1x shot of expresso coffee (one
per serving)
• 1x shot of amaretto (one per
serving)
METHOD:
1. Gently warm your Mini Beignets
in the oven or air fryer. Let them
cool slightly.
2. Cut each Beignet into slices then
arrange around the outside of a
short tumbler style glass – one

METHOD:
1. Brush the aubergines with oil and
season with salt. Sprinkle liberally
with sumac.
2. Heat a griddle pan until smoking
hot. Add the aubergine, turn
down the heat and cook for
3-4 minutes on each side until
charred, golden brown and soft.
3. Add mint leaves and a handful of
pomegranate seeds.
4. To make the whipped feta - place
200g feta cheese, 150g Greek
yoghurt and 2 tbsp extra virgin
olive oil in a small food processor.
Blend until smooth and creamy.
5. Serve the griddled aubergine with
whipped feta, warm flatbreads
and a drizzle of chilli oil.

BBQ CAJUN CHICKEN LEGS
INGREDIENTS:
• 4 organic free range chicken legs
• 1 tsp sea salt
• 1 tsp black pepper
• 1 tsp paprika
• ½ -1 tsp chilli powder
• 2 tsp dried oregano
• 1 tsp garlic powder or 1 clove of garlic, peeled and
crushed
• 2 tsp demerara sugar
• 2 tbsp sunflower oil
For the salsa:
• 1 fresh pineapple, peeled, cored and finely diced
• 1 red chilli, deseeded and finely chopped
• 2 tbsp fresh coriander, leaves picked and roughly chopped
• ½ red onion, very finely chopped
• 1 lime, zest and juice
METHOD:
1. Place the chicken legs on a large plate.
2. Mix the remaining ingredients together in a small bowl
and spoon over the chicken. Rub the spice mixture into
the chicken, ensuring each leg is well coated. Cover and
place in the fridge for a minimum of 4 hours, but preferably
overnight to marinate.
3. The following day, preheat the BBQ. Place the skillet on
the BBQ and preheat for 10 minutes.
4. Add the chicken legs and cook for approximately 20-30
minutes or until the chicken is cooked through.
5. While the chicken is cooking, place the salsa ingredients in
a bowl and mix together.
6. Serve the chicken hot or cold with salsa, fries and cold
drinks.
BBQ SLOW COOKED
BUTTERFLIED LEG OF LAMB
INGREDIENTS:
• 2kg shoulder of lamb, deboned and butterflied
• 2 tbsp olive oil
• 6 anchovy fillets
• 3 garlic cloves, peeled and cut in slivers
• 1 large bunch of rosemary
• Black pepper
• 2 tbsp runny honey
• 50ml dry sherry (optional)
METHOD:
1. Using a small sharp knife, make deep incisions in the lamb
surface.
2. Place the olive oil and anchovy fillets in a small food
processor and blitz to make a paste.
3. Place the lamb shoulder in a shallow dish and rub with the
paste. Insert the rosemary and garlic into the incisions.
Add black pepper, drizzle over the honey and sherry and
cover. Place in the fridge to marinate overnight.
4. The following day, remove the lamb from the fridge
two hours before you’re ready to cook, to reach room
temperature.
5. Preheat the BBQ. You will need plenty of coals to maintain
the heat over a couple of hours.
6. Place the skillet on the BBQ and preheat for 10 minutes.
7. Add the lamb to the skillet and close the lid. Cook for
approximately 2 to 2 ½ hours or until the lamb is tender.
The meat when probed with a meat thermometer should
reach 80C-85C.
8. Open the lid and cook for approximately 10 minutes until
the surface of the meat caramelises. Remove from the
heat, cover and rest for at least ½ hour. To serve, simply
pull apart with two forks and spoon over any juices.
