Terms and Conditions (Required)
The following terms and Conditions apply to the Order Form for the ACCO Solutions � System between AGCO Corporation (“AGCO”) and AGCO's Dealer (hereinafter
“Purchaser”) identified on the face hereof. The Purchaser's agreement to the terms and conditions is confirmed by the signature of an authorized agent or by acceptance of
the item(s) listed herein or both.
Purchase Price and Monthly Charges
The Purchase Price for the AGCO Solutions � System is the prices set forth on the face hereof plus shipping and handling costs. In addition Purchaser agrees to pay the
initial monthly charges stated on the face hereof; however, the amount of the monthly charge is subject to change upon prior notice from AGCO to Purchaser. Payment of
the purchase price is due on delivery of the item(s) and the monthly charge is payable on the first day of each month following the month of actual delivery of the item(s).
Any payment not paid when due shall accrue interest at the maximum rate permitted by applicable law.
Delivery
The item(s) shall be delivered to the Purchaser’s address shown on the face hereof (hereinafter “Purchaser's Place of Business”). Any scheduled delivery date(s) are
AGCO’s best estimate of the delivery based upon shipment from AGCO’s distribution point. AGCO shall not be liable to Purchaser for any loss, costs, expenses, or
damages, including incidental or consequential damages, due to delay in shipment or delivery.
Software License
(a) Subject to the payment of the Purchase Price and monthly charges to AGCO, AGCO hereby grants to Purchaser a personal, nonexclusive and nontransferable
license to use the ACCO Solutions � System software and DVDs on one or more personal computers (including a local area network) and to use the manuals and
other documentation (“support documents”) in support of the use of the software and DVDs. This license is limited to the use of the software, DVD’s, and support
documents at Purchaser’s Place of Business identified on the face hereof and for Purchaser's own business purposes. Use of the software, DVD’s, and support
documents at any additional location or site of Purchaser shall be permitted only after the execution of another licensing agreement. Purchaser shall neither transfer,
assign, nor sublicense this license, without AGCO’s prior written consent. Purchaser shall neither copy, duplicate nor reproduce the software, DVD’s or support
documents onto any media, except what is necessary for use of such software, DVD’s and Support documents at Purchaser's Place of Business and for Purchaser’s
own business purposes. Purchaser acknowledges that the Software, DVD’s and support documents constitute valuable proprietary information and trade Secrets of
AGCO. Purchaser shall not disclose, release or make available the Software DVD’s or support documents to any third parties, excluding Purchaser's agents and
employees, without the prior written consent of AGCO.
(b) The license granted hereby shall terminate upon the happening of any one or more of the following events:
(i) should Purchaser cease using the software;
(ii) should Purchaser fail to make any payment(s) due under this Order Form and said failure to pay has not been cured within 10
days following Purchaser’s receipt of a notice and demand from AGCO;
(iii) should Purchaser cease for any reason to be an authorized dealer of AGCO;
(iv) upon Purchaser's breach of any other term or condition of this Order Form; or
(v) should Purchaser become insolvent or seek protection, voluntarily or involuntarily, under any bankruptcy law.
(c) Upon termination of this license, Purchaser shall cease using the software, DVD’s and support documents and shall immediately return the software,
DVD’s and support documents and all copies thereof to AGCO.
Warranty
(a) AGCO warrants that the software, files, DVD’s, and support documents and media upon which they are stored shall be free from defects. AGCO's
liability for the breach of this warranty shall be limited to replacing any defective item which Purchaser reports to AGCO in a timely manner.
(b) EXCEPT AS OTHERWISE PROVIDED HEREIN, AGCO MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT
LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSES OR USES.
Limitation of Liability
AGCO shall in no event be responsible for special, indirect, incidental or consequential damages or for lost profits which may arise out of or relate to this Order Form and
Agreement, or the performance and breach thereof, even if AGCO has been advised of the possibility thereof. AGCO’s liability hereunder to Purchaser shall in no event
exceed the total of the Purchase Price Provided herein.
Miscellaneous
(a) This Order Form and Agreement constitutes the entire, integrated agreement between AGCO and Purchaser on the subject matter hereof. This
Agreement supersedes all prior agreements, writings, proposals, representations or communications, oral or written, except as otherwise stated herein.
(b) Except as otherwise provided herein, this Order Form is an independent undertaking between AGCO and the Purchaser concerning the subject
matter hereof. Neither this Order Form nor any term and condition hereof shall modify, change, abrogate or affect in any way, any other
agreement or contract between AGCO and the Purchaser.
(c) Any controversy or claim arising out of or relating to this Order Form or the breach hereof shall be determined by arbitration in accordance with the
Commercial Arbitration Rules of the American Arbitration Association and judgment upon the award rendered by the arbitrator (s) may be
entered in any court having jurisdiction.
(d) This Agreement shall be interpreted by and governed in accordance with the laws of the State of Georgia.
Machinelocator.com - Prior to the submission of the initial inventory listing from a dealer pursuant to this Agreement, dealer acknowledges that the information provided
will (i) belong to AGCO, (ii) be accessible by ISLLC and (iii) be included in other ISLLC databases or publications such as the Real-Time Guides. In addition, Dealer
represents and warrants that the publication of any data supplied to ISLLC by either AGCO or dealers selling equipment manufactured by AGCO in connection with any
product or service of ISLLC will not subject ISLLC to any lawsuit or other claim.
