<strong>Warburg</strong> <strong>Pincus</strong> <strong>Acquires</strong> <strong>Vital</strong> <strong>Fettrecycling</strong> <strong>GmbH</strong> <strong>and</strong> <strong>Petrotec</strong> Biodiesel <strong>GmbH</strong><br />

Borken, Germany, May 18, 2006 – <strong>Vital</strong> <strong>Fettrecycling</strong> <strong>GmbH</strong> <strong>and</strong> its wholly owned subsidiary <strong>Petrotec</strong><br />

Biodiesel <strong>GmbH</strong> (together “<strong>Vital</strong>/<strong>Petrotec</strong>”), a leading German collector <strong>and</strong> recycler of used fats <strong>and</strong> oils <strong>and</strong><br />

a major producer of EN14214 compliant biodiesel, today announced that they have completed a transaction<br />

in which affiliates of <strong>Warburg</strong> <strong>Pincus</strong> LLC have acquired <strong>Vital</strong>/<strong>Petrotec</strong> from its shareholders, led by Mrs.<br />

Ulrike Petershagen <strong>and</strong> Dr. Jürgen Wigger. Terms of the transaction were not disclosed.<br />

<strong>Vital</strong>/<strong>Petrotec</strong> is a leading German collector <strong>and</strong> recycler of used fats <strong>and</strong> oils, such as used frying oil, <strong>and</strong> a<br />

major producer <strong>and</strong> distributor of Biodiesel fuel, which is sold both as unblended (B100) biodiesel as well as<br />

a blending component to fossil diesel, like that used for the production of B5 blends. <strong>Vital</strong>/<strong>Petrotec</strong> has<br />

developed a proprietary multi-feedstock technology enabling the company to convert a wide range of raw<br />

materials, including fresh vegetable oils <strong>and</strong> recycled oils <strong>and</strong> fats into high-quality, EN14214-st<strong>and</strong>ard-<br />

compliant biodiesel in a fully-continuous production process.<br />

Roger Boeing, who will remain Chief Executive Officer of <strong>Vital</strong>/<strong>Petrotec</strong> upon the close of the transaction,<br />
