2013 is here and over the last month <strong>Samui</strong> and<br />
<strong>Phangan</strong> have been abuzz with tourists, visitors and<br />
locals filling the restaurants, baking on the beach and<br />
enjoying all that the islands have to offer.<br />
The property market is in good spirits and there is<br />
a growing interest in investment again as well as<br />
owning a slice of paradise – which is great for all of<br />
us and can only mean a booming year ahead and<br />
smiles on all of our faces.<br />
We start this year with a focus on living with tips and<br />
tricks on how to create the perfect living spaces and<br />
some beautiful furnishings to really accent your living<br />
areas. We also delve into owning the fractional way,<br />
or owning full stop – with some hot properties and<br />
developers who have some great stuff on offer.<br />
This year has already had a great start and it can only<br />
get better from here – we wish you all the best this<br />

The living room is the space where guests are<br />
entertained and where one makes the first impression.<br />
In many houses, it is also a kind of Family room,<br />
where the family sits together to watch TV or have<br />
discussions and hang out and is probably the most<br />
used room in many people's houses.<br />
Before building your living space there are many things<br />
to consider including technical issues, but don't forget<br />
the most important thing is how you live as a family or<br />
a group and how to best use the space to suit your<br />
needs.<br />

TIONS FOR A LIVING ROOM?<br />
• Number of persons to be seated or entertained.<br />
• Seating arrangement.<br />

TURE IN A LIVING ROOM?<br />
A living room has furniture for seating, conversation<br />
and viewing TV. Generally in most houses there will be<br />
the main, primary conversation group and a smaller,<br />
secondary conversation group. The typical pieces<br />
of furniture and the sizes in a living room are below<br />
however furniture sizes may vary slightly.<br />
• Sofas – Two Seater Sofas- 4'6" x 2'6", Three Seater<br />
Sofas -7'0" x 3'0" or 6'6" x 2'6" and Single Seater<br />
Sofa – 2'6" x 2'6" or 2'3"x2'3"<br />
• Armchairs – 2'0" x 2'4", 2'3" x 2'4" etc<br />
• Sofa-cum-bed or Divan – 2'6" x 7'0"<br />
• Centre Table - Rectangular- 2'0" x 1'3", 3'0" x<br />
2'0" etc<br />
• Circular- 3'0" dia., 2'6" dia.<br />

WHAT ARE THE SPECIFIC SPACE ALLOW-<br />
ANCES IN A LIVING ROOM?<br />
When designing, adequate floor space should be<br />
provided for the furniture groupings so as to allow<br />
for easy movement around the furniture and allow<br />
comfortable conversation. There is nothing worse<br />
than having to navigate your way through furniture and<br />
hurting yourself on corners! Planners have established<br />
the minimum distances for comfortable movement<br />
as well as the maximum distance for comfortable<br />
conversations. They are listed below:<br />
• A minimum of 5'0" between opposite sofas and<br />
a maximum of 6'0" for comfortable conversation.<br />
• A minimum space of 2'0" for circulation between<br />
tall furniture.<br />
• At least 1'6" for circulation between low furniture.<br />
• A minimum of 3'0" behind an occupied chair, to<br />
permit a person to pass by.<br />
• At least 5'0" distance between the TV and the<br />
seating for comfortable viewing.<br />
• Seating arranged around a 10'0" diameter circle<br />
makes a comfortable grouping for conversation.<br />
WHAT ARE THE IDEAL POSITIONS OF DOORS<br />
AND WINDOWS IN A LIVING ROOM?<br />
• Door openings in a Living room should be located<br />
so as to give enough wall space for the furniture<br />
arrangements.<br />
• It is preferable to have the main entrance door<br />
directly opposite the door leading to the other<br />
rooms, as the main traffic lane can be short and<br />
space is not wasted for movement.<br />
• It is even better if the main door and the door leading<br />
to the other rooms are close to each other in one<br />
corner of the living room, as the rest of the room can<br />
be used for the furniture and space for movement is<br />
reduced considerably.<br />
• Windows should be located so that a seating<br />
arrangement can face the window, since looking<br />
out while having a conversation is quite interesting.<br />
• There should be convenient access to the windows<br />
to enable easy opening and drawing of curtains.<br />
Also furniture should not block the windows.<br />
• The TV position should be fixed such that it is not<br />
opposite a window, as the TV screen will reflect the<br />
light from the window.

A coffee table is an integral part of any living room...<br />

SUMMER SALADS<br />
The weather is heating up and<br />
our bodies are starting to crave<br />
lighter food. There is nothing<br />
easier than throwing together<br />
a salad – you don't even need<br />
a recipe, simply throw all your<br />
favourite vegetables, herbs and<br />
even fruits into a bowl and dress<br />
it with a delicious dressing and<br />
you're ready to go! Here are two<br />
salads to help inspire your next<br />
creation...
LEMON & THAI BASIL PRAWN SALAD<br />
INGREDIENTS<br />
• Fresh uncooked prawns - peeled and deveined<br />
• 4 cloves garlic - chopped<br />
• Thai Basil - small handful chopped finely<br />
• 1 small lemon or lime<br />
• Fresh grated ginger<br />
• 1 tbs coconut oil<br />
Sauté garlic and herbs in coconut oil over medium<br />
heat add shrimp and cook until just pink. Squeeze over<br />
some fresh lemon/ lime juice and remove from heat<br />
DRESSING INGREDIENTS<br />
• Sesame oil<br />
• Rice wine vinegar<br />
• Touch soy sauce<br />
• 1 clove garlic finely chopped<br />
• 1tsp grated ginger<br />
Mix all dressing ingredients together well (put in a jar<br />
and shake!)<br />
Serve prawns with couscous, rice or quinoa to give<br />
this salad more body, mix in some lettuce leaves and<br />
other greens, the Thai basil, top with prawns and pour<br />
over the dressing for an amazingly refreshing and<br />
delicious salad!<br />
CUCUMBER & CORIANDER SALAD<br />
INGREDIENTS<br />
• Cucumber - 1, traditional small sized chopped<br />
• Tomato - 1 small (preferably heirloom variety),<br />
chopped<br />
• Red Onion - 1/2 cup, finely chopped<br />
• Coriander - a handful, chopped<br />
• Lemon Juice - 1 tbsp<br />
• Salt<br />
• Pepper<br />
Mix all the above together and keep in the refrigerator<br />
for at least half an hour before serving. Enjoy!<br />

The last two issues we have shown you how to build<br />
the basis of your sala. This issue we complete the sala.<br />
The sala roof can be done in several ways, but here is<br />
a technique that requires a small amount of materials<br />
and that will make the sala durable. The first step of<br />
the process is to install the top plates over the 4×4<br />
wooden posts.<br />
Use 4×4 beams and install them in a professional<br />
manner. Consider asking a friend to hold the beams<br />
into place, while you drive in the screws.<br />
HOW TO BUILD SALA TOP PLATE<br />
In this image, you should notice the proper technique<br />
to join the top plates. Therefore, you have to cut their<br />
ends in an L-shape and join them together on top of<br />
the posts. After you join the top plates, you have to drill<br />
pilot holes and drive in several 6” screws.<br />
HOW TO BUILD SALA ROOF<br />
Afterwards, install 2×4 rafters, to build the main frame<br />
of the roof. The procedure is straightforward, if you use<br />
the right techniques and tools. First, cut a 6×6 king<br />
post (4” high) and secure it into place by installing two<br />
opposite rafters, with 4” screws (toenail the rafters to<br />
the king post).<br />

THE LAST INSTALMENT<br />
Next, install the rest of the 2×4 intermediate rafters, as<br />
in the image. Work with great care and make sure the<br />
intermediate rafters are placed symmetrically. Secure<br />
them to the top plates and to the king post with several<br />
4” screws, as in the image.<br />
The roofing of your sala can be done in several ways:<br />
on one hand you can install 2×4 wooden boards,<br />
while on the other hand you can use large sheets of<br />
plywood and roofing paper. Irrespective of your choice,<br />
we recommend you to secure the wooden boards or<br />
the plywood sheets with appropriate screws, every 10”<br />
along the rafters.<br />
HOW TO BUILD A SALA ROOF PLANS<br />
After you have installed the wooden boards or the<br />
plywood sheets, you have to cover the surface with
oofing paper. Next, you should install asphalt shingles,<br />
wooden shingles or metal sheets.<br />
From our experience, we can say that the costs are<br />
similar, therefore you have to choose the option that<br />
suits your needs and tastes. Work with great care and<br />
make sure the nails don’t go through the roofing (use<br />
1/2” roofing nails).<br />
HOW TO BUILD SALA RAILINGS<br />
Building the balusters of the sala is an essential task of<br />
your project, therefore you have to tackle it with great<br />
care and attention. There are many design options to<br />
choose from, therefore you should choose the one that<br />
fits your tastes.<br />
In our example, we have used 2×2 balusters, placed<br />
every 3”. The balusters should be 28-32” high, but you<br />
can adjust them according to your needs.<br />
In order to build the balusters, you have to use proper<br />
techniques. The bottom and top railings should be<br />
secured with screws driven at angle, or locked with<br />
corner brackets.<br />
HOW TO BUILD SALA FRIEzE<br />
Use 2×4 boards to build the bottom and head rail of<br />
the frieze and 2×2 molding to build the balusters. In<br />
addition, make sure everything fits into place properly<br />
and has a neat look. In order to secure the balusters<br />
into place, drive nails through the bottom and top rail<br />
in the balusters.<br />
Fill the cracks and holes with wood putty and leave it<br />
to harden. Sand the wooden surfaces of the square<br />
sala with medium-grit sandpaper and protect the<br />
construction against water damage, by applying<br />
several coats of varnish.<br />
Building the perfect sala is a subjective matter,<br />
therefore we recommend you to choose its design<br />
and size from the very beginning, according to your<br />
needs and tastes.<br />

DEFECTS IN THAILAND<br />

In real estate acquisitions, in particular when it<br />
comes to new buildings, an important part of the<br />
process is managing issues related to construction<br />
defects. Such defects may range from small snags<br />
to major problems. From the legal point of view, the<br />
responsibility for the rectification of the defects stands<br />
in the foreground.<br />
The defects warranty by the contractor (in the case<br />
of a construction agreement) or seller (in the case of<br />
a house sale and purchase agreement) includes an<br />
obligation to provide the building in a condition that<br />
was agreed upon in the contract between the parties,<br />
including exhibits such as copies of construction<br />
drawings, bill of quantities, etc. The warranty applies<br />
for a certain period of time, the defects liability period,<br />
which starts with the acceptance and handover of<br />
the building.<br />
1. DELIVERY AND ACCEPTANCE OF CON-<br />
STRUCTION WORKS<br />
If defects of a new building are discovered at an early<br />
stage, before or upon delivery of the works, there are<br />
generally two options for the employer of construction<br />
works:<br />
The construction works are rejected and not accepted<br />
as complete, due to major defects and/or works that<br />
are not according to the contractual specifications.<br />
The construction works are accepted as complete,<br />
however a list of minor defects is submitted to the<br />
developer for rectification and repair. In this case,<br />
these defects would be considered notified and the<br />
defects liability period would stop running, i.e. the<br />
liability period would not be an issue any more for<br />
the employer with regards to these defects. It should<br />
be noted that the use of a house by the employer<br />
in principle can constitute an implied acceptance.<br />
An implied acceptance however requires that the<br />
purchaser’s actions create the impression that he really<br />
wants to accept the construction works as defect free.<br />
2. DEFECTS NOTICE<br />
If a defect is discovered after delivery and acceptance<br />
of the works, the developer, or seller respectively,<br />
should be notified immediately. Usually, the contract<br />
will set forth formal requirements of the notice which<br />
need to be observed, in many cases a specific and<br />
detailed procedure is stipulated in the contract. If the<br />
contract does not address this issue, the applicable<br />
Thai laws then need to be reviewed to determine the<br />
right procedure. Accordingly, the notification should be<br />
sent by registered mail and a reasonable time period<br />
should be given for rectification. The defects should be<br />
identified in a “defects list”. The defects liability period<br />
is inhibited upon delivery of a formal notice. Therefore,<br />
the developer will still be liable for rectification of the<br />
defects if the notice period expires after delivery of<br />
the notice.<br />
3. DEFECTS LIABILITY PERIOD<br />
Primary means to determine the duration of the liability<br />
period for defects is again the agreement between<br />
the parties and its specific terms and if it does not<br />
address the issue, pertinent Thai lawsneed to be<br />
reviewed. For construction works, the rules for the<br />
hire of works according to Section 587 ff. of the Thai<br />
Civil and Commercial Code (“CCC”) apply. According<br />
to Section 601 CCC, no action against the contractor<br />
can be entered into later than one year after the defect<br />
appeared.<br />
According to Section 600 CCC, the contractor is liable<br />
for defects of a building (except wooden building)<br />
within only five years after delivery of the work. This<br />
is the maximum defects liability period from delivery,<br />
also in the case of hidden defects. The terms of<br />
Section 600 CCC only apply if the contract does not<br />
say otherwise. Section 600 II CCC sets forth that no<br />
limitation shall apply if the contractor has concealed<br />
the defect. For the purchase of an existing house, as<br />
opposed to the hire of construction works, Sections<br />
472 ff. CCC, apply. No action for liability for defects<br />
can be entered into later than one year after discovery<br />
of the defect. It is however important to note that the<br />
defect must have existed at the time of delivery. If the<br />
duration of the liability is reduced to an unduly short<br />
period, consumer protection laws may to be taken into<br />
consideration as well.<br />
4. LIABILITY PERIOD IN CASE OF PURCHASE<br />
OF A CONDOMINIUM UNIT<br />
For the defects liability for units of a new condominium<br />
unit, specific rules apply. They are set forth in the<br />
Condominium Act and its respective regulations. An<br />
official template for condominium sale and purchase<br />
agreements, issued by the Ministry of Interior, sets forth<br />
a minimum defects liability period of two years for nonstructural<br />
defects and five years for structural defects.<br />
These minimum requirements are compulsory and<br />
cannot be abrogated by agreement. Consequently,<br />
shorter defects liability periods would not be honored<br />
by a court and replaced by the minimum periods. The<br />
standard agreement further sets forth an obligation<br />
of the seller to remedy defects within a time period<br />
of 30 days. Please note that the aforementioned only<br />
applies for new freehold condominium units, not for<br />
resale transactions or apartment buildings without<br />
a condominium license or for leasehold interest in<br />
condominium units.<br />

PROPERTY OWNERSHIP<br />
IN THAILAND<br />
Koh <strong>Samui</strong> is fast receiving recognition as a high-end luxury tourist<br />
destination, and second home for well-to-do investors and retirees.<br />
From beachfront villas, to panoramic hillside apartments, the real estate<br />
options available in <strong>Samui</strong> rival the world’s top destinations. However,<br />
foreign persons looking to acquire long term interests in real estate within<br />
Koh <strong>Samui</strong> should be aware that the land laws in Thailand are distinct<br />
from those in some other jurisdictions. Most strikingly, subject to certain<br />
exceptions, in Thailand, foreigners are prohibited from acquiring freehold<br />
interest in land.<br />
This article explores the legal structures available to foreigners wishing to<br />
invest in real estate within Thailand.<br />
LEASEHOLD<br />
Foreigners are entitled to acquire a maximum 30 year lease over land. That<br />
lease is registered in the relevant land office thereby securing the lessee’s<br />
interest in the land. While it is possible for the lessee to obtain options to<br />
renew the lease for subsequent 30 year terms, those renewal options may<br />
not be registered in the land office. As a consequence, the lessee only has<br />
a contractual right to renew the options, which may be difficult to enforce<br />
after the expiry of the first 30 year term, particularly if the lessor sells its<br />
interest in the land or passes away.<br />
Given that a lease provides little security beyond the initial 30 year term, on<br />
its own, it is generally the least advantageous option available to foreign<br />
investors. Nonetheless, as explained below, the acquisition of a registered<br />
lease is an important component of the ideal legal structure available to<br />
foreign investors.<br />
OWNERSHIP OF BUILDINGS<br />
Foreign investors should be aware that Thai law does permit foreign<br />
persons to acquire ownership of buildings situated on land, which may<br />
indeed provide greater security to the investor. However, it is important to<br />
ensure that the paperwork exhibiting ownership of any buildings is in order<br />
to avoid complications upon re-sale.<br />
SHARE OWNERSHIP<br />
According to Thai law, a limited Thai company is permitted to acquire<br />
ownership of land, and a foreign person is permitted to acquire a minority<br />
interest in a limited Thai company. A limited Thai company must have at
least 3 shareholders, the majority of which must be Thai individuals or entities (i.e., if there are 3 shareholders, 2<br />
shareholders must be Thai; and if there are 4 shareholders, 3 must be Thai). In addition, those Thai shareholders<br />
must collectively own 51% of the shares, although land office practices generally favour a 61% Thai holding.<br />
It is extremely important to note that Thai law requires that the Thai shareholders be genuine investors and not<br />
merely “nominee” or “sham” shareholders, as the use of such nominee schemes are illegal in Thailand.<br />
PROTECTED LEASEHOLD STRUCTURE<br />
A number of savvy investors in Koh <strong>Samui</strong> have elected to employ a so-called protected leasehold structure.<br />
Using this structure, a limited Thai company acquires ownership of land (see above). Furthermore, the foreign<br />
investor sets up an offshore company, which in addition to acquiring a 30 year lease over the land (along with the<br />
contractual rights of renewal described above), acquires 39% of the shares in the Thai land holding company, and<br />
may or may not acquire ownership of any structure located on the land. In addition, the Thai land holding company<br />
is set up with special Articles of Association, which provide certain “veto” rights to the minority shareholder (i.e.,<br />
the offshore company), which will prevent the majority Thai shareholders from prejudging the foreign investment,<br />
and in some instances may secure the contractual lease renewals.<br />
CONDOMINIUM UNITS<br />
As an exception to the general rule, foreigners are permitted to acquire title tantamount to freehold ownership<br />
of a registered condominium unit. In accordance with the Condominium Act BE (2522) (1979) (as amended),<br />
foreign investors are permitted to own up to 49% of the private living space of a registered condominium building.<br />
The remaining 51% of the private living space of a condominium building must be owned by Thai individuals or<br />
qualifying Thai companies. The take up of condominium units by Thai persons in resort areas such as Koh <strong>Samui</strong><br />
is usually much less than in urban areas such as Bangkok, and consequently, in order to comply with the Thai<br />
ownership quota, the majority of “Thai-owned” units are often leased to foreigners.<br />

A contract involving a real estate transaction usually includes a provision<br />
for fees and taxes. Very often the burden of payment of such fees and<br />
taxes is contractually shifted to the purchaser.<br />
It is already common knowledge that the Condominium Act No. 4 B.E.<br />
2551 (“CA”), specifically restricts the freedom of contract in this regard<br />
and regulates which party is subject to the payment of the specific<br />
business tax (“SBT”) when it comes to the transfer of a condominium from<br />
a developer to a purchaser. The restriction for condominium developers<br />
requesting payment of the SBT from the purchaser through a clause in the<br />
condominium sale and purchase agreement is well documented in the CA.<br />
Interestingly, certain regulations applicable prior to the CA seem to be well<br />
forgotten by condominium developers in Thailand. Therefore, contracts<br />
entered into prior to the enactment of the CA also frequently include<br />
clauses that shift the burden of the SBT payment to the purchaser.<br />
Developers are insisting on such payment in accordance with such an<br />
agreement by arguing that the CA which outlaws such a provision was<br />
not applicable on the date of execution of the agreement. Many buyers<br />
are unaware that such clauses have been unenforceable even prior to the<br />
enactment of the CA.<br />
Sections 35bis, 35ter and 35quarter of the Consumer Protection Act in<br />
conjunction with the corresponding Announcements for Condominium<br />
Business stated well before the applicability of the CA that the SBT is<br />
payable solely by the developer. Such regulations specifically overrule any<br />
contract term entered into by the developer and the purchaser relating to<br />
the SBT liability of the purchaser.<br />
Since the SBT at its current rate of 3.3 percent of the purchase price is a<br />
significant cost to the developer, it is not uncommon that the developer<br />
refuses to accept the applicability of the Consumer Protection Act<br />
and is unwilling to transfer the condominium to the purchaser without<br />
receiving the SBT amount first. In such an event will the purchaser need<br />
to enforce the contract and the law. However, the settlement of the issue<br />
of SBT liability or the settlement of other contractual issues between the<br />
parties through the local courts can be agonisingly slow. It is therefore<br />
important to understand that the parties have the option to settle their<br />
dispute fast and efficient through the mechanism of “alternative dispute<br />
resolution”. The “alternative” means “other than going to court”. One<br />
such longstanding alternative gaining evermore international recognition,<br />
is arbitration. Arbitration is the most commonly used formal alternative to<br />
domestic court proceedings, especially for disputes between parties in<br />
different countries. From a legal perspective Thailand was a relative “late<br />
comer” to the arbitration scene, enacting its first law governing arbitration<br />
in 1987. Then in 2002 Thailand enacted the current Arbitration Act which
eplaced the 1987 law. The Arbitration Act governs not only domestic, but also any international arbitrations<br />
conducted in Thailand.<br />
In order to submit a dispute to arbitration, it is required that both parties agree to it. Section 11 of the Arbitration<br />
Act defines such an arbitration agreement as “an agreement by the parties to submit to arbitration all or certain<br />
disputes which have arisen or which may arise between them in respect of a defined legal relationship, whether<br />
contractual or not. An arbitration agreement might be in the form of an arbitration clause in a contract or in<br />
the form or a separate agreement.” The arbitration agreement needs to be in writing and signed by both parties.<br />
Thus, it is not possible for one party to unilaterally and without the approval of the other party to submit a dispute<br />
to arbitration. If the parties failed to include an arbitration clause to an agreement and a dispute arises, the dispute<br />
must be settled by the local courts as long as both parties do not agree to arbitration proceedings. Therefore, it is<br />
advisable to include a well drafted arbitration clause in an agreement, preferably in the initial contract document,<br />
before any dispute that requires a third party adjudicator arises. In our experience, once such a dispute arises,<br />
getting the parties to agree on anything, including how to resolve the dispute can be very difficult, if not impossible.<br />
But if you are going to use the arbitration alternative then its is highly advisable to select and include in your<br />
arbitration agreement a professional arbitration institute that can provide the procedural and administrative<br />
support requisite for the conduct of proper arbitration proceeding. Internationally, perhaps the most commonly<br />
known such institute is the International Chamber of Commerce’s International Court of Arbitration (the “ICC”)<br />
which is headquartered Paris, France but which conducts arbitrations worldwide. Founded in 1923, the ICC<br />
established its own rules of arbitration that govern the proceedings between the parties themselves and between<br />
the parties and the ICC. These rules of arbitration are “universal” and govern all ICC proceedings worldwide.<br />
Locally, Thailand established its own “Thai Arbitration Institute of the Alternative Dispute Resolution Office, Office of<br />
the Judiciary” (the “TAI”) to provide arbitration services within Thailand. The TAI also has its own rules that govern<br />
its arbitration proceedings. Finally, the Board of Trade of Thailand also offers arbitration services which are provided<br />
by its “Thai Commercial Arbitration Institute” and which are conducted under its own rules.<br />
The parties to an arbitration agreement are free to choose what rules should govern the arbitration proceedings by<br />
choosing one of the aforementioned service providers. It should be noted that the choice of the service provider<br />
not only has an impact on the fees charged for the arbitration service, but could also have an impact on the<br />
recourse a winning party has to claim for compensation for legal fees incurred during the arbitration proceedings<br />
Arbitration proceeding are generally quick, in fact the ICC rules generally require a decision and an award within<br />
8 months of the arbitrator’s appointment. In the case of the TAI it is within 6 months of such appointment.<br />
Arbitration proceedings can be conducted in any language the parties choose. In general, the parties get to<br />
chose the arbitrator, thus they control their competence and may even select someone with particular expertise<br />
and experience relevant to the dispute at hand. And an award issued by any of the above mentioned arbitration<br />
institutes is enforceable in any country that is the signatory to the 1958 U.N. Convention on the recognition and<br />
Enforcement of Foreign Arbitral Awards (“New York Convention”). Thailand is a signatory to the New York<br />
Convention and an arbitration award made here will be enforceable outside of Thailand in any other signatory<br />
country (currently 145 countries worldwide). And pursuant to the Arbitration Act any such award will also be<br />
enforceable inside of Thailand.<br />
Accordingly, formal arbitration can be an outstanding alternative to Thai court proceedings in enforcing your<br />
contractual rights, whether it relates to the unlawful contractual obligation to pay SBT or any other contractual<br />
dispute.<br />

Villa rental is fast becoming the preferred holiday accommodation<br />
option for a vast majority of vacationers to Koh <strong>Samui</strong> and<br />
Koh <strong>Phangan</strong>.<br />
Renting a villa as a family or group of friends can<br />
prove far more economical in the long run than hotel<br />

in the world of international property?<br />
For the buyer, fractional ownership offers owners<br />
access to high-end properties at a low price point,<br />
while providing for a level of flexibility and convenience<br />
that is simply not possible via sole ownership. For the<br />
developer, fractional ownership allows access to a far<br />
greater number of potential buyers while allowing for<br />
increased overall revenue.<br />
2.Is it suitable for use with investment property?<br />
In relation to hotels, resorts, and high-end residential<br />
real estate, fractional ownership can be a strong fit.<br />
However, investment property in terms of commercial<br />
space is unproven.<br />
3.How much of a premium should you expect to<br />
pay compared with the same property sold as a<br />
conventional 100% ownership?<br />
It is fair to pay a premium of anywhere from 1.4 to 2.7<br />
times. However, the premium can fluctuate greatly<br />
depending on many factors including the quality of<br />
use plans, amenities, location, and overall desirability<br />
of the project.<br />
4.How should management charges be<br />
controlled?<br />
Management charges should be 100% transparent<br />
PERIOD. An annual report with all costs should be<br />
provided to owners. Where the amount paid has<br />
surpassed the actual cost, the difference should be
efunded to the owner or applied to the following<br />
year’s charges.<br />
5.Who is buying? Which nationalities? Which<br />
type of people?<br />
As a resort in Koh <strong>Samui</strong>, Thailand we see interest<br />
from Australians, New Zealanders, Europeans, and<br />
North Americans. Convincing Asian nationalities of the<br />
benefits and opportunities of fractional ownership has<br />
been more challenging. Most of the buyers at Beach<br />

CLEAN THE GREEN WAY<br />
eco friendly products for the home<br />
Instead of using harmful chemicals to clean around<br />
your home, there are some easy to make and effective<br />
home recipes for cleaning products that are a safer<br />
alternative to using shop-bought chemical based<br />
products. The use of environmentally friendly cleaning<br />
products can:<br />
• Decrease exposure to ingredients that may be<br />
harmful to your health<br />
• Provide your home environment with cleaner air<br />
• Save money if you make your own cleaning<br />
products<br />
• Reduce use of non-renewable resources<br />
Here are a few recipes for happy home cleaning...<br />
GENERAL HOUSEHOLD<br />
ALL PURPOSE LIqUID CLEANER<br />
• 1 tablespoon baking soda<br />
• 2 tablespoons liquid soap<br />
• 1 gallon hot water<br />
• 1 tablespoon of washing soda<br />
• 1 tablespoon of borax<br />
Add baking soda and liquid soap to hot water. Add<br />
washing soda to remove heavy grease, or borax to<br />
disinfect or kill mildew.<br />

WINDOW CLEANER<br />
• 2 teaspoons of white vinegar<br />
• 1 litre warm water<br />
Mix 2 teaspoons of white vinegar with the warm water.<br />
Use crumpled newspaper or cotton cloth to clean.<br />
Only use the black and white newspapers, not the<br />
coloured ones. Don't clean windows if the sun is on<br />
them, or if they are warm, or streaks will show on<br />
drying. Be sure to follow the recipe, because using<br />
too strong a solution of vinegar will etch the glass and<br />
eventually cloud it.<br />
FLOOR CLEANER & POLISH<br />
VINYL AND LINOLEUM: mix 1 cup vinegar and a few<br />
drops of baby oil in 4 litres warm water. Use sparingly<br />
on lineoleum.<br />
WOOD: apply a thin coat of 1:1 vegetable oil and<br />
vinegar and rub in well. painted wood: mix 1 teaspoon<br />
washing soda into 4 litres hot water. brick and stone<br />
tiles: mix 1 cup white vinegar in 4 litres water; rinse<br />
with clear water.<br />
Most floor surfaces can be easily cleaned using a<br />
solution of vinegar and water. For damp-mopping<br />
wood floors: mix equal amounts of white distilled<br />
vinegar and water. Add 15 drops of pure peppermint<br />
oil; shake to mix.
BATHROOM<br />
GROUT CLEANER<br />
• 3 cups baking soda<br />
• 1 cup warm water<br />
Mix baking soda with warm water into a paste. Scrub<br />
into grout with a toothbrush or sponge and rinse.<br />
For stubborn stains, leave paste on grout for an hour<br />
before rinsing.<br />
GARDEN<br />
WEED CONTROL<br />
Purchase higher concentrate vinegar (10 percent, as<br />
opposed to the 5 percent concentration of household<br />
vinegar) from a hardware store. Spray undiluted<br />
vinegar directly on weeds and in cracks in sidewalks<br />
and driveways to kill weeds.<br />
KITCHEN<br />
ALL-PURPOSE SANITIzER<br />
Fill a spray bottle with equal parts water and white<br />
vinegar to sanitize surfaces and remove food odors.<br />
Use distilled water if you plan to reuse the spray at a<br />
later time, as tap water mixed with vinegar will smell<br />
over time.<br />
OVEN CLEANER<br />
• ¼ cup water<br />
• ¾ cup baking soda<br />
• ¼ cup salt<br />
Moisten oven surfaces with sponge and water. Use<br />
3/4cup baking soda, 1/4cup salt and 1/4cup water<br />
to make a thick paste, and spread throughout oven<br />
interior. (avoid bare metal and any openings) Let sit<br />
overnight. Remove with spatula and wipe clean. Rub<br />
gently with fine steel wool for tough spots.<br />
HOME FURNISHINGS<br />
CARPET<br />
• 1 Baking soda (or cornstarch)<br />
• Crushed Lavender Flowers<br />
• To eliminate odours, sprinkle baking soda over<br />
carpet, let stand for 30 minutes, then vacuum. (Add<br />
lavender flowers for scent.)<br />
WATER RINGS ON WOOD<br />
Water rings on a wooden table or counter are the result<br />
of moisture that is trapped under the topcoat, but not<br />
the finish. Try applying toothpaste or mayonnaise to a<br />
damp cloth and rub into the ring. Be careful not to run<br />
too vigorously so as not to mar the finish. Once the ring<br />
is removed, buff the entire wood surface.<br />

Koi fish are known to stand for good fortune and good<br />
luck. There was an old fable that stated a Koi fish could<br />
try to climb up the falls at a specific point on a river<br />
to become a dragon. The Koi symbolizes a person’s<br />
ability to aspire to be a better, more advanced part<br />
of the universe....so why not aspire to build your own<br />
pond and increase your chances of a better life and you<br />
and your family can have fun doing it!<br />
THE BASICS<br />
You will want to make sure that you make a larger<br />
pond if you are intending it to be used for Koi, they<br />
grow quite large and take up a good amount of room.<br />
Your Koi pond should be at least 1000 gallons. You will<br />
also want your Koi pond to be about 4 to 5 feet deep.<br />
LOCATION<br />
Make sure to choose a good location for your Koi<br />
pond. Most people choose to have the pond be within<br />
close proximity to the house, that way it can be enjoyed<br />
more often. Make sure that you can keep an eye on<br />
your pond from where it is located. Other animals will<br />
be attracted to your pond and this can be very harmful,<br />
if not fatal for your Koi. You will also want to not place<br />

CREATE YOUR OWN<br />
KOI HEAVEN<br />
your Koi pond near any trees or bushes, this will help<br />
keep the pond clean and you won't have to spend time<br />
removing the leaves and debris from the Koi pond.<br />
Although it is perfectly fine to place your pond in a<br />
shady spot for mainly Koi, if you want to grow plants,<br />
such as water lilies, then consider putting it in a place<br />
that will get sun.<br />
DIGGING IN<br />
Now you will need a rope to determine the size of your<br />
Koi pond. Lay the rope out and mark the areas that you<br />
want your Koi pond to cover. After you have decided<br />
on your shape, measure your width and length. Next,<br />
add the depth twice to those measurements, then<br />
add an extra foot and a half for overlap and this will<br />
determine your pond liner dimensions. You will dig out<br />
the shape that you have laid out.<br />
Dig a step around the edge of your Koi pond, one foot<br />
deep and one foot wide.<br />
Dig from that point on, creating a slope to the end<br />
which will be deeper; this will be where your waterfall<br />
will be, if you are to have one.
Place your pond filter in position and then level the<br />
filter into that location. A hole should be dug out for<br />
your plumbing to your pond filter and waterfall. You<br />
can put shrubbery around this area after you are done<br />
for decoration.<br />
LINING<br />
Go ahead and place your pond underlay in your Koi<br />
pond hole. Cut around it, you can cut this with scissors,<br />
or another cutter of your choice. Now lay your rubber<br />
pond liner into the hole, on top of the underlay and<br />
simply unfold it into place. Make sure the liner is laid<br />
out evenly into the pond. Try to work out any wrinkles,<br />
although some will remain. The small amount of<br />
remaining wrinkles will work themselves out as you add<br />
the water into the Koi pond.<br />
Begin putting your stone around the edge of your Koi<br />
pond folding your pond liner up behind the stone to just<br />
above water level. You should have purchased stone to<br />
be large enough to be stable without needing mortar. If<br />
you purchased smaller stone, or expect to be walking<br />
in that area, then you will want to mortar the stone into<br />
place for stability. Wedge soil in place to hold the liner<br />
in place against the stone.<br />
FILLING<br />
Now you can begin filling your Koi pond with water.<br />
Stop filling the pond when the water has reached a<br />
few inches from the top. If you need to adjust your<br />
Koi pond to make sure it is level or work out any large<br />
wrinkles, do this now.<br />
It is a good idea at this point to add some dechlorinator<br />
to your Koi pond to remove chlorine. This<br />
is also the best time to add your plants to your Koi<br />
pond and to also add some packaged bacteria to<br />
your Koi pond to seed your filter and pond. Any good<br />
fish or pet store should be able to advise you on the<br />
best chemicals to use to aid the environment you have<br />
created for your Koi.<br />
HOT TIP - Add your Koi over several weeks, adding<br />
just a few at a time; this will help to establish the proper<br />
bacteria in your Koi pond.<br />
You are now ready to sit back and enjoy the fruits<br />
of your labour. There's nothing more satisfying then<br />
enjoying a relaxing afternoon by your new Koi pond<br />
that you built yourself....and maybe a little bit of magic!<br />

LAND TITLE DEEDS IN THAILAND<br />
There are two main types of land ownership in Thailand which we should explain<br />
RIGHTS OF POSSESSION<br />
Firstly there is the right of possession, for example, land that has been used by a family for generations to the<br />
benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles<br />
are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally<br />
only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed<br />
on the land. I do know of cases where families being in possession of certain pieces of land for generations have<br />
been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor<br />
would not normally give any credibility to these titles of possession.<br />
RIGHTS OF OWNERSHIP<br />
Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three<br />
title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor<br />
3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots<br />
and planning permission and any such legal acts can be carried out immediately on the land.The only difference<br />
with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed<br />
which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must<br />
be published for at least 30 days.<br />
As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this<br />
field, as there are also many other issues that are important to consider such as servitude, access and rights<br />
of way.<br />

Land in Thailand is measured in Rai, Ngan and Talang Wah.<br />

TIPS FOR STARTING A NEW BUSINESS<br />
Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information<br />
will help put your business on the right track.<br />
The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company.<br />
In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business<br />
purpose and is formed with a Capital divided into equal shares.<br />
GETTING STARTED<br />
To set up a company, you must first have the memorandum that can be acquired at the registration office. To<br />
properly register, you are required to provide the authorities with details of your company and list a minimum<br />
of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first<br />
approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your<br />
business and set up the company’s operational rules.<br />
Having agreed on the purpose of your business, you can then apply for business registration at the same<br />
department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial<br />
Code’s partnership and companies section.<br />
SHARES<br />
Besides the issues of business registration, you must also make sure that your company’s shares are worth no<br />
less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this<br />
matter.<br />
Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder.<br />
Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that<br />
confirms the deal between the transferor and transferee.<br />
The company also has to have in its possession a register of shareholders that contains a record of all the<br />
company’s shareholders. The book is evidence that will identify the company’s shareholders.<br />
SHAREHOLDERS AND CHAIRPERSON<br />
A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares<br />
held by foreign national plays a significant role in determining the nationality of your company, which may impose<br />
serious limitations on the company’s rights, such as landownership.<br />
If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.<br />

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company.<br />
The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and<br />
own properties or other businesses. It is therefore important, especially for those in real estate and development<br />
businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess<br />
and obtain land and property in this country without an exemption granted by the government.<br />
Foreign companies are also restricted to certain activities and to proceed with certain operations the company<br />
will have to apply for permission from the government. In such instances, applications will be considered case<br />
by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their<br />
business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand.<br />
If you are registered as a Thai company, you are automatically granted the right to purchase and own properties<br />
and other business and will be treated the same way as a Thai citizen. However, according to new legislation that<br />
has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai<br />
shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand<br />
have to declare their income and provide the authorities with evidence that proves their ability to co-invest with<br />
other foreign shareholders in the same company. Only those successful in convincing the authorities are granted<br />
the right to purchase and possess land. Companies with approval from the Land Department can then proceed<br />
with their applications for land title deeds or other certificates of use and possession.<br />
LITTLE THINGS THAT MATTER<br />
A company limited has to have its own board of directors to act on behalf of the company. This panel will,<br />
however, act under the regulations and agreements approved by the shareholders. Appointing directors or<br />
removing any of them requires shareholders approval.<br />
At the end of the company’s financial year, within five months, it shall be the duty of the company to present the<br />
balance sheet to the Department of Business Development (DBD). If your company fails to present the balance<br />
sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up<br />
to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a<br />
lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the<br />
company may face, should they not provide the authorities with the necessary statement.<br />

BUILDING REGULATIONS ON KOH SAMUI<br />
In order to build on Koh <strong>Samui</strong> you must first obtain a building permit from the municipality office<br />
and your building must meet certain requirements, depending on the location of the land on which<br />
you wish to build.<br />
There are 4 defined areas for land depending on its distance from the beach.<br />
(See diagram on opposite page)<br />
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted<br />
within this area.<br />
STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a<br />
single storey building only It’s height cannot exceed 6 Meters (including the roof) and the<br />
building cannot exceed the maximum allowed area of 75 Square Meters.<br />
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to<br />
a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000<br />
Square Meters.<br />
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to<br />
12 Meters in height (including the roof) can be constructed.<br />
In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.<br />
