We start this year with a focus on living with tips and
tricks on how to create the perfect living spaces and
or owning full stop – with some hot properties and
get better from here – we wish you all the best this
year and let's all cross our fingers it's a prosperous
YOUR LIVING
ROOM
The living room is the space where guests are
entertained and where one makes the first impression.
In many houses, it is also a kind of Family room,
where the family sits together to watch TV or have
discussions and hang out and is probably the most
used room in many people's houses.
Before building your living space there are many things
to consider including technical issues, but don't forget
the most important thing is how you live as a family or
a group and how to best use the space to suit your
needs.
Below are some great architectural tips to help you
get started...
WHAT ARE THE PLANNING CONSIDERA-
TIONS FOR A LIVING ROOM?
• Number of persons to be seated or entertained.
• Seating arrangement.
• Size of furniture.
• Space allowance for furniture.
• Space around the furniture for passage and
accessing.
• Traffic passage between main door and doors
leading to other rooms.
WHAT ARE THE TYPICAL PIECES OF FURNI-
TURE IN A LIVING ROOM?
A living room has furniture for seating, conversation
and viewing TV. Generally in most houses there will be
the main, primary conversation group and a smaller,
secondary conversation group. The typical pieces
of furniture and the sizes in a living room are below
however furniture sizes may vary slightly.
• Sofas – Two Seater Sofas- 4'6" x 2'6", Three Seater
Sofas -7'0" x 3'0" or 6'6" x 2'6" and Single Seater
Sofa – 2'6" x 2'6" or 2'3"x2'3"
• Armchairs – 2'0" x 2'4", 2'3" x 2'4" etc
• Sofa-cum-bed or Divan – 2'6" x 7'0"
• Centre Table - Rectangular- 2'0" x 1'3", 3'0" x
2'0" etc
• Circular- 3'0" dia., 2'6" dia.
• Side Table - Square- 1'8"x1'8", 1'6" x 1'6" Circular-
2'0" dia, 1'8" dia.
• Lamps - various
• Show Case or TV/Music Unit – 4'0" to 5'0" in length
and around 1'6" wide.
• Bookcase - various
• Card Table – 3'0" x 3'0"
20 samui phangan real estate
WHAT ARE THE SPECIFIC SPACE ALLOW-
ANCES IN A LIVING ROOM?
When designing, adequate floor space should be
provided for the furniture groupings so as to allow
for easy movement around the furniture and allow
comfortable conversation. There is nothing worse
than having to navigate your way through furniture and
hurting yourself on corners! Planners have established
the minimum distances for comfortable movement
as well as the maximum distance for comfortable
conversations. They are listed below:
• A minimum of 5'0" between opposite sofas and
a maximum of 6'0" for comfortable conversation.
• A minimum space of 2'0" for circulation between
tall furniture.
• At least 1'6" for circulation between low furniture.
• A minimum of 3'0" behind an occupied chair, to
permit a person to pass by.
• At least 5'0" distance between the TV and the
seating for comfortable viewing.
• Seating arranged around a 10'0" diameter circle
makes a comfortable grouping for conversation.
WHAT ARE THE IDEAL POSITIONS OF DOORS
AND WINDOWS IN A LIVING ROOM?
• Door openings in a Living room should be located
so as to give enough wall space for the furniture
arrangements.
• It is preferable to have the main entrance door
directly opposite the door leading to the other
rooms, as the main traffic lane can be short and
space is not wasted for movement.
• It is even better if the main door and the door leading
to the other rooms are close to each other in one
corner of the living room, as the rest of the room can
be used for the furniture and space for movement is
reduced considerably.
• Windows should be located so that a seating
arrangement can face the window, since looking
out while having a conversation is quite interesting.
• There should be convenient access to the windows
to enable easy opening and drawing of curtains.
Also furniture should not block the windows.
• The TV position should be fixed such that it is not
opposite a window, as the TV screen will reflect the
light from the window.

LIVING ROOM
DÉCOR IDEAS
Your living room is a statement piece as it is normally
the central area where family, friends and guests
gather. A few simple living room updates can make the
world of difference, giving you a big design impact for
very little effort or cost. Follow these great decorating
ideas for transforming your living room from so-so to
absolutely stunning!
STYLE WITH PURPOSE
Create a stylish bookshelf by choosing items that work
together and create balance. Pick two or three colours,
and then space the hues throughout the shelves
evenly, but not symmetrically. Add stacks of books
to stagger the height of your accessories throughout
the shelf.
HANGING LIGHTS
Instead of traditional table or floor lamps, hang a
pendant light above your side tables for an updated
look.
MIx AND MATCH
Inject playfulness into your living room with pillows. The
key to combining a variety of fabrics is finding prints in
similar colours.
STYLISH DIVISION
If your home's entryway opens into your living room,
define the spaces with a sleek room divider. You can
try adding a glass panel to separate the entry from the
living room, creating a sense of division, while keeping
the space's open and airy feeling.
samui phangan real estate 27

OVERSIzED ARTWORK
Hang a large piece of artwork. Not only does it create a
focal point for the room, but it's also a quick and easy
fix for filling an empty wall.
CUSTOMISE FURNISHINGS
Dress up upholstered furniture with nail head trim. Even
spacing between the nail heads is essential to creating
a professional-looking piece, but try different spacing
widths to add visual interest.
CREATE A GALLERY
Gather an assortment of prints and photos to create
a gallery wall, the perfect focal point for a living room.
Arrange the pieces asymmetrically to add interest and
give more personality to the room.
28 samui phangan real estate
RECOVER A CHAIR
Update a classic chair with contemporary fabric and
use a confident mix of vintage pieces with modern
textiles to define a living room
WALLS WITH TExTURE
Add texture and interest to your walls with contemporary
wallpaper or brightly coloured cloth.
ARCHITECTURAL DETAILS
A detailed ceiling can complete the look of any room.
Wood beams with exposed knots and grain can create
texture and add warmth.

The last two issues we have shown you how to build
the basis of your sala. This issue we complete the sala.
The sala roof can be done in several ways, but here is
a technique that requires a small amount of materials
and that will make the sala durable. The first step of
the process is to install the top plates over the 4×4
wooden posts.
Use 4×4 beams and install them in a professional
manner. Consider asking a friend to hold the beams
into place, while you drive in the screws.
HOW TO BUILD SALA TOP PLATE
In this image, you should notice the proper technique
to join the top plates. Therefore, you have to cut their
ends in an L-shape and join them together on top of
the posts. After you join the top plates, you have to drill
pilot holes and drive in several 6” screws.
HOW TO BUILD SALA ROOF
Afterwards, install 2×4 rafters, to build the main frame
of the roof. The procedure is straightforward, if you use
the right techniques and tools. First, cut a 6×6 king
post (4” high) and secure it into place by installing two
opposite rafters, with 4” screws (toenail the rafters to
the king post).
38 samui phangan real estate
BUILD YOUR OWN SALA
THE LAST INSTALMENT
Next, install the rest of the 2×4 intermediate rafters, as
in the image. Work with great care and make sure the
intermediate rafters are placed symmetrically. Secure
them to the top plates and to the king post with several
4” screws, as in the image.
The roofing of your sala can be done in several ways:
on one hand you can install 2×4 wooden boards,
while on the other hand you can use large sheets of
plywood and roofing paper. Irrespective of your choice,
we recommend you to secure the wooden boards or
the plywood sheets with appropriate screws, every 10”
along the rafters.
HOW TO BUILD A SALA ROOF PLANS
After you have installed the wooden boards or the
plywood sheets, you have to cover the surface with

oofing paper. Next, you should install asphalt shingles,
wooden shingles or metal sheets.
From our experience, we can say that the costs are
similar, therefore you have to choose the option that
suits your needs and tastes. Work with great care and
make sure the nails don’t go through the roofing (use
1/2” roofing nails).
HOW TO BUILD SALA RAILINGS
Building the balusters of the sala is an essential task of
your project, therefore you have to tackle it with great
care and attention. There are many design options to
choose from, therefore you should choose the one that
fits your tastes.
In our example, we have used 2×2 balusters, placed
every 3”. The balusters should be 28-32” high, but you
can adjust them according to your needs.
In order to build the balusters, you have to use proper
techniques. The bottom and top railings should be
secured with screws driven at angle, or locked with
corner brackets.
HOW TO BUILD SALA FRIEzE
Use 2×4 boards to build the bottom and head rail of
the frieze and 2×2 molding to build the balusters. In
addition, make sure everything fits into place properly
and has a neat look. In order to secure the balusters
into place, drive nails through the bottom and top rail
in the balusters.
Fill the cracks and holes with wood putty and leave it
to harden. Sand the wooden surfaces of the square
sala with medium-grit sandpaper and protect the
construction against water damage, by applying
several coats of varnish.
Building the perfect sala is a subjective matter,
therefore we recommend you to choose its design
and size from the very beginning, according to your
needs and tastes.
LIABILITY FOR CONSTRUCTION
DEFECTS IN THAILAND
46 samui phangan real estate

In real estate acquisitions, in particular when it
comes to new buildings, an important part of the
process is managing issues related to construction
defects. Such defects may range from small snags
to major problems. From the legal point of view, the
responsibility for the rectification of the defects stands
in the foreground.
The defects warranty by the contractor (in the case
of a construction agreement) or seller (in the case of
a house sale and purchase agreement) includes an
obligation to provide the building in a condition that
was agreed upon in the contract between the parties,
including exhibits such as copies of construction
drawings, bill of quantities, etc. The warranty applies
for a certain period of time, the defects liability period,
which starts with the acceptance and handover of
the building.
1. DELIVERY AND ACCEPTANCE OF CON-
STRUCTION WORKS
If defects of a new building are discovered at an early
stage, before or upon delivery of the works, there are
generally two options for the employer of construction
works:
The construction works are rejected and not accepted
as complete, due to major defects and/or works that
are not according to the contractual specifications.
The construction works are accepted as complete,
however a list of minor defects is submitted to the
developer for rectification and repair. In this case,
these defects would be considered notified and the
defects liability period would stop running, i.e. the
liability period would not be an issue any more for
the employer with regards to these defects. It should
be noted that the use of a house by the employer
in principle can constitute an implied acceptance.
An implied acceptance however requires that the
purchaser’s actions create the impression that he really
wants to accept the construction works as defect free.
2. DEFECTS NOTICE
If a defect is discovered after delivery and acceptance
of the works, the developer, or seller respectively,
should be notified immediately. Usually, the contract
will set forth formal requirements of the notice which
need to be observed, in many cases a specific and
detailed procedure is stipulated in the contract. If the
contract does not address this issue, the applicable
Thai laws then need to be reviewed to determine the
right procedure. Accordingly, the notification should be
sent by registered mail and a reasonable time period
should be given for rectification. The defects should be
identified in a “defects list”. The defects liability period
is inhibited upon delivery of a formal notice. Therefore,
the developer will still be liable for rectification of the
defects if the notice period expires after delivery of
the notice.
3. DEFECTS LIABILITY PERIOD
Primary means to determine the duration of the liability
period for defects is again the agreement between
the parties and its specific terms and if it does not
address the issue, pertinent Thai lawsneed to be
reviewed. For construction works, the rules for the
hire of works according to Section 587 ff. of the Thai
Civil and Commercial Code (“CCC”) apply. According
to Section 601 CCC, no action against the contractor
can be entered into later than one year after the defect
appeared.
According to Section 600 CCC, the contractor is liable
for defects of a building (except wooden building)
within only five years after delivery of the work. This
is the maximum defects liability period from delivery,
also in the case of hidden defects. The terms of
Section 600 CCC only apply if the contract does not
say otherwise. Section 600 II CCC sets forth that no
limitation shall apply if the contractor has concealed
the defect. For the purchase of an existing house, as
opposed to the hire of construction works, Sections
472 ff. CCC, apply. No action for liability for defects
can be entered into later than one year after discovery
of the defect. It is however important to note that the
defect must have existed at the time of delivery. If the
duration of the liability is reduced to an unduly short
period, consumer protection laws may to be taken into
consideration as well.
4. LIABILITY PERIOD IN CASE OF PURCHASE
OF A CONDOMINIUM UNIT
For the defects liability for units of a new condominium
unit, specific rules apply. They are set forth in the
Condominium Act and its respective regulations. An
official template for condominium sale and purchase
agreements, issued by the Ministry of Interior, sets forth
a minimum defects liability period of two years for nonstructural
defects and five years for structural defects.
These minimum requirements are compulsory and
cannot be abrogated by agreement. Consequently,
shorter defects liability periods would not be honored
by a court and replaced by the minimum periods. The
standard agreement further sets forth an obligation
of the seller to remedy defects within a time period
of 30 days. Please note that the aforementioned only
applies for new freehold condominium units, not for
resale transactions or apartment buildings without
a condominium license or for leasehold interest in
condominium units.
PROPERTY OWNERSHIP
IN THAILAND
Koh Samui is fast receiving recognition as a high-end luxury tourist
destination, and second home for well-to-do investors and retirees.
From beachfront villas, to panoramic hillside apartments, the real estate
options available in Samui rival the world’s top destinations. However,
foreign persons looking to acquire long term interests in real estate within
Koh Samui should be aware that the land laws in Thailand are distinct
from those in some other jurisdictions. Most strikingly, subject to certain
exceptions, in Thailand, foreigners are prohibited from acquiring freehold
interest in land.
This article explores the legal structures available to foreigners wishing to
invest in real estate within Thailand.
LEASEHOLD
Foreigners are entitled to acquire a maximum 30 year lease over land. That
lease is registered in the relevant land office thereby securing the lessee’s
interest in the land. While it is possible for the lessee to obtain options to
renew the lease for subsequent 30 year terms, those renewal options may
not be registered in the land office. As a consequence, the lessee only has
a contractual right to renew the options, which may be difficult to enforce
after the expiry of the first 30 year term, particularly if the lessor sells its
interest in the land or passes away.
Given that a lease provides little security beyond the initial 30 year term, on
its own, it is generally the least advantageous option available to foreign
investors. Nonetheless, as explained below, the acquisition of a registered
lease is an important component of the ideal legal structure available to
foreign investors.
OWNERSHIP OF BUILDINGS
Foreign investors should be aware that Thai law does permit foreign
persons to acquire ownership of buildings situated on land, which may
indeed provide greater security to the investor. However, it is important to
ensure that the paperwork exhibiting ownership of any buildings is in order
to avoid complications upon re-sale.
SHARE OWNERSHIP
According to Thai law, a limited Thai company is permitted to acquire
ownership of land, and a foreign person is permitted to acquire a minority
interest in a limited Thai company. A limited Thai company must have at

least 3 shareholders, the majority of which must be Thai individuals or entities (i.e., if there are 3 shareholders, 2
shareholders must be Thai; and if there are 4 shareholders, 3 must be Thai). In addition, those Thai shareholders
must collectively own 51% of the shares, although land office practices generally favour a 61% Thai holding.
It is extremely important to note that Thai law requires that the Thai shareholders be genuine investors and not
merely “nominee” or “sham” shareholders, as the use of such nominee schemes are illegal in Thailand.
PROTECTED LEASEHOLD STRUCTURE
A number of savvy investors in Koh Samui have elected to employ a so-called protected leasehold structure.
Using this structure, a limited Thai company acquires ownership of land (see above). Furthermore, the foreign
investor sets up an offshore company, which in addition to acquiring a 30 year lease over the land (along with the
contractual rights of renewal described above), acquires 39% of the shares in the Thai land holding company, and
may or may not acquire ownership of any structure located on the land. In addition, the Thai land holding company
is set up with special Articles of Association, which provide certain “veto” rights to the minority shareholder (i.e.,
the offshore company), which will prevent the majority Thai shareholders from prejudging the foreign investment,
and in some instances may secure the contractual lease renewals.
CONDOMINIUM UNITS
As an exception to the general rule, foreigners are permitted to acquire title tantamount to freehold ownership
of a registered condominium unit. In accordance with the Condominium Act BE (2522) (1979) (as amended),
foreign investors are permitted to own up to 49% of the private living space of a registered condominium building.
The remaining 51% of the private living space of a condominium building must be owned by Thai individuals or
qualifying Thai companies. The take up of condominium units by Thai persons in resort areas such as Koh Samui
is usually much less than in urban areas such as Bangkok, and consequently, in order to comply with the Thai
ownership quota, the majority of “Thai-owned” units are often leased to foreigners.
This article is intended to provide a general survey of land laws in Thailand, and is in no way comprehensive. As
in any jurisdiction, one should always consult with legal counsel before entering into any significant transaction.
52 samui phangan real estate
A contract involving a real estate transaction usually includes a provision
for fees and taxes. Very often the burden of payment of such fees and
taxes is contractually shifted to the purchaser.
It is already common knowledge that the Condominium Act No. 4 B.E.
2551 (“CA”), specifically restricts the freedom of contract in this regard
and regulates which party is subject to the payment of the specific
business tax (“SBT”) when it comes to the transfer of a condominium from
a developer to a purchaser. The restriction for condominium developers
requesting payment of the SBT from the purchaser through a clause in the
condominium sale and purchase agreement is well documented in the CA.
Interestingly, certain regulations applicable prior to the CA seem to be well
forgotten by condominium developers in Thailand. Therefore, contracts
entered into prior to the enactment of the CA also frequently include
clauses that shift the burden of the SBT payment to the purchaser.
Developers are insisting on such payment in accordance with such an
agreement by arguing that the CA which outlaws such a provision was
not applicable on the date of execution of the agreement. Many buyers
are unaware that such clauses have been unenforceable even prior to the
enactment of the CA.
Sections 35bis, 35ter and 35quarter of the Consumer Protection Act in
conjunction with the corresponding Announcements for Condominium
Business stated well before the applicability of the CA that the SBT is
payable solely by the developer. Such regulations specifically overrule any
contract term entered into by the developer and the purchaser relating to
the SBT liability of the purchaser.
Since the SBT at its current rate of 3.3 percent of the purchase price is a
significant cost to the developer, it is not uncommon that the developer
refuses to accept the applicability of the Consumer Protection Act
and is unwilling to transfer the condominium to the purchaser without
receiving the SBT amount first. In such an event will the purchaser need
to enforce the contract and the law. However, the settlement of the issue
of SBT liability or the settlement of other contractual issues between the
parties through the local courts can be agonisingly slow. It is therefore
important to understand that the parties have the option to settle their
dispute fast and efficient through the mechanism of “alternative dispute
resolution”. The “alternative” means “other than going to court”. One
such longstanding alternative gaining evermore international recognition,
is arbitration. Arbitration is the most commonly used formal alternative to
domestic court proceedings, especially for disputes between parties in
different countries. From a legal perspective Thailand was a relative “late
comer” to the arbitration scene, enacting its first law governing arbitration
in 1987. Then in 2002 Thailand enacted the current Arbitration Act which

eplaced the 1987 law. The Arbitration Act governs not only domestic, but also any international arbitrations
conducted in Thailand.
In order to submit a dispute to arbitration, it is required that both parties agree to it. Section 11 of the Arbitration
Act defines such an arbitration agreement as “an agreement by the parties to submit to arbitration all or certain
disputes which have arisen or which may arise between them in respect of a defined legal relationship, whether
contractual or not. An arbitration agreement might be in the form of an arbitration clause in a contract or in
the form or a separate agreement.” The arbitration agreement needs to be in writing and signed by both parties.
Thus, it is not possible for one party to unilaterally and without the approval of the other party to submit a dispute
to arbitration. If the parties failed to include an arbitration clause to an agreement and a dispute arises, the dispute
must be settled by the local courts as long as both parties do not agree to arbitration proceedings. Therefore, it is
advisable to include a well drafted arbitration clause in an agreement, preferably in the initial contract document,
before any dispute that requires a third party adjudicator arises. In our experience, once such a dispute arises,
getting the parties to agree on anything, including how to resolve the dispute can be very difficult, if not impossible.
But if you are going to use the arbitration alternative then its is highly advisable to select and include in your
arbitration agreement a professional arbitration institute that can provide the procedural and administrative
support requisite for the conduct of proper arbitration proceeding. Internationally, perhaps the most commonly
known such institute is the International Chamber of Commerce’s International Court of Arbitration (the “ICC”)
which is headquartered Paris, France but which conducts arbitrations worldwide. Founded in 1923, the ICC
established its own rules of arbitration that govern the proceedings between the parties themselves and between
the parties and the ICC. These rules of arbitration are “universal” and govern all ICC proceedings worldwide.
Locally, Thailand established its own “Thai Arbitration Institute of the Alternative Dispute Resolution Office, Office of
the Judiciary” (the “TAI”) to provide arbitration services within Thailand. The TAI also has its own rules that govern
its arbitration proceedings. Finally, the Board of Trade of Thailand also offers arbitration services which are provided
by its “Thai Commercial Arbitration Institute” and which are conducted under its own rules.
The parties to an arbitration agreement are free to choose what rules should govern the arbitration proceedings by
choosing one of the aforementioned service providers. It should be noted that the choice of the service provider
not only has an impact on the fees charged for the arbitration service, but could also have an impact on the
recourse a winning party has to claim for compensation for legal fees incurred during the arbitration proceedings
Arbitration proceeding are generally quick, in fact the ICC rules generally require a decision and an award within
8 months of the arbitrator’s appointment. In the case of the TAI it is within 6 months of such appointment.
Arbitration proceedings can be conducted in any language the parties choose. In general, the parties get to
chose the arbitrator, thus they control their competence and may even select someone with particular expertise
and experience relevant to the dispute at hand. And an award issued by any of the above mentioned arbitration
institutes is enforceable in any country that is the signatory to the 1958 U.N. Convention on the recognition and
Enforcement of Foreign Arbitral Awards (“New York Convention”). Thailand is a signatory to the New York
Convention and an arbitration award made here will be enforceable outside of Thailand in any other signatory
country (currently 145 countries worldwide). And pursuant to the Arbitration Act any such award will also be
enforceable inside of Thailand.
Accordingly, formal arbitration can be an outstanding alternative to Thai court proceedings in enforcing your
contractual rights, whether it relates to the unlawful contractual obligation to pay SBT or any other contractual
dispute.
in refugee camps, migrant schools, hospitals and
They reach over 4,000 children each year with their
POWER UP
Following the recent electricity blackouts on and
around Koh Samui island, numerous residents and
business owners have decided to install their own
sustainable electricity generators.
With reports of more blackouts to follow and
considering that Samui is in the busy season, it is
understandable that many business and property
owners are concerned about the potential financial
losses that a new extended power interruption might
bring along.
There are various suppliers of emergency backup
systems on the island, with a range of available models
and sizes to suit varying customer requirements;
however most dealers will acknowledge that the
CUMMINS’ brand is the prestige name of sustainable
power generators and emergency backup systems
worldwide.
Adept Asia currently has a limited selection of genuine
CUMMINS’ brand generators, complete with Stamford
and relies entirely on your generous donations and
community support.
With recent fundraisers on Koh Phangan at Samui
Sanctuary as well as Koh Samui at Bandara Resort
and Spa, the tireless efforts of SPARK do not go
unnoticed. If you would like to make a donation or
join SPARK and help those in need (as well as have
an absolute ball doing so!) then see their website for
details www.sparkcircus.org or visit their facebook
page www.facebook.com/sparkcircus.
Alternators and automatic transfer switch, in stock on
the island, ready for immediate installation.
If you have a hotel, resort, restaurant, rental property
for immediate installation, so make sure to inquire as
soon as possible.
V I L L A S
Luxury Villa Siam is a small independent company
owned and run by English born Tim Keates and Helen
Dix. Established in July 2009, after Tim and Helen
refurbished one of their 3 bedroom villas.
Having built over thirty villas on the island whilst
working in the construction industry, it became obvious
to Tim and Helen that there was a huge potential to
improve their own property, with the aim of making
it more appealing to guests and therefore more
profitable, and so began Luxury Villa Siam's entrance
in to the luxury villa rental and sales arena.
Luxury Villa Siam's flagship villa and one of its first
creations - Baan Lily, is a beautifully designed and
furnished villa set within vast lush tropical gardens,
affording guests privacy alongside a private 12 x 6m
pool. Complete with a 6 seat jacuzzi, Baan Lily is the
perfect home away from home where you can relax
and unwind on a well-earned holiday.
Next to the crystal blue pool, a shaded Thai-style sala
with seating for 6 and an accompanying barbecue
makes for an ideal setting for outdoor dining and
entertaining with friends and family alike. The
surrounding koi pond adds a further air of tranquillity
and peace, completing this outdoor haven.
The villa itself is spacious and grand with high vaulted
ceilings, allowing a feeling of freedom and space. With
its large split-level open plan living areas, Baan Lily
boasts a large and comfortable sofa, a 42 inch flat
screen TV with DVD player and Satellite TV channels
as well as an i-pod dock for hours of entertainment.
The dining area flows directly from the living area with
a striking and elegant dining table for 8 and an intricate
and sizeable stone carving of Ganesha perched above
for a true Thai experience. A fully-fitted Western
style kitchen complete with marble bench tops, gas
hob, electric oven, microwave, fridge/freezer, kettle,
toaster and all the amenities are available, giving you
everything you may require during a luxury stay.
The master bedroom set to the far left of the house
and accessible from both inside and outside the villa
boasts a stunning 4 poster bed, a walk-in dressing
room, a sleek and stylish en-suite with a bath that
accommodates two people for those romantic
evenings as well as bespoke walnut furnishings
samui phangan real estate 59

throughout. The master bedroom also has it's own
large private balcony accessed via large glass double
doors, which affords views of the beautiful gardens
and pool.
The second bedroom located at the back on the far
right of the villa has a comfortable king size bed with an
adjoined well-appointed en-suite bathroom, tastefully
decorated with Thai ornaments and artwork for a
spectacular luxury vila experience.
The third bedroom, located at the front of the villa
on the far right, again has its own king size bed and
60 samui phangan real estate
double glass doors, leading out to a small patio and
views overlooking the swimming pool.
The success of Baan Lily within the first year of rentals,
allowed Tim and Helen to complete a second villa,
adding to their collection – Baan Rattana. Similar in
style to Baan Lily, Rattana boasts 3 bedrooms and 3
bathrooms with each bedroom hosting large sliding
glass doors opening on to views of its stunning
infinity-edge swimming pool. The pool itself affords
views of Koh Samui's incredible jungle and mountains,
making it truly special. Open-plan living and dining as
well as fully-fitted modern Western kitchen, easy and
comfortable design and set within large lush gardens

has seen Baan Rattana become a very popular holiday
choice with visitors to Koh Samui.
Shortly after the completion of Baan Rattana, yet
another villa was added to Luxury Villa Siam's
portfolio...... but this time the villa was designed with a
distinct Balinese edge and style!
Baan Batur was constructed with 3 separate buildings
in order to maximise outdoor spaces and living. The
3 stunning bedrooms all open directly on to the vast
wooden decking that surrounds the private 12x5m
swimming pool.
Each of Batur's bedrooms offer a high-standard of
comfort as well as walk-in wardrobes and stunning
en-suite bathrooms. Baan Batur's master bedroom
offers that something extra special with its Balinese
flavour, including a walk-in wardrobe, an en-suite with
twin vanity units and the wonderful addition of a large
jacuzzi tub for an amazing luxury experience.
True to Luxury Villa Siam's building ethos, Batur's living
areas are open plan with all the modern conveniences
of home and set within meticulously designed tropical
gardens affording guests privacy with spectacular
mountain views.
Luxury Villa Siam's villas are conveniently located
between the very popular Fisherman's Village in
Bophut and the busy heart of Samui – Chaweng,
where shopping, dining, drinking and entertainment
can be found.
Stunning palm fringed white sandy beaches offering
relaxation as well as an array of watersports coupled
with a thriving nightlife makes Koh Samui an ideal
holiday destination and Luxury Villa Siam's villas are
simply the perfect retreat for families, couples or friends
looking for the privacy, space and serenity a private villa
offers without losing access to shops, restaurants and
evening entertainment.
Luxury Villa Siam villas are all available for rent or
sale - separately or as a whole business. For more
HOW TO FIND YOUR PERFECT ISLAND RETREAT
Villa rental is fast becoming the preferred holiday accommodation
option for a vast majority of vacationers to Koh Samui and
Koh Phangan.
Renting a villa as a family or group of friends can
prove far more economical in the long run than hotel
accommodation and can afford you the luxury and
privacy you seek on a holiday without breaking the
bank.
For longer term lets, there is a multitude of options
from private owners to agent lets ranging from basic to
6 star luxury – all you need to do is spend some time
finding the right villa for your long-term living needs.
Holiday villas are generally fully furnished and include
a full western kitchen with appliances, towels and bed
linens, water and electricity and will normally include a
maid service who will come once or more a week to
change linen and tidy the villa, as well as a maintenance
person to take care of the gardens and pool if included.
66 samui phangan real estate
There are a host of other optional services on offer such
as a private chef, babysitting, pre-arrival shopping,
laundry, driver or car hire, butler, island tours, personal
training, massage and spa treatments, Thai cooking
lessons...simply do your research and ask lots of
questions when selecting your villa to see what is
available to you during your stay.
If booking your villa from outside of Thailand, it
may be wise to use one of the more established
and recognised agents to ensure you are getting
what you pay for. While it may seem cheaper to go
directly through the home-owner, agencies usually
have representatives in Samui and Phangan who
can advocate on your behalf. That can include minor
repairs or even moving you to another property if you’re
not satisfied with your original choice. That’s something
that the owner can’t help you with.

Samui Beach Village
VILLA LETTING AGENTS
Prices can vary greatly depending on the location of
the villa (closer to the beach or beach-front means you
will pay for the access and view!), the size/bedroom
numbers, the facilities, services and the standard of the
villa - with several levels of luxury available! There are
hundreds of villas available on the islands starting from
basic, mid-level, luxury and beyond – it’s truly reliant on
your budget and your requirements - either way, you
will not be stuck for choice.
Generally a deposit of 50% or more is required to
secure the villa of your choice prior to your holiday
and the remainder paid in full upon arrival, this may
vary from agent to agent. Read the rental agreement
very carefully to make sure you understand what’s
provided as well as any and all conditions, exclusions,
inclusions, costs and penalties.
When you decide on the ideal holiday villa to suit your
needs, you can relish in the fact that you will enjoy
privacy, space and of course the beautiful tropical
surrounds of Koh Samui and Koh Phangan. Happy
holidaying!
OWNING YOUR SLICE OF PARADISE
Since it first opened in 2009, Beach Republic has
made a name for itself as a world class beach
club and hotel residences. It’s sophisticated yet
completely unpretentious atmosphere, beautiful
setting, and unique style has continued to make it
a must visit destination for guests from around the
world. It’s Sunday Sessions – featuring The Ultimate
Sunday Brunch Club is a weekly affair that is a hit
with tourists and locals alike and has been featured
by both The New York Times and CNNGo.com – Fah
Thai even called it the island’s best Sunday Brunch.
Adjacent to the Beach Club is Beach Republic The
Residences, which comprises 39 private pool villas
and deluxe apartments. In addition to being available
for nightly rental, many of the rooms are for sale via
samui phangan real estate 77

Beach Republic’s exciting new fractional ownership
option. An increasing popular form of ownership
around the world, fractional ownership allows the
owner to purchase only the time that he or she wishes
to use and all maintenance and upkeep is taken care
of by the resort.
To learn more about fractional ownership at Beach
Republic and in general, Samui Phagnan Property
Magazine recently sat down with Beach Republic’s
Director of Sales Robert Pestello.
78 samui phangan real estate
1.What is the proper role of fractional ownership
in the world of international property?
For the buyer, fractional ownership offers owners
access to high-end properties at a low price point,
while providing for a level of flexibility and convenience
that is simply not possible via sole ownership. For the
developer, fractional ownership allows access to a far
greater number of potential buyers while allowing for
increased overall revenue.
2.Is it suitable for use with investment property?
In relation to hotels, resorts, and high-end residential
real estate, fractional ownership can be a strong fit.
However, investment property in terms of commercial
space is unproven.
3.How much of a premium should you expect to
pay compared with the same property sold as a
conventional 100% ownership?
It is fair to pay a premium of anywhere from 1.4 to 2.7
times. However, the premium can fluctuate greatly
depending on many factors including the quality of
use plans, amenities, location, and overall desirability
of the project.
4.How should management charges be
controlled?
Management charges should be 100% transparent
PERIOD. An annual report with all costs should be
provided to owners. Where the amount paid has
surpassed the actual cost, the difference should be

efunded to the owner or applied to the following
year’s charges.
5.Who is buying? Which nationalities? Which
type of people?
As a resort in Koh Samui, Thailand we see interest
from Australians, New Zealanders, Europeans, and
North Americans. Convincing Asian nationalities of the
benefits and opportunities of fractional ownership has
been more challenging. Most of the buyers at Beach
Republic are middle aged, middle to upper class and
buy for both use and investment.
6.Where and what type of property are they
buying?
Around the globe, developments located adjacent to
golf courses, ski resorts, and beaches are especially
popular. A unique amenity can increase sales
dramatically. For example at Beach Republic The
Residences, many owners are motivated by the fact
that they receive privileged access to the Beach
Republic Ocean Club, which has been called a mustvisit
destination by international media such as The
New York Times and CNNGo.com.
7.Why are they buying?
More and more people are realizing the tremendous
advantages of fractional ownership. This includes
gaining access to a luxurious asset at a fraction of
the normal price, 5-star resort service, worry free
maintenance and security, and hassle free living.
8.Is an exchange programme important?
While it may be important to certain buyers, in terms
of the success of a fractional development, it is not at
all necessary.
9.Why do you think you have made a success out
of fractionals?
Our fractional product offers the client stunning private
pool villas and penthouses, top of the line facilities
at Asia's hippest ocean club, strong branding, and
a highly attractive investment opportunity. Also, our
profile has been raised tremendously by our multiple
wins at the Thailand Property Awards. Furthermore,
I believe in a very straightforward and low-key sales
approach.
10.Who should fractional ownership be aimed at?
This depends entirely on the use plan, price points,
amenities, location, and investment potential.
11.What is your top tip for people wanting to
develop a fractional project?
Ensure that you are offering a top-notch product in a
high demand location with an attractive price and a low
key and straightforward sales approach.
TIME TO TAPAS
@The Cliff Bar & Grill
Opened in April of 2004, The Cliff Bar & Grill has
cemented it's place on the island as one of the musteat
destinations in Koh Samui.
Set high within the mountainous section on the ringroad
between Chaweng and Lamai, the restaurant
affords diners expansive spectacular views of Crystal
90 samui phangan real estate
Bay, a nearby beach known for it's deep crystal clear
waters and white powdery sand.
The Cliff founded itself and it's stellar success on
Mediterranean cuisine, with a strong focus on
Portuguese and Italian dishes coupled with high quality
imported meats and produce and local fresh seafood.

Chef Sergio Martelli ,The Cliff's long-standing Italianborn
Chef spent many years on Koh Samui before
becoming one of the restaurants integral ingredients.
The Cliff's signature dishes, such as the New Zealand
mussels in a creamy white wine sauce, Portuguese
Piri Piri Chicken marinated in a spicy 'piri piri' sauce
and cooked on a charcoal grill, a selection of imported
Australian steaks cooked to your liking or for those
looking for that true island experience, you simply
cannot go past the Zarzuela De Marisco – a seafood
platter with imported Live Atlantic Lobster, King
Scallops, NZ Mussels Calamari, Prawns and Fresh
Fish Served with Spanish rice, Salad or French Fries.
Joining Chef Sergio in more recent times is the young
and passionate Adrian Torres Pallomino. Originally
from Peru, Adrian has cooked all over the world from
his homeland, to New Zealand, Spain and now the
island of Koh Samui.
Adrian's addition to the kitchen saw a new path
emerge for The Cliff, with an invigorating and inspired
Tapas Menu becoming a part of the restaurants
culinary offerings. Rooted in traditional tapas styles
with the occasional modern twist, the Tapas menu
offers diners the chance to share plates and the dining
experience together.
The menu offers diners seafood, meat and vegetarian
options to suit all tastes. The Pimientos Del Piquillo
Rellenos De Atun Blanco are simply delicious –
delicately roasted piquillo peppers generously stuffed
with onions and white tuna, or the Albondigas De
Carne De Cerdo En Salsa De Tamate – pork meatballs
filled with the perfect balance of herbs and spices
smothered in a pomodoro sauce.
A vast selection of wines are available to perfectly
compliment each Tapas dish as well as those on the
main menu with The Cliff also serving an amazing list
of cocktails to satisfy even the most discerning of
drinkers.
You will find the Tapas menu available all day through
until 6pm, perfect for day-time dining in the Koh Samui
sunshine where the views at The Cliff are at their most
spectacular and you simply cannot afford to miss this
epicurean destination with the most commanding of
island views.
CLEAN THE GREEN WAY
eco friendly products for the home
Instead of using harmful chemicals to clean around
your home, there are some easy to make and effective
home recipes for cleaning products that are a safer
alternative to using shop-bought chemical based
products. The use of environmentally friendly cleaning
products can:
• Decrease exposure to ingredients that may be
harmful to your health
• Provide your home environment with cleaner air
• Save money if you make your own cleaning
products
• Reduce use of non-renewable resources
Here are a few recipes for happy home cleaning...
GENERAL HOUSEHOLD
ALL PURPOSE LIqUID CLEANER
• 1 tablespoon baking soda
• 2 tablespoons liquid soap
• 1 gallon hot water
• 1 tablespoon of washing soda
• 1 tablespoon of borax
Add baking soda and liquid soap to hot water. Add
washing soda to remove heavy grease, or borax to
disinfect or kill mildew.
94 samui phangan real estate
WINDOW CLEANER
• 2 teaspoons of white vinegar
• 1 litre warm water
Mix 2 teaspoons of white vinegar with the warm water.
Use crumpled newspaper or cotton cloth to clean.
Only use the black and white newspapers, not the
coloured ones. Don't clean windows if the sun is on
them, or if they are warm, or streaks will show on
drying. Be sure to follow the recipe, because using
too strong a solution of vinegar will etch the glass and
eventually cloud it.
FLOOR CLEANER & POLISH
VINYL AND LINOLEUM: mix 1 cup vinegar and a few
drops of baby oil in 4 litres warm water. Use sparingly
on lineoleum.
WOOD: apply a thin coat of 1:1 vegetable oil and
vinegar and rub in well. painted wood: mix 1 teaspoon
washing soda into 4 litres hot water. brick and stone
tiles: mix 1 cup white vinegar in 4 litres water; rinse
with clear water.
Most floor surfaces can be easily cleaned using a
solution of vinegar and water. For damp-mopping
wood floors: mix equal amounts of white distilled
vinegar and water. Add 15 drops of pure peppermint
oil; shake to mix.

BATHROOM
GROUT CLEANER
• 3 cups baking soda
• 1 cup warm water
Mix baking soda with warm water into a paste. Scrub
into grout with a toothbrush or sponge and rinse.
For stubborn stains, leave paste on grout for an hour
before rinsing.
GARDEN
WEED CONTROL
Purchase higher concentrate vinegar (10 percent, as
opposed to the 5 percent concentration of household
vinegar) from a hardware store. Spray undiluted
vinegar directly on weeds and in cracks in sidewalks
and driveways to kill weeds.
KITCHEN
ALL-PURPOSE SANITIzER
Fill a spray bottle with equal parts water and white
vinegar to sanitize surfaces and remove food odors.
Use distilled water if you plan to reuse the spray at a
later time, as tap water mixed with vinegar will smell
over time.
OVEN CLEANER
• ¼ cup water
• ¾ cup baking soda
• ¼ cup salt
Moisten oven surfaces with sponge and water. Use
3/4cup baking soda, 1/4cup salt and 1/4cup water
to make a thick paste, and spread throughout oven
interior. (avoid bare metal and any openings) Let sit
overnight. Remove with spatula and wipe clean. Rub
gently with fine steel wool for tough spots.
HOME FURNISHINGS
CARPET
• 1 Baking soda (or cornstarch)
• Crushed Lavender Flowers
• To eliminate odours, sprinkle baking soda over
carpet, let stand for 30 minutes, then vacuum. (Add
lavender flowers for scent.)
WATER RINGS ON WOOD
Water rings on a wooden table or counter are the result
of moisture that is trapped under the topcoat, but not
the finish. Try applying toothpaste or mayonnaise to a
damp cloth and rub into the ring. Be careful not to run
too vigorously so as not to mar the finish. Once the ring
is removed, buff the entire wood surface.
Koi fish are known to stand for good fortune and good
luck. There was an old fable that stated a Koi fish could
try to climb up the falls at a specific point on a river
to become a dragon. The Koi symbolizes a person’s
ability to aspire to be a better, more advanced part
of the universe....so why not aspire to build your own
pond and increase your chances of a better life and you
and your family can have fun doing it!
THE BASICS
You will want to make sure that you make a larger
pond if you are intending it to be used for Koi, they
grow quite large and take up a good amount of room.
Your Koi pond should be at least 1000 gallons. You will
also want your Koi pond to be about 4 to 5 feet deep.
LOCATION
Make sure to choose a good location for your Koi
pond. Most people choose to have the pond be within
close proximity to the house, that way it can be enjoyed
more often. Make sure that you can keep an eye on
your pond from where it is located. Other animals will
be attracted to your pond and this can be very harmful,
if not fatal for your Koi. You will also want to not place
98 samui phangan real estate
CREATE YOUR OWN
KOI HEAVEN
your Koi pond near any trees or bushes, this will help
keep the pond clean and you won't have to spend time
removing the leaves and debris from the Koi pond.
Although it is perfectly fine to place your pond in a
shady spot for mainly Koi, if you want to grow plants,
such as water lilies, then consider putting it in a place
that will get sun.
DIGGING IN
Now you will need a rope to determine the size of your
Koi pond. Lay the rope out and mark the areas that you
want your Koi pond to cover. After you have decided
on your shape, measure your width and length. Next,
add the depth twice to those measurements, then
add an extra foot and a half for overlap and this will
determine your pond liner dimensions. You will dig out
the shape that you have laid out.
Dig a step around the edge of your Koi pond, one foot
deep and one foot wide.
Dig from that point on, creating a slope to the end
which will be deeper; this will be where your waterfall
will be, if you are to have one.

Place your pond filter in position and then level the
filter into that location. A hole should be dug out for
your plumbing to your pond filter and waterfall. You
can put shrubbery around this area after you are done
for decoration.
LINING
Go ahead and place your pond underlay in your Koi
pond hole. Cut around it, you can cut this with scissors,
or another cutter of your choice. Now lay your rubber
pond liner into the hole, on top of the underlay and
simply unfold it into place. Make sure the liner is laid
out evenly into the pond. Try to work out any wrinkles,
although some will remain. The small amount of
remaining wrinkles will work themselves out as you add
the water into the Koi pond.
Begin putting your stone around the edge of your Koi
pond folding your pond liner up behind the stone to just
above water level. You should have purchased stone to
be large enough to be stable without needing mortar. If
you purchased smaller stone, or expect to be walking
in that area, then you will want to mortar the stone into
place for stability. Wedge soil in place to hold the liner
in place against the stone.
FILLING
Now you can begin filling your Koi pond with water.
Stop filling the pond when the water has reached a
few inches from the top. If you need to adjust your
Koi pond to make sure it is level or work out any large
wrinkles, do this now.
It is a good idea at this point to add some dechlorinator
to your Koi pond to remove chlorine. This
is also the best time to add your plants to your Koi
pond and to also add some packaged bacteria to
your Koi pond to seed your filter and pond. Any good
fish or pet store should be able to advise you on the
best chemicals to use to aid the environment you have
created for your Koi.
HOT TIP - Add your Koi over several weeks, adding
just a few at a time; this will help to establish the proper
bacteria in your Koi pond.
You are now ready to sit back and enjoy the fruits
of your labour. There's nothing more satisfying then
enjoying a relaxing afternoon by your new Koi pond
that you built yourself....and maybe a little bit of magic!
TIPS ON THE
BEST WAY
TO SELL YOUR HOME
Even the most gorgeous of homes may need a helping
hand to move it on to the next owner. What you may
love about your house or villa, others may not. Below
are some tips to make sure you sell as quickly as
possible and get the highest sell price!
PRICE IT RIGHT
Find out what your home is worth, then shave 15 to 20
percent off the price. You’ll be stampeded by buyers
with multiple bids - even in the worst markets - and
they’ll bid up the price over what it’s worth. It takes
real courage and most sellers just don’t want to risk
it, but it’s the single best strategy to sell a home in
today’s market.
HALF-EMPTY CLOSETS
Storage is something every buyer is looking for and
can never have enough of. Take half the stuff out of
your closets then neatly organise what’s left in there.
Buyers will snoop, so be sure to keep all your closets
and cabinets clean and tidy.
LIGHT IT UP
Maximize the light in your home. After location, good
light is the one thing that every buyer cites that they
want in a home. Take down the drapes, clean the
windows, change the lampshades, increase the
wattage of your light bulbs and cut the bushes outside
to let in sunshine. Do what you have to do make your
house bright and cheery – it will make it more sellable.
102 samui phangan real estate
PLAY THE AGENT FIELD
A secret sale killer is hiring the wrong agent. Make sure
you have an agent who is totally informed. Find an
agent who embraces technology – a tech-savvy one
has many tools to get your house sold.
CONCEAL THE CRITTERS
You might think a cuddly dog would warm the hearts of
potential buyers, but you’d be wrong. Not everybody is
a dog- or cat-lover. Buyers don’t want to walk in your
home and see a bowl full of dog food, smell the kitty
litter box or have tufts of pet hair stuck to their clothes.
It will give buyers the impression that your house is
not clean. If you’re planning an open house, send the
critters away for the day.
DON’T OVER-UPGRADE
Quick fixes before selling always pay off. Mammoth
makeovers, not so much. You probably won’t get your
money back if you do a huge improvement project
before you put your house on the market. Instead, do
updates that will pay off and get you top dollar. Get a

new fresh coat of paint on the walls. Clean the curtains
or go buy some inexpensive new ones. Replace door
handles, cabinet hardware, make sure closet doors are
on track, fix leaky taps and clean the grout.
TAKE THE HOME OUT OF YOUR HOUSE
One of the most important things to do when
selling your house is to de-personalise it. The more
personal stuff in your house, the less potential buyers
can imagine themselves living there. Get rid of a
third of your stuff – put it in storage. This includes
family photos, memorabilia collections and personal
keepsakes.
THE KITCHEN COMES FIRST
You’re not actually selling your house, you’re selling
your kitchen – that’s how important it is. The benefits
of remodelling your kitchen are endless, and the best
part of it is that you’ll probably get 85% of your money
back. It may be a few thousand dollars to replace
countertops where a buyer may knock $10,000 off the
asking price if your kitchen looks dated.
ALWAYS BE READY TO SHOW
Your house needs to be "show-ready" at all times – you
never know when your buyer is going to walk through
the door. You have to be available whenever they want
to come see the place and it has to be in tip-top shape.
Don’t leave dishes in the sink, keep the dishwasher
cleaned out, the bathrooms sparkling and make sure
there are no dust bunnies in the corners. It’s a little
inconvenient, but it will get your house sold.
THE FIRST IMPRESSION IS THE ONLY
IMPRESSION
No matter how good the interior of your home looks,
buyers have already judged your home before they
walk through the door. You never have a second
chance to make a first impression. It’s important to
make people feel warm, welcome and safe as they
approach the house. Spruce up your home’s exterior
with inexpensive shrubs and brightly colored flowers.
Happy Selling!
LIVING IN KOH SAMUI
Koh Samui’s enduring appeal as one of the world’s
top holiday destinations has inspired many people to
relocate to the island, either choosing to make it their
permanent home or spending extended amounts of
time living what those in less blessed locations would
understandably consider an idyllic lifestyle.
In the last ten years, the island has developed into
a full service destination and the range of facilities,
amenities and services has therefore expanded
considerably, making Samui one of very few places
in the world where you can literally choose your
preferences, both in terms of the way you pass your
days and nights and also the amount of money you
want to spend.
Although the island’s tourist and residential worlds
often collide, they can also be very distinctive. But in
terms of choice, both groups benefit from the island’s
incredibly diverse and eclectic offerings, whether in
terms of accommodation, retail, dining, entertainment,
health or adventure. As a long term resident on Samui,
if you stop to consider the sheer extent of comfort and
convenience on offer around the island
today it’s sometimes difficult to remember that you
are living on a small island in the Gulf of Thailand. As
soon as you leave the beach you are spoilt for choice
- shopping malls such as Tesco Lotus and Big C stock
Excellent Thai food is also readily enjoyed, either
roadside at one of the island’s many affordable local
eateries or in more opulent surroundings accompanied
class food and beverage choices in chic poolside
surroundings. They also host regular parties with
international DJs and performers. Western style pubs
and nightclubs line the popular tourist strips, with
sports bars like The Islander and Bondi in Chaweng
showing live international sporting events.
Those in search of a more healthy, green lifestyle on
Samui can easily avoid the tourist bustle. The quiet
beaches on the island’s south coast still feel relatively
untouched by development and many small residential
communities have emerged in places like Baan taling
Ngam and Lip Noi, where the pace of life is slow and
the tropical landscape still untroubled by crowds and
commerce. Spas and wellness centres offer a wide
range of treatments and therapies to rejuvenate tired
souls, while yoga, meditation and other more spiritually
inspired activities can be studied and practiced at
various centres around the island.
Families are increasingly well catered for on Samui and
the island now boasts its very own International School
(ISS), as well as several other learning institutions
catering to to both Thai and expatriate students.
The island’s clubs and organisations often organise
family friendly gatherings, regular Walking Streets
offer festival style outings and there are also several
restaurants that cater for children’s parties.
With so much on offer to residents, Samui has now
become as much a place to live as it is a place to
visit. It is now a multi-faceted residential island with
an enviable range of services and facilities to choose
from, all of which combine to offer permanent and long
stay‘Samuians' one of the most appealing and diverse
LIVING IN KOH PHANGAN
Stunning beaches, an affordable lifestyle and an
appealing island environment have drawn a growing
number of visitors and residents to Koh Phangan’s
tropical shores. Many of the island’s visitors choose to
stay longer than they originally planned and this has led
to the establishment of a sizeable foreign community of
long stay tourists, working residents, business owners
and retirees. The number of foreign investors choosing
Koh Phangan as their second home is increasing every
year, with easy transport access, a fast developing
infrastructure and a range of lifestyle and hospitality
services all adding to the island’s growing appeal.
Koh Phangan is a rare island escape just a short boat
ride from Koh Samui’s more developed and commercial
environment. This means residents and visitors can
enjoy the unspoiled beauty of some of Thailand’s finest
beaches while still having access to the comforts and
benefits of a modern lifestyle. The recent growth in the
number of luxury hotels and private villas on the island
has prompted the emergence of more upmarket retail,
dining and entertainment choices, with cool nightspots
and restaurants opening in the more popular beaches
like Haad Rin and Thong Nai Pan. As Koh Phangan
evolves from a backpacker haven in to a full service
destination, the island is attracting those with the
spending power to combine natural escape with a
sophisticated island lifestyle.
The Thai government and its tourism authority has long
been promoting Koh Phangan as an eco-destination
in order to transform the island’s reputation from party
venue to tropical escape, promoting Koh Phangan’s
natural beauty and untainted environment to the world.
Eco-adventures and marine based activities are widely
available to visitors and residents with mountain biking,
diving, wake boarding and jungle treks all on offer to
encourage a more sensitive approach to island life that
also minimises the impact on the island’s ecosystem.
On a practical level, the opening of a modest Tesco
Lotus Supermarket, combined with a significant
increase in the number of foreign run businesses
has had a real impact in terms on the ease of living
samui phangan real estate 115

on Koh Phangan. Designer boutiques, international
cuisine, real estate agents and developers are all
gradually changing the island landscape, yet the
laid back lifestyle has thus far survived and the local
people are known for their commitment to preserving
their traditional culture. Whether selling the daily catch
from their boats, chatting with friends in the shade of
116 samui phangan real estate
the village ‘sala’ or celebrating weddings with dances
and local music, local people remain distinctively Thai
in many ways. As for the foreign residents, the ease
of life, natural beauty and diversity of lifestyle choices
make Koh Phangan a unique destination as either a
permanent or second home.
REAL ESTATE OF KOH PHANGAN
Koh Phangan’s real estate sector has grown as the
island has developed and become more popular
with visitors from around the world. Investment
opportunities abound, whether it is raw beach and
mountain land, off plan residential purchases or
completed luxury villas for sale. Prices are considerably
lower than they are on Koh Samui, which often attracts
adventurous investors looking for an affordable slice
of paradise. Restrictive ownership laws in Thailand,
however, mean buyers are advised to go through
reputable law firms when considering any purchases
on Koh Phangan. As is the case on Koh Samui or
Phuket, it is important for anyone considering an
investment to thoroughly research the laws and
regulations, as well as to ensure that any land titles are
thoroughly checked and that the most secure method
of purchase is found to guarantee a trouble free, longterm
investment. It is advisable to
research construction firms employed to guarantee
that their reputation is solid and that any previous
projects have been successfully completed.

the legal arena l land title deeds
LAND TITLE DEEDS IN THAILAND
There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION
Firstly there is the right of possession, for example, land that has been used by a family for generations to the
benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles
are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally
only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed
on the land. I do know of cases where families being in possession of certain pieces of land for generations have
been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor
would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP
Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three
title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor
3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots
and planning permission and any such legal acts can be carried out immediately on the land. The only difference
with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed
which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must
be published for at least 30 days.
As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this
field, as there are also many other issues that are important to consider such as servitude, access and rights
of way.
LAND MEASUREMENT & SURVEY
Land in Thailand is measured in Rai, Ngan and Talang Wah.
• 1 Wah= 4 sqm
• 1 Ngan= 100 Wah or 400 sqm • 4 Ngan= 1 Rai or 1600 sqm
In comparison to Western Standards:
• 2.50 Rai= 1 Acre
• 6.25 Rai= 1 Hectare
Replay can’t be happier for the fantastic
response its development, located in
between the Fisherman’s Village and
Bangrak, has had. The condominium,
which has its own private beach, has 408
units and Phase One of the unique and
affordable complex is almost complete.
Ownership transfers will begin as early
as this month with the first batch of
occupants moving in next month. Facilities
now ready include the 400-square-meter
swimming pool and a state of the art fitness
center.
Phase Two, due for completion in the second quarter of 2013, will include 70 high-end
residences, a small shopping center, an art gallery and an international restaurant.
The project’s completion was slightly delayed due to the many changes, such as the addition
of the gallery, shopping mall and restaurant that came up after the plan had been finalized. But
all’s well that ends well, so to speak.
The team behind Replay is looking forward to exciting times ahead starting with the formal
opening of the first phase of the condominium project. The event promises to be a momentous
occasion – it will be a great opportunity for Phase One residents to get to know each other shortly
before they start moving in.

“See different thing, See thing differently ...”
“See different thing, See thing differently ...”
The team is also excited about the coming
year. Replay recently acquired six more plots of
land on the island and plans to develop a wider
range of accommodation, including those
geared towards locals who are starting to show
an interest in investing in real estate along with
their western counterparts, a move that is
certain to bolster the confidence of the project’s
foreign investors.
The locations of the new developments
have yet to be revealed. The team, however, had
earlier released plans for a 72-unit complex in
Cha-am near Hua Hin aimed at people wishing
to live within driving distance of the country’s
capital Bangkok. The development is aimed at
young professionals who work from home but
still need easy access to the capital as well as
commuters looking for an alternative to living in
the city.
TIPS FOR STARTING A NEW BUSINESS
Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information
will help put your business on the right track.
The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company.
In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business
purpose and is formed with a Capital divided into equal shares.
GETTING STARTED
To set up a company, you must first have the memorandum that can be acquired at the registration office. To
properly register, you are required to provide the authorities with details of your company and list a minimum
of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first
approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your
business and set up the company’s operational rules.
Having agreed on the purpose of your business, you can then apply for business registration at the same
department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial
Code’s partnership and companies section.
SHARES
Besides the issues of business registration, you must also make sure that your company’s shares are worth no
less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this
matter.
Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder.
Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that
confirms the deal between the transferor and transferee.
The company also has to have in its possession a register of shareholders that contains a record of all the
company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON
A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares
held by foreign national plays a significant role in determining the nationality of your company, which may impose
serious limitations on the company’s rights, such as landownership.
If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.
124 samui phangan real estate

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company.
The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and
own properties or other businesses. It is therefore important, especially for those in real estate and development
businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess
and obtain land and property in this country without an exemption granted by the government.
Foreign companies are also restricted to certain activities and to proceed with certain operations the company
will have to apply for permission from the government. In such instances, applications will be considered case
by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their
business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand.
If you are registered as a Thai company, you are automatically granted the right to purchase and own properties
and other business and will be treated the same way as a Thai citizen. However, according to new legislation that
has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai
shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand
have to declare their income and provide the authorities with evidence that proves their ability to co-invest with
other foreign shareholders in the same company. Only those successful in convincing the authorities are granted
the right to purchase and possess land. Companies with approval from the Land Department can then proceed
with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER
A company limited has to have its own board of directors to act on behalf of the company. This panel will,
however, act under the regulations and agreements approved by the shareholders. Appointing directors or
removing any of them requires shareholders approval.
At the end of the company’s financial year, within five months, it shall be the duty of the company to present the
balance sheet to the Department of Business Development (DBD). If your company fails to present the balance
sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up
to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a
lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the
company may face, should they not provide the authorities with the necessary statement.
