model.
A inicios
Ten years after teetering on the brink of bankruptcy, this
and is taking the final steps to go conquer world
markets under a management that has wisely aligned
the needs of a modern, competitive company and
the social focus required by the cooperative business
LaTE LaST yEaR, the united nations General assembly
proclaimed 2012 the “international year of Cooperatives”
and highlighted their contribution to economic and
social development, particularly due to their impact
on poverty reduction, employment generation and
social integration. in Chile, this partnering model is not
especially popular and only a few cooperatives are still
operating.
one of them is Capel, a cooperative that will soon
celebrate 75 years supporting the economic and social
development of its member pisco producers from the
Green north and that successfully dodged a major crisis
that threatened to wipe it out from the business arena.
Capel was established in 1938 by a small group of
grape growers from the Elqui Valley that had been
gravely affected by the Great Depression of 1929-1931
and overproduction of grapes. in the face of common
adversity, the cooperative business model emerged as
an attractive option to cut costs and raise the sales price.
That was the origin of Sociedad de Destiladores del Elqui,
a cooperative consisting of 30 founding members from
the district of Paihuano, who were visionary enough to
make good use of the competitive advantages fostered
by Law 4,531 and Decree with Force of Law 181 of 1931
that officially recognized the appellation of origin for
Pisco. Later, in 1964, the partnership would be renamed
CaPEL (Cooperativa agrícola Pisquera Elqui Ltda.) and
start a successful expansion period that would eventually
turn it into Chile’s largest pisco producer.
THE GOLDEN ERA Of PISCO
Capel took its first big leap towards expansion in the
1960s, when it built its vinification and distillation
plant in Vicuña with CoRFo financing. in the early
1970s, with General Manager Francisco Peñafiel –who
remained at the helm of the cooperative for over 27
years– Capel undertook an ambitious modernization
and industrialization plan for pisco, which starting in
1974 would benefit from safeguards imposed by the
government to local distillates to protect them from
imported ones.
That would mark the beginning of the “golden era
of pisco,” when this distillate grew into the drink of
choice of Chilean consumers who moved away from
the traditional rum and coke to favor the local ‘piscola’
(pisco and coke). a major increase of per capita
consumption helped strengthen the pisco industry,
which by the late 1980s was consolidating as one of the
largest industries in the Green north.
During this period, the two largest players in the
cooperatives business –Capel and Control– engaged in
a war to death as they concentrated as much as 95% of
the Chilean market of pisco.
Several years of price war, barely controlled expansion
and an irrational boom in the production of pisco grapes
at these companies would put them both on the verge of
collapse at the end of the decade, wrecking large merger
efforts that proved unsuccessful basically due to the
strong cooperative mystique and pride present at both
companies, and the arrival of a new and decisive actor in
the market: Ruta norte, by CCu, controlled by the Luksic
holding, which would prompt huge transformations in
the world of Chilean pisco at that time.
THE CRISIS
it was the late 1990s and nothing seemed to warn
the silent, yet unrelenting downfall of the company. a
sustained production increase that lasted over a decade
led Peñafiel’s management to feel confident enough to
make somehow questionable decisions. For example,
the management executed uSD futures contracts to
encourage cooperative members to increase their
production and allowed company officers to join as

dramatically as members expanded their area under
volumes of grapes from its members. The price of pisco
was declining while production was on the rise, so the
company had to grow indebted in order to be able to
pay the grape price and honor purchasing quotas that
the company had established for its members a few
years earlier through forward contract with a duration up
to 10 years.
The new businesses the company had undertaken by
the mid 1980s –the incorporation of Viña Francisco de
aguirre and an olive oil production company– had been
managed rather poorly, which definitely worsened the
crisis that stroke in a period of low prices and growing
penetration of imported distillates due to the elimination
of specific duties and safeguards.
with liabilities as high as CLP 40 billion and loss of
confidence among officers, the board of directors, the
members and the creditors, the future became blurry for
the company that had once been Chile’s largest pisco
producer, the undisputed market leader, and a successful
agricultural cooperative.
mANAGING THE CRISIS
Peñafiel and his team left for good in 2002. That same
year, Guillermo González took over the management
provisionally until the following year Roberto Salinas
and a new team of officers jumped in to try to avoid
bankruptcy. Salinas, a man with extensive experience in
the business world –former vice chair of the Quiñenco
holding and former member of various boards of
directors, including antofagasta Minerals and EnaP–
was perfectly familiar with the situation of Capel and
its members. Born in a family of ancient grape growers,
CCU comenzó a comprar
of friendship with many members of the
cooperative.
Key players within Capel recall how tough
those times were. To overcome the crisis,
they had to regain members’ confidence
and manage to have them support tough
and unpopular decisions, such as redefining
contracts, cutting quotas, adjusting
production rates, and freezing membership.
The relationship with vendors was improved
and negotiations with creditor banks were
undertaken.
Faced with this turmoil, selling the company
was one of the alternatives being juggled and
offers soon came. among the potential buyers
were the Luksic holding and some foreign
investors, and the price they were offering was
rather tempting. The alternative was discussed
during the partners’ meeting in 2002 and
2003, yet the cooperative members preferred
to honorably file for bankruptcy rather than to
sell their company to the rivals that had arrived
in the region. what were they supposed to do
with a pile of money if they had lost the activity that had
given their life a meaning for decades?
among the measures adopted to face the liquidity
crisis, they had to sell Viña Francisco de aguirre’s assets
and the olive oil business. Moreover, the penetration
of the Luksic holding changed business conditions
dramatically: not only it fostered competition, but it also
narrowed margins in the industry. CCu started to buy out
the other competitors. The first operation purchased was
Control, the other large cooperative that had shared the
market with Capel, (with brands La Serena, Campanario,
Mistral, Control, 3R, adding to Ruta norte, the brand with
which Luksic penetrated the business) and then came
pisco producers Horcón Quemado and Bauzá.
not only did Capel create new teams but it also had
to manage the joining of several new members that had
formerly belonged to Control and had requested Capel’s
help. in addition, bylaws were amended, measures
had to be taken to deal with ‘poor practices’ rooted in
the company, and a new vision and mission had to be
developed to ensure that the company would succeed in
balancing members’ well-being and the consolidation of
a new, more competitive, diversified, flexible and modern
business model. This new model was intended to
continue to honor the cooperative spirit but at the same
time pave the way for economic recovery by observing
through Chilecoop, the savings and credit cooperative
owned by the members.
Capel’s redefinition has successfully balanced the
cooperative’s social and commercial focus and at the
same time has helped foster an associativity model with
the other industry actors by means of the establishment
of Pisco Spirit, asociación de Empresas Pisqueras de
Chile, an association intended to help pisco producers
join efforts in dealing with common issues and
promoting pisco in local and foreign markets.
PRESENT CHALLENGES
Capel currently consists of over 1,300 pisco producing
members from the Copiapó, Huasco, Elqui, Limarí, and
Choapa Valleys, owns 9 state-of-the-art vinification and
distillation plants, and has a crushing capacity of some
240 million kilos of grapes.
as grape-related businesses grow steadily,
the company is implementing an aggressive
internationalization plan that includes representation of
brands of beer and other distillates like rum, Scotch, and
vodka. Future goals include increasing production in the
near future, but without growing indebted.
The need to consolidate a set of environmentallyfriendly
and CSR policies towards the members and the
production environment adds to those challenges. To
absorb the sustained aging of members and to promote
the incorporation of new ones are two critical elements
that need to be addressed for the cooperative to remain
in business.
in conclusion, the context is complex, yet full of
opportunities. The cooperative business model –
which in many European countries is in good health
and continues to grow– has proven both active and
competitive, with a good level of return and perhaps
most importantly, it continues to foster equality, to
improve the distribution of wealth, and to reward joint
work above social status. ▼
