Tutte le forniture effettuate dal Venditore saranno esclusivamente regolate dalle
seguenti Condizioni Generali di Vendita. Qualsiasi clausola o condizione stabilita
dal Compratore è nulla e priva di effetti quando sia in contrasto con le condizioni
sotto riportate.
Nella stesura dei cataloghi del Venditore è stata dedicata la massima attenzione
al fine di assicurare l’accuratezza dei dati; per altro, il Venditore non è responsabile
per eventuali errori od omissioni ivi riscontrati, risultando vincolante ed
impegnativo per le Parti unicamente quanto riportato nell’Ordine, nella Conferma
d’Ordine e nelle presenti Condizioni Generali di Vendita.
1. Prezzi
1.1 I prezzi contrattuali sono quelli riportati sulla Conferma d’Ordine e si
intendono per merce resa Ex Works (ovvero EXW), in base agli Incoterms
(International Commerce Terms).
1.2 Qualsiasi modifica al contratto, richiesta successivamente alla sua
conclusione dal Compratore, non avrà valore ed efficacia se non accettata
per iscritto dal Venditore, con l’eventuale precisazione dei nuovi termini
di consegna, del prezzo e delle modalità di pagamento.
2. Termini di consegna
2.1 I termini di consegna riportati sulla Conferma d’Ordine sono indicativi,
salvo l’impegno del Venditore, ove possibile, di osservarli.
2.2 Resta inteso che, stante la natura indicativa dei termini di consegna,
il Venditore in nessun caso potrà essere ritenuto responsabile dei danni,
anche indiretti, che dovessero derivare al Compratore da ritardi
nella consegna. Eventuali ritardi nelle consegne non daranno, comunque,
diritto al risarcimento dei danni a favore del Compratore.
3. Consegne
3.1 La consegna si intende, di regola, stabilita ex-works (EXW) presso
lo stabilimento del Venditore.
3.2 In particolare, la consegna si intende eseguita, ad ogni effetto di legge,
con la comunicazione (data anche con il semplice invio della fattura)
che la merce è a disposizione del Compratore per il collaudo, ove previsto,
o per il ritiro, oppure che la stessa è stata consegnata al vettore.
3.3 In caso di ritardo nel ritiro della merce, comunque approntata, per una
qualsiasi ragione non dipendente dalla volontà del Venditore, la consegna
si intenderà comunque come eseguita decorsi otto giorni dalla comunicazione
di messa a disposizione, con le conseguenze di seguito riportate:
a) il Venditore avrà il diritto di procedere alla fatturazione e di reclamare
l’adempimento delle condizioni di pagamento pattuite;
b) il Venditore potrà fare effettuare l’imballaggio, il trasporto o
lo stoccaggio del materiale a spese del Compratore, salvo il risarcimento
dei danni eventualmente patiti, anche per l’immagazzinamento,
la custodia ed il deposito della merce.
4. Pagamenti
4.1 I pagamenti devono essere effettuati al domicilio del Venditore e secondo
le condizioni concordate. Qualsiasi pagamento effettuato in luogo e modo
diversi, non sarà ritenuto valido e, dunque, non produrrà effetti liberatori
per il Compratore.
4.2 In caso di ritardo nei pagamenti alle scadenze convenute, il Venditore avrà
diritto di addebitare gli interessi di mora ai sensi del decreto legislativo 9

1. Prices
1.1 The contract prices are listed on the Order Confirmation
and are for goods delivered Ex Works (EXW), according to Incoterms
(International Commerce Terms).
1.2 Any amendment to the contract, required by the Buyer after its
conclusion, will have no value and effectiveness unless accepted
in writing by the Seller, specifying the new terms of delivery,
prices and payment method.
2. Terms of delivery
2.1 The delivery terms reported on the Order Confirmation are indicative,
unless the commitment of the Seller, where possible, to observe them.
2.2 It is understood that, given the indicative nature of delivery terms,
the Seller shall in no event be liable for damages, including indirect ones,
that may result from delays in delivery to the Buyer.
Any delay in delivery will not, however, entitle the Buyer to compensation
for damages.
3. Deliveries
3.1 The delivery is intended, as a rule, established ex-works (EXW)
at the Seller’s plant.
3.2 In particular, the delivery will be considered performed,
for all legal purposes, with communication (made even with the simple
submission of the invoice) that the goods are available to the Buyer
for testing, where required, or for collection, or that the same were
delivered to the carrier.
3.3 In case of delay in collection of the goods, however prepared,
for any reason beyond the control of the Seller, delivery will be considered,
however, as done eight days elapsed from the notice of availability,
with the consequences set out below:
a) the Seller shall have the right to bill and to pursue the enforcement
of the terms of payment;
b) the Seller shall make the packaging, transport or storage of the goods
at the Buyer’s expense, with the compensation for any possibly damage
suffered, also for the storage, custody and warehousing of the goods.
4. Payment
4.1 Payments must be made at the domicile of the Seller and in accordance
with the agreed conditions. Any payment made in a different way
will not be considered valid and, therefore, will not produce liberating
effects for the Buyer.
4.2 In case of delay in payments to the agreed deadlines, the Seller shall be en
