LICENCIA DE USO DE MARCA

Licenciante), una sociedad constituida de
conformidad con las leyes de

el Licenciante de las marcas (las Marcas)
identificadas en el “Anexo A” del presente
Contrato.
El Licenciante autoriza el uso no-exclusivo
de las Marcas en el territorio mexicano a
(el Licenciatario), una sociedad constituida

El uso que por este contrato se autoriza
quedará sujeto a los siguientes términos y
condiciones:
1. El uso autorizado es únicamente con
relación a los productos y/o servicios
(Productos y/o Servicios) amparados por las
Marcas licenciadas.
2. Los arreglos contractuales previamente
pactados entre el Licenciante y el
Licenciatario por virtud del Contrato de
Licencia de fecha _______________,
establecen los derechos a favor de este
último para la manufactura, venta,
distribución y/o prestación de los Productos
y/o Servicios, en la inteligencia de que
dichos Productos y/o Servicios deberán
fabricarse, distribuirse y/o prestarse por el
Licenciatario en estricta y completa
conformidad con las normas,
especificaciones, diseños y procesos
aprobados por el Licenciante, con el
propósito de que la calidad de los productos
elaborados y/o los servicios prestados por el
Licenciatario sea equivalente a la de los
mismos Productos y/o Servicios del
Licenciante.
TRADEMARK LICENSE OF USE
The undersigned, , (the
Licensor) a corporation organized and
existing under the laws of ,

is the owner of the trademarks (the
Trademarks) identified in “Schedule A”
attached hereto.
The Licensor hereby authorizes the nonexclusive
use in Mexican territory of the
Trademarks to (the Licensee), a
corporation organized and existing under the
laws of ,
having its principal place of business in [ ]
The use which is authorized by this
agreement is subject to the following terms
and conditions:
1. The use hereby authorized is only in
connection with the goods and/or services
(Products and/or Services) covered by the
licensed Trademarks.
2. The contractual arrangements previously
made by and between the Licensor and the
Licensee by means of the License
Agreement dated ________________
establish the rights of the Licensee to
manufacture, sell, distribute and/or render
the Products and/or Services, in the
understanding that said Products and/or
Services must be produced, distributed
and/or rendered by the Licensee in strict and
complete conformity with the norms,
specifications, designs and processes
approved by the Licensor, with the purpose
that the quality of the manufactured products
and/or the services rendered is equivalent to
the one of the Products and/or Services of
the Licensor.

3. El Licenciatario conviene en que el uso
de las Marcas materia de este Contrato, no
implica algún título o derecho de propiedad
sobre dichas Marcas o sobre el registro de
las mismas; y el Licenciatario conviene en
obtener la previa aprobación por escrito del
Licenciante en cuanto a la forma y manera
en que las Marcas serán usadas, y en todo
aquello que se relacione con los Productos
y/o Servicios, etiquetas, empaques, anuncios
y cualesquiera otros asuntos relativos a las
mismas. El Licenciatario igualmente
conviene en cumplir con todas las
obligaciones que las leyes mexicanas
establecen sobre el uso de marcas.
4. El Licenciatario se obliga a dar aviso al
Licenciante de cualquier uso indebido de las
Marcas y de cualesquiera actos de
competencia desleal que involucren a las
Marcas y de los cuales tenga conocimiento
el Licenciatario.
5. El Licenciante concede esta licencia al
Licenciatario por un período de ______ (__)
años, pudiéndose dar por terminado por
cualquiera de las partes mediante
notificación por escrito a la otra con por lo
menos _______ (__) días naturales de
anticipación. En este supuesto, el
Licenciatario autoriza expresamente al
Licenciante a solicitar ante las autoridades
correspondientes la cancelación de la
inscripción de esta licencia, y ambas partes
autorizan desde ahora para tales efectos a los
Sres. Jesús Antonio Molina Salgado, Sergio
De Alva Rodríguez, Armando Galán
Espinosa, Armando Martínez Gómez y/o
Horacio Olea Salgado, indistintamente, y se
obliga a suspender inmediata y
definitivamente todo y cualquier uso de las
Marcas objeto de este Contrato.
6.Por medio del presente Contrato, las
partes contratantes otorgan en favor de los
Señores Jesús Antonio Molina Salgado,
Sergio De Alva Rodríguez, Armando Galán
Espinosa, Armando Martínez Gómez y/o

3. The Licensee agrees that the use of the
Trademarks involved in this agreement does
not imply any property rights or title to said
Trademarks or to their registration; and the
Licensee agrees to obtain the prior written
approval of the Licensor as to the form and
manner in which the Trademarks will be
used, and as to everything relating to the
Products and/or Services, labels, packaging,
advertisements, and any other matters
related thereto. The Licensee also agrees to
comply with all obligations established in
Mexican laws regarding the use of the
Trademarks.
4. The Licensee agrees to notify the
Licensor of any conflicts arising by the use
of the Trademarks and of any acts of unfair
competition involving the Trademarks and
of which Licensee has knowledge.
5. The Licensor hereby grants to the
Licensee the right to use the Trademarks for
a term of _______ (__) years, being any of
the parties entitled to terminate this
agreement by prior written notice within at
least _______ (___) days upon the
termination. In this case, the Licensee
expressly authorizes Licensor to request
before the corresponding authorities the
cancellation of the recordal of this license
agreement, and both parties authorize in this
act and for this purpose to Messrs. Jesus
Antonio Molina Salgado, Sergio De Alva
Rodriguez, Armando Galan Espinosa,
Armando Martínez Gómez and/or Horacio
Olea Salgado, indistinctly; in the
understanding that in the event of the
termination the Licensee shall immediately
discontinue any and all use made with
respect to the Trademarks involved in the
present Agreement.
6. The parties hereby grant to Messrs. Jesús
Antonio Molina Salgado, Sergio De Alva
Rodríguez, Armando Galán Espinosa,
Armando Martínez Gómez and/or Horacio
Olea Salgado, jointly or severally, a special
power of attorney as ample and complete as

Horacio Olea Salgado, conjunta y
separadamente, un poder especial tan amplio
y completo como en derecho se requiera,
con todas las facultades generales y
especiales que requieran cláusula especial,
para representar a ambas partes, ante todas y
cualesquiera autoridades administrativas o
judiciales de los Estados Unidos Mexicanos
con el objeto de obtener la inscripción y
registro del presente Contrato, con, en o
ante el Instituto Mexicano de la Propiedad
Industrial (IMPI) y/o todas y cualesquiera
entidades y registros gubernamentales, y
para proteger los derechos marcarios y otros
derechos involucrados en él.
Para ejercitar el presente poder, cada una de
las partes contratantes otorga a las citadas
personas, conjunta o separadamente, todas
las facultades que sean necesarias para
presentar las correspondientes solicitudes o
demandas, para pagar derechos, autorizar
documentos, hacer y absolver posiciones,
presentar pruebas y alegatos, realizar y
presentar todas las apelaciones y recursos
administrativos y judiciales establecidos por
las leyes mexicanas, recibir avisos y
notificaciones, presentar oposiciones,
solicitar la caducidad, cancelación y nulidad
de registros y derechos, y en general, hacer
todos los trámites necesarios ante las
autoridades mexicanas para la protección de
los derechos marcarios y otros derechos
involucrados en este Contrato.
Cada una de las partes contratantes ratifica y
acepta como firmes y válidos todos actos
que realicen las citadas personas, conjunta o
separadamente, con relación a los asuntos
para los cuales se otorga este poder, según
las disposiciones legales aplicables del
Código Civil para el Distrito Federal.
Ambas partes han acordado generar y firmar
este Contrato para el único propósito de su
inscripción en el IMPI, de conformidad con
lo dispuesto por la Ley de la Propiedad
Industrial y su Reglamento.

required by the Mexican laws, with all
general and special powers that legally
require an express granting, to represent
both parties involved in this agreement
before any and all administrative or judicial
authorities of the Republic of Mexico, for
the purpose of recording and/or registering
this Agreement with, in or before any and all
government authorities and/or other bodies
and registries, and to protect the trademark
rights involved thereof.
To carry out the present power each of the
parties of this Agreement grant to the
aforementioned individuals, jointly or
severally, all powers that may be necessary
to file the corresponding applications or
petitions, to pay fees, authorize documents,
submit and answer interrogatories, file
evidence and arguments, to pursue all
administrative and judicial appeals permitted
by the Mexican laws, to receive notices, to
file oppositions against third parties, to file
cancellation, expiration and nullity actions
of registrations and other rights, and in
general, to take all the steps that might be
necessary before the authorities of the
Republic of Mexico for the protection of the
trademark rights and other rights related to
this Agreement.
Each party of this Agreement hereby ratifies
and agrees to hold as firm and valid all that
the aforesaid individuals may do jointly or
severally, in connection with the matters for
which this power of attorney is being
granted, in accordance with the applicable
legal precepts of the Civil Code for the
Federal District of Mexico.
Both parties have agreed to formalize and
execute this Agreement for the sole purpose
of recordation with IMPI, and in accordance
with the Mexican Industrial Property Law
and its Rules.

Este Contrato no incluye disposiciones y
cláusulas confidenciales relacionadas con
regalías y métodos para la fabricación,
distribución, comercialización y/o
prestación de Productos y/o Servicios,
anexos que se refieran a información
técnica, y cláusulas o disposiciones que no
tengan relación con esta licencia de marcas,
de acuerdo con le establecido en el articulo
10 del Reglamento de la Ley de la
Propiedad Industrial, el cual permite omitir
dichas disposiciones de las copias o
versiones que son usadas para propósitos de
inscripción.
Las partes de este contrato han acordado que
las disposiciones de este contrato que han
sido omitidas de su versión original del
Contrato de Licencia continuarán
produciendo sus efectos y permanecerán
vigentes y obligatorias entre las partes
firmantes. Asimismo, por medio del
presente Contrato las partes manifiestan que
no tiene la intención ni el propósito de
firmar un nuevo contrato, de enmendar el
Contrato de Licencia, de suprimir, eliminar,
cancelar, abolir o revocar cualquiera de sus
disposiciones. Es por lo tanto entendido que
el Contrato de Licencia original continuará
siendo efectivo y obligatorio entre las partes
en su totalidad y en todas sus partes.

IMPORTANT NOTE: This document needs be
notarized and authenticated up to the Apostille for
recordation purposes.

The present Agreement does not include
provisions and confidential clauses related to
royalties, to methods for the manufacture,
commercialization and/or rendering of the
Products and/or Services, nor annexes
referring to technical information, and/or
clauses or provisions which are unrelated to
this trademark license, in accordance with
what it is established in article 10 of the
Rules of the Industrial Property Law, which
allows to avoid the inclusion of said
provisions from the copies or versions that
will be used for recordation purposes.
The parties to this Agreement agree that the
provisions that have been deleted from the
original version of the License Agreement
shall continue producing their effects and
will remain in force and binding upon the
signing parties. Likewise, the parties hereby
expressly state that they do not have the
intention or the purpose to execute a new
agreement, to amend the original version of
the License Agreement, or to delete,
eliminate, cancel, abolish or repeal any of its
provisions. It is thus expressly understood
and agreed that the original version of the
License Agreement shall remain effective
and binding the parties in its entirety and in
all of its parts.
