Conditions for sale<br />
I The animals included in this catalog, will be sold according to the common conditions of the sales relating to this kind of transaction. The most important<br />
terms and conditions are stated in detail below. It is understood that each one of the persons who participate and assist to the sale store or make offers to<br />
acquire certain animals, accept in full all the terms and conditions, whether general or particular, of the auction.<br />
II Once the auction is initiated, the auctioneer (martillero) shall announce the particular conditions which will be ruling the auction, without prejudice of<br />
the general conditions mentioned herein.-<br />
III The commission is of 7 % plus VAT (21%) to the Purchaser. * VAT surcharge for non – resident foreign: 10, 5%.<br />
IV The animals shall be sold in the sight of the interested parties. Notwithstanding, all the animals that are for sale could be revised by all the interested<br />
parties, or by the professionals they appoint.- Such revision could be performed in the sale store on the date of the auction until the initiation of the auction.-<br />
In connection with the abovementioned matters, all purchasers acquire the animal they have in sight, in the manner the animal is, and it shall be considered<br />
that the animal is well-known and acknowledged by the interested party, and that the interested party accepts all the attributes and virtues of the animal,<br />
with its possible defects, deficiency or anomalies the animal could have.<br />
V After the sale of the animal, the seller or the Auction Firm shall not accept any claim which pretends to rescind or terminate the transaction, obtain<br />
a discount in the price, or delay the compliance of the payment or formalities; claim for damages and prejudices or any “other pretension” based in the<br />
deficiency or mistakes relating to the pedigree, brochure, publicity, physical state, organic, reproductive or functional of the animal which has been acquired.<br />
VI The payment of the price relating to the acquisition of the animal shall be made “in cash”, on date of the purchase, except that before initiating the<br />
auction, the bidder/ purchaser, has requested the Auction Firm and the seller has issued his conformity in writing, so that in case the bidder results to be a<br />
purchaser, he can make the payment in the manner and in the terms different to the ones stated herein. It shall be considered as “particular concessions”<br />
the concessions granted to the persons who have requested, and therefore, they shall not be applicable to other purchasers nor to the other transactions<br />
done by the same purchaser.<br />
In addition, It is expressly stated that even when there is a term for the financing of the purchase, it must be paid in cash: the commission of the auctioneer<br />
plus VAT, and the payment of the Income Tax (Ingresos Brutos), applicable to such purchase, and Stamp Tax, including the transference costs of the animals<br />
and any other costs (transport, care, feeding, etc.) which might be applicable by paying on behalf of the purchaser.<br />
VII Each one of the persons who has purchased one or more animals, before leaving the sale store, shall comply with the following obligations and<br />
formalities to the effect to retire the acquired animals: a) Sign the documentation relating to the purchase Boleta de venta (Sale Agreement), Contrato<br />
de Compra (Purchase Agreement), Título de Deuda (Debt Titles), Pagarés (Promissory Notes), etc., in such connection the purchaser shall show his ID<br />
(documento de identidad), copy of the registration with the AFIP (Argentine Federal Tax Boureau) and Rentas, constitute a domicile in the Argentine Republic<br />
and provide a telephone number for contact. In addition, the purchaser shall submit all the information necessary not only for the issuance of the purchase<br />
invoice but also for the removal and destiny of the animal/s, b) Pay the “purchase price”, the commission of the auctioneer plus VAT, and the payment of<br />
the Income Tax (Ingresos Brutos), applicable to such purchase, and Stamp Tax, including the transference costs of the animals and any other costs (transport,<br />
care, feeding, etc.) which might be applicable by paying on behalf of the purchaser. c) Pay the costs that the animal could demand, after its acquisition in<br />
the auction. d) Remove the purchased animal of the sale store within 24 hours after the termination of the auction. being to his exclusive charge all the<br />
costs and/or any other payment consequence of the lack of retirement of the animal.<br />
Since the moment in which the auctioneer (martillero) declares which one is the purchased animal, the purchaser is in exclusive charge of such animal and<br />
shall afford all the costs, expenses and assume the liability in connection to such animal.<br />
VIII The non-compliance of any of the obligations mentioned before or detailed in point 9 below, shall empower, with no need of intimation , to the seller<br />
and/or the Auction Firm to leave without effect the transaction and recover the animal, immediately dispose of the animal for its sale or for what the seller<br />
estimates convenient, with the right to claim for the damages and prejudices for the “resolution” with fault of the purchaser. In such case, any amount paid<br />
by the purchaser relating to the purchase, shall remain in favor of the seller, as payment “to the account” for indemnification, without prejudice of the right<br />
to claim any another amount that could correspond.<br />
IX Any person who have made offers, and results a purchaser and expresses that the purchase is made by commission or on behalf of third parties, or that<br />
the purchaser shall fractionate the purchase and/or the invoice with other purchasers, the purchasers acquire and accept only relating to this matter, to be<br />
severally and jointly liable for the payment in whole of the total transaction together with the other purchasers which appear as purchasers in the invoice<br />
relating to the transaction.<br />
It is expressly stated that, in the referred cases, the seller and/or the auction Firm have the exclusive power to accept the invoice (totally or partially) to the<br />
different persons who acquired in the auction, being applicable what is stated in non-compliance maters, if the person who acquires does not accept it and/<br />
or he denies to have the transaction invoiced in his name.<br />
The transference of the purchased animal/s shall be made for its registration once the purchaser has complied with all the obligations assumed herein.<br />
Note: The auction firm shall take no responsibility for the mistakes or omissions in this catalogue.
