JD.ID PLATFORM – GENERAL TERMS & CONDITIONS [CONFIDENTIAL]Lampiran 2: Ketentuan Anti Suap-komersialAppendix 2: Anti-commercial Bribery TermsKetentuan Anti Suap-komersialUntuk mematuhi ketentuan-ketentuan pada anti-suap komersialberdasarkan undang-undang dan peraturan secara lebih tegas,melindungi kepentingan bersama Para Pihak dan mendorongpengembangan hubungan Para Pihak, Para Pihak sepakat bahwa:Pasal 1: Dalam Perjanjian ini, suap komersial merujuk kepadakepentingan-kepentingan yang tidak tepat, baik secara materi atauspiritual, yang ditawarkan oleh Penjual atau karyawannya kepadakaryawan JD.ID secara langsung atau tidak secara langsung, untuktujuan kerjasama atau mendapatkan kepentingan-kepentingandari kerjasama dengan JD.ID (termasuk perusahaan-perusahaandan organisasi-organisasi terafiliasi dengan JD.ID, secara bersamasamadisebut sebagai JD.ID dalam Perjanjian ini).Pasal 2: Kepentingan yang tidak sah: Penjual dan karyawannyatidak diperbolehkan, atas nama Penjual atau individu manapun,memberikan kepada setiap karyawan JD.ID atau siapapun yangterkait dengannya dengan kepentingan yang tidak sah dalambentuk pemberian uang, barang, surat berharga atau setiapbentuk tersembunyi lainnya, termasuk namun tidak terbatas padauang tunai, cek, kartu kredit, contoh produk atau barang lainnya,tiket hiburan, kartu anggota, pembayaran balik atau komisi tunaiatau barang, kesempatan kerja, properti, perjalanan yang dibayaroleh Penjual, undangan makan malam dan layanan individuallainnya.Pasal 3: Konflik kepentingan: termasuk namun tidak terbatas pada:(1) Penjual tidak akan memberikan kepada karyawan JD.ID atausetiap orang yang terkait dengannya dengan bentuk pinjamanapapun; (2) Apabila pemegang saham, supervisor, manajer,petugas senior atau pemimpin atau anggota proyek kerjasamaPenjual yang merupakan karyawan JD.ID atau siapapun yangterkait dengannya, Penjual wajib dengan keyakinan penuh dansepenuhnya memberitahu JD.ID secara tertulis sebelum kerjasamadimulai. (3) Selama kerjasama, Penjual tidak akan menizinkankaryawan manapun dari JD.ID atau istrinya untuk secara langsungatau tidak langsung (yaitu melalui pihak ketiga) menempatkansaham dari Penjual (kecuali untuk saham yang dibeli melalui bursasaham dan kurang dari 5% dari total penyertaan modal, ataumelalui penempatan dana secara langsung atau tidak langsungtanpa saham pengendali, atau melalui penerima kepercayaan yangpenerimanya bukan merupakan karyawan JD.ID atau siapapunyang terkait dengannya), atau mempekerjakan karyawan JD.ID(termasuk namun tidak terbatas pada hubungan ketenagakerjaanformal, pengiriman layanan tenaga kerja, pekerjaan paruh waktu,konsultasi atau bentuk lain apapun). Apabila Penjualmempekerjakan istri atau orang lain yang terkait terhadapkaryawan manapun dari JD.ID, wajib untuk memberitahukan JD.IDdengan penuh kepercayaan dan secara penuh secara tertulisdalam waktu tiga hari kerja setelah tanggal proses perekrutan.Anti-commercial Bribery TermsTo strictly observe the provisions on anti-commercial briberyunder the laws and regulations, safeguard the Parties’ jointinterests and promote the sound development of theirrelationship, the Parties agreed as follows:Article 1: In this Agreement, commercial bribery refers to allthe improper interests, either material or spiritual, offered bySeller or its employees to the employee of JD.ID directly orindirectly, for the purpose of cooperating or obtaininginterests from cooperation with JD.ID (including thecompanies and organizations affiliated with JD.ID, collectivelyreferred to as “JD.ID” hereinafter).Article 2: Improper interest: Seller and its employees may not,on behalf of Seller or any individual, provide any employees ofJD.ID or any person related thereto with any improper interestin the form of gift money, goods, negotiable securities or anyother disguised form, including but not limited to any cash,check, credit card, sample product or other goods,entertainment ticket, membership card, kickback orcommission in the form of cash or property, employmentopportunity, real estate, travel paid for by Seller, invitation todinner and other individual services.Article 3: Conflict of interests: includes but is not limited to: (1)Seller shall not provide the employees of JD.ID or any personrelated thereto with any form of loans; (2) If any shareholder,supervisor, manager, senior officer, principal or member ofcooperative projects of Seller is an employee of JD.ID or anyperson related thereto, Seller shall faithfully and completelynotify JD.ID in writing before the cooperation starts. (3) Duringthe cooperation, Seller shall not permit any employees of JD.IDor their spouses to directly or indirectly (i.e. through thirdparties) hold equity shares of Seller (except for the stockspurchased through the stock exchange and less than 5% of thetotal outstanding equity capital, or through a fund directly orindirectly held without actual control, or through a trust whosebeneficiaries are not JD.ID’s employees or any person relatedthereto), or employ any employee of JD.ID (including but notlimited to the formal employment relationship, dispatchedlabor service, outsourced service, part-time job, consultationor any other form). If Seller employs the spouse or otherpersons related to any employee of JD.ID, it shall notify JD.IDfaithfully and completely in writing within three working daysafter the date of such employment.34
JD.ID PLATFORM – GENERAL TERMS & CONDITIONS [CONFIDENTIAL]Pasal 4: Apabila Penjual melakukan pelanggaran atas ketentuanketentuanapapun di atas, JD.ID berhak untuk secara sepihak untukmengakhiri kontrak dengan Penjual secara keseluruhan atausebagian, dan Penjual wajib untuk membayar JD.ID sejumlah Rp.200.000.000 atau 50% dari jumlah pesanan (kontrak) yang terlibat(manapun yang lebih tinggi) sebagaimana ganti rugi. Penjual wajibmembayar ganti rugi dalam waktu 5 hari kerja setelah JD.IDmenemukan pelanggaran Penjual; dengan kata lain, JD.ID memilikihak untuk mengurangi jumlah yang sesuai secara langsung dariharga kontrak. Baik juga maupun Penjual secara aktif atau pasifmemberikan kepentingan yang tidak sah untuk karyawan JD.IDatau siapapun yang terkait dengannya, apabila secara aktifmemberi JD.ID dengan informasi yang terkait, JD.ID dapat, dengandasar situasi yang sebenarnya, menawarkan kepada Penjualkesempatan kerjasama berkelanjutan dan/atau membebaskanPenjual dari kewajiban di atas untuk pelanggaran kontrak,diberikan keputusan tersebut wajib untuk sepenuhnya tundukkepada keputusan dan kebijaksanaan dari JD.IDPasal 5: Apabila Penjual mempelajari/menemui bahwa karyawanmanapun dari JD.ID telah melanggar ketentuan-ketentuan di atas,diperbolehkan untuk menghubungi pengendali internal dandepartemen pemenuhan JD.ID. Apabila infromasi mengenai suapkomersial itu sah, JD.ID wajib, sesuai dengan pengaruh danbesarnya kejadian, memberi hadiah kepada pemberi informasisebesar Rp. 20.000.000 sampai Rp. 400.000.000 (sekurangnya Rp.20.000.000) sebagai hadiah; untuk kejadian yang berpengaruhsangat besar, hadiah akan menjadi sebesar Rp. 400.000.000 ataulebih.Kotak pesan khusus JD.ID untuk penerimaan keluhan dari Penjualadalah seller.support@jd.id; telepon: 0218608 1005. JD.ID wajibmenjaga seluruh informasi mengenai dan seluruh data yangdiberikan oleh pemberi informasi dengan kerahasiaan tinggi.Article 4: If Seller violates any of the above provisions, JD.ID isentitled to unilaterally terminate the contract with Seller inwhole or in part, and Seller shall pay JD.ID Rp 200,000,000 or50% of the amount of the order (contract) involved (whicheveris higher) as the liquidated damages. Seller shall pay theliquidated damages within 5 working days after JD.IDdiscovers Seller’s violation; otherwise, JD.ID has the right todeduct the corresponding amount directly from the contractprice. No matter whether Seller actively or passively providesimproper interests for JD.ID’s employees or any person relatedthereto, if it actively provides JD.ID with the relevantinformation, JD.ID may, on the basis of the actual situation,offer Seller the opportunity of continual cooperation and/orexempt Seller from the above liabilities for breach of contract,provided such decision shall be completely subject to thejudgment and discretion of JD.ID.Article 5: If Seller learns/suspects that any employee of JD.IDhas violated the above provisions, it is welcome to contact theinternal control and compliance department of JD.ID. If theinformation on commercial bribery is confirmed, JD.ID shall,according to the influence and severity of the event, award theinformant 20,000,000 to 400,000,000 rupiah (at least20,000,000 rupiah) as the prize; as for extremely influentialevents, the prize will be 400,000,000 rupiah or more.JD.ID’s special mailbox for receiving complaints from Seller isseller.support@jd.id; telephone: 021-8608 1005. JD.ID shallmaintain all the information about and all the data providedby the informant in strict confidence.35
