Loss Quarters <strong>and</strong> Recovery Quarters, a schedule of <strong>all</strong> Related Loans which are commercial<br />

loans or commercial real estate loans with Legal Balances of$500,000 or more on the<br />

Accounting Records ofthe Assuming Bank as ofthe end ofeach such semi-annual period, <strong>and</strong><br />

<strong>all</strong> other commercial loans or commercial real estate loans attributable to the same Obligor on<br />

such loans of $500,000 or more.<br />

3.5 Legal Action; Utilization of Special Receivership Powers. The Assuming Bank<br />

sh<strong>all</strong> notify the Receiver in writing (such notice to be given in accordance with Article IV below<br />

<strong>and</strong> to include <strong>all</strong> relevant details) prior to utilizing in any legal action any special legal power or<br />

right which the Assuming Bank derives as a result ofhaving acquired an asset from the Receiver,<br />

<strong>and</strong> the Assuming Bank sh<strong>all</strong> not utilize any such power unless the Receiver sh<strong>all</strong> have<br />

consented in writing to the proposed usage. The Receiver sh<strong>all</strong> have the right to direct such<br />

proposed usage by the Assuming Bank <strong>and</strong> the Assuming Bank sh<strong>all</strong> comply in <strong>all</strong> respects with<br />

such direction. Upon request ofthe Receiver, the Assuming Bank will advise the Receiver as to<br />

the status ofany such legal action. The Assuming Bank sh<strong>all</strong> immediately notify the Receiver of<br />

any judgment in litigation involving any ofthe aforesaid special powers or rights.<br />

ARTICLE IV-- LOSS-SHARING NOTICES GIVEN TO CORPORATION AND/OR<br />

RECEIVER<br />

As a supplement to the notice provisions contained in Section 13.7 ofthe Agreement, any<br />

notice, request, dem<strong>and</strong>, consent, approval, or other communication (a "Notice") given to the<br />

Corporation <strong>and</strong>/or the Receiver in the loss-sharing context sh<strong>all</strong> be given as follows:<br />
