AMENDMENT TO<br />

INTERCONNECTION AGREEMENT BETWEEN<br />

BELLSOUTH TELECOMMUNICATIONS, INC.<br />

AND NETWORK TELEPHONE CORPORATION<br />

DATED MAY 17,2001<br />

This Agreement (the “Amendment”) is made and entered into between BeltSouth<br />

Telecommunications, Inc. (“BellSouth”) a Georgia corporation, and Network Telephone<br />

Corporation (“Network Telephone Corporation”) a Florida corporation.<br />

WHEREAS, The Parties desire to amend that certain Interconnection Agreement<br />

between BellSouth and Network Telephone Corporation dated May 17, 2001 (the<br />

“Interconnection Agreement”) in order to incorporate rates established by the Florida <strong>Public</strong><br />

<strong>Service</strong> <strong>Commission</strong> (“PSC”) in Docket Number 990649-TPI issued October 18, 2001, the rates<br />

established by the Mississippi <strong>Public</strong> <strong>Service</strong> <strong>Commission</strong> order in Docket Number 00-UA-999,<br />

issued October 12, 2001, the rates established by the Louisiana Pubiic <strong>Service</strong> <strong>Commission</strong> in<br />

Docket Number U-24717-A, on September 21, 2001, the rates established by the South<br />

Carolina <strong>Public</strong> <strong>Service</strong> <strong>Commission</strong> in Docket Number 2001 -65-C-Order Numer 2001 -1089,<br />

November 30, 2001, and the rates established by the Kentucky <strong>Public</strong> <strong>Service</strong> <strong>Commission</strong> in<br />

Administrative Case Number 382 on December 18, 2001;<br />

NOW THEREFORE, in consideration of the mutual provisions contained herein and<br />

other good and valuable consideration, the receipt and sufficiency of which are hereby<br />

acknowledged, BellSouth and Network Telephone Corporation hereby convenant and agree as<br />

follows:<br />

1. Those permanent rates established by the Florida PSC in Docket No. 990649-TP,<br />

the Mississippi PSC order in Docket Number 00-UA-999, the Louisiana PSC in Docket Number<br />

U-24717-A, the South Carolina PSC in Docket Number 2001-65-C-Order Number 2001-1 089,<br />

and the Kentucky <strong>Public</strong> <strong>Service</strong> <strong>Commission</strong> in Administrative Case Number 382 for certain<br />

Unbundled Network Elements and Local Interconnection are as set forth in Exhibit 1 attached<br />

hereto and incorporated herein by this reference.<br />

2. All rate elements and rates in Attachments I, 2, 3, 5 and 7 for Florida,<br />

Mississippi, Louisiana, South Carolina, and Kentucky are hereby deleted and replaced in their<br />

entirety with the corresponding rates and rate elements in Exhibit 1.<br />

3. To ddda new Section 2.1.24 to Attachment 2 of the Interconnection Agreement<br />

to incorporate tenns and conditions for Unbundled Digital Loops for all nine states as follows;<br />

2.1.24.1 BellSouth will offer Unbundled Digital Loops (UDL). UDLs are<br />

service specific, will be designed, will be provisioned with test<br />

points (where appropriate), and will come standard with OC and a<br />

Design Layout Record (DLR). The various UDLs are intended to<br />

support a specific digital transmission scheme or service.<br />

2.1.24.2 BellSouth shall make available the following UDLs:<br />
