(3) The provisions of the enactments authorising the carrying on of the<br />

businesses specified in paragraphs (c), (d), (f) and (g) of subsection (1) above<br />

shall override any contrary provisions contained in this Act but paragraphs (c),<br />

(d), (f), (g), (h) and (i) of subsection (1) and this subsection and subsection<br />

(4) do not apply to a public investment company existing on or prior to 1st<br />

November, 1995.<br />

(4) A person or a company resident in Belize who is a registered agent<br />

pursuant to section 43 of this Act may hold shares in a nominee capacity but<br />

not beneficially in a company incorporated under this Act.<br />

6.-(1) Without affecting the operation of section 107, if a company is incorporated<br />

under this Act without having satisfied the requirements prescribed<br />

for an International Business Company under section 5, or if having satisfied<br />

the requirements it subsequently ceases to satisfy the requirements for a continuous<br />

period of more than 30 days, the company shall upon the expiration of<br />

that period notify the Registrar of that fact.<br />

(2) A company that wilfully contravenes subsection (1) is liable to a penalty<br />

of $500 for each day or part thereof during which the contravention continues,<br />

and a director who knowingly permits the contravention is liable to a<br />

like penalty.<br />

7. Subject to section 82, no member, director, officer, agent or liquidator<br />

of a company incorporated under this Act is liable for any debt, obligation or<br />

default of the company, unless specifically provided in this Act or in any other<br />

law for the time being in force in Belize, and except in so far as he may be<br />

liable for his own conduct or acts.<br />

8. A company may be incorporated under this Act for any object or<br />

purpose not prohibited under this Act or under any other law for the time<br />

being in force in Belize.<br />
