6 other outgoings payable in respect of the Property during the period commencing on the date of purchase of the Property by the Developer; (j) (k) (l) (m) (n) (o) (p) all insurance premiums in respect of any insurance effected in regard to the Property any improvements to the property and any work done in respect thereof or in respect of workmen employed on the Property; fees and commissions payable to any consultants or real estate agents appointed in respect of the sale of the Property and costs incurred in advertising promoting and preparing aids, brochures and plans to assist in the arranging of the sale of the Property; all audit fees and legal fees; all costs of and incidental to the services provided in respect of the Project by the Architect and by any other Consultant, all costs in respect of the security of all kinds of the Property and the Project; all travel and other related expenses incurred in relation to the Project; and all other costs and expenses incurred by the Developer in relation to the Project; "Property" means the property identified in the Schedule; "Related Corporation" means in relation to a party, a related body corporate of that party as defined in Section 9 of the Corporations Act; "Reservation" means the removal of the Property from the Developer’s offering of available Lots and reservation of the Property for the Lot Holder pursuant to this Agreement; “Reservation Fee” means the amount specified as the reservation fee in the Schedule; "Rules" means the provisions of the Arbitration Act 1906 or any statutory modifications for the time being in force; “Schedule/s” means the schedule annexed to this Agreement and marked as such; "State" means the State of Victoria; "Termination Date" means the date of termination of the Joint Venture pursuant to Clause 3; and "Transfer" means to sell, assign, transfer, convey or otherwise dispose of; "Transfer', "Transferred" and "Transferring" have corresponding meanings.
7 1.2 Interpretation (a) (b) This Agreement shall be governed by and construed in accordance with the law for the time being in force in Victoria and the parties, by agreeing to enter into this Agreement, shall be deemed to have submitted to the non-exclusive jurisdiction of the courts of that State. In this Agreement except to the extent that the context otherwise requires (i) (ii) (iii) any term defined in the statement of the names and descriptions of the parties has the meaning there defined; reference to any legislation or any provision of any legislation includes any modification or re-enactment of the legislation or any legislative provision substituted for, and all legislation and statutory instrument and regulations issued under, the legislation; words denoting the singular include the plural and vice versa; (iv) words denoting individuals or persons include bodies corporate and trusts and vice versa; (v) (vi) headings are for convenience only and shall not affect interpretation; reference to a clause, paragraph or schedule is a reference to a clause, paragraph or schedule of this Agreement; (vii) reference to any document or Agreement includes reference to such document or Agreement as amended, novated, supplemented, varied or replaced from time to time; (viii) (ix) words denoting any gender include all genders; where any work or phrase is given a definite meaning in this Agreement any part of speech or other grammatical form in respect of such word or phrase has a corresponding meaning; (x) reference to an amount of money is a reference to the amount in the lawful currency of the Commonwealth of Australia; (xi) reference to a time and date in connection with the performance of an obligation by a Party is a reference to the time and date of the State, notwithstanding the obligation is to be performed elsewhere; and (xii) where, by virtue of the provisions of this Agreement, the day on or by which any act, matter or thing is to be done is a Saturday, a Sunday or a public holiday in the place in which such act, matter or thing is to be done, then the act, matter or thing shall be done on the next succeeding day which is not a Saturday, a Sunday or a public holiday.
