Supervisory Board report<br />
Supervisory Board had received from the Board of Directors Financial Statements for the year ended on December 31, <strong>2005</strong>, including the Notes,<br />
profit distribution proposal for year <strong>2005</strong>, management and company assets status report as of December 31, <strong>2005</strong>, which the Supervisory<br />
Board examined and thoroughly inspected.<br />
As a result of this examination the Supervisory Board adopted unanimous decision to approve the Annual Financial Statements as of December<br />
31, <strong>2005</strong>, including Appendix, Profit distribution proposal for year <strong>2005</strong>, Management and company assets status report as of December<br />
31, <strong>2005</strong>, as well as the company’s Annual Report for <strong>2005</strong>.<br />
Furthermore the Supervisory Board informs that, as a unit or in part through its Chairman, it has exercised the opportunity to supervise the operations<br />
of the Company’s Board of Directors. This was achieved through consultations with respective Board members who provided, based on<br />
accounting records and documents, explanations pertaining to the company’s business affairs.<br />
In <strong>2005</strong> the company held one General Assembly, one Extraordinary General Assembly and four Supervisory Board meetings.<br />
Supervisory Board informs the General Assembly that the company Financial Statements for year ended December 31, <strong>2005</strong> were audited by<br />
PricewaterhouseCoopers Slovensko, s.r.o., that the Supervisory Board received auditors’ report, which was examined and discussed and that<br />
this audit does not give rise to any objections. Supervisory Board hereby declares that it has no additional comments to make in reference to the<br />
Auditors’ Report.<br />
Furthermore the Supervisory Board further informs that pursuant to § 18, par. 3), letter m) of the Company Articles, the General Assembly is<br />
authorised to issue approval to enter into contracts concluded pursuant to § 196 a) of the Commercial Code. In order to ensure flexibility the<br />
General Assembly issued the Supervisory Board with a Power of Attorney to enter into contracts concluded pursuant to § 196 a) of the Commercial<br />
Code.<br />
During the course of the business year was given authorisation to enter into contract concluded pursuant to § 196 a) of the Commercial Code.<br />
