FEES AND EXPENSES<br />
FEES OF THE INVESTMENT MANAGER<br />
Management Fee. Pursuant to the Investment Management Agreement, the Investment Manager<br />
receives an annual fee (“Management Fee”) that is equal to 1.00% of the Net Asset Value attributable<br />
to the Shares during the relevant calendar year. The Management Fee will be calculated bi-weekly and<br />
paid monthly, in arrears, in an amount equal to 1% of the Net Asset Value attributable to the Shares of<br />
each Class on the first Business Day of each week. The Management Fee will be prorated based upon a<br />
Shareholder’s actual period of ownership of its Shares. The Investment Manager may, in its discretion,<br />
effectively waive all or part of the Management Fee with respect to any Shareholder by rebate or<br />
otherwise.<br />
Payment of Management Fee. The Management Fee payable by the <strong>Fund</strong> to the Investment Manager<br />
within 3 days after each becomes due. Payment of the Management Fee will be subject to adjustment<br />
upon completion of the audit of the <strong>Fund</strong>’s financial statements for the fiscal year in which such fees<br />
accrue.<br />
FEES OF THE ADMINISTRATOR<br />
Administrator Fee. For performing and supervising the performance of corporate and administrative<br />
services necessary for the operation of the <strong>Fund</strong> (other than making of investment decisions), the<br />
Administrator will receive an administration fee of up to 0.20% on assets of less than $30M and 0.15% on<br />
assets greater than $30M.<br />
Payment of Administrator Fee. The fee will be calculated bi-weekly and paid monthly in arrears. The<br />
Administrator will also be reimbursed for out-of-pocket expenses.<br />
DIRECTORS’ FEES<br />
Each director who is not an officer or employee of the Investment Manager receives a flat annual fee for<br />
serving in such capacity. The total director’s fee will be in accordance with reasonable and customary<br />
director’s fees and shall not be greater than $20,000.<br />
C<strong>US</strong>TODIAN FEES<br />
For its Custodian services, the Custodian will receive a minimum per annum fee of $2,500. The fee,<br />
however, is tiered to result in 0.03 % per annum on assets over $20M.<br />

Memorandum.<br />
