NOW THEREFORE, the Plaintiff <strong>and</strong> Defendant Adams, having requested the Court toenter this <strong>Order</strong>, <strong>and</strong> the Court having considered the <strong>Order</strong> reached between the parties, IT ISHEREBY ORDERED, ADJUDGED, AND DECREED as follows:FINDINGSI. This is an action by the Commission instituted under Section 13(b) of the FTCAct, 15 U.S.C. § 53(b). The Commission has the authority to seek the relief contained herein.2. The Commission's Complaint states claims upon which relief may be grantedunder Sections 5(a), 12 <strong>and</strong> 13(b) of the FTC Act, 15 U.S.C. §§ 45(a), 52 <strong>and</strong> 53(b).3. This Court has jurisdiction over the subject matter of this case <strong>and</strong> personaljurisdiction over Defendant Adams.4. Venue in the United States District Court <strong>for</strong> the Northern District of Illinois isproper pursuant to 28 U.S.C. §§ 1391(b) <strong>and</strong> (c) <strong>and</strong> 15 U.S.C. § 53(b).5. The alleged activities of Defendants are "in or affecting commerce" as"commerce" is defined in Section 4 of the FTC Act, 15 U.S.C. § 44.6. Defendant Adams, without admitting or denying the allegations set <strong>for</strong>th in theCommission's Complaint, except <strong>for</strong> admitting the jurisdictional facts <strong>and</strong> as otherwisespecifically stated in this <strong>Order</strong>, agrees to entry of this <strong>Order</strong>.7. Defendant Adams waives: (a) all rights to seek judicial review or otherwisechallenge or contest the validity of this <strong>Order</strong>; (b) any claim that he may have against theCommission, its employees, representatives, or agents; (c) all claims under the Equal Access toJustice Act, 28 U.S. C.§ 2412, as amended by Pub. L. 104-121, 110 Stat. 847,863-64 (1996);<strong>and</strong> (d) any rights to attorney's fees that may arise under said provision oflaw. The Commission<strong>and</strong> Defendant Adams shall each bear their own costs <strong>and</strong> attorney's fees incurred in this action.Page 2 of23
